THE MINISTER OF INDUSTRY

Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Pursuant to the proposal of the Board of Directors of the Vietnam Construction Industry Corporation at the report No. 06/TT-HĐQT dated April 2, 1999, and the Director of the Department of Organization and Cadres,

DECISION:

Article 1. Establish the Installation Company as an independent accounting member enterprise based on restructuring the installation enterprises under the member enterprises of the Vietnam Construction Industry Corporation.

- The Company has full legal personality, seal, and is entitled to open accounts at banks and State Treasury in accordance with the provisions of the law.

- International trade name: INSTALLATION COMPANY, abbreviated as: (INCO)

- The main office of the Company is located at No. 21A Cat Linh Street, Dong Da District, Hanoi City.

Article 2. Business fields:

- Install complete production lines, power source projects and substations; install, repair equipment, process pipelines, information systems, automation, air conditioning, environmental treatment, fire prevention, refrigeration (collectively referred to as installation).

- Process steel structures, non-standard equipment; construct industrial, civil, and public works, transmission line projects; provide mechanical services, transportation, and construction materials.

The Charter Capital of the Installation Company is: 9,112,117,951.00 Vietnamese dong

Article 3. - The dependent accounting units of the Installation Company at the time of establishment include:

1- Mechanization-Electrical Machinery Workshop (belonging to the Chemical Construction Installation Company)

2- Construction Electrical Machinery Workshop (belonging to the First Electrical Construction Installation Company)

3- Small Hydropower Project Construction Workshop (belonging to the Fourth Electrical Construction Installation Company)

4- Electrical Construction Installation Workshop (belonging to the Construction and Production of Industrial Goods Company)

5- Southern Chemical Construction Installation Workshop 1 (belonging to the Chemical Construction Installation Company)

- These Workshops have incomplete legal personality, seals, and are entitled to open accounts at banks and State Treasury, and operate production and business activities according to the Company's Charter and

Article 4. - The Vietnam Construction Industry Corporation is responsible for directing the Companies: First Electrical Construction Installation, Fourth Electrical Construction Installation, Chemical Construction Installation, Construction and Production of Industrial Goods to implement the transfer of workshops to be transferred to the Installation Company according to the current regulations of the State.

- The Installation Company is responsible for completing all registration procedures and operating according to the Company's Charter approved by the Board of Directors of the Vietnam Construction Industry Corporation and the provisions of the law.

Article 5. THIS DECISION SHALL TAKE EFFECT 15 DAYS FROM THE DATE OF SIGNATURE.

Article 6. The Head of the Ministry's Office, the Inspector General of the Ministry, the Heads of the Functional Departments, the Heads of the Specialized Management Bureaus under the Ministry, the Chairman of the Board of Directors, the General Director of the Vietnam Construction Industry Corporation, the Directors of the Companies (First Electrical Construction Installation; Fourth Electrical Construction Installation; Chemical Construction Installation; Construction and Production of Industrial Goods), the Directors of the Workshops (Mechanization-Electrical Machinery Workshop belonging to the Chemical Construction Installation Company; Construction Electrical Machinery Workshop belonging to the First Electrical Construction Installation Company; Small Hydropower Project Construction Workshop belonging to the Fourth Electrical Construction Installation Company; Electrical Construction Installation Workshop belonging to the Construction and Production of Industrial Goods Company; Southern Chemical Construction Installation Workshop 1 belonging to the Chemical Construction Installation Company), the Director of the Installation Company are responsible for implementing this Decision./.
