Pursuant to the holding company-subsidiary model

PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the State Enterprise Law dated November 26, 2003;
Pursuant to the Enterprise Law dated June 12, 1999;
On the basis of Decree No. 153/2004/NĐ-CP dated August 9, 2004 of the Government;
Considering the proposal of the Chairman of the People's Committee of Ho Chi Minh City,
DECISION:
Article 1. Approving the Project on the establishment of Saigon Water Supply Corporation operating under the holding company-subsidiary model, engaging in diversified industries, with the main industry being water production and supply and other products and services related to the water sector, serving as the core in implementing the planning for the development of the water supply industry within the city and surrounding areas.
1. The holding company - Saigon Water Supply Corporation (SAWACO) is a state-owned enterprise established based on the restructuring of the Water Supply Company directly under the Department of Transportation and Public Works of Ho Chi Minh City.
2. Subsidiaries are state-owned limited liability companies with one member; joint-stock companies, limited liability companies with multiple members, and joint ventures where the holding company holds controlling equity, including:
a) State-owned limited liability companies with one member:
- Underground Water Extraction and Treatment Company,
- Public Works Construction Company.
b) Joint-stock companies, in which the holding company holds more than 50% of the charter capital:
- Thu Duc-Bien Hoa Water Supply Joint-Stock Company,
- Nha Be Water Supply Joint-Stock Company,
- Gia Dinh Water Supply Joint-Stock Company,
- Water Engineering Construction Machinery Joint-Stock Company,
- Ben Thanh Water Supply Joint-Stock Company,
- Cho Lon Water Supply Joint-Stock Company,
- Phu Hoa Tan Water Supply Joint-Stock Company,
- Water Supply Construction Consulting Joint-Stock Company.
3. Companies in which the holding company has invested:
- Public Works Construction Consulting Company.
4. Saigon Water Supply Corporation operates under the holding company-subsidiary model, conducting business accounting in accordance with the provisions of the law, Articles of Association, and Financial Regulations approved by competent state authorities. The management structure of the Corporation includes the Board of Directors, General Director, Deputy General Directors, Chief Accountant, and supporting staff.
Article 2. Assignment of tasks:
1. Chairman of the People's Committee of Ho Chi Minh City:
- Implementing this Project; deciding on the establishment of the holding company and the formation of subsidiaries and companies in which the holding company has invested as stipulated in Article 1 of this Decision in accordance with current regulations.
- Approves the Charter of the holding company's organization and operation.
2. The Minister of Finance shall approve the financial regulations of the holding company based on the proposal of the People's Committee of Ho Chi Minh City.
Article 3. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Chairman of the People's Committee of Ho Chi Minh City, the Minister of Finance, and the heads of relevant agencies are responsible for enforcing this Decision.
