Regarding the conversion of Phu My Thermal Power Plant into Phu My Thermal Power Joint Stock Company with State Capital

PRIME MINISTER

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the State Enterprise Law dated November 26, 2003;

Considering the proposal of the Board of Directors of Vietnam Electricity Corporation,

DECISION:

Article 1. Convert Phu My Thermal Power Plant, a subsidiary under the accounting system of Vietnam Electricity Corporation, into Phu My Thermal Power Joint Stock Company with State Capital.

Phu My Thermal Power Joint Stock Company with State Capital (hereinafter referred to as the company) shall have its own seal, open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Enterprise Law and the Articles of Association of the company.

- Full name: Phu My Thermal Power Joint Stock Company with State Capital.

- Vietnamese abbreviation: Phu My Thermal Power Company.

- International trade name: PHU MY THERMAL POWER COMPANY LIMITED.

- English abbreviation: PMTP Co., Ltd.

- Registered charter capital: 1,155,000,000,000 VND.

- Head office: Phu My Town, Tan Thanh District, Ba Ria-Vung Tau Province.

Article 2. Business sectors and activities

- Production and trading of electric power.

- Production and trading of distilled water, hydrogen gas.

- Services for repair and installation: substations and transmission lines with voltage up to 110 kV.

- Services: repair, restoration, manufacturing parts of power plant equipment, electrical testing, chemical testing, calibration, performance measurement of power plants, drying, filtering insulating oil, storage of oil, leasing tanks, pipelines, and oil receiving ports, operation leasing of power plants.

- Import and export of materials and equipment.

- Project management and construction supervision.

- Technical consulting for power plants and other investment and construction consulting.

- Training and development of human resources for management, operation, maintenance, and repair of thermal power plant equipment.

Other production and business activities in accordance with the law.

Article 3. Organization and operation

1. The management structure of the company follows the model of Chairman of the company, General Director of the company, and supporting staff. The Board of Directors of Vietnam Electricity Corporation decides on specific plans.

2. The organization and operation of the company are specifically regulated in the Company's Charter.

Article 4. The entity authorized by the factory to represent the owner is the Board of Directors of Vietnam Electricity Corporation.

The Board of Directors of Vietnam Electricity Corporation is responsible for exercising the rights of the owner according to current regulations and the Articles of Association of the company.

Article 5. Phu My Thermal Power Joint Stock Company with State Capital is responsible for effectively receiving and using the capital and assets transferred by the Board of Directors of Vietnam Electricity Corporation to fulfill the mission of developing production and business.

Article 6. The Chairman and General Director of Phu My Thermal Power Joint Stock Company with State Capital are responsible for drafting the organizational and operational regulations of the company to be submitted to the Board of Directors of Vietnam Electricity Corporation for approval.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Board of Directors of Vietnam Electricity Corporation, the Chairman, and the General Director of Phu My Thermal Power Joint Stock Company with State Capital are responsible for implementing this Decision.
