Pursuant to Decree No. 73/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development;
Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises; Decree No. 38/CP dated April 28, 1997 of the Government amending and supplementing certain articles of Decree No. 50/CP; and Circular No. 08 BKH/DN dated June 11, 1997 of the Ministry of Planning and Investment guiding the implementation of the two aforementioned decrees;
Pursuant to Decision No. 1232/QĐ-TC.UB dated June 2, 2000 of the Chairman of the People's Committee of Can Tho City regarding the transfer of capital in the Joint Venture Company for the production of colored steel sheets Vietnam - Australia;
Considering the proposal of the Board of Directors of the Vietnam Forest Corporation (Proposal No. 10 HĐQT/TCLĐ/TT dated January 8, 2001), and the Director of the Cadre and Civil Service Department,
DECISION:
Article 1. Establish the Viet-Australia Steel Company based on the reorganization of the Joint Venture Company for the production of colored steel sheets Vietnam - Australia;
The international trade name of the Company: Viet Uc Roofing Company;
Abbreviation: AUSVIET Co.
The Viet-Australia Steel Company is an independent economic accounting unit of the Vietnam Forest Corporation, entitled to open bank accounts in accordance with State regulations and to use its own seal for transactions;
The main office of the Company is located at 386 Nguyen Trai Street, Can Tho City, Can Tho Province;
Article 2.
a) The registered capital of the Viet-Australia Steel Company: 8,748 million VND;
b) Business activities of the Company:
- Production and trading of various types of steel and other roofing sheets;
- Production and trading of prefabricated steel structures and steel beams for construction projects;
- Processing and trading of forestry and agricultural products;
- Import and export of various types of steel, construction materials, and forestry and agricultural products;
- Construction of civil and industrial projects and interior decoration;
Article 3. The Viet-Australia Steel Company shall have a General Director and Deputy General Director to assist; it shall have Articles of Organization and Operation, which must be approved by the Board of Directors of the Vietnam Forest Corporation in compliance with the law and the Articles of the Vietnam Forest Corporation;
The organizational structure and management system, as well as the production and business network of the Company, shall be developed by the General Director of the Company into specific plans, to be submitted to the Board of Directors of the Vietnam Forest Corporation for approval;
Article 4. The Viet-Australia Steel Company is responsible for completing all necessary procedures to register for business operations in accordance with the law;
Article 5. This Decision takes effect from the date of signature.
The Head of the Office of the Ministry, the Director of the Cadre and Civil Service Department, the Heads of relevant agencies under the Ministry, the Board of Directors, the General Director of the Vietnam Forest Corporation, and the General Director of the Viet-Australia Steel Company are responsible for implementing this Decision./.
