Decision No. 25/2005/QĐ-BNV approves the Charter of the Vietnam Otorhinolaryngology Association, stipulating the organization, activities, rights, and obligations of members, tasks, and powers of the Association. THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

 

Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;

Based on the Government's Decree No. 88/2003/NĐ-CP dated July 30, 2003 stipulating the organization, operation, and management of Associations;

Based on the Government's Decree No. 45/2003/NĐ-CP dated May 9, 2003 stipulating the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;

Considering the proposal of the President of the Vietnam Otorhinolaryngology Association and the Director of the Department of Non-Governmental Organizations,

 DECISION:

 

Article 1. Approves the Statutes of the Vietnam Otorhinolaryngology Association which were adopted at the Eleventh National Congress on November 11, 2004.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3. The President of the Vietnam Otorhinolaryngology Association and the Director of the Department of Non-Governmental Organizations shall be responsible for implementing this Decision.

 

CHARTER

 

Vietnam Otorhinolaryngology Association (Amended)

PART I

NAME, AIMS, AND OBJECTIVES

Article 1. The Association is named the Vietnam Otorhinolaryngology Association, with the international trading name being VIETNAMESE SOCIETY OF OTORHINOLARYNGOLOGY,

The Vietnam Otorhinolaryngology Association is a voluntary organization of individuals engaged in training, research, practice, diagnosis, and treatment in the field of Otorhinolaryngology and head and neck surgery throughout the country, working together to strive for the development of the profession and contribute to protecting public health, building and developing advanced and modern Vietnamese medicine.

Article 2. The Association aims to gather medical staff working in the field of Otorhinolaryngology to encourage members to enhance their knowledge, skills, and expertise, exchange experiences, promote scientific research, disseminate relevant medical issues, and contribute to the sustainable development of the Otorhinolaryngology profession, meeting national requirements.

Article 3. The Vietnam Otorhinolaryngology Association operates according to its Statutes and adheres to the policies and guidelines of the Party and the laws of the State.

The Vietnam Otorhinolaryngology Association has legal personality, possesses its own seal, maintains a bank account, and has its headquarters in Hanoi.

The Vietnam Otorhinolaryngology Association may join international and regional associations related to the fields of Otorhinolaryngology and head and neck surgery, in accordance with Vietnamese law.

Chapter II

MEMBERS

Article 4. Members of the Association

a) Regular Members:

They are Teachers, Doctors, Nurses, Pharmacists, Technicians, and other scientific staff working in Otorhinolaryngology departments (civilian and military), public and private healthcare facilities, or retired personnel who voluntarily apply to join the Association, comply with the Association's Statutes, pay membership fees in full, and are recognized by the Executive Board as regular members of the Association.

b) Associate Members and Honorary Members:

Vietnamese citizens who have made significant contributions to the cause of public health and scientific research in the field of Otorhinolaryngology and head and neck surgery may be invited to become associate members or honorary members.

Associate members and honorary members have the right to participate in activities and attend the Association's congresses, but they cannot run for election or nomination to the leadership board nor vote on Association matters.

Article 5. Rights of members

Rights of Members:

- To discuss and vote on all Association matters, elect and be elected to the Executive Board.

- To receive education, information provision, professional training, encouragement, and promotion of abilities in all aspects to contribute to the development of the Otorhinolaryngology specialty and serve public health.

- To present their scientific research topics in the Association's scientific meetings and participate in specialized activities or conferences organized by the Association.

- To have their research works reviewed by the Association to recommend them for recognition by competent state authorities, authorship rights, patents, etc.

- To have their works published in journals and newsletters of the General Association and other Associations.

- To have their legitimate rights protected by the Association if they believe they have been violated.

- To enjoy all other benefits stipulated by the Association.

- To request withdrawal from the Association when they no longer meet the conditions for participation.

Article 6. Obligations of Members

- Strictly implement the policies and laws of the Party and the State. Adhere to the Association's Statutes and resolutions, actively participate in Association activities, and pay membership fees on time. Promote the development of membership and mobilize public support for Association activities.

- Actively work to build unity within the Association, combat thoughts and actions detrimental to the reputation, credibility, and unity of the Association.

- Continuously engage in learning, scientific research, and improving professional skills to contribute to primary healthcare services for the public.

Article 7. Procedures for Joining and Leaving the Association

- Individuals wishing to join the Association must voluntarily submit an application to join the Association.

- Members who no longer meet the conditions for participation and wish to leave the Association must submit an application to withdraw from the Association.

Chapter III

TASKS AND POWERS OF THE ASSOCIATION

Article 8. Duties of the Vietnam Otorhinolaryngology Association:

- To unite and assist members in research, study, and information updates to improve professional skills, contributing to the training and development of high-quality medical and doctor teams to meet the needs of public health care.

- To cooperate, learn, and exchange experiences with central specialists to strengthen and develop the Otorhinolaryngology specialty.

To provide consultation, training, observation, seminars, and application of new scientific and technological advancements to enhance members' capabilities in all areas.

- To propose policies, mechanisms, plans, and programs for the development of the Otorhinolaryngology specialty and the overall development of the healthcare sector to relevant state agencies.

- To cooperate with domestic and foreign organizations and individuals in accordance with the law to exchange experiences, seek assistance, and create favorable conditions for the Association's continuous development.

- To provide consultation, criticism, and social appraisal for state economic and social development projects related to the Otorhinolaryngology field upon request.

- To protect the honor, rights, and legitimate interests of members in accordance with current laws.

Article 9. Powers and Responsibilities of the Association

- To represent members in activities related to the objectives, purposes, and duties of the Vietnam Otorhinolaryngology Association.

- To implement scientific research projects and provide services to organizations or individuals in need, in accordance with the law.

- To support members in conducting scientific research activities, participate in evaluating scientific research projects and programs in the Otorhinolaryngology field.

- To take the lead or participate in building programs and projects to propose solutions to state management agencies for the development of Otolaryngology.

- Publish books and magazines of the Association in accordance with the law to enhance knowledge and update information.

- Organize training sessions to improve members' professional knowledge and provide information on Otolaryngology.

- Develop the Association in accordance with the requirements of the profession within the scope of the law.

Chapter IV

Article 8. Principles of Organization

Article 10. The organizational structure of the Association:

- At the Central level: The Vietnam Otolaryngology Association

- Local branches (with at least five members) and affiliated organizations

- In provinces and centrally-administered cities (hereinafter referred to as provinces), if necessary, provincial associations may be established. The establishment of provincial associations is decided by the Provincial People's Committee in accordance with the law.

+ Member associations operate according to their own charters, comply with the central association's charter, and are guided professionally and operationally by the central association.

Article 11. Congress

- The General Assembly or the Representative Assembly is the highest governing body of the Association. The term of the assembly is every five years.

- An extraordinary assembly can be convened when half of the Executive Board members or two-thirds of the branches request it. The number of delegates attending the assembly is determined by the Executive Board.

Main contents of the Assembly:

- Summarize and evaluate the activities of the previous term and decide on the direction and activities of the new term.

- Amend and supplement the charter (if deemed necessary).

- Elect the Central Executive Board. (The number is decided by the Assembly).

Article 12. The Executive Board

The Executive Board of the Association is the governing body between two terms of the Assembly and has the following responsibilities:

- Elect the President, the Standing Committee, the Secretary-General, and the Inspection Board.

- Decide on work plans, assess the implementation of programs and plans, draft amendments to the charter to be submitted to the Assembly for approval.

- Supplement Executive Board members if the number is less than the requirement of the Assembly, but not exceeding one-third of the current Executive Board members elected by the Assembly.

- The Executive Board meets once every six months, convened by the President. Extraordinary meetings are held upon the request of two-thirds of the Executive Board members.

- Decide on the admission and expulsion of members.

Article 13. The Standing Committee

- The Standing Committee consists of the President, Vice Presidents, the Secretary-General, and other members elected by the Executive Board, the number of which is determined by the Assembly.

- The President has the authority and responsibility:

+ Representing the Association before the law.

+ Implementing resolutions of the Assembly, representative meetings, and decisions of the Executive Board.

+ Convene and chair meetings of the Executive Board.

+ Be responsible to the Executive Board and all members for the activities of the Association.

- Vice Presidents assist the President in specific tasks assigned by the President.

- The Standing Committee is the permanent body of the Executive Board, representing the Executive Board to manage the Association's affairs between two meetings. Prepare content for the Executive Board meetings. Manage advisory and service activities of the Association through organizations established by the Association in accordance with the law.

- Draft regulations for the Executive Board, member badges, and related titles for the activities of the Association to be approved by the Executive Board.

- The Standing Committee meets once every three months, with extraordinary meetings convened by the President or upon the request of two-thirds of the Standing Committee members.

- The Secretary-General directly manages all activities of the Association's office, prepares content for Executive Board meetings, regularly reports to the President and the Executive Board on the activities of the Association, compiles annual and term reports of the Central Executive Board, and is responsible to the Executive Board and the law for the activities of the office.

- Deputy Secretaries-General assist the Secretary-General and are responsible to the Secretary-General and the Vice President assigned to work in the region.

Article 14. Audit Committee

- The Inspection Board, elected by the Executive Board, oversees the Association's activities, the enforcement of the charter, resolutions of the Association, member qualifications, financial management and usage, and proposes solutions to complaints and accusations in accordance with the law.

- The term of the Inspection Board follows that of the Association's Assembly.

Article 15. Professional Committees and Affiliated Organizations

- Depending on work needs, the Standing Committee may establish professional committees and affiliated organizations.

- The establishment of affiliated organizations is regulated by law.

Article 16. Central Association Publications include:

Otolaryngology Magazine.

Otolaryngology News and Research Proceedings.

These publications operate under national laws governing press and publication. Editors-in-Chief and Deputy Editors-in-Chief are nominated by the President and appointed by competent state authorities managing press and publication. Their organization and operations follow legal provisions and self-finance their activities.

Article 17. Organizational Units of the Association

Local branches of the Central Association are provincial and specialized branches.

Local branches must organize assemblies, elect leadership boards. The term of local branch assemblies is two years. Activities of local organizations are based on the Association's charter, Assembly resolutions, Central Executive Board resolutions, and local work conditions.

Chapter V

FINANCE AND ASSETS

Article 18. The Association's finances and assets consist of:

Membership fees (as stipulated by the Central Executive Board).

Income from permitted Association activities.

Financial and material sponsorships from domestic and international institutions and individuals.

Expenditures of the Association include: scientific and technical activity expenses, advisory services, communication and dissemination activities, office expenses...

The Association's assets and finances are managed and utilized in accordance with the Central Executive Board's regulations and the guidance of state financial authorities.

Chapter VI

REWARDS AND DISCIPLINE

Article 19. Collective members and individual members who have outstanding achievements in the Association's work, who have scientific and technological research projects, economic management studies, innovative initiatives, and achievements in training and disseminating knowledge related to their specialty shall be commended by the Association and recommended for commendation by competent state agencies.

Article 20. Collective members and individual members who act contrary to the Charter of the Association, damage the reputation of the Association, or oppose the objectives and purposes of the Association shall be criticized, reprimanded, or brought before the annual General Assembly for appropriate measures to be taken, or may be held criminally responsible according to the provisions of the law, depending on the severity of the offense.

The leadership of the Association and representatives of the Association who intentionally delay the term General Assembly as stipulated by the Charter or fail to comply with the obligations of the Association shall be subject to legal proceedings according to the degree and nature of the violation.

Organizations and individuals belonging to the Association that do not pay membership fees for one year or do not participate in three consecutive sessions without reason shall be removed from the list of members.

Chapter VII

IMPLEMENTING PROVISIONS

Article 21. Amending and Enacting the Charter

Any proposal to amend the Charter must be discussed at the General Assembly and only the General Assembly has the authority to agree on recommendations which must be approved by competent state agencies to become effective.

Article 22. Effectiveness

This Charter consists of VII Chapters and 22 Articles, adopted by the Eleventh National Congress of the Vietnam Otorhinolaryngology Association on November 11, 2004, and became effective pursuant to the Decision approving it by the Ministry of Home Affairs./.
