Guidelines for accounting work when implementing the conversion of public service units to joint-stock companies

Pursuant to Decree No. 174/2016/NĐ-CP dated December 30, 2016 of the Government detailing and guiding the implementation of certain provisions of the Accounting Law;

Pursuant to Decree No. 150/2020/NĐ-CP dated December 25, 2020 of the Government on converting public service units to joint-stock companies;

Pursuant to Decree No. 87/2017/NĐ-CP dated July 26, 2017, issued by the Government, stipulating the functions, tasks, powers, and organizational structure of the Ministry of Finance;

At the proposal of the Director of the Accounting and Auditing Supervision Department;

The Minister of Finance issues this Circular guiding accounting work when implementing the conversion of public service units to joint-stock companies.

PART I

GENERAL PROVISIONS

Article 1. Scope of Regulation

This Circular guides accounting work when implementing the conversion of public service units to joint-stock companies.

Article 2. Applicability

This Circular applies to organizations and individuals specified in Article 2 of Decree No. 150/2020/NĐ-CP dated December 25, 2020 of the Government on converting public service units to joint-stock companies (hereinafter referred to as Decree No. 150/2020/NĐ-CP).

Article 3. Accounting work when converting public service units to joint-stock companies

1. Public service units undergoing conversion shall operate under the financial management mechanism applicable to public service units and record according to the regulations of the administrative and public institution accounting system issued together with Circular No. 107/2017/TT-BTC dated October 10, 2017 of the Ministry of Finance (hereinafter referred to as the administrative and public institution accounting system) until the official date of conversion to a joint-stock company.

2. Joint-stock companies converted from public service units shall operate in accordance with the Law on Enterprises, specialized laws, and current regulations on enterprises, and record according to the enterprise accounting system issued together with Circular No. 200/2014/TT-BTC dated December 22, 2014 of the Ministry of Finance (hereinafter referred to as the enterprise accounting system) for activities arising from the official date of conversion to a joint-stock company.

Chapter II

SPECIFIC PROVISIONS

Section 1

CONTENTS OF ACCOUNTING RELATED TO FINANCIAL HANDLING PRIOR TO THE
DATE OF CONVERSION TO A JOINT-STOCK COMPANY

Article 4. Principles of accounting entries

1. Activities related to financial handling to determine the value of the public service unit being converted must be fully recorded in the accounting books of the unit. Based on relevant files and documents related to the results of financial handling to determine the value of the unit for conversion, the unit shall record according to the current administrative and public institution accounting system.

2. On the basis of data fully reflected in the accounting books, the unit must prepare final accounts reports and financial statements according to the administrative and public institution accounting system at the time of determining the value of the unit and the official date of conversion to a joint-stock company.

3. The results of determining the value of the public service unit and the revaluation figures of the public service unit's assets for the purpose of conversion shall not be adjusted in the accounting books of the public service unit according to the administrative and public institution accounting system but shall serve as the basis for preparing financial situation reports according to the enterprise model as guided by this Circular.

Article 5. Accounting methods for some financial handling transactions prior to the official date of conversion to a joint-stock company

1. In cases where there is a shortage of assets formed from state budget funds, non-repayable aid, foreign debt; retained fees, the responsibility of organizations and individuals must be determined to handle and compensate material losses according to current regulations.

- Based on the results of inventory and the minutes of fixed asset shortages, the accountant records the reduction of fixed assets:

Debit Account 138 - Other Receivables (1388) (remaining value)

Debit Account 214 - Depreciation and accumulated depreciation of fixed assets (accumulated depreciation)

Credit Account 211 - Tangible Fixed Assets (original cost).

- When there is a decision to handle, based on specific recovery cases, record:

Debit Accounts 11, 112, 334, 154,...

Credit Account 138 - Other Receivables (1388). Simultaneously transfer the remaining value, record:

3. In cases where public service units undergoing conversion do not inherit financial investments, they report to the Ministry, ministerial-level agencies, government agencies, provincial People's Committees, Hanoi National University, Ho Chi Minh City National University for handling as follows:

- If transferring financial investments to another unit, based on handover documents, the accountant records:

Debit Accounts 421, 43141,...

- If transferring financial investments to other investors in accordance with the law, based on payment documents, the accountant records:

4. Costs for auditing financial statements at the valuation date, public service units undergoing conversion record as operating costs for the period (not classified as conversion costs), the accountant records:

5. Other economic and financial transactions related to financial handling prior to the official date of conversion to a joint-stock company, public service units shall record according to the current administrative and public institution accounting system.

Section 2
PREPARATION OF FINANCIAL SITUATION REPORTS ACCORDING TO THE ENTERPRISE MODEL

Article 6. Time for preparing reports

Based on the value of the public service unit which has been decided by the competent authority, the public service unit undergoing transformation must prepare financial situation reports according to the enterprise model at two time points:

- The time point for determining the value of the public service unit after fully recording all transactions related to financial handling to determine the value of the unit as prescribed.

- At the official time point of becoming a joint-stock company (the first registration time point of the joint-stock company) after recording the results of financial handling at the official time point of transforming into a joint-stock company as prescribed, serving as the basis for transferring to the joint-stock company.

Article 7. Purpose of preparing reports

1. Financial situation report according to the enterprise model is a report prepared by the public service unit undergoing transformation in accordance with this Circular to serve the process of transforming into a joint-stock company, built based on the financial situation report prepared according to the administrative and public institution accounting system and relevant documents regarding the determination of the unit's value according to the corresponding indicators with the Balance Sheet prepared according to the enterprise accounting system.

2. Financial situation report according to the enterprise model prepared by the unit at the time of determining the value of the public service unit shall be used as accompanying documents for the prospectus.

3. Financial situation report according to the enterprise model prepared by the public service unit after officially transforming into a joint-stock company (at the first registration time point of the joint-stock company):

- Serving as the basis for transferring assets, liabilities, and capital of the public service unit to the joint-stock company;

- Serving as the basis for opening accounting books of the joint-stock company when starting operations according to the Enterprise Law.

Article 8. Requirements for preparing reports

Financial situation report according to the enterprise model must reflect truthfully and objectively the content and value of the reported indicators. The report content should be presented in a strict and systematic structure about the financial situation at the time of determining the value of the public service unit and the time of the public service unit officially transforming into a joint-stock company.

Financial situation report according to the enterprise model must be prepared promptly, within the specified time for each time point, clearly and easily understandable, accurately presenting accounting information and figures.

The unit must analyze existing accounting data based on detailed accounting books under the administrative and public institution accounting system that have been closed, documents on revaluation of asset values, and other relevant documents to ensure consistency with the content of the indicators reflected in the Financial Situation Report according to the enterprise model to prepare the report.

Article 9. Basis for preparing reports

1. At the time of determining the value of the public service unit

The unit prepares the financial situation report according to the enterprise model at the time of determining the unit's value based on the following documents:

a) Detailed accounting books and Financial Situation Report of the unit according to Model B01/BCTC stipulated in the administrative and public institution accounting system, the report prepared at the time of determining the unit's value, audited and approved by the competent authority according to Decree No. 150/2020/NĐ-CP.

b) Results of determining the value of the public service unit according to the provisions of Decree No. 150/2020/NĐ-CP.

c) Relevant documents on revaluation of the unit's assets according to the provisions.

d) Guidelines on financial handling, determining the value of the public service unit, selling the first batch of shares, and managing and using revenue from converting the public service unit into a joint-stock company at the time of determining the unit's value according to Circular No. 111/2020/TT-BTC dated December 29, 2020 issued by the Minister of Finance.

đ) Conversion table of figures at the time of determining the value of the public service unit undergoing transformation according to Model BCĐ01/SNCL-CĐ, Appendix No. 01 "Conversion Table of Figures" attached to this Circular.

2. At the official time point of becoming a joint-stock company

The unit prepares the financial situation report according to the enterprise model at the first registration time point of the joint-stock company after the public service unit officially transforms into a joint-stock company, based on the following documents:

a) Financial situation report according to the enterprise model prepared at the time of determining the value of the public service unit as stipulated in Clause 1 of this Article.

b) Financial situation report of the public service unit according to Model B01/BCTC stipulated in the administrative and public institution accounting system, prepared at the time of transfer when officially transforming into a joint-stock company.

c) Financial handling figures at the official time point of transforming into a joint-stock company according to Article 19 of Decree No. 150/2020/NĐ-CP.

d) Guidelines on financial handling, determining the value of the public service unit, selling the first batch of shares, and managing and using revenue from converting the public service unit into a joint-stock company at the official time point of transforming into a joint-stock company according to Circular No. 111/2020/TT-BTC dated December 29, 2020 issued by the Minister of Finance.

đ) Conversion table of figures at the time of the public service unit officially transforming into a joint-stock company prepared according to Model BCĐ02/SNCL-CĐ, Appendix No. 01 "Conversion Table of Figures" attached to this Circular.

Article 10. Method and procedure for preparing reports

The unit responsible for preparing financial situation reports according to the enterprise model shall follow the steps below:

- Implement the accounting closing procedures as prescribed by the administrative and public institution accounting system.

- Prepare the financial situation report according to the B01/BCTC model as stipulated in the administrative and public institution accounting system.

- Analyze detailed figures based on accounting records, documents revaluing asset values for conversion, files on the valuation results of public service enterprises, and other related documents.

- Prepare a detailed data conversion table as prescribed in this Circular.

- Based on the data in the Detailed Data Conversion Table and the guidelines for preparing detailed indicators on the Financial Situation Report according to the enterprise model, compile the indicators according to the instructions in Appendix No. 02 "Financial Situation Report according to the Enterprise Model" attached to this Circular.

Article 11. Responsibilities of units in preparing reports

1. Public service enterprises undergoing conversion that are basic accounting units must prepare Financial Situation Reports according to the enterprise model at the time of determining the value of the public service enterprise and at the time of officially converting to a joint-stock company.

2. In cases where public service enterprises undergoing conversion are higher-level accounting units, they must aggregate data from all subordinate units to prepare Financial Situation Reports according to the enterprise model (aggregated) at the time of determining the value of the public service enterprise and at the time of officially converting to a joint-stock company.

The data on the Financial Situation Report according to the enterprise model of the higher-level accounting unit is aggregated data after excluding internal transactions within the scope of the reporting unit as prescribed.

Article 12. Reporting Forms

1. Financial situation reports according to the enterprise model must ensure complete information about the financial status of the unit at the time of preparing the report, presented according to the content and format of the enterprise's balance sheet.

2. The reporting form for the Financial Situation Report according to the enterprise model of public service enterprises undergoing conversion is specified in Appendix No. 02 "Financial Situation Report according to the Enterprise Model" attached to this Circular.

Article 13. Detailed Data Conversion Table

1. Objective

The Detailed Data Conversion Table is a document implementing the detailed data conversion according to the accounts of public service enterprises undergoing conversion to prepare Financial Situation Reports according to the enterprise model.

The Detailed Data Conversion Table at the time of officially converting to a joint-stock company also serves as a basis for handover and initial bookkeeping of the joint-stock company according to the enterprise accounting system.

2. Requirements

The Detailed Data Conversion Table is prepared at two points in time: the time of determining the value of the unit and the time of officially converting to a joint-stock company.

The Detailed Data Conversion Table must be prepared promptly, in accordance with the prescribed form, fully analyzing existing detailed contents, accurately reflecting the essence of business transactions occurring at the unit.

3. Basis for Determining Figures on the Detailed Data Conversion Table

- Detailed accounting books of the unit according to the administrative and public institution accounting system after completing the accounting closing. The figures on the accounting books must reflect all economic and financial transactions occurring at the unit, properly recorded and documented according to regulations, including financial handling during the conversion process.

- Documentation for revaluing assets serving the conversion process.

- Files on the results of valuing public service enterprises.

- Other related documents.

4. Principles for Determining Detailed Figures on the Detailed Data Conversion Table

a) Figures of converted indicators are taken based on the revalued value; in cases where detailed indicators do not have provisions for revaluation, they are taken based on the remaining balances on the unit's accounting books on the date of preparing the report, except where otherwise provided.

b) Some indicators require detailed classification

To prepare Financial Situation Reports according to the enterprise model, the unit must classify the balances of some accounts on the Detailed Data Conversion Table on the date of preparing the report, specifically as follows:

- Balances of financial investment items on the date of preparing the report: Based on detailed accounting books tracking financial investments, documentation revaluing the value of investments still outstanding on the date of preparing the report, the unit must classify according to appropriate criteria to establish financial investment indicators on the Financial Situation Report according to the enterprise model. Among them, short-term financial investments with a recovery period not exceeding three months from the date of investment can be easily converted into a certain amount of money without risk of conversion into money at the reporting date, are classified as cash equivalents.

- Balances of receivables from customers, prepayments to suppliers, and other receivables on the date of preparing the report: The unit must classify according to the remaining recovery period not exceeding twelve months to convert into corresponding short-term indicators and over twelve months to convert into corresponding long-term indicators.

- Inventory: Classify equipment, materials, and spare parts with an expected storage period of more than twelve months to establish long-term equipment, material, and spare parts indicators.

- Fixed assets: Based on the value of fixed assets at the time of preparing the report, the unit must reclassify fixed assets according to the standards and identification criteria applicable to enterprises, as follows:

+ Fixed assets meeting the conditions for recognition as fixed assets according to the regulations applicable to enterprises are converted into fixed assets.

+ Fixed assets not meeting the conditions for recognition as fixed assets according to the regulations applicable to enterprises, the unit should consider classifying them into short-term prepaid expenses or long-term prepaid expenses suitable for the actual situation at the reporting date.

- Balances of purchases of fixed assets in an unfinished state (recorded on Account 241 - unfinished construction projects): Re-classify accordingly, such that those assets meeting the conditions for recognizing fixed assets according to enterprises are transferred to the corresponding fixed asset purchase account, while the remaining unfinished assets are transferred to inventory.

- Remaining balance for accounts payable to suppliers, advance receipts from customers, other liabilities: The unit shall classify amounts with remaining payment terms not exceeding 12 months to convert them into corresponding short-term indicators, and those over 12 months to convert them into corresponding long-term indicators.

- Remaining balance of loan payable: After the unit reconciles and confirms all liabilities with organizations and individuals to ensure accuracy, it shall classify loan payable amounts with remaining repayment periods not exceeding 12 months to convert them into short-term borrowing indicators, and those over 12 months to convert them into long-term borrowing indicators at the reporting date.

- Advance payment balance: At the reporting date, the unit shall classify advance payments for goods and services expected to be received within 12 months to convert them into short-term advance payment expense indicators, and those over 12 months to convert them into long-term advance payment expense indicators at the reporting date.

5. The format and method for preparing the Conversion Table of Data as specified in Appendix No. 1 "Conversion Table of Data" attached hereto.

Section 3

ESTABLISHING ACCOUNT LEDGERS OF JOINT STOCK COMPANIES

Article 14. Establishing account ledgers of joint stock companies under the enterprise accounting system

1. Joint stock companies shall establish account ledgers for the first accounting period based on the handover documents between public service units undergoing conversion and the joint stock company, including:

a) Documents determining value and decision to announce the value of the public service unit being converted;

b) Financial statements of the public service unit at the time it officially becomes a joint stock company, which have been audited and approved by the competent authority;

c) Financial condition report according to the enterprise model of the public service unit and the conversion table of financial statement data at the time the unit officially becomes a joint stock company;

d) Decision determining the value of state capital at the time of becoming a joint stock company by the competent authority;

đ) Handover record of assets and capital established at the time of handover (including detailed list of receivables handed over for the joint stock company to continue to inherit and financial issues needing further resolution - if any);

2. Joint stock companies shall record the figures in Column 5 "Data handed over to the joint stock company" on the "Conversion Table of Data at the Time of Officially Becoming a Joint Stock Company" (model BCĐ02/SNCL-CĐ stipulated in Appendix No. 01 issued together with this Circular) and related documents into corresponding detailed account ledgers as prescribed by the current enterprise accounting regulations.

Chapter III

IMPLEMENTATION

Article 15. Implementation Provisions

1. This Circular takes effect from June 1, 2021.

2. In cases where the referenced documents in this Circular are amended, supplemented, or replaced, they shall be implemented according to the amended, supplemented, or replaced documents.

3. Public service units that become joint stock companies and fall under the application scope of transitional provisions as stipulated in Article 43 of Decree No. 150/2020/ND-CP of the Government regarding the conversion of public service units into joint stock companies involving the handling of data and preparation of financial condition reports according to the enterprise model shall implement this Circular.

Article 16. Responsibility for Implementation

1. Ministries, sectors, People's Committees of provinces and centrally-run cities, Hanoi National University, Ho Chi Minh City National University, public service units, and joint stock companies converted from public service units shall be responsible for implementing the provisions of this Circular.

2. The Director of the Department of Accounting Management and Auditing, the Head of the Ministry's Office, and the Heads of relevant units under the Ministry of Finance shall be responsible for disseminating, guiding, inspecting, and enforcing this Circular./

- Indicator column (Column A): Indicators for reporting the financial situation according to the business model template.

- Code column (Column B): Codes of the indicators for reporting the financial situation according to the business model template. These indicators have the same codes as those corresponding in the Balance Sheet (Form number B01-DN) issued together with Circular No. 200/2014/TT-BTC dated December 22, 2014 of the Ministry of Finance.

- Report number column (Column 1):

+ At the valuation date of the public service unit's conversion: The reported data is compiled from the indicators in Column 3 "Analysis Data" in the Valuation Date Data Conversion Table according to the BCĐ01/SNCL-CĐ form attached to this Circular.

3. Methods for preparing the indicators in the report

a) Short-term assets - Code 100

This indicator reflects the total value of cash, cash equivalents, and other short-term assets that can be converted into cash, sold, or used within not more than 12 months of the reporting unit at the reporting date, including: Cash, cash equivalents, short-term financial investments, short-term receivables, inventory, and other short-term assets.

Code 100 = Code 110 + Code 120 + Code 130 + Code 140 + Code 150.

- Cash and cash equivalents - Code 110

Article 100 reflects the total amount of cash and cash equivalents currently held by the entity at the reporting date, including cash on hand; demand deposits; funds in transit; and other cash equivalents of the entity.

Code 100 = Code 111 + Code 112.

+ Cash - Code 111

This indicator reflects the total amount of cash currently held by the entity at the reporting date, including cash on hand, demand deposits, and funds in transit.

./ For reports at the valuation date for public service units converting to enterprises: The figures recorded in this indicator are taken from the figures of Indicator Code 111 of the Data Conversion Table according to Model BCĐ01/SNCL-CĐ.

./ For reports at the formal conversion date to joint-stock companies: The figures recorded in this indicator are compiled from the figures of Indicators with Codes 111a, 111b, 111c of the Data Conversion Table according to Model BCĐ02/SNCL-CĐ.

+ Cash Equivalents - Code 112

This indicator reflects short-term investments with a maturity of no more than three months from the date of investment that can be easily converted into a known amount of cash without significant risk of loss in value at the reporting date.

The figures recorded in this indicator are taken from the figures of Indicator Code 112 of the Data Conversion Table.

- Short-term Financial Investments - Code 120

This indicator reflects the total value of short-term investments, including securities held for trading purposes; investments held to maturity and other short-term investments with remaining terms not exceeding twelve months from the reporting date.

Short-term investments reflected in this indicator do not include short-term investments already presented in the "Cash Equivalents" indicator.

Code 120 = Code 121 + Code 123.

This indicator reflects the value of securities and other financial instruments held for trading purposes at the reporting date.
