DECISION OF THE PRIME MINISTER
Regarding the transfer of Vietnam Cotton Company under Vietnam Textile - Garment Corporation
to become a State-owned Joint Stock Company with One Member.
PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the State Enterprise Law dated November 26, 2003;
Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001;
Considering the proposal of the Board of Directors of the Vietnam National Textile and Garment Corporation,
DECISION:
Article 1. Transfer Vietnam Cotton Company, an independent accounting affiliate of Vietnam Textile - Garment Corporation, into Vietnam Cotton State-owned Joint Stock Company with One Member.
Vietnam Cotton State-owned Joint Stock Company with One Member shall have its own seal, be entitled to open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Company's Articles of Association and the Enterprise Law.
- Full name: Vietnam Cotton State-owned Joint Stock Company with One Member.
- International trade name: Vietnam Conton one member of state responsibility limited company.
- Abbreviation in English: VCC Ltd.
- Registered capital: 38,434,385,462 Vietnamese dong (thirty-eight billion four hundred thirty-four million three hundred eighty-five thousand four hundred sixty-two Vietnamese dong).

The Board of Directors of Vietnam Cotton State-owned Joint Stock Company with One Member is responsible for drafting the Organizational and Operational Charter to submit for approval by the Board of Directors of Vietnam Textile - Garment Corporation; appointing the General Director, Deputy General Directors, and Chief Accountant of the Company in accordance with current laws.
Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
