DETAILING AND GUIDING CERTAIN PROVISIONS OF THE LAW ON SCIENCE, TECHNOLOGY, AND INNOVATION REGARDING INNOVATION; ENCOURAGING SCIENTIFIC, TECHNOLOGICAL, AND INNOVATIVE ACTIVITIES IN ENTERPRISES; RECOGNIZING INNOVATION CENTERS, SUPPORTING CREATIVE STARTUPS; RECOGNIZING INDIVIDUALS, ENTERPRISES ENGAGED IN CREATIVE STARTUPS; INFRASTRUCTURE, NETWORKS, AND ECO-SYSTEMS FOR CREATIVE STARTUPS

Pursuant to Law on Government Organization No. 63/2025/QH15;

Pursuant to Law on Science, Technology, and Innovation No. 93/2025/QH15;

Pursuant to the proposal of the Minister of Science and Technology;

The Government issues this Decree detailing and guiding certain provisions of the Law on Science, Technology, and Innovation regarding innovation; encouraging scientific, technological, and innovative activities in enterprises; recognizing innovation centers, supporting creative startups; recognizing individuals, enterprises engaged in creative startups; infrastructure, networks, and ecosystems for creative startups.

Chapter I

GENERAL PROVISIONS

Article 1. Scope of Regulation

This Decree details and guides the implementation of the contents related to innovation under Articles 16, Article 17, Article 34, Clause 1 of Article 35, Article 38, Article 39, Article 47, Article 57, Clause 6 of Article 59, Clause 2 of Article 64 of the Law on Science, Technology, and Innovation concerning tasks of innovation, innovation programs; innovative activities in enterprises; promoting and developing the innovation system; supporting enterprises in implementing innovative activities; promoting an innovation and startup culture; science and technology enterprises; recognizing innovation centers, supporting creative startups; recognizing individuals, groups of individuals, enterprises engaged in creative startups, investors, experts supporting innovation and startups; infrastructure, networks, and ecosystems for creative startups.

Article 2. Applicability

This Decree applies to state management agencies for science, technology, and innovation at central and local levels; enterprises, organizations, and individuals participating in innovation and startup activities; enterprises, organizations, and individuals related to these activities.

Article 3. Explanation of Terms

1. An innovation task is a form of organizing work to create new products, services, processes, business models, or significant improvements over existing products, services, processes, and business models.

2. An innovation task in the form of sponsorship is an innovation task proposed by enterprises or organizations that are reviewed and financially supported by ministries, central agencies, or local authorities for implementation by enterprises or organizations.

3. An innovation task in the form of a commission is an innovation task determined by authorized state agencies based on economic and social development needs, national defense, security, public interest, funded wholly or partially from the state budget and directly assigned to enterprises or organizations for implementation.

4. A grassroots innovation task is an innovation task proactively built and implemented by public science and technology organizations from funds allocated by authorized state agencies or self-managed funds in accordance with the law.

5. An interest subsidy support task is an innovation task where the National Technology Innovation Fund and science, technology, and innovation development funds of ministries, sectors, and localities use funds from the state budget to subsidize interest rates on loans taken by enterprises from legally operating credit institutions in Vietnam to implement projects or investment plans involving technology application, technology transfer, technology innovation, and innovation.

6. An innovation task through financial support vouchers (voucher) is an innovation task where the National Technology Innovation Fund and science, technology, and innovation development funds of ministries, sectors, and localities use funds from the state budget to promote innovative activities and commercialization of products by facilitating market access for enterprises and encouraging users to experience new products and services.

7. A creative startup project is a project forming and developing a creative business model based on technology, breakthrough ideas, or new business models, carried out by individuals, groups of individuals, or organizations, aimed at creating new value, solving market or socio-economic problems.

8. An innovation program is a collection of innovation tasks with common goals implemented in medium and long-term periods.

9. The managing agency for innovation tasks is a ministry, equivalent ministry, government agency, other central agency, provincial People's Committee, or agency, unit authorized by a ministry, equivalent ministry, government agency, other central agency, or provincial People's Committee to manage scientific, technological, and innovation activities.

Chapter II

INNOVATION TASKS, INNOVATION PROGRAMS

Section 1

INNOVATION TASKS

Article 4. Tasks, Programs of Science, Technology and Innovation

1. Scientific and technological tasks and innovation tasks include scientific and technological tasks and innovation tasks.

2. Programs of science, technology and innovation include scientific and technological programs and innovation programs.

3. Innovation tasks and innovation programs are defined in this Decree.

Article 5. Classification of State Budget-Funded Innovation Tasks

1. Based on the method of determination and formation, innovation tasks are classified as follows:

a) Innovation tasks under sponsorship form;

b) Innovation tasks under procurement form;

c) Innovation tasks at the foundation level.

2. Based on implementation forms, innovation tasks are classified as follows:

a) Innovation tasks within the framework of national science, technology, and innovation programs on technology innovation; creative startups; intellectual property development, productivity enhancement, product quality improvement;

b) Innovation tasks within the framework of science, technology, and innovation programs of ministries, ministerial-level agencies, government agencies, central-level agencies, and authorized authorities;

c) Innovation tasks not through programs to implement according to priority directions or specific requirements of innovation task management agencies.

3. Based on content, innovation tasks are classified as follows:

a) Technology innovation tasks;

b) Intellectual property development, productivity enhancement, and quality improvement tasks;

c) Creative startup support tasks;

d) Interest rate support loan tasks;

e) Financial support voucher (voucher) tasks.

Article 6. Principles for Managing Organizations Implementing State Budget-Funded Innovation Tasks

Innovation tasks are managed and organized for implementation based on the following principles:

1. Enterprises, organizations, and individuals implementing tasks are responsible for:

a) Organizing the implementation of tasks in accordance with approved objectives, contents, schedules, budgets, results, and task performance contracts;

b) Bearing legal responsibility for the accuracy and truthfulness of records, documents, and task implementation results;

c) Being accountable under the law and management agencies regarding budget usage, asset utilization, outcomes, effectiveness, and reporting systems of the task.

2. Innovation task management agencies are responsible for:

a) Issuing, guiding, organizing, and supervising tasks within their authority; ensuring transparency, fairness, and objectivity in task approval, inspection, supervision, and evaluation;

b) Supporting and creating favorable conditions for organizations and individuals to achieve task objectives, schedules, and contents;

c) Allocating funds for tasks according to sponsorship and support implementation contracts for innovation tasks.

Article 7. Development of Plans and Budget Estimates, Allocation of Funds for Implementation of Innovation Tasks and Support for Innovative Activities

The development of plans, budget estimates, and allocation of funds for the implementation of innovation tasks; financial support for technology application, technology transfer, technology innovation, innovation; support for activities developing the innovation system, the startup ecosystem, promoting innovation culture, and startups shall be carried out in accordance with the detailed regulations and guidance on certain provisions of the Law on Science, Technology, and Innovation concerning finance and investment in science, technology, and innovation.

Article 8. Criteria for selecting state budget-funded innovation tasks

1. State budget-funded innovation tasks must fully meet the following general criteria:

a) Feasibility regarding objectives, content, methods, organizational implementation plans, time frame, and total financial expenditure;

b) A complete, clear proposal document that specifically defines objectives, content, implementation plans, expected outputs, financial plans, and capital structure (including matching funds, if applicable);

c) Direct applicability and impact, generating economic efficiency or solving social issues, contributing to increased productivity, quality, competitiveness, environmental protection, and sustainable development;

d) Compliance with requirements stated in the notification of the competent state agency;

đ) Ensuring compliance with laws on intellectual property rights, technology transfer, technical standards, safety, environment, and related laws;

e) The proposing organization must have adequate material resources, human resources, financial resources, and feasible implementation plans;

g) Content must be consistent with one of the types of tasks specified in Clause 3, Article 5 of this Decree.

2. In addition to the general criteria stipulated in Clause 1 of this Article, depending on the type of task specified in Clause 3, Article 5 of this Decree, innovation tasks must also meet the criteria specified in one of the following points a, b, c, d:

a) Technology innovation tasks must ensure the creation of new products, services, processes, or business models, or significant improvements over existing ones; accompanied by specific technical and economic indicators and application capabilities; and must include one of the following activities:

Replacing part or all of the currently used technology with new, advanced, or high-tech technology to enhance efficiency, added value, socio-economic effectiveness, environmental protection, and ecological balance;

Mastering and localizing core or important technologies, reducing dependence on imported technology; having the potential for widespread adoption within industries or sectors;

Having a legal agreement or commitment for technology transfer; the recipient has a suitable plan to accept, master, and develop products based on transferred technology; in cases of transferring ownership or usage rights to technology, proof must be provided according to legal regulations.

b) For tasks aimed at developing intellectual property rights and enhancing productivity and quality, they must meet one of the following criteria:

Being urgent, aligning with program goals, content, and development directions and plans for the economy, society, science, technology, and innovation in industries, sectors, or regions;

Results and products must be applied to solve practical problems, be sustainable, and maintain or expand after the completion of the task;

Conducting a comprehensive evaluation of production lines, equipment, and processes; identifying bottlenecks, limitations, and improvement targets; proposing optimal solutions;

Developing and implementing plans to upgrade, innovate, and modernize equipment; applying automation, digital technology, and advanced management systems;

Implementing quality management systems and productivity improvement tools; measuring key performance indicators before and after intervention;

Implementing technical, managerial, and human resource development solutions to maximize technological capacity, reduce costs, conserve resources, improve product quality, and increase competitiveness;

Organizing training, upgrading skills for operation, maintenance, and continuous improvement for relevant teams;

The output of the task must be results from registration, protection, management, exploitation, valuation, development of intellectual property rights, training, and enhancing intellectual property capabilities, and improving enforcement and anti-infringement measures.

c) For tasks supporting innovative startups:

Measures to attract experts, investors, domestic and international large enterprises to promote the commercialization of products and services of innovative startups;

Measures to mobilize or optimize resources from the private sector, venture capital funds, startup investment funds, international organizations, and startup support organizations;

Measures to enhance capabilities and strengthen connections between subjects in the local, national, and international startup ecosystems;

Having a team of startup support experts or partners providing assistance in technology, intellectual property, legal, financial, management, marketing, and investment connection areas;

Measures to provide information, communication, and trade promotion support for innovative startups and science and technology enterprises.

d) For interest rate subsidy tasks:

Investment projects and plans must be approved by the competent authority; must be accepted by credit institutions operating in Vietnam for lending purposes;

Investment projects and plans must include the application of technology, technology transfer, technological innovation, and innovation in accordance with the detailed provisions and guidance on financial and investment matters in science, technology, and innovation under Article 6 of the Decree detailing and guiding the implementation of certain articles of the Law on Science, Technology, and Innovation;

Investment projects and plans must align with priority directions announced annually by the National Technology Innovation Fund, the science and technology development fund, and the innovation fund of ministries, sectors, and localities (hereinafter referred to as the Fund), and the ability to allocate financial resources for innovation task management agencies;

Priority technologies of investment projects and plans must be included in the list of encouraged technology transfers; the list of prioritized high-tech investments; and the strategic technology list as prescribed by law.

đ) For tasks supported through financial vouchers (voucher):

New products and services must meet technical standards and regulations, have circulation permits or conformity certificates to circulate in the market;

Products and services with new technological, functional, business model, or market elements; priority given to products and services created from technology listed in the Encouraged Technology Transfer Catalogue, high-tech, strategic technology; having potential for replication, commercialization, or market expansion.

Article 9. Conditions for Participation in Innovation Support and Task Ordering

1. Enterprises and organizations with legal personality that have functions, tasks, or business fields suitable to the specialized field of the task, possessing appropriate capacity to ensure timely and quality implementation of the task, have the right to register to participate in innovation support and task ordering.

2. Enterprises and organizations that do not meet the conditions to register for participation in support or to lead the implementation of tasks in the following cases:

a) By the deadline for submitting registration files, enterprises and organizations have not completed settlement or fully refunded the funds to be recovered for tasks using state budget funds according to decisions and notifications of competent authorities.

b) Enterprises and organizations that have been decided by competent authorities to suspend the implementation of scientific and technological tasks and innovation due to violations of laws shall not be allowed to register for participation in support or task ordering for a period of one year from the date the suspension decision ends.

c) Leading enterprises and organizations currently suspended from operations or under investigation.

Article 10. Announcement and Call for Proposals on Innovation Tasks

1. Announcement and Call for Proposals:

Periodically or urgently, the management agency for innovation tasks announces and calls for proposals on innovation tasks on the electronic portal, based on one or more of the following grounds:

a) Orders from political organizations, socio-political organizations, central and local state agencies, including urgent and emergent tasks aimed at addressing urgent and critical issues in practical development.

b) National or local government priorities or specific requirements to concretize economic and social development strategies and plans; industry and sector development strategies and plans; overall science, technology, and innovation development strategies and programs approved; annual funding priorities and sources of the Fund.

c) The ability to balance and allocate state budget and other financial resources in the planning year; if necessary, the management agency may announce the ceiling of state budget support for each group of tasks in the announcement.

2. Deadline and Address for Submission of Files:

a) Announcements calling for proposals clearly specify the deadline and address for receiving files on the Electronic Portal; if not ensured according to the plan, the announcement will be adjusted and re-posted on the Electronic Portal.

b) Proposing organizations submit one original file or certified copy through the Electronic Portal, via postal service, or directly to the management agency for innovation tasks. The receipt date of the file is recorded on the Electronic Portal or marked by the postal service stamp (in case of submission via postal service) or the arrival stamp of the management agency for innovation tasks (in case of direct submission).

c) The management agency for innovation tasks receives, processes, and stores files within the specified time frame in the call for proposals, ensuring transparency and openness.

3. Handling of Proposal Files:

a) Within ten days from the end of the file submission period, the management agency for innovation tasks checks the completeness and validity of the files and notifies in writing or on the Electronic Portal whether the files are valid or invalid.

b) In cases where the files are found to be invalid or not consistent with the guidelines, resources, conditions, or timelines, the management agency for innovation tasks will not continue to review the files.

Article 11. Documents for Registration to Implement Innovation Tasks

Enterprises and organizations registering to implement innovation tasks funded or commissioned under points a, b, and point c, Clause 3, Article 5 of this Decree must submit one set of documents as prescribed, including:

1. Application form for implementing the task according to Model I.1 of Appendix I issued together with this Decree.

2. Detailed description of the task corresponding to Models I.2, I.3, I.4, and I.5 of Appendix I issued together with this Decree.

3. Documentation proving the legal status of the proposing organization: Decision on establishment or Articles of Operation approved by the competent authority or equivalent documents.

4. Commitment letter of the proposing organization regarding accepting only one source of funding for the same content from the state budget for the same innovation task according to Model I.6 of Appendix I issued together with this Decree.

5. Investment project dossier already approved at the investment decision stage applicable to technology innovation tasks.

6. Other documents, files, and materials as required by the innovation task management agency.

Article 12. Examination and Approval of Innovation Tasks

1. Within thirty days from the date of confirming the validity of the documents, the innovation task management agency shall organize the examination and approval of the task. The organization of the examination and approval of innovation tasks shall be decided and implemented by the innovation task management agency in one of the following forms:

a) Self-examination;

b) Establishing an Examination Board;

c) Hiring a consulting organization to examine.

2. For the self-examination method prescribed in point a, Clause 1 of this Article, the innovation task management agency uses its own machinery, personnel, and resources to conduct the examination and approval of the task.

3. For the examination method prescribed in point b, Clause 1 of this Article, the innovation task management agency establishes an Innovation Task Examination Board (hereinafter referred to as the Examination Board) as follows:

a) The Examination Board is established by the innovation task management agency, consisting of seven to nine members, including the Chairperson, Vice-Chairperson, members, and secretary, selected based on the principle of ensuring independence and objectivity, representing state management agencies, industry experts, entrepreneurs, scientists, technology experts, financial experts with appropriate capabilities and expertise related to the task. In other cases, it is decided by the innovation task management agency;

b) Members of the Examination Board must meet the following requirements: Suitable in terms of capability, expertise, or relevant experience in the field of the project or investment plan being advised; no conflict of interest during participation in the activities of the Examination Board; not simultaneously being individuals or representatives of enterprises or organizations implementing or participating in the proposal of the task; not falling into any of the following situations: Currently being pursued for criminal responsibility or having been convicted but not yet pardoned or not yet completed the administrative penalty decision in the fields of science, technology, and innovation;

c) The Examination Board operates according to the principles: Ensuring transparency, fairness, democracy, and objectivity; The Examination Board convenes meetings when at least two-thirds (2/3) of the total number of members are present, including the Chairperson or the Vice-Chairperson authorized to chair the meeting; members of the Examination Board are not allowed to disclose information or use the content of the documents outside the scope of evaluation; they are responsible for keeping information confidential; opinions on evaluations discussed at the Examination Board meeting to reach collective conclusions;

d) The Examination Board conducts evaluations according to criteria stipulated in Clause 1 and one of the points a, b, or c, Clause 2, Article 8 of this Decree; simultaneously determining each content to be funded or supported, progress, time frame, expected outcomes, and payment documentation for each funded or supported content;

đ) The Examination Board works in one of the following methods: Directly, online, or a combination of direct and online;

e) Procedure for the Examination Board's work:

Documents serving the meeting are sent to Examination Board members via online or direct means at least three days before the meeting;

The Examination Board discusses and agrees on each content of the innovation task, voting by ballot for each content. If the content of the innovation task receives two-thirds (2/3) or more "Pass" votes, that content is agreed upon for funding or support;

The secretary of the Examination Board compiles and publicly announces the voting results of the Board at the meeting, prepares the Minutes of the Meeting recording the voting results, opinions of each member, and conclusions about each funded or supported content, time frame, progress, expected outcomes, funding or support levels, and payment documentation for each funded or supported content;

In necessary cases, the innovation task management agency may establish another Examination Board or seek independent expert advice before making a decision.

g) Model of Decision on Establishment of the Examination Board, Evaluation Form, and Meeting Minutes according to Models I.7, I.8, I.9, I.10, I.11, and I.12 of Appendix I issued together with this Decree.

4. For the examination method prescribed in point c, Clause 1 of this Article, the innovation task management agency hires a consulting organization to examine the innovation task as follows:

a) The consulting organization for examination must have legal personality, capability, expertise, and experience in organizing and conducting evaluation and advisory activities on innovation content;

b) The advisory evaluation of innovation content is carried out according to a contract between the innovation task management agency and the evaluation consulting organization;

c) Responsibilities of the advisory organization for review: Must ensure transparency, fairness, democracy, objectivity; comply with scientific integrity and professional ethics throughout the entire evaluation process; shall not disclose information or use content outside the scope of the evaluation; bear responsibility for confidentiality according to regulations; be liable under the law and competent authorities regarding the quality of expertise and evaluation results; when violations occur, must compensate all costs including remediation costs and bear sanctions stipulated in the contract and legal provisions.

d) The advisory organization for review shall submit a recommendation letter to the management agency for innovation tasks regarding the content to be funded, supported timeframes, progress, and output results, funding and support levels, and payment documentation for each funded and supported content, clearly stating the reasons.

đ) The advisory organization shall respond in writing to the requests of the management agency for innovation tasks.

5. Completing the dossier:

Within a maximum of three working days from the date of the minutes of the Review Board meeting and the recommendation letter of the advisory organization for review, the management agency for innovation tasks shall notify the proposing organization of the results to complete the dossier and submit it to the management agency for innovation tasks within fifteen days from the notification receipt date. Beyond the required deadline, the management agency for innovation tasks will terminate the consideration of the task.

In case the proposal dossier is not approved, the management agency for innovation tasks shall notify the proposing organization of the results.

Article 13. Financial Audit of Innovation Tasks

Based on the results of reviewing innovation tasks as stipulated in Article 12 of this Decree, within ten days, the management agency for innovation tasks shall organize a financial audit of innovation tasks according to the following contents:

1. Checking the completion of the dossier by the leading organization based on the review results.

2. Evaluating the appropriateness of the budget estimate compared to the funded and supported contents according to the review results. If necessary, the management agency for innovation tasks may hire a unit to audit the financial task according to regulations.

3. Reviewing the support content and determining the ratio or level of support for each funded content.

4. Considering the appropriateness of the capital mobilization plan proposed by the organization to implement the task.

Article 14. Approval of Innovation Tasks

1. Within ten days from the date of the financial audit results of innovation tasks as stipulated in Articles 12 and 13 of this Decree, the head of the management agency for innovation tasks shall examine and approve the task according to Model I.13 of Appendix I issued together with this Decree. The approval decision includes the following contents: Task name; expected results of each component; implementation period; budget; leading organization and other contents as prescribed by the management agency for innovation tasks.

In cases where the head of the management agency for innovation tasks is not the head of a public science and technology organization, they shall not approve basic innovation tasks.

2. Information on the approval of tasks shall be publicly announced on the electronic portal, including: Task name; leading organization; implementation period and other contents as prescribed by the management agency for innovation tasks.

3. Revocation of the approval result of innovation tasks

The management agency for innovation tasks shall revoke the approval decision for tasks in the following cases: The registered organization engages in fraudulent, deceptive behavior or makes dishonest declarations or commitments in the registration dossier or during the inspection and evaluation process, where violations are discovered by the management agency for innovation tasks.

4. In cases deemed necessary and appropriate to the conditions and capabilities of the management agency for innovation tasks, the management agency for innovation tasks may conduct a survey of the material and technical facilities of the leading organization before considering the approval of the task.

Article 15. Signing of sponsorship, support contracts and funding for implementing innovation tasks

1. Within ten days from the date of the decision approving the task, the management agency of the innovation task shall sign a sponsorship and support contract with the leading organization to implement the task in the form of a paper contract or an electronic contract in accordance with the provisions of the Civil Code and the Law on Electronic Transactions under Model I.14 of Appendix I issued together with this Decree.

2. The sponsorship contract between the management agency of the innovation task and the leading organization includes the following contents:

a) Information of the parties signing the contract;

b) Time limit for implementing the task, not exceeding sixty months at maximum;

c) Content, progress and output results of each component of the task;

d) Funding for implementing the task;

đ) Conditions, procedures and responsibilities of the parties in adjusting the contract (if any);

e) Disbursement and payment methods, corresponding settlement files for each sponsored and supported content;

g) Rights and obligations of the parties;

h) Legal liabilities for breach of contract and sanctions;

i) Inspection and evaluation;

k) Responsibility for providing data and reports for management as required by the management agency of the innovation task;

l) Other agreements (if any);

m) Implementation clauses.

3. Funding allocation

a) Funding allocation from the state budget for the innovation task shall be carried out when the leading organization has provided complete and valid documents in accordance with the contract;

b) Based on the sponsorship and support contract, the management agency of the innovation task shall allocate funds in accordance with current regulations on financial management and the state budget.

Article 16. Inspection and Evaluation of Innovation Tasks

1. Inspection and evaluation shall be conducted in one of the following cases:

a) At the request of the management agency of the innovation task or the competent authority;

b) When there are signs of violation of regulations on expertise, content, finance, information, data, or failure to meet the objectives and indicators of the task, or when there are complaints, appeals, accusations, or requests from auditing, financial inspection agencies;

c) Changes in the content, scope of the task, leading organization, resources, implementation plan;

d) Force majeure events that may significantly affect the outcome, effectiveness, or safety.

The evaluation results serve as the basis for the management agency of the innovation task to consider funding allocation for each sponsored content or terminate the contract.

2. The agency or unit managing the innovation task decides whether to organize inspections and evaluations internally or to hire consulting organizations to conduct them.

Article 17. Amendment and Termination of Sponsorship Contracts for Implementing Innovation Tasks

1. Amending the sponsorship contract

a) Contents to be reviewed for amendment include: Implementation period, implementation content, information about the leading organization of the task (without changing the objectives and without increasing the total state budget support already approved);

b) Procedures for amending the contract:

The leading organization submits a proposal for adjustment along with relevant documents to the management agency of the innovation task;

The management agency of the innovation task reviews the documents. If necessary, it may consult experts or seek written opinions from related parties;

Within fifteen days from the date of receiving the expert's opinion and related parties' (if any) opinions, the management agency of the innovation task decides to approve the amended content and notify the leading organization to proceed with signing an annex to adjust the contract or reject the approval.

2. Terminating the contract during the implementation of the task

a) The sponsorship contract for implementing the task shall be terminated according to current laws and the terms agreed upon by the parties in the contract;

b) Documents requesting termination of the contract include:

A letter from the leading organization requesting termination of the contract or a notice from the management agency of the innovation task to temporarily suspend the implementation of the task;

A comprehensive report on the implementation results of the task according to Model I.15 of Appendix I issued together with this Decree, detailing completed, ongoing, and unimplemented contents and products, as well as the situation regarding fund usage and settlement;

Other documents (if any).

c) Procedures for terminating the implementation of the task

The management agency of the innovation task reviews the documents, and if necessary, may consult experts or convene an advisory board to determine the extent of completion of the task's components and products, as well as the subjective or objective reasons;

Within fifteen days from the date of receiving the opinions of related parties (if any), the management agency of the innovation task decides to terminate the implementation of the task, handle the funds, and proceed with contract termination procedures.

Article 18. Settlement of funding and liquidation of sponsorship contracts for implementing innovation tasks

1. The settlement of funding shall be carried out for each item of the contract, not a comprehensive settlement of the entire contract.

2. The settlement record for each item of the contract shall be signed at the time when the management agency for innovation tasks provides funding to the leading organization.

3. The liquidation of the contract for implementing the task shall be carried out after the final settlement of the sponsored content or upon termination of the contract as stipulated in Clause 2, Article 17 of this Decree.

Article 19. Building proposals for ordering innovation tasks

1. Determining the direction of ordering

Based on the directives of the Party and State leadership, national economic and social development strategies and plans, sectoral and local plans, innovation programs, important and urgent issues newly arising in reality such as timely addressing the consequences caused by natural disasters, catastrophes, epidemics, fires, unexpected accidents, incidents, or other force majeure events; preventing and combating natural disasters, catastrophes, epidemics; protecting people's lives; safeguarding the interests of the State or community interests and other social issues, ministries, agencies at the level of ministries, government agencies, and central-level agencies, provincial People's Committees shall determine the direction of ordering and announce calls for proposals.

2. Determining the list of ordered innovation tasks

Based on the results of receiving proposals for ordering under Clause 1 of this Article, the management agency for innovation tasks shall establish a Council to determine the list of ordered innovation tasks.

3. Composition of the Council

a) Members of the Council are representatives of state management agencies, businesses, and experts with capabilities and expertise suitable for the requirements of the issue to be ordered;

b) The Council shall have from seven to nine members, including Chairpersons, Vice-Chairpersons, members, and a secretary. In other cases, the number of Council members shall be decided by the management agency for innovation tasks.

4. Working methods of the Council

a) The Council works according to one of the following methods: Direct meetings; online meetings; combined direct and online meetings;

b) A Council meeting must have at least two-thirds (2/3) of the total number of members present, including the Chairman or a Deputy Chairman authorized to chair the session;

c) Council members are responsible for studying materials provided by the management agency for innovation tasks and preparing comments and evaluations on the issue to be ordered;

d) The Council operates based on the principle of democratic centralism, adhering to professional ethics, independence, honesty, objectivity, and ensuring scientific integrity. The Council discusses, reaches consensus, and concludes. The Council's concluding opinion is adopted and recorded in minutes when more than two-thirds (2/3) of the total number of participants agree.

5. Materials for Council meetings

Materials for meetings are sent to Council members at least five working days before the meeting, including:

a) Decision on establishing the Council according to Model I.7 of Appendix I issued together with this Decree;

b) Forms and appendices serving comments and evaluations consistent with the direction of ordering;

c) Other relevant materials (if any).

6. Procedures and processes for the Council's work

a) The secretary announces the decision to establish the Council;

b) A representative of the management agency for innovation tasks summarizes the requirements for the Council;

c) The Chairman of the Council chairs the meeting;

d) The Council appoints one member as a Secretary to record discussion opinions and draft meeting minutes;

đ) The Council discusses, reaches consensus on the proposed list of innovation tasks to be ordered. The Council's conclusion is adopted when more than two-thirds (2/3) of the total number of participants agree;

e) The secretary compiles the meeting results, drafts the minutes, and approves them during the meeting.

7. Approval of the list of ordered innovation tasks

Based on the Council's work results, ministries, agencies at the level of ministries, government agencies, and central-level agencies, provincial People's Committees shall approve the list of ordered innovation tasks according to Model I.16 of Appendix I issued together with this Decree to place orders for implementation and publicly announce the ordered tasks on the management agency for innovation tasks' electronic portal and the National Digital Platform for Science, Technology, and Innovation Management for organizations and individuals with sufficient capacity to register for implementation.

8. Funding for organizing the Council comes from the regular budget allocated for science, technology, and innovation activities managed and used by the management agency for innovation tasks.

9. Announcements, reviews, and direct assignments for implementing ordered innovation tasks shall be carried out in accordance with Articles 10, 11, 12, 13, 14, 15, 16, 17, and Article 18 of this Decree.

Section 2

SUPPORT FOR INTEREST RATE LOANS TASKS

Article 20. Tasks to support interest rates on loans for applying technology, transferring technology, innovating technology, and innovation

1. The task of supporting interest rates on loans for applying technology, transferring technology, innovating technology, and innovation shall be implemented through the Fund.

2. Conditions for implementation

a) Enterprises with legal status, having functions, tasks, or business fields consistent with the project's or investment plan's sector, possessing sufficient capacity to implement and ensuring progress and quality of execution;

b) Having a loan agreement signed between a credit institution permitted to operate in Vietnam and the enterprise, accompanied by the project proposal and investment plan approved for lending by the credit institution; the purpose of using borrowed funds to implement the project or investment plan within the scope of support; commitment to use funds for their intended purpose;

c) Fulfilling all reporting obligations, providing payment documentation, and complying with the inspection and supervision of the Fund.

3. The content of supporting interest rates on loans shall be carried out in accordance with the provisions of the Decree detailing and guiding the implementation of certain articles of the Law on Science, Technology, and Innovation regarding finance and investment in science, technology, and innovation.

4. The provisions of Articles 9, 10, 11, 12, 13, 14, 15, 16, and 17 of this Decree shall not apply to the task of supporting interest rates on loans.

Article 21. Duration and Level of Support

1. The duration of support for interest rates on loans for implementing projects or investment plans shall be calculated from the time the Fund decides to approve the support for interest rates on loans until the enterprise completes its obligation to repay the credit institution, but not exceeding five years and must have at least twelve months remaining on the loan term at the time of completing the repayment obligation to the credit institution.

2. Level of support for interest rates on loans

The level of support for interest rates on loans for projects or investment plans is determined at fifty percent of the loan interest rate according to the loan agreement signed between the credit institution and the enterprise, but not exceeding six percent per year. In necessary cases, the Fund will consider and decide to adjust the level of support for interest rates on loans and report to the competent state management agency.

Article 22. Implementation Procedures

1. The Fund selects reputable credit institutions with adequate capacity and conditions suitable for the requirements of the Fund to sign agreements to implement the task of supporting interest rates on loans, including the following main contents:

a) Cooperate with the Fund in promoting and disseminating policies to support interest rates on loans for enterprises implementing projects involving the application, transfer, innovation of technology, and innovation;

b) Implement disbursement, monitor, and control the use of borrowed funds by enterprises in accordance with the laws on credit; promptly inform the Fund about the misuse of borrowed funds and cooperate with the Fund to handle it in accordance with this Decree;

c) Open a dedicated account of the Fund at the credit institution to receive financial support for interest rates from the Fund.

2. Annually, in accordance with the requirements and plans of the Fund, the Fund publicly announces on its electronic portal the content of support, priority orientation, level of support, conditions for support, and criteria for support.

3. Receiving applications for support for interest rates on loans

Enterprises and organizations submit applications for support for interest rates on loans including:

a) A request for support for interest rates on loans according to Model No. II.1 Appendix II issued together with this Decree;

b) An explanation of the content of the request for support for interest rates on loans according to Model No. II.2 Appendix II issued together with this Decree, which must provide complete information to clearly identify the contents of applying technology, transferring technology, innovating technology, and innovation in the project or investment plan;

c) A loan agreement signed between the credit institution and the enterprise, accompanied by the project proposal and investment plan approved for lending by the credit institution;

d) A written commitment to provide information and implement the project or investment plan according to Model No. II.3 Appendix II issued together with this Decree.

4. Within ten days from the end of the submission period, the Fund checks the completeness and validity of the applications and notifies in writing or on the electronic portal whether the applications are valid or invalid. If necessary, the Fund conducts on-site surveys to verify the information in the applications for consideration and decision-making.

5. Reviewing applications for support for interest rates on loans

a) The review of applications for support for interest rates on loans is conducted in one of the following forms:

The Fund organizes the review itself;

Establishes a Review Board;

Engages consulting experts;

Engages consulting organizations for evaluation.

b) For the form of self-organized review by the Fund as stipulated in point a of Clause 5 of this Article, the Fund uses its own machinery, human resources, and resources to conduct the review of applications for support for interest rates on loans;

c) For the form of establishing a Review Board as stipulated in point a of Clause 5 of this Article, the organization and operation of the Review Board are as follows:

The Fund establishes a Review Board consisting of seven to nine members, including the Chairman, Vice-Chairman, members, and secretary, selected based on the principle of ensuring independence and objectivity;

Members of the Board are chosen by the Fund to meet the following requirements: Suitable in terms of capacity, expertise, or relevant experience in the field of the project or investment plan being advised; no conflict of interest during participation in the activities of the Board; not simultaneously individuals, representatives of organizations, or organizations participating in the proposal; not among the following situations: Currently under criminal investigation or previously convicted without having had the criminal record expunged or completed the administrative penalty decision in the field of science and technology;

Principles of the Council's operation: The Council shall convene only when at least two-thirds (2/3) of its total members are present, including the Chair or Vice-Chair of the Council; opinions and evaluations discussed at the Council meeting shall lead to a collective conclusion; Council members must ensure transparency, fairness, democracy, objectivity, adherence to scientific integrity and professional ethics throughout the entire evaluation process, refrain from disclosing information or using content outside the scope of the evaluation, and bear responsibility under the law and competent authorities for the quality of expertise and evaluation results.

The Council conducts evaluations based on the criteria set forth in Clause 1 and Point d, Clause 2, Article 8 of this Decree.

The Council may convene through one of the following methods: face-to-face meetings, online meetings, or a combination of both.

The Council reviews and exchanges views, unifies each content proposal for interest rate support, votes by ballot for each content. If the content receives two-thirds (2/3) or more "Pass" votes, then that content is agreed upon for interest rate support.

The Council Secretary compiles and publicly announces the voting results of the Council during the meeting, records the Minutes of the Meeting detailing the supported interest rate support contents, total loan amount eligible for interest rate support, level of interest rate support, duration of interest rate support, and other required contents by the Fund. The Minutes of the Meeting clearly record each member's opinion and the overall conclusion regarding agreement or disagreement with interest rate support, accompanied by reasons.

The Decision to establish the Council according to Model I.7 of Appendix I issued together with this Decree; evaluation forms and meeting minutes correspond to Models II.4 and II.5 of Appendix II issued together with this Decree.

d) For the form of review involving hiring independent consultants as stipulated in Point a, Clause 5 of this Article:

The Fund hires independent experts to evaluate and advise on loan interest rate support applications according to the criteria set forth in Clause 1 and Point d, Clause 2, Article 8 of this Decree; the independent expert's evaluation form corresponds to Model II.4 of Appendix II issued together with this Decree.

Independent experts must meet the conditions for Council members as stipulated in Point c, Clause 5 of this Article.

The evaluation by independent experts must ensure transparency, fairness, democracy, objectivity; adherence to scientific integrity and professional ethics throughout the entire evaluation process; no disclosure of information or use of content outside the scope of the evaluation; and bear responsibility under the law and competent authorities for the quality of expertise and evaluation results.

Independent experts conclude on the supported interest rate support contents, total loan amount eligible for interest rate support, level of interest rate support, duration of interest rate support, and other required contents by the Fund, propose agreement or disagreement with interest rate support, accompanied by reasons.

đ) For the form of review involving hiring organizations for consulting and evaluation as stipulated in Point a, Clause 5 of this Article:

Consulting and evaluation organizations must have legal personality, capability, expertise, and experience in organizing and conducting evaluation activities related to innovation content.

Consulting and evaluating innovative content is carried out according to agreements by contracts between the Fund and consulting and evaluation organizations.

Responsibilities of consulting and evaluation organizations: Must ensure transparency, fairness, democracy, objectivity; adherence to scientific integrity and professional ethics throughout the entire evaluation process; no disclosure of information or use of content outside the scope of the evaluation; and bear responsibility under the law and competent authorities for the quality of expertise and evaluation results.

Consulting and evaluation organizations conclude on the supported interest rate support contents, total loan amount eligible for interest rate support, level of interest rate support, duration of interest rate support, and other required contents by the Fund, propose agreement or disagreement with interest rate support, accompanied by reasons.

The consulting and evaluation organization's report on reviewing loan interest rate support applications follows Model II.6 of Appendix II issued together with this Decree.

e) The maximum review period is 30 days from the date the Fund receives and checks the completeness and validity of the loan interest rate support application.

6. Approving interest rate support and publicly announcing the results.

a) Within ten days, based on the evaluation results at Clause 5 of this Article and reviewing the loan interest rate support application, the Fund decides to approve interest rate support according to Model II.7 of Appendix II issued together with this Decree.

b) The results of the decision on interest rate support are publicly announced on the Fund's electronic portal.

7. Signing interest rate support contracts with credit institutions and enterprises.

a) Within three days from the date of the approval decision, the Fund signs interest rate support contracts with credit institutions and enterprises. Contracts are signed in paper form or electronic form in accordance with the Civil Code and Law on Electronic Transactions according to Model II.8 of Appendix II issued together with this Decree.

b) Documents for signing interest rate support contracts include:

Approval decision on interest rate support and accompanying documents.

Draft Contract agreed upon by all parties.

c) The interest rate support contract between the Fund, credit institution, and enterprise includes the following contents:

Information of the contracting parties including the Fund, credit institution, and enterprise.

Content of support, results of the support, loan amount eligible for support.

Level of interest rate support.

Duration of support implementation.

Disbursement and payment methods.

Rights and obligations of the parties.

Adjusting the contract;

Terminating the contract;

Supervision and handling of violations;

General commitments;

Implementation clause.

8. The Fund for implementing disbursement to support interest rates:

a) The Fund directly pays the interest rate support amount into the dedicated account at the credit institution according to the repayment period agreed between the credit institution and the enterprise, based on the bank's debt collection notice, after the enterprise has fulfilled its obligation to repay the credit institution;

b) The disbursement file includes: Interest rate support loan contract, credit agreement, promissory note, bank debt collection notice, evidence that the enterprise has fulfilled its obligation to repay the credit institution, related documents, and other materials required by the Fund.

9. Monitoring the implementation of the project and investment plan

a) Interest rate support loan monitoring is carried out according to the commitment among the parties in the interest rate support loan contract to ensure that the interest rate support is used for the intended purpose;

b) Monitoring is conducted regularly, mid-term, or unexpectedly;

c) Forms of monitoring include:

For regular monitoring, the Fund monitors through the enterprise's fulfillment of its debt repayment obligations to the credit institution;

For mid-term or unexpected monitoring, the Fund leads and coordinates with the credit institution to monitor at the project implementation site;

The Fund conducts monitoring itself or hires an organization to conduct monitoring.

d) The content of monitoring includes:

The enterprise receiving interest rate support loan fulfilling commitments under the interest rate support loan contract;

Other monitoring contents appropriate to the rights and obligations of the Fund, credit institution, and the enterprise receiving interest rate support loan.

đ) In case the enterprise misuses the loan funds for purposes other than those intended, the Fund has the right to unilaterally terminate the interest rate support loan contract.

10. Evaluating the effectiveness of interest rate support and updating it into the Fund's tracking system:

a) Enterprises receiving interest rate support loans are responsible for providing reports and information about the results of project implementation and investment plans within a minimum period of three years from the date of liquidation of the interest rate support contract according to Model No. II.9 Appendix II issued together with this Decree;

b) The Fund is responsible for urging and compiling information about the results and effectiveness of projects and investment plans supported by interest rate support. 

Section 3

TASKS OF SUPPORT THROUGH FINANCIAL VOUCHERS

Article 23. Tasks of support through financial vouchers (voucher)

1. Developing plans and preparing budgets, allocating funds for implementation

a) Annually, based on objectives and operational guidelines, the Fund estimates the number and budget for voucher support programs and aggregates them into the total budget for funding, supporting, and ordering innovation tasks of the Fund as stipulated in Article 7 of this Decree;

b) Periodically or unexpectedly, the Fund conducts surveys of needs and prioritizes areas based on the annual national economic and social development plan to compile materials for the council as specified in point c of this clause;

c) Based on the annual allocated budget, the Fund establishes a council to determine the list of voucher support programs and allocate funds for each voucher support program;

d) Composition, working methods, and materials for council meetings are carried out according to clauses 3, 4, and 5 of Article 19 of this Decree;

đ) Procedures and formalities for council meetings

The secretary announces the decision to establish the council;

A representative of the Fund summarizes the requirements for the council;

The chairman of the council chairs the meeting;

The council elects one member to serve as the secretary to record discussions and draft the minutes of the meeting;

The council discusses, agrees, and concludes on the following main points: Number of programs; name, objectives, fields, new product and service directions, estimated budget for each program; and other requirements of the Fund. The council's conclusions are recorded in the Minutes according to Model III.1 in Appendix III issued together with this Decree and approved at the meeting.

e) Based on the council's conclusions, the Fund approves the list of voucher support programs and organizes their implementation.

2. Objectives and principles of support

After completing this module, the trainee will be able to:

The Fund provides financial vouchers (voucher) to promote innovative activities and commercialization of products through facilitating enterprises' access to markets and encouraging users to experience new products and services.

b) Principles of support include:

Financial vouchers (voucher) issuance is carried out through voucher support programs;

Each provider of new products and services is supported for no more than three types of new products and services in one fiscal year;

Voucher support programs must clearly define priority support directions for new products and services; criteria for selecting new products and services; providers of new products and services; scope and duration of implementation; level of support; payment regulations, program outcome requirements, total expected budget, and other requirements of the Fund;

Provisions in Articles 9, 10, 11, 13, 14, 15, 16, and Article 17 of this Decree do not apply to tasks supported through financial vouchers.

3. Conditions for new products and services

a) They have been produced, meet technical standards and regulations, have circulation permits, and comply fully with legal provisions to be circulated in the market;

b) They have new technological elements, features; business models or application markets;

c) They have a viable commercial plan or business plan demonstrating market demand;

d) Priority is given to products and services created from encouraged technology transfer technologies, high-tech technologies, strategic technologies; products and services with potential for widespread application or expansion to international markets.

4. Providers of new products and services (Providers)

a) Innovative start-up enterprises, science and technology enterprises, high-tech enterprises, strategic technology enterprises, and other organizations and enterprises meeting the criteria of the voucher support program;

b) The subject providing guarantees and shall be legally responsible for the legality, intellectual property rights, standards, technical regulations, safety, environment, consumer benefits, and the accuracy of data, documents, and certificates; in case of violation or false declaration, they must refund all supported funds and be handled according to the provisions.

5. Forms of issuance, level, and duration of financial support vouchers (voucher).

a) Financial support vouchers (voucher) must be issued by the Fund on the electronic portal or digital platform. The Fund reports and provides information about voucher programs to the National Science and Technology Innovation Fund as required by the National Science and Technology Innovation Fund for consolidation and to serve state management work.

b) Financial support vouchers (voucher) can only be used to reduce the selling price of new products and services as stipulated in the program and cannot be used for other products and services.

c) The basis for determining the price of new products and services to apply in the voucher support program is the selling price publicly announced and listed by the subject providing new products and services closest to the time of submitting the application. The subject providing new products and services must submit information and documents regarding the public announcement and listing of the selling price in the application for support and bear legal responsibility for the provided information; the Fund will consider and decide on the applicable price of new products and services in the voucher program but not higher than the published price. The subject providing has the responsibility to publicly announce and apply the approved selling price of new products and services until the end of the voucher support program.

d) Financial support vouchers (voucher) are only valid for use within a maximum period of 12 months from the date of issuance. When issuing financial support vouchers (voucher), the Fund must announce the usage period; once the period expires, the voucher will no longer be valid for use.

đ) Financial support vouchers (voucher) must include the following main information: Name of the program; name and selling price of new products and services approved by the Fund; value of the financial support voucher (voucher); usage period and other information as required by the Fund.

Article 24. Building and implementing the voucher support program

1. Building the framework of the voucher support program

a) Based on the approved list of voucher support programs, the Fund establishes a Council to determine the framework of each voucher support program;

b) Composition, working methods, and materials for Council meetings are carried out according to Clause 3, Clause 4, and Clause 5 of Article 19 of this Decree;

c) Procedures and formalities for Council operations

The secretary announces the decision to establish the council;

A representative of the Fund summarizes the requirements for the council;

The chairman of the council chairs the meeting;

The council elects one member to serve as the secretary to record discussions and draft the minutes of the meeting;

Based on the provisions of Article 23 of this Decree, the Council discusses, agrees, and concludes the content of the program framework including: List of new products and services expected to be supported; conditions for selecting new products and services; conditions for selecting providers; scope and time frame for announcing the receipt of applications for review; scope and time frame for implementing the program and program requirements; payment regulations and other requirements of the Fund. The Council's conclusion is recorded in a minutes document according to Model III.2 of Appendix III attached to this Decree and approved at the meeting.

d) Approving the program framework for voucher support

Based on the results of the Council's work, the Fund approves the program framework for voucher support and publicly announces it on the Fund's electronic portal or digital platform as stipulated in Point a, Clause 5 of Article 23 of this Decree for organizations and individuals with sufficient capacity to register to participate. The content of the approval of the program framework for voucher support is according to Model III.3 of Appendix III attached to this Decree.

2. Procedures for reviewing the subjects providing new products and services

a) Subjects providing new products and services submit an application to join the voucher support program, including:

An application to join the voucher support program according to Model III.4 in Appendix III attached to this Decree;

Legal documents of the provider;

Technical information and warranty conditions of new products and services;

The latest selling price of new products and services before the submission deadline; information and documents proving the public announcement and listing of the selling price;

Documents proving that new products and services meet the conditions and are permitted to circulate on the market according to the law;

Other documents as required by the voucher support program framework.

b) Within 10 days from the end of the application submission period as stipulated in the approved voucher support program framework, the Fund receives, checks the completeness and validity; organizes on-site inspections (online or in-person) when necessary; compiles complete applications.

In case the application does not contain all the contents as stipulated in Point a, Clause 2 of this Article, the Fund will not continue to review the application and notify the result to the proposing organization.

c) Evaluation and review of providers and new products and services:

The Fund establishes a Review Council according to Points a, b, c, đ, and e of Clause 3 of Article 12 of this Decree to evaluate providers and new products and services. The decision to establish the Council is recorded according to Model I.7 of Appendix I attached to this Decree;

The content of the Council's evaluation includes: Meeting the conditions stipulated in Clauses 3 and 4 of Article 23 of this Decree; evaluating compliance with the content of the approved voucher support program framework as stipulated in Point d, Clause 1 of this Article and other requirements of the Fund in the approved program;

The evaluation results are reflected in the Council's meeting minutes, which conclude: List of names, technical information, warranty conditions of new products and services proposed to be selected to join the voucher support program; list of providers corresponding to the selected new products and services; recommendation of total program support funding, voucher value, and duration in the program and other contents as required by the Fund. The application evaluation form for joining the voucher support program and the Council's meeting minutes correspond to Models III.5 and III.6 of Appendix III attached to this Decree;

The maximum review period is 30 days from the date the Fund receives and checks the completeness and validity of the application dossier for participation in the support voucher program.

3. Approving the support voucher program

a) Within 10 days, based on the Minutes of the Review Board meetings at point c, Clause 2, Article this and negotiations with new product and service providers, the Fund decides to approve the support voucher programs, the main contents of each program including:

List of selected new products and services to participate in the program; criteria and conditions of new products and services; technical information, warranty and maintenance conditions of new products and services;

Name of new product and service providers;

Budget allocated for the program;

Value and validity period of vouchers;

Implementation and management methods of vouchers;

Payment and settlement methods with new product and service providers;

Regulations on evaluating the end of the program according to the contents and objectives of the approved program.

The Fund decides to approve the support voucher program according to Model No. III.7 Appendix III issued together with this Decree and publicly announces it on the Fund's electronic portal.

b) Based on actual implementation and the needs of all parties, the Fund has the right to adjust the support voucher program and the contracts signed with new product and service providers.

4. Signing contracts with new product and service providers

Based on the Decision approving the support voucher program, within 10 days from the date of the approval decision, the Fund implements signing the Voucher Deployment Contracts with new product and service providers according to Model No. III.8 Appendix III issued together with this Decree. Depending on actual factors and conditions, the Fund may supplement other contents in the contract but not contrary to the law.

The Fund may sign contracts with individual new product and service providers or sign contracts with multiple new product and service providers in the same support voucher program.

5. Managing and using vouchers directly

Periodically, the Fund approves plans for using vouchers for new product and service providers according to the following principles:

a) At the beginning of the first period, based on the proposal to use vouchers and the conditions and resources of the Fund, the Fund approves the plan for using vouchers for providers in that period;

b) At the beginning of subsequent periods, the Fund approves the plan for using vouchers based on the proposal to use vouchers for the next period from providers and the actual payment and usage of vouchers in previous periods;

c) At the beginning of the final period of the voucher usage term, the Fund approves the plan for using vouchers based on the proposal to use vouchers from providers; the actual payment and usage of vouchers in previous periods and the remaining budget of the support voucher program;

d) The program support budget is updated and publicly announced periodically on the Fund's electronic portal.

6. Managing and using vouchers on a digital platform

a) Within no more than two years from the date the Fund commences operations, the Fund must build and implement a digital platform to manage and use vouchers.

b) Managing and using vouchers on a digital platform must ensure transparency, control over the issuance, usage, and payment status of vouchers; manage new products and services, providers, and users.

c) The Fund establishes and issues regulations on managing and operating the digital platform and reports to its supervisory authority.

7. Paying vouchers

a) Periodically, new product and service providers submit payment dossiers to the Fund according to the provisions at point c of this clause.

b) In cases where providers use more vouchers than those approved periodically by the Fund as stipulated in Article 5 of this Decree, the Fund will only pay up to the approved amount, and the excess usage will be carried forward to the next period's plan. For the final period, the Fund will not pay for the excess usage beyond the approved amount.

c) The payment dossier includes:

Request for voucher support payment according to Model No. III.9 Appendix III issued together with this Decree;

Report on the situation of voucher usage by providers according to Model No. III.10 Appendix III issued together with this Decree;

Invoice; contract, order, payment receipt of organizations and individuals using new products and services (if applicable).

8. Evaluation

a) The Fund organizes the evaluation of the program's conclusion according to the provisions in the Decision approving the support voucher program;

b) The evaluation results are publicly announced on the electronic portal or digital platform.

Section 4

NATIONAL INNOVATION AND CREATIVE PROGRAM

Article 25. Principles for Building the National Innovation and Creative Program

1. The National Innovation and Creative Program includes:

a) National programs issued by the Minister of Science and Technology, including:

National program on technological innovation;

National program on creative entrepreneurship;

National program on intellectual property development, productivity improvement, and product quality enhancement;

Other national programs.

b) Other national programs in the field of innovation and creativity approved by competent authorities.

2. The construction of national innovation and creative programs must comply with the following principles:

a) Consistency with the Party's guidelines and policies, state policies and laws; alignment with economic and social development strategies, sectoral and field development plans, as well as overall national science, technology, and innovation strategies and plans during each period;

b) Specific goals, quantifiable outcomes and investment effectiveness; ensuring feasibility in implementation and monitoring, evaluation;

c) Prioritizing the establishment of programs focusing on strategic technology products, key technologies with potential to break through productivity, quality, growth model innovation, national competitiveness, and active participation in global value chains;

d) Encouraging proactive participation from businesses and organizations; enhancing contributions of technology and innovation to the economy and society.

3. The Ministry of Science and Technology is responsible for developing the overall plan for the National Innovation and Creative Program for each phase, ensuring effective coordination between sectors, fields, and localities.

Article 26. Construction and Approval of the National Innovation and Creative Program

1. The Ministry of Science and Technology, ministries, ministerial-level agencies, government agencies, and other central agencies base on their assigned functions and tasks, take the lead in proposing the National Innovation and Creative Program consistent with sectoral and field development strategies and practical requirements.

2. Procedure for proposal and review of the program:

a) Proposals for programs from ministries, ministerial-level agencies, government agencies, and other central agencies are submitted to the Ministry of Science and Technology for consolidation, assessment, and review;

b) The Ministry of Science and Technology takes the lead in organizing the review of program content; if necessary, it may seek expert opinions, convene advisory councils, and consult relevant ministries and agencies;

c) The Ministry of Science and Technology approves and implements programs under its management. Ministries, ministerial-level agencies, government agencies, and other central agencies approve and implement programs after receiving the review comments from the Ministry of Science and Technology.

3. Content of program approval:

The approved program must include the following main contents:

a) Program name;

b) Specific and quantifiable objectives;

c) Content and scope of implementation;

d) Expected primary outputs;

đ) Lead agency organizing the implementation of the program;

e) Duration of the program;

g) Estimated total budget for implementation, funding structure (central budget, local budget, matching funds, socialization...);

h) Conditions ensuring implementation organization, coordination mechanisms, monitoring, and evaluation.

Article 27. Implementation of the National Innovation Program

1. The Ministry of Science and Technology, ministries, sectors, agencies at the ministerial level, government agencies, and other central agencies shall be responsible for leading the implementation of national innovation programs after they have been promulgated.

2. Annually, ministries, sectors, agencies at the ministerial level, government agencies, and other central agencies related to the program shall develop specific implementation plans for tasks within the program, ensuring consistency with approved objectives and contents, and in accordance with current regulations on innovation task management.

3. Mobilizing resources for implementation

Encourage ministries, sectors, localities, and entities leading the program:

a) To mobilize diverse financial resources from the central budget, local budgets, counterpart funds of enterprises, participating organizations, and other lawful sources;

b) To promote public-private partnerships in implementing tasks within the program, especially those with significant potential impact;

c) To integrate and coordinate with other relevant programs and tasks to optimize resource utilization efficiency.

Article 28. Evaluation and Reporting on the Results of Implementing the National Innovation Program

1. The Ministry of Science and Technology, ministries, sectors, agencies at the ministerial level, government agencies, and other central agencies leading the program shall be responsible for:

a) Organizing periodic evaluations of the results and effectiveness of the program's implementation annually, by phase, and according to the progress of achieving approved goals;

b) Updating comprehensive information, data, and evaluation reports onto the National Digital Platform for Scientific and Technological Management and Innovation or corresponding information systems as prescribed by the Ministry of Science and Technology.

2. The Ministry of Science and Technology shall perform functions of inspection, supervision, and evaluation of programs, including:

a) Mid-term evaluations during the program's implementation to timely adjust goals, contents, and methods of implementation (if necessary);

b) Final evaluations to determine the degree of goal completion, output effectiveness, and program impacts;

c) Conducting surprise inspections and evaluations or as required by competent authorities.

3. Periodic, mid-term, final, and post-program evaluation results serve as the basis for:

a) Adjusting the program's goals, contents, scope, or time frame of implementation (if necessary);

b) Terminating the program early if it is no longer appropriate;

c) Considering the development of subsequent programs or proposing science, technology, and innovation development policies for the next phase.

Chapter III

CRITERIA FOR DETERMINING AND RECOGNIZING INNOVATION ORGANIZATIONS AND INDIVIDUALS, SUPPORTING INNOVATION, AND CREATIVE ENTREPRENEURSHIP

Section 1

CRITERIA FOR DETERMINING INNOVATION ORGANIZATIONS AND INDIVIDUALS, SUPPORTING INNOVATION, AND CREATIVE ENTREPRENEURSHIP

Article 29. Criteria for Determining Innovation Centers

1. These are types of organizations engaged in innovation activities, creative entrepreneurship, innovation support, and entrepreneurial support as stipulated in Article 47 of the Law on Science, Technology, and Innovation, with the aim of connecting, gathering, and mobilizing domestic and foreign resources to support organizations, businesses, and individuals in carrying out innovation activities; providing services, infrastructure, and solutions to promote technology application, technology transfer, technological innovation, new product development, intellectual property exploitation and commercialization, productivity enhancement, digital transformation, creative startup business development, while connecting and developing the innovation system.

2. Implementing key activities as follows:

a) Surveying, collecting, and analyzing the needs for technology application, technology transfer, technological innovation, digital transformation, productivity enhancement, and new product development of organizations, businesses, and individuals;

b) Advising and proposing suitable innovation solutions for each target group, including: technology, organizational-production-business models, intellectual property rights, and resource mobilization methods;

c) Organizing technology supply-demand connection activities, connecting experts, scientific and technological organizations, institutes, schools, businesses, and related parties domestically and internationally to serve innovation;

d) Implementing activities to support technology application, technology transfer, technological innovation, process improvement, quality management system application, and digital transformation;

đ) Developing and providing innovation support services, including: technology demonstrations, technology testing and evaluation, training, capacity building, technical consulting, infrastructure and equipment provision for research, development, and product innovation;

e) Organizing technology incubation and startup incubation activities; supporting creative startups in completing products, services, business models, developing strategies, and accessing markets;

g) Supporting organizations, businesses, and individuals in protecting, managing, exploiting, and commercializing intellectual property rights; advising on intellectual property valuation and accessing financing mechanisms based on intellectual property rights;

h) Developing the innovation system, the startup ecosystem, promoting innovation and entrepreneurial culture;

i) Building and maintaining databases and information systems serving innovation activities and technology transfer.

3. Having technical infrastructure meeting the requirements for innovation implementation, innovation support, and creative entrepreneurship in line with industry, field, and locality:

a) Having working spaces and connection spaces such as: offices; seminar rooms; advisory and connection spaces; product demonstration and display spaces;

b) Having digital infrastructure and data such as: internet; expert and technology databases;

c) Having shared utilities and services.

4. Regarding resources and implementation capabilities:

a) Having at least seven permanent staff members, of which at least 50% must have a bachelor's degree or higher in a relevant field suitable for directly implementing innovation activities, innovation support, and creative entrepreneurship.

b) Have a commitment document to cooperate with technology, legal, intellectual property, financial-investment experts and advisors;

c) Have a network connecting research institutes, universities, scientific and technological organizations, investment funds, and businesses in the field of operation.

5. Annual results

a) Support at least ten enterprises in implementing one of the activities related to technology application, technology transfer, technological innovation, technological creativity, and enhanced technological efficiency;

b) Support at least ten individuals, individual groups, or start-up enterprises in participating in programs, training courses, and workshops on start-up creativity;

Achieve direct revenue from the results of technology application, technology transfer, technological innovation, technological creativity, and enhanced technological efficiency of at least five billion Vietnamese dong.

Article 30. Criteria for Determining Provincial Innovation and Creativity Centers

1. Meet the criteria specified in Clause 1 and Clause 2 of Article 29 of this Decree.

2. Regarding resources and implementation capacity:

a) Have at least fifteen core staff members, of which at least fifty percent have a bachelor's degree or higher in relevant fields suitable for directly performing innovation and creativity activities, supporting innovation and creativity, and start-up creativity;

b) Have a commitment document to cooperate with technology, legal, intellectual property, financial-investment experts and advisors;

c) Have a network connecting research institutes, universities, scientific and technological organizations, investment funds, and businesses in the field of operation;

d) Possess the ability to connect, support, and collaborate with businesses, organizations, professional associations, innovation networks, and start-up networks at the provincial, regional, and national levels.

3. Annual results

a) Support at least thirty enterprises in implementing one of the activities related to technology application, technology transfer, technological innovation, technological creativity, and enhanced technological efficiency;

b) Support at least ten individuals, individual groups, or start-up enterprises in participating in programs, training courses, and workshops on start-up creativity;

c) Achieve direct revenue from consulting and supporting technology application, technology transfer, technological innovation, technological creativity, and enhanced technological efficiency of at least ten billion Vietnamese dong.

Article 31. Criteria for Determining National Innovation and Creativity Centers

1. Meet the criteria specified in Clause 1 and Clause 2 of Article 29 of this Decree.

2. Regarding resources and implementation capacity:

a) Have at least thirty core staff members, of which at least fifty percent have a bachelor's degree or higher in relevant fields suitable for directly performing innovation and creativity activities, supporting innovation and creativity, and start-up creativity;

b) Have a commitment document to cooperate with technology, legal, intellectual property, financial-investment experts and advisors;

c) Have a network connecting research institutes, universities, scientific and technological organizations, investment funds, and businesses in the field of operation;

d) Possess the capability to support the development and creation of new technologies, products, services, and business models or improvements that play a significant role in economic and social development, national defense, security, and addressing issues related to multiple industries and sectors across regions nationwide;

đ) Possess the ability to connect, support, and collaborate with domestic and international organizations, professional associations, innovation networks, and start-up networks.

3. Annual results

a) Support at least fifty enterprises in implementing one of the activities related to technology application, technology transfer, technological innovation, technological creativity, and enhanced technological efficiency;

b) Support at least thirty individuals, individual groups, or start-up enterprises in participating in programs, training courses, and workshops on start-up creativity;

c) Achieve direct revenue from consulting and supporting technology application, technology transfer, technological innovation, technological creativity, and enhanced technological efficiency of at least fifty billion Vietnamese dong.

Article 32. Criteria for Determining Entrepreneurship Support Centers

1. They are types of organizations that operate entrepreneurship support activities in accordance with Article 47 of the Law on Science, Technology, and Innovation, with the goal of supporting innovative startups, forming and developing technology-based innovative business models based on breakthrough ideas or new business models implemented by individuals, groups of individuals, or organizations; providing services, infrastructure, and solutions to connect, develop networks, and promote the development of an entrepreneurial innovation ecosystem.

2. Implementing key activities as follows:

a) Providing advice and proposing appropriate support solutions for entrepreneurship innovation tailored to each target group, including legal, technological, business model, intellectual property rights, investment connection, and fundraising.

b) Organizing competitions, forums, startup days, networking events, promotion, technology and product demonstrations, and introductions to investors, experts, scientific and technological organizations, institutes, schools, businesses, and related parties both domestically and internationally to serve entrepreneurship innovation activities. Building and developing domestic and international entrepreneurship innovation subject networks, promoting the formation of multi-level entrepreneurship innovation ecosystems.

c) Implementing incubation, acceleration, and support activities for entrepreneurship innovation, including: Product completion support; market testing; researching and developing domestic and foreign markets; supporting entrepreneurship innovation support organizations, businesses, and individuals to participate in domestic and international events and competitions.

d) Developing and providing services, infrastructure, and solutions to support entrepreneurship innovation, including: Providing shared workspace; legal and financial consulting; training and skill development; providing infrastructure and equipment for research and product development, market testing; providing digital platform-based entrepreneurship innovation support solutions, digital transformation.

e) Supporting individuals, organizations, and entrepreneurship innovation businesses in protecting, managing, exploiting, and commercializing intellectual property rights; advising on intellectual property valuation and accessing financing mechanisms based on intellectual property rights; supporting standardization, measurement, and quality service implementation; supporting access to government preferential policies and entrepreneurship innovation support programs.

f) Establishing, maintaining databases, platforms, and information systems serving entrepreneurship innovation activities; annually preparing reports on entrepreneurship innovation activities.

3. Regarding technical infrastructure

a) Having a suitable shared workspace area with flexible layout for individuals, groups of individuals, and entrepreneurship innovation businesses to use, meeting at least 10 simultaneous workstations.

b) Having a separate area or through cooperation forms to organize events, training, specialized seminars, investor connection activities with a minimum capacity of 30 people, equipped with projection, sound, and lighting systems meeting standards.

c) Having high-speed internet, digital management platforms (workspace management software, event schedule, advisory services), and basic equipment for working and product demonstrations.

4. Regarding resources and implementation capabilities

a) Having at least seven direct employees supporting entrepreneurship innovation, of which at least four have a bachelor's degree or higher relevant to the industry or field of activity.

b) Having a list of at least ten regularly cooperating experts in entrepreneurship innovation activities across fields such as technology, business, investment, intellectual property, law, finance, marketing.

c) Having the ability to connect, support, and cooperate with domestic entrepreneurship innovation organizations and networks.

5. Annual Activity Results: Supporting at least three startup projects; ten individuals or four groups of individuals or four entrepreneurship innovation businesses through advanced capacity training, incubation, acceleration, provision of legal, financial, marketing, and entrepreneurship communication services; or connecting investments with a commitment of at least three billion Vietnamese dong in the last two years.

Article 33. Criteria for determining provincial startup support centers

1. Comply with the provisions of Clause 1 and Clause 2 of Article 32 of this Decree.

2. Regarding resources and implementation capacity:

a) Have at least 15 people directly working to support startup innovation, of which at least 08 have a bachelor's degree or higher relevant to the industry or field of operation;

b) Have a list of at least 20 experts committed to regularly cooperating and operating in fields including technology, business, investment, intellectual property, legal, finance, marketing;

c) Have the ability to connect, support, and cooperate with domestic organizations and startup networks;

d) Have the capability to support the development and creation of new technologies, products, and business models that are important for economic and social development, national defense, and security of the locality;

đ) Have the ability to mobilize and manage various sources of funding, support capital from the state and private sector to implement local startup support activities;

3. Annual activity results: Support at least 10 startup innovation projects; 30 individuals or 15 individual groups or 10 startup innovation enterprises through capacity building training, incubation, acceleration of startup innovation, provision of legal, financial, marketing, and communication services for startup innovation; or investment connection with a commitment to invest at least 10 billion Vietnamese dong in the last two years.

Article 34. Criteria for determining national startup support centers

1. Comply with the provisions of Clause 1 and Clause 2 of Article 32 of this Decree.

2. Regarding resources and implementation capacity:

a) Have at least 30 people directly working to support startup innovation, of which at least 15 have a bachelor's degree or higher relevant to the industry or field of operation;

b) Have a list of at least 30 experts committed to regularly cooperating and operating in fields including technology, business, investment, intellectual property, legal, finance, marketing;

c) Have the ability to connect, support, and cooperate with domestic and international organizations and startup networks;

d) Have the capability to support the development and creation of new technologies, products, and business models that are important for economic and social development, national defense, and security, and solving issues related to multiple industries, sectors, and regions across the country and internationally;

đ) Have the ability to mobilize and manage various sources of funding, support capital from the state, private sector, and international sources to implement national startup support activities, including those abroad;

3. Annual activity results: Support at least 40 startup innovation projects; 100 individuals or 40 individual groups or 30 startup innovation enterprises through capacity building training, incubation, acceleration of startup innovation, provision of legal, financial, marketing, and communication services for startup innovation; or investment connection with a commitment to invest at least 30 billion Vietnamese dong in the last two years.

Article 35. Criteria for determining individual, individual group, and enterprise startup innovators

1. Be a Vietnamese citizen with full civil capacity, residing in Vietnam; if a foreign citizen, must have a legal residence confirmation document in Vietnam; if an enterprise, must be established under the Enterprise Law.

2. Have a startup innovation project that has been invested in or committed to be invested in by a startup innovation fund, venture capital fund, or individual startup investor; or supported or committed to be supported by an innovation center or startup support center.

3. The revenue growth potential of the enterprise or from implementing the startup innovation project must reach at least 20% over two consecutive years based on an analysis of market share, product and service development capabilities of the enterprise, implementation of the startup innovation project, and competitive strength of the enterprise.

Article 36. Criteria for Determining Experts Supporting Innovative Startups

1. Be a Vietnamese citizen with full civil capacity, residing permanently in Vietnam; if a foreign citizen, must have a legal residence confirmation in Vietnam.

2. Have at least three years of experience in performing the following activities:

a) Training to enhance capabilities for individuals, groups of individuals, innovative startups, organizations supporting innovative startups, individual investors in innovative startups;

b) Consulting on marketing, product/service promotion; exploiting technology information, inventions; evaluating and valuing scientific research and technological development results, intellectual property rights; legal, intellectual property, investment, establishment of science and technology enterprises, commercialization of scientific research and technological development results, intellectual property rights; building and developing networks of organizations promoting business, individual investors, venture capital funds for innovative startups;

c) Consulting on establishing communication programs for innovative startups; connecting startup and venture capital networks; introducing partners, investors, assisting procedures for domestic enterprises to access foreign markets.

3. Have supported at least twenty individuals or ten groups of individuals or ten innovative startup enterprises in the last two years.

Article 37. Criteria for Determining Individual Investors in Innovative Startups

1. Be a Vietnamese citizen with full civil capacity, residing permanently in Vietnam; if a foreign citizen, must have a legal residence confirmation in Vietnam.

2. Personal income subject to tax reaches at least one billion Vietnamese dong annually for at least two recent years and has the ability to maintain this level of income in the current year.

3. Have at least five years of experience in the fields of technology, marketing, finance, business, or investment and have directly invested in at least five individuals or two groups of individuals or two innovative startup enterprises in the last two years.

Section 2

RECOGNITION OF ORGANIZATIONS AND INDIVIDUALS FOR INNOVATION, SUPPORTING INNOVATION, AND STARTUPS

Article 38. Principles for Recognizing Organizations and Individuals for Innovation, Supporting Innovation, and Startups

1. Organizations and individuals requesting recognition as innovation centers, provincial-level innovation centers, national-level innovation centers, startup support centers, provincial-level startup support centers, national-level startup support centers, individuals, groups of individuals, startup enterprises, experts supporting startup enterprises, individual investors in startup enterprises shall self-declare their application forms and bear legal responsibility for the legality, truthfulness, and accuracy of the application forms.

2. The competent state agency shall confirm the validity of the recognition application forms without bearing responsibility for any legal violations committed by the organizations or individuals before and after recognition; it will not resolve disputes between recognized organizations or individuals or between recognized organizations or individuals and other organizations or individuals.

Article 39. Recognition Certificate for Organizations and Individuals for Innovation, Supporting Innovation, and Startups

1. The Recognition Certificate for innovation centers, provincial-level innovation centers, national-level innovation centers, startup support centers, provincial-level startup support centers, national-level startup support centers, individuals, groups of individuals, startup enterprises, experts supporting startup enterprises, individual investors in startup enterprises (hereinafter referred to as the Recognition Certificate) shall be issued by the competent authority to organizations and individuals meeting the recognition criteria and requesting recognition according to the procedures and formalities stipulated in this Decree.

2. The Recognition Certificate shall be issued in paper form, electronic form, both having equal legal value, based on the corresponding model in Appendix IV.3 promulgated together with this Decree.

3. The Recognition Certificate shall be valid for a period of five years from the date of issuance of the Recognition Certificate.

Article 40. Competence to Recognize Organizations and Individuals for Innovation, Support for Innovation, and Creative Entrepreneurship

1. Ministries and ministerial-level agencies shall develop and promulgate criteria for technical infrastructure of national innovation centers within their assigned sectors and fields.

2. The Ministry of Science and Technology is the authority issuing Certificates of Recognition for national innovation centers and national creative entrepreneurship support centers.

3. Provincial People's Committees shall develop and promulgate criteria for technical infrastructure of provincial innovation centers within their management scope; they are the authorities issuing Certificates of Recognition for provincial innovation centers and provincial creative entrepreneurship support centers within their management scope.

4. Provincial People's Committees are the authorities issuing Certificates of Recognition for innovation centers, creative entrepreneurship support centers, individuals, groups of individuals, creative entrepreneurship enterprises, experts supporting creative entrepreneurship, and individual investors in creative entrepreneurship within their management scope.

5. Authorities with recognition competence shall be responsible for issuing Certificates of Recognition, reissuing Certificates of Recognition, terminating, and revoking the validity of Certificates of Recognition.

Article 41. Advisory Council for Reviewing Applications for Recognition of Organizations and Individuals for Innovation, Support for Innovation, and Creative Entrepreneurship

1. The Advisory Council for reviewing applications for recognition (hereinafter referred to as the Advisory Council for Recognition) includes:

a) The Advisory Council for Recognition of national innovation centers and national creative entrepreneurship support centers, established by competent state authorities, consisting of a total of nine to eleven members;

b) The Advisory Council for Recognition of provincial innovation centers and provincial creative entrepreneurship support centers, established by competent state authorities, consisting of a total of seven to nine members;

c) The Advisory Council for Recognition of innovation centers and creative entrepreneurship support centers, established by competent state authorities, consisting of a total of five to seven members;

d) The Advisory Council for Recognition of individuals, groups of individuals, creative entrepreneurship enterprises, investors, and experts supporting innovation and creative entrepreneurship, established by competent state authorities, consisting of a total of five to seven members.

2. The composition of the Advisory Council for Recognition includes a Chairman, Vice-Chairman, council members, and a secretary, among which two council members are critical reviewers who have deep expertise in the advisory field. At least half (1/2) of the total number of members must be reputable experts with a sense of responsibility, appropriate qualifications and expertise, and at least five years of experience in the advisory field; the remaining members are representatives from state management agencies, policy-making agencies, ministries, state-owned corporations, economic groups, and enterprises.

3. Principles of operation of the Advisory Council for Recognition:

a) A meeting of the Council must have at least two-thirds (2/3) of the total number of members present, including the Chairman or Vice-Chairman presiding over the meeting and having at least two critical reviewers present. Written opinions of absent members only serve as reference. In necessary cases, the Advisory Council for Recognition may recommend that the competent state authority establish the council to invite external experts with deep expertise in the advisory field to provide critical reviews to evaluate the application.

b) The Council operates on the principle of democracy and objectivity. Members of the Council are responsible for thoroughly, objectively, and fairly reviewing. Each member of the Council bears personal responsibility for their review opinion and collective responsibility for the Council's conclusion.

4. Procedures for the Advisory Council for Recognition:

a) The Council assigns one member to serve as the secretary to record the opinions of members, minutes of the Council's work results, and related documents;

b) Critical reviewers present their opinions and comments on each content and information provided in the application; they assess strengths and weaknesses according to specified requirements;

c) The Council discusses and provides feedback on each criterion and condition related to the application. In cases where external critical reviewers are invited, after answering questions from Council members, these reviewers do not continue to attend the Council's meeting;

d) The Council conducts voting to evaluate the application. The Council agrees with the application's request when more than two-thirds (2/3) of the attending members vote "Agree"; otherwise, the Council disagrees with the application's request;

đ) The Council Secretary reviews and consolidates the voting results, publicly announces them during the meeting, prepares minutes, and obtains signatures from participating members;

e) The format of the Advisory Council for Recognition is set out in Appendix IV.5 issued together with this Decree.

Article 42. Recognition of National Innovation Centers and National Entrepreneurship Support Centers

1. An organization requesting recognition shall submit the application dossier either directly or online to the competent authority for recognition.

The application dossier for recognition includes:

a) A request for recognition document according to Model No. IV.1.1 attached at Appendix IV.1 issued together with this Decree;

b) A description according to Model No. IV.2.1 and Model No. IV.2.2 attached at Appendix IV.2 issued together with this Decree;

c) Documents proving that the organization meets the criteria for a national innovation center and a national entrepreneurship support center;

d) A confirmation document from the managing agency regarding the contents presented in the description, in cases where the organization is under the management of a ministry, an agency at the ministerial level, an agency under the Government, another central agency, or a provincial People's Committee; a confirmation document from the provincial People's Committee or an agency delegated by the provincial People's Committee where the organization has its main office, in cases where the organization is not under the management of a ministry, an agency at the ministerial level, an agency under the Government, another central agency, or a provincial People's Committee.

Within fifteen days from the date of receiving the written confirmation request for the contents presented in the description, the ministry, agency at the ministerial level, agency under the Government, another central agency, or provincial People's Committee shall be responsible for checking and confirming in writing the contents presented in the description. In case of refusal to confirm, they must notify the reasons in writing to the requesting organization.

2. Procedures and formalities for recognition:

a) Within five working days from the date of receiving the dossier, the competent authority for recognition shall be responsible for informing the organization about the validity of the dossier;

b) Within fifteen days from the date of receiving the valid dossier, the competent authority for recognition shall establish an Advisory Council for Recognition;

c) In cases where clarification or further explanation is required based on the Advisory Council for Recognition's recommendations, within five working days from the date of the council meeting, the competent authority for recognition shall require the organization to provide explanations and complete the dossier within fifteen days from the receipt of the request. If the organization does not provide an explanatory document or supplement within this period, the competent authority for recognition will stop processing the dossier;

d) In cases where the requirements of the dossier are agreed upon, within seven working days from the date of the Advisory Council for Recognition meeting or from the date of receiving the completed dossier after the explanation, the competent authority for recognition shall issue a decision recognizing and issuing a Certificate of Recognition;

đ) In cases where the requirements of the dossier are not agreed upon, within seven working days from the date of the Advisory Council for Recognition meeting or from the date of receiving the completed dossier after the explanation, the competent authority for recognition shall notify the result for the organization to be aware and clearly state the reasons.

3. Sixty days before the expiration date of the Certificate of Recognition, if there is a need for continued recognition, the organization shall follow the provisions set out in Clause 1 of this Article.

4. For organizations that have been decided by the Prime Minister to establish as national innovation centers prior to the effective date of this Decree, they shall automatically be recognized as national innovation centers without having to go through the recognition procedures.

Article 43. Recognition of Innovation and Creativity Centers, Provincial Innovation and Creativity Centers, Creative Start-up Support Centers, Provincial Creative Start-up Support Centers, individuals, groups of individuals, creative start-up enterprises, creative start-up support experts, individual investors in creative start-ups

Clause 1. Organizations and individuals wishing for recognition shall submit their application in person or online to the competent authority for recognition.

The application dossier for recognition includes:

Point a) A request for recognition document according to Model IV.1.1 attached at Appendix IV.1 issued along with this Decree;

Point b) An explanatory statement according to the corresponding model attached at Appendix IV.2 issued along with this Decree;

Point c) Supporting documents demonstrating compliance with the criteria for innovation and creativity centers, provincial innovation and creativity centers, creative start-up support centers, provincial creative start-up support centers, individuals, groups of individuals, creative start-up enterprises, creative start-up support experts, individual investors in creative start-ups;

d) A confirmation document from the managing agency regarding the contents presented in the description, in cases where the organization is under the management of a ministry, an agency at the ministerial level, an agency under the Government, another central agency, or a provincial People's Committee; a confirmation document from the provincial People's Committee or an agency delegated by the provincial People's Committee where the organization has its main office, in cases where the organization is not under the management of a ministry, an agency at the ministerial level, an agency under the Government, another central agency, or a provincial People's Committee.

Within fifteen days from the date of receipt of the written confirmation request for the contents presented in the explanatory statement, the ministry, agency equivalent to a ministry, agency under the Government, central-level agency other than ministries and ministerial-level agencies, provincial People's Committee, or agency delegated by the provincial People's Committee shall be responsible for checking and confirming in writing the contents presented in the explanatory statement. In case of refusal to confirm, the reason must be notified in writing to the requesting organization.

2. Procedures and formalities for recognition:

Point a) Within five working days from the date of receipt of the application, the competent authority for recognition shall respond to the organization or individual regarding the validity of the application;

Point b) Within fifteen days from the date of receipt of a valid application, the competent authority for recognition shall consider and issue a decision on recognition and grant the Certificate of Recognition or refuse recognition;

Point c) Where necessary, the competent authority for recognition shall establish an Advisory Board for Recognition.

In cases where clarification is required based on the advisory board's recommendation, within five working days from the date of the meeting, the competent authority for recognition shall require the organization to provide explanations and complete the application within fifteen days from the date of receipt of the request. If the organization does not provide an explanation or supplementary document within this period, the competent authority for recognition will suspend processing of the application.

In case of agreement with the application requirements, within seven working days from the date of the Advisory Board meeting or from the date of receiving the completed application after the explanation, the competent authority for recognition shall issue a decision on recognition and grant the Certificate of Recognition.

In case of disagreement with the application requirements, within seven working days from the date of the Advisory Board meeting or from the date of receiving the completed application after the explanation, the competent authority for recognition shall notify the result to the organization and clearly state the reasons.

Clause 3. Sixty days before the expiration of the Certificate of Recognition's validity period, if there is a need for continued recognition, the organization or individual shall follow the provisions set out in Clause 1 of this Article.

Article 44. Reissue of the Certificate of Recognition

Clause 1. The Certificate of Recognition shall be reissued in the following cases:

Point a) Change of information of organizations, enterprises, or individuals;

Point b) Loss, damage, tearing, deterioration, or destruction of the Certificate of Recognition in another form.

Clause 2. Applications for reissuing the Certificate of Recognition shall be submitted directly or online to the competent authority for recognition and shall include the following documents:

Point a) A request for reissuance of the Certificate of Recognition according to Model IV.1.2 attached at Appendix IV.1 issued along with this Decree;

Point b) Documents or evidence proving the change of information, adjustment, supplementation, or a commitment letter regarding the loss, damage, tearing, deterioration, or destruction of the Certificate of Recognition in another form;

Point c) Original Certificate of Recognition in cases of change of information of organizations, enterprises, individuals, or groups of individuals.

Clause 3. Procedures for reissuing the Certificate of Recognition:

Point a) Within five working days from the date of receipt of the application, the competent authority for recognition shall respond to the organization or individual regarding the validity of the application;

Point b) Within fifteen days from the date of receipt of a valid application, the competent authority for recognition shall consider and reissue the Certificate of Recognition or refuse to reissue it.

Clause 4. The validity period of the Certificate of Recognition in the case of reissuance shall be recorded according to the validity period of the previously issued Certificate of Recognition.

Article 45. Termination and Revocation of Recognition Certificate

1. The Recognition Certificate shall be terminated in the following cases:

a) The recognized organization is temporarily suspended, prohibited from operating, divided, separated, or ceases to exist as a legal entity;

b) The recognized individual or group of individuals for creative entrepreneurship, support experts for creative entrepreneurship, or individual investors for creative entrepreneurship lose their capacity for civil acts, are criminally prosecuted, are serving a prison sentence, or are prohibited by the court from holding certain positions, practicing certain professions, or performing certain tasks;

c) The recognized creative entrepreneurship enterprise is temporarily suspended from business operations, prohibited from operating, divided, separated, or ceases business operations;

d) The recognized organization or individual requests termination of recognition;

đ) The recognized organization or individual fails to meet the recognition criteria;

2. The Recognition Certificate shall be revoked in the following cases:

a) The recognized organization or individual engages in fraudulent behavior or provides false information related to the application for issuance or reissuance of the Recognition Certificate;

b) The Recognition Certificate was issued beyond authority, without following the prescribed procedures and formalities as stipulated in this Decree;

3. Procedures and Formalities for Terminating and Revoking the Recognition Certificate:

a) Within five working days from the date of receiving the request to terminate or revoke the Recognition Certificate, the competent authority responsible for recognition must respond to the organization or individual regarding the validity of the application;

b) Within fifteen days from the date of receiving a valid request, the competent authority responsible for recognition will review and decide on terminating, revoking, or refusing to terminate or revoke the Recognition Certificate;

In necessary cases, the competent authority responsible for recognition may establish an Advisory Board to advise on terminating, revoking, or refusing to terminate or revoke the Recognition Certificate. This board operates according to the regulations governing the Advisory Board for recognition;

4. In cases where the Recognition Certificate is revoked, the organization or individual must return all benefits, grants received, and other advantages obtained due to the issuance of the Recognition Certificate, and will be subject to legal sanctions;

5. From the date of revocation of the Recognition Certificate, the organization or individual will no longer enjoy investment incentives, state support policies, and other benefits obtained due to the issuance of the Recognition Certificate;

Article 46. Budget for Reviewing Applications for Issuance, Reissuance, Termination, and Revocation of the Recognition Certificate

The budget for reviewing applications for issuance, reissuance, termination, and revocation of the Recognition Certificate shall be covered by the state budget. The details and amounts of expenditure shall be carried out in accordance with current laws on scientific and technological tasks and innovation;

Chapter IV

SCIENCE AND TECHNOLOGY ENTERPRISES 

Article 47. Science and Technology Enterprise Recognition Certificate

1. An enterprise that meets the conditions specified in Article 49 of this Decree shall be granted a Science and Technology Enterprise Recognition Certificate by the competent state management agency;

2. The Science and Technology Enterprise Recognition Certificate is valid nationwide in paper or electronic form; it serves as the basis for implementing investment incentives and other state support policies for science and technology enterprises; it also serves as the basis for enterprises to carry out scientific, technological, and innovation activities in accordance with the law.

Article 48. Competence to Issue the Business Registration Certificate for Science and Technology Enterprises

1. The People's Committee of the province where the enterprise's main office is located shall be the authority responsible for receiving applications, examining, and issuing the Business Registration Certificate for Science and Technology Enterprises, amending the contents, reissuing, revoking, and invalidating the Business Registration Certificate for Science and Technology Enterprises.

2. The People's Committee of the province shall be responsible for notifying the issuance, amendment, reissuance, revocation, and invalidation of the Business Registration Certificate for Science and Technology Enterprises to relevant agencies involved in implementing preferential policies and support measures for Science and Technology Enterprises.

3. Periodically, the People's Committee of the province shall be responsible for updating data on the issuance, amendment, reissuance, revocation, and invalidation of the Business Registration Certificate for Science and Technology Enterprises into the National Digital Platform for Managing Science, Technology, and Innovation.

Article 49. Conditions for Issuing the Business Registration Certificate for Science and Technology Enterprises

An enterprise shall be issued the Business Registration Certificate for Science and Technology Enterprises when it meets both general and specific conditions according to the scale of the enterprise. The scale of the enterprise is determined in accordance with the laws on supporting small and medium-sized enterprises.

1. General conditions:

a) Established and operating in accordance with the Law on Enterprises.

b) Producing scientific and technological products and innovation from one of the following research results, technological development, and innovation that are owned or legally used, including:

Invention patents; utility models; industrial designs; semiconductor integrated circuit layout designs protected in Vietnam;

Computer programs that have been granted copyright registration certificates;

New animal breeds; new plant varieties; new aquatic animal breeds; new forestry tree varieties; technical progress protected or recognized;

Research results, technological development, and innovation that have been accepted or recognized in accordance with the law;

Technology transferred under a technology transfer contract registered in accordance with the law on technology transfer.

2. Conditions for large enterprises:

a) Must have total expenditure on scientific research, technological development, and innovation reaching at least 2% of average net revenue over three consecutive fiscal years or from 200 billion Vietnamese dong/year or more over three consecutive fiscal years; in cases where the enterprise has been operating for less than three years, the average is calculated based on the entire period of operation since establishment, but not less than one full fiscal year;

b) Must have a research and development department with a minimum of 10 personnel with university-level qualifications or higher, of which at least five personnel are Vietnamese nationals;

c) Scientific and technological products and innovation must account for at least 30% of total revenue or reach 90 billion Vietnamese dong/year or more over three consecutive fiscal years; in cases where the enterprise has been operating for less than three years, the average is calculated based on the entire period of operation since establishment, but not less than one full fiscal year;

d) Scientific and technological products and innovation must achieve one of the following effects:

Exported to foreign markets;

Produced from technology listed in the Catalogue of Encouraged Technology Transfer as prescribed by law;

Won national or international awards for quality or environment.

3. Conditions for medium-sized enterprises:

a) Must have total expenditure on scientific research, technological development, and innovation reaching at least 2% of average net revenue over three consecutive fiscal years; in cases where the enterprise has been operating for less than three years, the average is calculated based on the entire period of operation since establishment, but not less than one full fiscal year;

b) Must have a research and development department with a minimum of five personnel with university-level qualifications or higher, of which there are Vietnamese nationals;

c) Scientific and technological products and innovation must account for at least 20% of total revenue over three consecutive fiscal years; in cases where the enterprise has been operating for less than three years, the average is calculated based on the entire period of operation since establishment, but not less than one full fiscal year.

4. Conditions for small and micro-enterprises:

a) Must have total expenditure on scientific research, technological development, and innovation reaching at least 2% of average net revenue over three consecutive fiscal years; in cases where the enterprise has been operating for less than three years, the average is calculated based on the entire period of operation since establishment, but not less than one full fiscal year;

b) Must have a minimum of two personnel engaged in science, technology, and innovation, of which there are Vietnamese nationals, or hire at least two experts from research institutions, training institutions, or scientific and technological organizations;

c) Must have at least one scientific and technological product and innovation currently being commercialized.

Article 50. Application Documents for Issuing a Scientific and Technological Enterprise Certificate

1. An enterprise that meets the conditions stipulated in Article 49 of this Decree shall submit one set of application documents for issuing a Scientific and Technological Enterprise Certificate to the competent authority specified in Article 48 of this Decree. The documents shall be submitted through the public service system in accordance with the regulations.

2. The application documents for issuing a Scientific and Technological Enterprise Certificate include:

a) The original application form for issuing a Scientific and Technological Enterprise Certificate according to Model V.1 in Appendix V issued together with this Decree.

b) A copy of the recognition document issued by the competent state management agency regarding the results of scientific research, technological development, and innovation as stipulated in Clause 1 of Article 49 of this Decree:

Certificate of technology transfer registration;

Intellectual property protection certificate;

Decision on recognition or self-publication of new plant varieties, livestock breeds, aquaculture breeds, forestry tree varieties; decision on recognition of technical progress;

Decision on recognition of the implementation results of scientific and technological tasks and innovation using state budget funds or Registration Certificate of the implementation results of scientific and technological tasks and innovation using state budget funds; Confirmation letter of the implementation results of scientific and technological tasks and innovation not using state budget funds;

Other confirmation or recognition documents having equivalent legal effect.

c) The original business plan of the scientific and technological enterprise according to Model V.2 in Appendix V issued together with this Decree: Demonstrating compliance with the conditions stipulated in Article 49 of this Decree.

Article 51. Examination Process of Application Documents

1. Within three working days from the date of receiving the application documents, the competent authority specified in Clause 1 of Article 48 shall check the completeness and validity of the documents.

2. Within fifteen days from the date of receiving valid application documents, the competent authority shall be responsible for examining the issuance or refusal to issue a Scientific and Technological Enterprise Certificate. The Scientific and Technological Enterprise Certificate shall be issued according to Model V.4 in Appendix V issued together with this Decree.

3. The competent authority shall conduct the examination process through self-examination, seeking independent expert opinions, or establishing an Examination Board. The Evaluation Form for Scientific and Technological Enterprise Certification according to Model V.3 in Appendix V issued together with this Decree.

Article 52. Issuance of Amended Content and Reissuance of Scientific and Technological Enterprise Certificates

1. A scientific and technological enterprise shall submit one set of application documents for amending content or reissuing a Scientific and Technological Enterprise Certificate to the competent authority specified in Clause 1 of Article 48 of this Decree in the following cases:

a) Changing information on the Enterprise Registration Certificate;

b) Changing the list of scientific research results, technological development, and innovation; changing the list of scientific and technological products and innovation on the Scientific and Technological Enterprise Certificate. In the case of adding results and product lists to the Scientific and Technological Enterprise Certificate, the enterprise only needs to meet the conditions at Point b Clause 1 of Article 49 of this Decree;

c) Loss, damage, destruction, or other forms of destruction of the Scientific and Technological Enterprise Certificate.

2. The application documents for amending content or reissuing a Scientific and Technological Enterprise Certificate include:

a) The application form for amending content or reissuing a Scientific and Technological Enterprise Certificate according to Model V.5 in Appendix V issued together with this Decree;

b) Business plan for the case of supplementing the result and product lists on the Scientific and Technological Enterprise Certificate.

3. Within ten days from the date of receiving valid application documents, the competent authority shall be responsible for examining the issuance or refusal to amend content or reissue a Scientific and Technological Enterprise Certificate.

Article 53. Revocation and Invalidation of the Science and Technology Business Certificate

1. Every three years from the date of issuance of the Science and Technology Business Certificate, the competent authority shall organize inspections and evaluations to assess compliance with the conditions stipulated in Article 49 of this Decree for the purpose of considering the continuation of the validity of the Science and Technology Business Certificate.

2. The competent authority specified in Article 48 of this Decree shall notify the business and decide to revoke the Science and Technology Business Certificate in the following cases:

a) The science and technology business is dissolved, bankrupt, or has its business registration certificate revoked according to the law;

b) The science and technology business fails to implement reporting requirements for three consecutive years as prescribed;

c) The business no longer holds lawful ownership or usage rights over technology, scientific research results, technological development, and innovation;

d) The business fails to meet the conditions stipulated in Article 49 of this Decree for three consecutive years.

In the event of revocation of the Science and Technology Business Certificate, the business will no longer be eligible for preferential policies and support from the State for science and technology businesses.

3. The competent authority decides to invalidate the effectiveness of the Science and Technology Business Certificate in the following cases:

a) Engaging in acts that infringe upon the lawful ownership or usage rights over technology, scientific research results, technological development, and innovation declared in the application dossier for certification as a science and technology business;

b) Falsifying contents in the application dossier for certification as a science and technology business.

In the case where the Science and Technology Business Certificate is invalidated, the business is responsible for returning all preferential and supportive funds provided by the State for science and technology businesses that have been enjoyed, and will be subject to legal sanctions.

4. The competent authority may establish an Advisory Board to review the revocation or invalidation of the effectiveness of the Science and Technology Business Certificate.

5. The competent authority shall publicly announce the revocation or invalidation of the effectiveness of the Science and Technology Business Certificate on its website within at least thirty days from the date of the decision to revoke or invalidate the certificate.

Article 54. Responsibilities of Science and Technology Businesses

1. The business shall bear legal responsibility for the legality of ownership and usage of technology, scientific research results, technological development, and innovation in its production and business activities.

2. Science and technology businesses must accurately report their operational results annually using Model V.6 attached to this Decree via the online platform of the Ministry of Science and Technology before December 15 each year.

Article 55. Examination Fee for Application Dossiers

1. The examination fee for issuing, amending, reissuing; revoking, and invalidating the Science and Technology Business Certificate shall be covered by the state budget.

2. The content and level of expenditure shall be implemented in accordance with regulations on consultancy fees for evaluating the outcomes of scientific and technological tasks and innovation.

Article 56. Preferential, incentive, and support policies for science and technology enterprises

1. Science and technology enterprises that have been granted a Certificate of Science and Technology Enterprise shall enjoy preferential, incentive, and support policies as prescribed in laws on investment, bidding, taxation, credit, land, science, technology, and innovation, as well as other relevant laws.

2. When a science and technology enterprise has a new product added to its Certificate of Science and Technology Enterprise, it continues to enjoy incentive and support policies similar to those granted upon initial issuance from the date of addition to the Certificate of Science and Technology Enterprise.

3. Ministries and ministerial-level agencies shall promptly develop national technical standards for products of science and technology enterprises included in the list of products and goods with medium or high risk levels based on proposals from science and technology enterprises to assist such enterprises in bringing their products to market.

Chapter V

INNOVATION ACTIVITIES AND DEVELOPMENT OF THE INNOVATION SYSTEM, THE INNOVATIVE STARTUP ECOSYSTEM, PROMOTION OF AN INNOVATION CULTURE, AND ENCOURAGEMENT OF INNOVATIVE STARTUPS

Article 57. Innovation activities in enterprises and organizations

Innovation activities in enterprises and organizations include:

1. Receiving transfers of rights to use or ownership of technology (licensing fees, transfer fees, fees for technological secrets); research results, digital transformation solutions; purchasing information about technology, design documents, technological processes, technical standards, software support;

2. Leasing, purchasing testing, measuring, and quality control equipment during the upgrading and improvement of technological processes, introduction of new technologies into production, experimental production; repairing, purchasing, leasing assets (or physical facilities, equipment) directly serving projects involving technological innovation, creation, exploitation, and development of intellectual property rights;

3. Mua nguyên liệu, nhiên liệu, vật liệu, năng lượng phục vụ trực tiếp sản xuất thử nghiệm để hiệu chỉnh và hoàn thiện quy trình công nghệ, dây chuyền sản xuất (bao gồm cả sản xuất thử nghiệm loạt sản phẩm đầu tiên);

4. Triển khai nhiệm vụ đổi mới sáng tạo được thực hiện bởi: Thành viên tham gia thực hiện; kỹ thuật viên, lao động hỗ trợ; thuê chuyên gia trong nước, nước ngoài phối hợp thực hiện. Các chức danh tham gia thực hiện nhiệm vụ, tiêu chí xác định chuyên gia trong nước, nước ngoài thực hiện theo hướng dẫn của Bộ Khoa học và Công nghệ;

5. Thuê chuyên gia tư vấn về chuyển giao công nghệ, đàm phán hợp đồng chuyển giao công nghệ, tư vấn pháp lý, xây dựng tiêu chuẩn, quy chuẩn kỹ thuật, năng suất, chất lượng, đăng ký, bảo hộ, quản lý, khai thác quyền sở hữu trí tuệ; thiết kế kiểu dáng công nghiệp;

6. Đào tạo, bồi dưỡng ở trong nước và ngoài nước về chuyển giao bí quyết công nghệ, tiếp nhận, vận hành và làm chủ công nghệ, năng suất, chất lượng, sở hữu trí tuệ; quản lý công nghệ, quản trị công nghệ và cập nhật công nghệ mới;

7. Mua sắm dịch vụ thuê ngoài để hỗ trợ ứng dụng công nghệ, chuyển giao công nghệ, thực hiện nhiệm vụ đổi mới sáng tạo, hỗ trợ đổi mới sáng tạo và khởi nghiệp sáng tạo; thuê phòng thí nghiệm hoặc cơ sở thử nghiệm;

8. Thiết kế công nghệ sản xuất, dây chuyền sản xuất; chuẩn hóa tài liệu kỹ thuật, công nghệ; tính toán thiết lập các thông số vận hành; thiết kế, chế tạo mẫu thử, khuôn mẫu, sản phẩm mới; thử nghiệm, kiểm nghiệm, đánh giá chất lượng sản phẩm; hiệu chỉnh công nghệ, dây chuyền sản xuất mới;

9. Triển khai thử nghiệm đối với sản phẩm xuất khẩu chủ lực của quốc gia do tổ chức thử nghiệm đạt tiêu chuẩn quốc tế thực hiện; chứng nhận hợp chuẩn, chứng nhận hợp quy do cơ quan nhà nước chỉ định theo quy định của pháp luật; hướng dẫn xây dựng và áp dụng tiêu chuẩn quốc tế; thử nghiệm, giám định, chứng nhận chất lượng sản phẩm, hàng hóa theo tiêu chuẩn quốc tế; áp dụng các hệ thống quản lý, công cụ cải tiến năng suất chất lượng; xây dựng và áp dụng tiêu chuẩn hệ thống quản lý mới, hệ thống truy xuất nguồn gốc, thực hành nông nghiệp tốt, nông nghiệp hữu cơ, năng suất xanh và sản xuất thông minh; đăng ký lưu hành sản phẩm, hàng hóa;

10. Triển khai sử dụng dịch vụ mới, sản phẩm mới là kết quả của nhiệm vụ khoa học, công nghệ và đổi mới sáng tạo của doanh nghiệp, tổ chức, cá nhân Việt Nam thực hiện nhằm thúc đẩy thương mại hóa kết quả nhiệm vụ thông qua thị trường;

11. Đăng ký bảo hộ, khai thác, phát triển quyền sở hữu trí tuệ ở trong nước và nước ngoài;

12. Tổ chức hội nghị, hội thảo khoa học, diễn đàn, tọa đàm khoa học, công tác phí trong nước, hợp tác quốc tế (đoàn ra, đoàn vào); điều tra, khảo sát thu thập số liệu; văn phòng phẩm, thông tin liên lạc, in ấn;

13. Đầu tư trang thiết bị, máy móc, dây chuyền sản xuất để phục vụ cho việc ứng dụng công nghệ, chuyển giao công nghệ, đổi mới công nghệ và đổi mới sáng tạo;

14. Các hoạt động khác có liên quan trực tiếp đến hoạt động đổi mới sáng tạo, hỗ trợ thực hiện đổi mới sáng tạo theo các quy định pháp luật liên quan.

Điều 58. Khuyến khích, hỗ trợ doanh nghiệp, tổ chức thực hiện hoạt động đổi mới sáng tạo

1. Khuyến khích, hỗ trợ doanh nghiệp, tổ chức thực hiện hoạt động đổi mới sáng tạo, đầu tư, nâng cấp trang thiết bị phục vụ cho các hoạt động này thông qua các biện pháp tài trợ, hỗ trợ lãi suất vay cho nhiệm vụ đổi mới sáng tạo, hỗ trợ hoạt động phát triển hệ thống đổi mới sáng tạo, hệ sinh thái khởi nghiệp sáng tạo, thúc đẩy văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo.

2. Việc hỗ trợ dựa trên đánh giá kết quả đầu ra của doanh nghiệp, tổ chức thực hiện hoạt động ứng dụng công nghệ, chuyển giao công nghệ, đổi mới công nghệ, đổi mới sáng tạo, thương mại hóa kết quả nghiên cứu, tiếp nhận và làm chủ công nghệ; mang lại giá trị gia tăng, hiệu quả kinh tế, năng lực cạnh tranh và tác động phát triển hệ thống đổi mới sáng tạo.

Điều 59. Hoạt động phát triển hệ thống đổi mới sáng tạo, hệ sinh thái khởi nghiệp sáng tạo, thúc đẩy văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo

Phát triển hệ thống đổi mới sáng tạo, hệ sinh thái khởi nghiệp sáng tạo, hỗ trợ doanh nghiệp khoa học và công nghệ, thúc đẩy văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo thông qua các hoạt động sau:

1. Đào tạo, nâng cao năng lực cho hệ thống đổi mới sáng tạo, hệ sinh thái khởi nghiệp sáng tạo, tổ chức trung gian của thị trường khoa học, công nghệ và đổi mới sáng tạo; mua bản quyền chương trình đào tạo, huấn luyện khởi nghiệp sáng tạo; tổ chức các khóa đào tạo trong nước, nước ngoài; thuê chuyên gia trong nước, quốc tế;

2. Kết nối mạng lưới đổi mới sáng tạo, khởi nghiệp sáng tạo quốc gia, quốc tế: Tổ chức hội nghị, hội thảo kết nối các mạng lưới đổi mới sáng tạo, khởi nghiệp sáng tạo, hỗ trợ khởi nghiệp sáng tạo, đầu tư mạo hiểm ở trong nước với khu vực và thế giới; thuê chuyên gia hỗ trợ, kết nối đổi mới sáng tạo, khởi nghiệp sáng tạo; hợp tác quốc tế (đoàn ra, đoàn vào);

3. Xúc tiến thương mại cho doanh nghiệp thực hiện đổi mới sáng tạo, khởi nghiệp sáng tạo, doanh nghiệp khoa học và công nghệ: Tổ chức hội nghị, hội thảo, đoàn giao dịch thương mại và sự kiện xúc tiến thương mại ở trong nước, nước ngoài, thanh toán công tác phí cho người đi công tác ở trong nước, nước ngoài; tổ chức hội nghị, hội thảo quốc tế; đón các đoàn nước ngoài vào Việt Nam tham gia hội chợ, triển lãm, khảo sát thị trường và giao dịch với doanh nghiệp Việt Nam; điều tra, khảo sát tìm hiểu thông tin, nghiên cứu đánh giá nhu cầu về sản phẩm, ngành hàng, thị trường; thuê chuyên gia tư vấn phát triển sản phẩm, nâng cao chất lượng sản phẩm, xuất khẩu sản phẩm, thâm nhập thị trường nước ngoài; thuê chuyên gia nghiên cứu, tư vấn, đánh giá thị trường, sản phẩm; tuyên truyền, quảng bá, cung cấp thông tin, xây dựng và phát hành các ấn phẩm phục vụ chương trình xúc tiến thương mại;

4. Triển khai các hoạt động của doanh nghiệp đổi mới sáng tạo, khởi nghiệp sáng tạo, doanh nghiệp khoa học và công nghệ: Sử dụng cơ sở kỹ thuật, cơ sở ươm tạo, khu làm việc chung; xây dựng các hợp đồng tư vấn tìm kiếm, lựa chọn, giải mã và chuyển giao công nghệ; đào tạo, huấn luyện chuyên sâu; thuê chuyên gia tư vấn về chuyển giao công nghệ, đàm phán hợp đồng chuyển giao công nghệ, tư vấn pháp lý, xây dựng tiêu chuẩn, quy chuẩn kỹ thuật, năng suất, chất lượng, đăng ký, bảo hộ, quản lý, khai thác quyền sở hữu trí tuệ; thiết kế kiểu dáng công nghiệp;

5. Tổ chức các sự kiện ngày hội đổi mới sáng tạo, khởi nghiệp sáng tạo cấp tỉnh, cấp quốc gia, quốc tế; tổ chức trình diễn, giới thiệu các công nghệ mới, công nghệ tiên tiến; thuê mặt bằng, vận chuyển trang thiết bị, thiết kế, dàn dựng gian hàng và truyền thông cho sự kiện; tổ chức hội nghị, hội thảo trong nước, quốc tế trong thời gian tổ chức sự kiện; tổ chức cuộc thi đổi mới sáng tạo, khởi nghiệp sáng tạo thuộc các đơn vị cơ sở, ngành, lĩnh vực, địa phương, quốc gia, quốc tế;

6. Tôn vinh, trao giải cho các dự án, cá nhân, trung tâm đổi mới sáng tạo, trung tâm hỗ trợ khởi nghiệp sáng tạo đạt thành tích xuất sắc tại các cuộc thi, giải thưởng đổi mới sáng tạo, giải thưởng khởi nghiệp sáng tạo do cấp có thẩm quyền tổ chức ở địa phương, cấp quốc gia hoặc được công nhận là giải thưởng quốc tế có uy tín;

7. Truyền thông, phát triển văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo thông qua các hoạt động: Xây dựng tài liệu, ấn phẩm dưới dạng các tác phẩm báo chí, xuất bản, tác phẩm văn học nghệ thuật, chương trình truyền hình; tổ chức các hội nghị tuyên truyền, phổ biến về các điển hình đổi mới sáng tạo, khởi nghiệp sáng tạo, hỗ trợ khởi nghiệp sáng tạo thành công của Việt Nam; các nội dung khác (in, phát hành đối với báo chí in, xuất bản phẩm, truyền thông trên mạng xã hội);

8. Hỗ trợ doanh nghiệp, tổ chức, cá nhân sử dụng sản phẩm mới, dịch vụ mới là kết quả của nhiệm vụ khoa học, công nghệ và đổi mới sáng tạo do doanh nghiệp, tổ chức Việt Nam thực hiện nhằm thúc đẩy thương mại hóa kết quả nhiệm vụ thông qua thị trường;

9. Thúc đẩy, phát triển thị trường khoa học và công nghệ;

10. Xây dựng bản đồ công nghệ, lộ trình đổi mới công nghệ, đánh giá trình độ công nghệ, tiêu chuẩn, doanh nghiệp công nghệ, doanh nghiệp khởi nghiệp sáng tạo; cơ sở dữ liệu về công nghệ, sáng chế, chuyên gia;

11. Thúc đẩy giao dịch, kết nối thị trường khoa học và công nghệ: Thuê địa điểm, truyền thông, hỗ trợ trưng bày, giới thiệu công nghệ, đi lại, vận chuyển để tổ chức các sự kiện xúc tiến chuyển giao công nghệ; thuê chuyên gia phân tích hồ sơ công nghệ, khảo sát, lập báo cáo định giá, giám định, thẩm định, đánh giá công nghệ, chuyển giao công nghệ;

12. Mua phần mềm chuyên dụng, tài liệu chuyên môn, học liệu; tổ chức khóa học, hội thảo chuyên đề, đào tạo về định giá, giám định, môi giới chuyển giao công nghệ;

13. Khảo sát, nghiên cứu thị trường.

Điều 60. Phương thức hỗ trợ hoạt động phát triển hệ thống đổi mới sáng tạo, hệ sinh thái khởi nghiệp sáng tạo, thúc đẩy văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo

1. Đối tượng hỗ trợ và hình thức hỗ trợ

a) Các tổ chức, cá nhân thực hiện hoạt động quy định tại Điều 59 Nghị định này được thụ hưởng chính sách hỗ trợ hoạt động phát triển hệ thống đổi mới sáng tạo, hệ sinh thái khởi nghiệp sáng tạo, thúc đẩy văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo;

b) Việc thực hiện hỗ trợ thông qua kế hoạch hoạt động đổi mới sáng tạo của các cơ quan, đơn vị, trung tâm đổi mới sáng tạo công lập, trung tâm hỗ trợ khởi nghiệp sáng tạo công lập, đơn vị sự nghiệp công lập được công nhận là trung tâm đổi mới sáng tạo, trung tâm hỗ trợ khởi nghiệp sáng tạo, đơn vị sự nghiệp công lập có chức năng, nhiệm vụ hoạt động đổi mới sáng tạo và Quỹ (sau đây gọi là Đơn vị thực hiện hỗ trợ).

2. Lập kế hoạch hỗ trợ

Hằng năm, Đơn vị thực hiện hỗ trợ xây dựng thuyết minh và dự toán kinh phí hoạt động phát triển hệ thống đổi mới sáng tạo, hệ sinh thái khởi nghiệp sáng tạo, hỗ trợ doanh nghiệp khoa học và công nghệ, thúc đẩy văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo theo một trong các nội dung quy định tại Điều 59 Nghị định này. Nội dung thuyết minh bao gồm:

Tên hoạt động;

Mục tiêu;

Nội dung hoạt động và phạm vi triển khai;

Dự kiến kết quả đạt được của hoạt động;

Cơ quan chủ trì, phối hợp tổ chức thực hiện hoạt động;

Thời gian, địa điểm thực hiện hoạt động;

Dự kiến tổng kinh phí thực hiện, nguồn kinh phí, cơ cấu nguồn vốn (ngân sách trung ương, địa phương, vốn đối ứng, xã hội hóa,..);

Các điều kiện bảo đảm tổ chức thực hiện, cơ chế điều phối, theo dõi và đánh giá hoạt động.

3. Đơn vị thực hiện hỗ trợ tổng hợp vào kế hoạch kinh phí chi thường xuyên sự nghiệp khoa học, công nghệ và đổi mới sáng tạo, trình cấp có thẩm quyền phê duyệt và tổ chức thực hiện.

4. Biểu mẫu thực hiện hỗ trợ hoạt động tương ứng theo Mẫu số VI.1, VI.2, VI.3, VI.4, VI.5 và VI.6 Phụ lục VI ban hành kèm theo Nghị định này.

Điều 61. Thúc đẩy, phổ biến, lan tỏa văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo

Thúc đẩy, phổ biến, lan tỏa văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo thông qua các hoạt động sau:

1. Tuyên truyền, phổ biến, lan tỏa nhận thức, thái độ của cộng đồng về vai trò, vị trí và tầm quan trọng của hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo, sở hữu trí tuệ; tinh thần sẵn sàng tiên phong, chủ động sáng tạo, chấp nhận rủi ro trong hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo cho doanh nghiệp, tổ chức, cá nhân và cộng đồng; văn hóa bao dung với thất bại; phổ biến, nhân rộng các dự án đổi mới sáng tạo, khởi nghiệp sáng tạo điển hình;

2. Đổi mới tư duy của cơ quan quản lý, doanh nhân và người dân về văn hóa đổi mới sáng tạo, khởi nghiệp sáng tạo, khuyến khích mọi người dám suy nghĩ khác biệt và tôn trọng sự khác biệt, dám mạo hiểm và chấp nhận thất bại;

3. Tổ chức triển lãm, hội thảo, hội nghị, sự kiện trong nước, nước ngoài về kết nối cung - cầu công nghệ, công nghệ mới, sản phẩm mới, dịch vụ mới, quy trình mới, mô hình kinh doanh mới, thúc đẩy hoạt động ứng dụng công nghệ, chuyển giao công nghệ và đổi mới sáng tạo;

4. Phát triển mạng lưới đổi mới sáng tạo, khởi nghiệp sáng tạo, kết nối với mạng lưới đổi mới sáng tạo, khởi nghiệp sáng tạo khu vực và toàn cầu;

5. Xây dựng và tổ chức thực hiện chương trình quảng bá Thương hiệu Quốc gia về đổi mới sáng tạo, tổ chức Giải thưởng Quốc gia, địa phương về đổi mới sáng tạo, khởi nghiệp sáng tạo nhằm tôn vinh và khuyến khích tổ chức, cá nhân có đóng góp xuất sắc về đổi mới sáng tạo, khởi nghiệp sáng tạo;

6. Xây dựng nội dung đổi mới sáng tạo, khởi nghiệp sáng tạo đưa vào chương trình giáo dục phổ thông, giáo dục nghề nghiệp và giáo dục đại học; khuyến khích tổ chức hoạt động thực hành đổi mới sáng tạo, khởi nghiệp sáng tạo trong cơ sở giáo dục;

7. Thúc đẩy bình đẳng trong tiếp cận chính sách tài trợ, hỗ trợ, ưu đãi, khuyến khích về đổi mới sáng tạo, khởi nghiệp sáng tạo; khuyến khích sự tham gia của phụ nữ, người cao tuổi, người dân tộc thiểu số, người yếu thế và nhóm đối tượng đặc thù khác thực hiện hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo.

Điều 62. Ngày hội đổi mới sáng tạo quốc gia; Ngày hội khởi nghiệp sáng tạo quốc gia

1. Ngày 01 tháng 10 hằng năm là Ngày hội đổi mới sáng tạo quốc gia (INNOVATION DAY) do Bộ Khoa học và Công nghệ chủ trì, phối hợp với các bộ, ngành, địa phương, tổ chức chính trị - xã hội tổ chức tại một số địa phương, vùng kinh tế và một số địa bàn quốc tế trọng điểm để trình diễn, giới thiệu các công nghệ mới, công nghệ tiên tiến được chuyển giao, làm chủ; đồng thời trao đổi, thảo luận về việc hoàn thiện và thực thi hiệu quả các giải pháp chính sách tạo thuận lợi và thúc đẩy hoạt động ứng dụng, chuyển giao công nghệ và đổi mới sáng tạo trong các ngành, lĩnh vực.

2. Ngày hội khởi nghiệp sáng tạo quốc gia (TECHFEST) là sự kiện thường niên do Bộ Khoa học và Công nghệ chủ trì, phối hợp với các bộ, ngành, địa phương, tổ chức chính trị - xã hội tổ chức tại một số địa phương, vùng kinh tế và một số địa bàn quốc tế trọng điểm để tạo động lực cho cộng đồng khởi nghiệp sáng tạo, kết nối hệ sinh thái khởi nghiệp sáng tạo Việt Nam với thế giới.

3. Các bộ, ngành, địa phương, tổ chức chính trị - xã hội, cơ sở nghiên cứu, cơ sở đào tạo có tiềm năng phát triển hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo tổ chức Ngày hội đổi mới sáng tạo, Ngày hội khởi nghiệp sáng tạo cấp tỉnh, thành phố trực thuộc trung ương hoặc trong các lĩnh vực chuyên ngành.

4. Ngân sách trung ương hỗ trợ kinh phí tổ chức thực hiện Ngày hội đổi mới sáng tạo quốc gia, Ngày hội khởi nghiệp sáng tạo quốc gia và các hoạt động liên quan cấp vùng, liên vùng, liên ngành, quốc gia và quốc tế; ngân sách của bộ, ngành, địa phương hỗ trợ kinh phí tổ chức thực hiện các sự kiện đổi mới sáng tạo, khởi nghiệp sáng tạo cấp tỉnh, thành phố trực thuộc trung ương hoặc trong các lĩnh vực chuyên ngành. Hằng năm, các bộ, cơ quan ngang bộ, cơ quan trực thuộc Chính phủ, các địa phương xây dựng kế hoạch, dự toán ngân sách nhà nước thực hiện khoản 1, 2 và khoản 3 Điều này.

Điều 63. Hạ tầng, mạng lưới, hệ sinh thái hỗ trợ khởi nghiệp sáng tạo

1. Hạ tầng hỗ trợ khởi nghiệp sáng tạo gồm cơ sở vật chất, trang thiết bị, khu làm việc chung, phòng thí nghiệm dùng chung, cơ sở thử nghiệm công nghệ, hạ tầng công nghệ thông tin và truyền thông, hệ thống phần mềm và nền tảng số, hạ tầng bảo mật và an toàn thông tin, hạ tầng hỗ trợ giao tiếp và kết nối, cơ sở dữ liệu khởi nghiệp sáng tạo, hạ tầng dịch vụ kỹ thuật khác hỗ trợ khởi nghiệp sáng tạo.

2. Mạng lưới hỗ trợ khởi nghiệp sáng tạo gồm các mạng lưới liên kết hoạt động của cá nhân, nhóm cá nhân, doanh nghiệp khởi nghiệp sáng tạo, nhà nghiên cứu, nhà sáng chế, chuyên gia hỗ trợ khởi nghiệp sáng tạo, người Việt Nam ở nước ngoài, cơ sở giáo dục, cơ sở nghiên cứu, tổ chức trung gian, cơ sở ươm tạo công nghệ, cơ sở ươm tạo doanh nghiệp, cơ quan nhà nước, tổ chức truyền thông, nhà đầu tư cá nhân khởi nghiệp sáng tạo, quỹ đầu tư, tổ chức tài chính, doanh nghiệp, tập đoàn, tổ chức quốc tế, tổ chức hỗ trợ khởi nghiệp sáng tạo trong nước và nước ngoài.

3. Hệ sinh thái hỗ trợ khởi nghiệp sáng tạo là tập hợp các yếu tố về hạ tầng, mạng lưới, cơ chế, chính sách, dịch vụ và các tổ chức hỗ trợ được tổ chức và vận hành nhằm nâng cao năng lực khởi nghiệp sáng tạo, tạo điều kiện thuận lợi cho việc hình thành, phát triển và thương mại hóa sản phẩm, dịch vụ, mô hình kinh doanh sáng tạo.

4. Việc hình thành và phát triển hạ tầng, mạng lưới, hệ sinh thái hỗ trợ khởi nghiệp sáng tạo được thực hiện thông qua các dự án, nhiệm vụ, hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo sử dụng ngân sách nhà nước hoặc huy động từ các nguồn lực xã hội khác.

Điều 64. Đánh giá kết quả thực hiện nhiệm vụ khoa học, công nghệ và đổi mới sáng tạo không sử dụng ngân sách nhà nước

1. Đánh giá kết quả thực hiện nhiệm vụ khoa học, công nghệ và đổi mới sáng tạo không sử dụng ngân sách nhà nước là việc cơ quan nhà nước có thẩm quyền tổ chức đánh giá, cấp Giấy xác nhận kết quả thực hiện nhiệm vụ khoa học, công nghệ và đổi mới sáng tạo không sử dụng ngân sách nhà nước theo yêu cầu của tổ chức nhằm thúc đẩy doanh nghiệp thương mại hóa kết quả khoa học, công nghệ và đổi mới sáng tạo, phát triển sản phẩm mới, dịch vụ mới.

2. Nguyên tắc thực hiện đánh giá:

a) Việc đánh giá kết quả thực hiện nhiệm vụ khoa học, công nghệ và đổi mới sáng tạo không sử dụng ngân sách nhà nước được thực hiện trên cơ sở đề nghị của tổ chức;

b) Việc đánh giá kết quả thực hiện nhiệm vụ khoa học, công nghệ và đổi mới sáng tạo không sử dụng ngân sách nhà nước phải bảo đảm tính khách quan, trung thực và chính xác;

c) Tổ chức đề nghị đánh giá cam kết tuân thủ các quy định pháp luật về sở hữu trí tuệ và các quy định pháp luật khác có liên quan, chịu trách nhiệm về tính chính xác của hồ sơ đề nghị đánh giá.

3. Nội dung đánh giá:

a) Ý nghĩa của nhiệm vụ;

b) Giá trị khoa học của kết quả thực hiện nhiệm vụ;

c) Tác động và lợi ích mang lại đối với thực tiễn khi kết quả thực hiện nhiệm vụ được áp dụng;

d) Các nội dung khác phụ thuộc vào tính đặc thù của nhiệm vụ do Hội đồng quyết định.

4. Thẩm quyền, thủ tục, hồ sơ thực hiện đánh giá:

a) Ủy ban nhân dân cấp tỉnh đánh giá kết quả thực hiện nhiệm vụ theo đề nghị của tổ chức có trụ sở chính đặt trên địa bàn tỉnh, thành phố;

b) Tổ chức đề nghị đánh giá nộp 01 bộ hồ sơ đề nghị đánh giá về Ủy ban nhân dân cấp tỉnh quy định tại điểm a khoản này, bao gồm: Giấy đề nghị đánh giá; Báo cáo kết quả thực hiện nhiệm vụ và các tài liệu minh chứng (nếu có). Mẫu Giấy đề nghị và Báo cáo kết quả thực hiện nhiệm vụ theo Mẫu số VI.7, Mẫu số VI.8 Phụ lục VI ban hành kèm theo Nghị định này;

c) Ủy ban nhân dân cấp tỉnh thành lập Hội đồng tư vấn đánh giá và thực hiện việc đánh giá trong thời hạn tối đa 28 ngày kể từ ngày nhận được hồ sơ hợp lệ.

Kết quả thực hiện nhiệm vụ được cấp Giấy xác nhận khi có ít nhất hai phần ba (2/3) tổng số thành viên Hội đồng tham dự phiên họp đồng ý cấp Giấy xác nhận. Mẫu Phiếu đánh giá, Biên bản họp Hội đồng tư vấn đánh giá, Giấy xác nhận kết quả thực hiện nhiệm vụ theo Mẫu số VI.9, VI.10, VI.11 Phụ lục VI ban hành kèm theo Nghị định này.

d) Kinh phí thực hiện đánh giá do tổ chức đề nghị chi trả (theo định mức họp Hội đồng tư vấn cấp tỉnh).

Chương VI

PHÂN CÔNG TRÁCH NHIỆM QUẢN LÝ NHÀ NƯỚC VỀ ĐỔI MỚI SÁNG TẠO, KHỞI NGHIỆP SÁNG TẠO

Điều 65. Bộ Khoa học và Công nghệ

1. Chủ trì xây dựng kế hoạch, dự toán và bố trí kinh phí sự nghiệp khoa học, công nghệ và đổi mới sáng tạo hằng năm, kinh phí từ các chương trình, quỹ, dự án đầu tư, dự án hỗ trợ đổi mới sáng tạo, khởi nghiệp sáng tạo trong nước và quốc tế, phát triển doanh nghiệp khoa học và công nghệ, các nội dung khác phù hợp để tổ chức thực hiện Nghị định này.

2. Là cơ quan có thẩm quyền công nhận, cấp lại, chấm dứt, hủy bỏ hiệu lực Giấy công nhận Trung tâm đổi mới sáng tạo cấp quốc gia, Giấy công nhận Trung tâm hỗ trợ khởi nghiệp sáng tạo cấp quốc gia.

3. Xây dựng và phê duyệt các nội dung chi cho các hoạt động đổi mới sáng tạo, hỗ trợ đổi mới sáng tạo, khởi nghiệp sáng tạo, hỗ trợ khởi nghiệp sáng tạo.

4. Xây dựng hệ thống đổi mới sáng tạo quốc gia và hệ sinh thái khởi nghiệp sáng tạo quốc gia; tổ chức xây dựng, quản lý, phát triển, duy trì mạng lưới, cơ sở dữ liệu hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo, doanh nghiệp khoa học và công nghệ; chủ trì, phối hợp với các cơ quan, tổ chức có liên quan thiết lập, kết nối, liên thông và chia sẻ thông tin về mạng lưới, cơ sở dữ liệu hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo, doanh nghiệp khoa học và công nghệ.

5. Chủ trì, phối hợp với các cơ quan quản lý nhà nước có liên quan xây dựng, ban hành việc hướng dẫn, kiểm tra, đánh giá việc thực hiện các quy định về hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo, doanh nghiệp khoa học và công nghệ; thẩm định và có ý kiến về các vấn đề liên quan đến hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo của các dự án đầu tư thuộc thẩm quyền chấp thuận chủ trương đầu tư của Quốc hội, Chính phủ, Thủ tướng Chính phủ.

6. Hướng dẫn các bộ, ngành, địa phương báo cáo kết quả hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo, doanh nghiệp khoa học và công nghệ, tổng hợp báo cáo Chính phủ.

7. Ban hành các nội dung hỗ trợ từ ngân sách nhà nước cho các hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo.

8. Căn cứ yêu cầu quản lý và tình hình thực tiễn, Bộ trưởng Bộ Khoa học và Công nghệ ban hành hệ thống tiêu chí, nguyên tắc, phương pháp đánh giá và các quy định có liên quan để làm cơ sở cho Quỹ xây dựng, áp dụng, vận hành các công cụ hỗ trợ, bao gồm hệ thống phần mềm, công cụ phân tích dữ liệu, trí tuệ nhân tạo và các công cụ điện tử khác, nhằm bảo đảm hiệu quả, công khai, minh bạch trong quá trình thực hiện chức năng, nhiệm vụ theo quy định của pháp luật.

Điều 66. Ủy ban nhân dân cấp tỉnh

1. Xây dựng ban hành, phổ biến, hướng dẫn, tổ chức thực hiện, kiểm tra, đánh giá việc thực hiện các chương trình, kế hoạch của địa phương về hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo; quản lý hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo, hỗ trợ đổi mới sáng tạo và khởi nghiệp sáng tạo, phát triển doanh nghiệp khoa học và công nghệ, các nội dung khác phù hợp với Nghị định này ở địa phương.

2. Là cơ quan có thẩm quyền (hoặc ủy quyền cho cơ quan chuyên môn) công nhận, cấp lại, chấm dứt, hủy bỏ hiệu lực Giấy công nhận Trung tâm đổi mới sáng tạo, Giấy công nhận Trung tâm đổi mới sáng tạo cấp tỉnh, Giấy công nhận Trung tâm hỗ trợ khởi nghiệp sáng tạo, Giấy công nhận Trung tâm hỗ trợ khởi nghiệp sáng tạo cấp tỉnh, Giấy công nhận cá nhân, nhóm cá nhân, khởi nghiệp sáng tạo, Giấy công nhận doanh nghiệp khởi nghiệp sáng tạo, Giấy công nhận chuyên gia hỗ trợ khởi nghiệp sáng tạo, Giấy công nhận nhà đầu tư cá nhân khởi nghiệp sáng tạo, Giấy chứng nhận doanh nghiệp khoa học và công nghệ và thông báo cho Bộ Khoa học và Công nghệ trong vòng 15 ngày kể từ ngày ra quyết định công nhận, cấp lại, chấm dứt, hủy bỏ hiệu lực Giấy công nhận.

3. Bố trí kinh phí để thực hiện các hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo theo chương trình, kế hoạch đã được ban hành.

4. Cung cấp, cập nhật thông tin về mạng lưới, cơ sở dữ liệu hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo; công bố thông tin theo quy định trên Cổng thông tin điện tử của địa phương và thực hiện công khai thông tin về hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo trên Cổng thông tin điện tử của địa phương.

5. Theo dõi, tổng hợp, đánh giá hiệu quả, kết quả hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo trên địa bàn, báo cáo Bộ Khoa học và Công nghệ định kỳ trước ngày 31 tháng 3 hằng năm.

6. Ban hành các quy định cụ thể thuộc phạm vi, thẩm quyền và tuân thủ các quy định pháp luật có liên quan đến hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo phù hợp với điều kiện thực tiễn ở địa phương.

Điều 67. Các bộ, cơ quan ngang bộ, cơ quan thuộc Chính phủ, các tổ chức chính trị - xã hội, tổ chức chính trị xã hội - nghề nghiệp

1. Xây dựng ban hành, phổ biến, hướng dẫn, tổ chức thực hiện, kiểm tra, đánh giá việc thực hiện các chương trình, kế hoạch về hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo; quản lý hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo, hỗ trợ đổi mới sáng tạo và khởi nghiệp sáng tạo, phát triển doanh nghiệp khoa học và công nghệ, các nội dung khác phù hợp với Nghị định này.

2. Dựa trên nhu cầu thực tế của lĩnh vực quản lý xây dựng kế hoạch và lập dự toán, phân bổ kinh phí thực hiện nhiệm vụ đổi mới sáng tạo và hỗ trợ hoạt động đổi mới sáng tạo hằng năm trên cơ sở nội dung của Nghị định này.

3. Cung cấp, cập nhật thông tin về mạng lưới, cơ sở dữ liệu hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo; công bố thông tin theo quy định trên Cổng thông tin điện tử và thực hiện công khai thông tin về hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo trên Cổng thông tin điện tử.

4. Theo dõi, tổng hợp, đánh giá hiệu quả, kết quả hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo, báo cáo Bộ Khoa học và Công nghệ định kỳ trước ngày 31 tháng 3 hằng năm.

5. Ban hành các quy định cụ thể thuộc phạm vi, thẩm quyền và tuân thủ các quy định pháp luật có liên quan đến hoạt động đổi mới sáng tạo, khởi nghiệp sáng tạo.

Chương VII

ĐIỀU KHOẢN THI HÀNH

Điều 68. Điều khoản chuyển tiếp

1. Doanh nghiệp được cấp Giấy chứng nhận doanh nghiệp khoa học và công nghệ đang trong thời gian hưởng các ưu đãi, hỗ trợ, kể cả trường hợp doanh nghiệp đã được cấp Giấy chứng nhận nhưng chưa được hưởng ưu đãi theo quy định của các văn bản quy phạm pháp luật trước thời điểm Nghị định này có hiệu lực thi hành thì tiếp tục được hưởng các ưu đãi, hỗ trợ cho thời gian còn lại theo quy định của các văn bản đó. Trường hợp doanh nghiệp đáp ứng các điều kiện chứng nhận doanh nghiệp khoa học và công nghệ quy định tại Nghị định này thì thực hiện thủ tục cấp thay đổi Giấy chứng nhận doanh nghiệp khoa học và công nghệ và được hưởng các ưu đãi, hỗ trợ theo quy định của Nghị định này cho thời gian còn lại. Trường hợp doanh nghiệp chỉ thực hiện cấp thay đổi nội dung, cấp lại Giấy chứng nhận doanh nghiệp khoa học và công nghệ nhưng không đáp ứng đầy đủ các điều kiện quy định tại Nghị định này thì chỉ được cấp thay đổi nội dung, cấp lại Giấy chứng nhận, tiếp tục được hưởng các ưu đãi, hỗ trợ cho thời gian còn lại theo quy định của các văn bản trước thời điểm Nghị định này có hiệu lực.

2. Việc xác định thời gian còn lại để hưởng ưu đãi được tính liên tục kể từ khi bắt đầu thực hiện ưu đãi cho doanh nghiệp khoa học và công nghệ theo quy định tại các văn bản quy phạm pháp luật ban hành trước ngày Nghị định này có hiệu lực thi hành.

Điều 69. Hiệu lực thi hành

1. Nghị định này có hiệu lực thi hành từ ngày 14 tháng 10 năm 2025.

2. Nghị định số 13/2019/NĐ-CP ngày 01 tháng 02 năm 2019 của Chính phủ về doanh nghiệp khoa học và công nghệ hết hiệu lực kể từ ngày Nghị định này có hiệu lực.

Điều 70. Tổ chức thực hiện

1. Bộ trưởng Bộ Khoa học và Công nghệ chịu trách nhiệm tổ chức thực hiện, hướng dẫn thi hành Nghị định này.

2. Các Bộ trưởng, Thủ trưởng cơ quan ngang bộ, Thủ trưởng cơ quan thuộc Chính phủ, Chủ tịch Ủy ban nhân dân cấp tỉnh và Thủ trưởng các cơ quan, tổ chức có liên quan chịu trách nhiệm thi hành Nghị định này.
