THE MINISTER OF INDUSTRY

Pursuant to Decree No. 74/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1998 of the Government on the conversion of state-owned enterprises into joint-stock companies;

Pursuant to Decision No. 87/1998/QĐ-BCN dated December 31, 1998 of the Minister of Industry on the conversion of the Instant Noodle Factory Bình Tây under Vietnam Food Technology Corporation into Bình Tây Food Joint Stock Company;

Pursuant to Decision No. 1051/QĐ-TCKT dated May 13, 1999 of the Minister of Industry on determining the enterprise value at the time of conversion to a joint stock company at 00:00 on January 1, 1999 for the Instant Noodle Factory Bình Tây under Vietnam Food Technology Corporation;

At the proposal of the General Director of Vietnam Food Technology Corporation (document No. 357/CTVF dated May 14, 1999) and the Head of the Organization and Cadre Affairs Department,

DECISION:

Article 1. Amend Clauses 1, 2, and 3 of Article 1 of Decision No. 87/1998/QĐ-BCN dated December 31, 1998 of the Minister of Industry on the conversion of the Instant Noodle Factory Bình Tây under Vietnam Food Technology Corporation into Bình Tây Food Joint Stock Company as follows:

1) Charter Capital Structure:

- The charter capital of the joint stock company is: 7,900,000,000 Vietnamese dong (seven billion nine hundred million Vietnamese dong), including:

- The proportion of shares sold to employees within the enterprise is 57.79% of the charter capital,

- The proportion of shares sold to other entities outside the enterprise is 42.21% of the charter capital.

2. Value of the Hanoi Industrial and Civil Construction Enterprise (Decision No. 29/QĐ/BTC dated January 15, 2000 of the Minister of Finance approving the value of the Hanoi Industrial and Civil Construction Enterprise at 00:00 on October 1, 1999 for the purpose of conversion):

2) On the enterprise value

At the time of conversion to a joint stock company, the actual value of the Instant Noodle Factory Bình Tây under Vietnam Food Technology Corporation at 00:00 on January 1, 1999 (as determined by Decision No. 1051/QĐ-TCKT dated May 13, 1999 of the Minister of Industry on determining the value for conversion to a joint stock company of the Instant Noodle Factory Bình Tây) is:

The actual value of the enterprise is: 10,185,109,261 Vietnamese dong

Of which: The actual value of the state capital in the enterprise is: 8,163,572,660 Vietnamese dong.

3) Employee benefits: The total number of shares purchased at a preferential price for employees within the enterprise is 39,584 shares (of which the total number of shares purchased at a preferential price for poor employees within the enterprise to be repaid gradually is 7,780 shares)

Article 2. This Decision takes effect from the date of signature.

Article 3. The Chief of the Ministry's Office, the Chief Inspector of the Ministry, Heads of Departments, Heads of Specialized Management Bureaus under the Ministry, the General Director of Vietnam Food Technology Corporation, and the Director of the Instant Noodle Factory Bình Tây are responsible for implementing this Decision./.
