Regarding the establishment of Hanoi Food Corporation

THE MINISTER OF AGRICULTURE AND RURAL DEVELOPMENT

Pursuant to Decree No. 73/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises; Decree No. 38/CP dated April 28, 1997 amending and supplementing certain articles of Decree No. 50/CP; and Circular No. 08BKH/DN dated June 11, 1997 of the Ministry of Planning and Investment guiding the implementation of the two aforementioned decrees;

Pursuant to the authority granted by the Prime Minister in Official Letter No. 100/CP-ĐMDN dated February 12, 2001 regarding the establishment of Hanoi Food Corporation;

Considering the proposal of the Board of Directors of Northern Food Corporation and the Director of the Personnel Department,

DECISION:

Article 1. Establish Hanoi Food Corporation based on the merger of the administrative office, Thang Long Food Trading Corporation, and 17 food retail stores of the Hanoi Food Companies Association (with an attached list of participating units);

The international trading name of the Corporation: Ha Noi food Company;

Abbreviation: VIHAFOODCO.

Hanoi Food Corporation is an independent economic accounting unit of Northern Food Corporation, entitled to open bank accounts according to State regulations and to use its own seal for transactions;

The main office of the Corporation is located at No. 2 Ngo Gach Street, Hoan Kiem District, Hanoi City;

* Registered capital of the Corporation: 17,790 million VND;

* Business activities of the Corporation:

- Trading in foodstuffs, agricultural and forestry products, processed goods from foodstuffs and agricultural and forestry products, and animal feed;

- Milling and processing of foodstuffs and agricultural and forestry products;

- Agency sales of consumer goods, general merchandise, electrical appliances, construction materials, and other consumer items;

- Operating hotel, guesthouse, and restaurant services;

- Supplying export goods and directly exporting and importing foodstuffs;

Article 2. Hanoi Food Corporation shall have a General Director and Deputy General Directors assisting him/her, appointed by the Board of Directors and General Director of Northern Food Corporation; it shall have a Charter of organization and operation, approved by the Board of Directors of Northern Food Corporation in accordance with the law and the Charter of Northern Food Corporation;

The business network of Hanoi Food Corporation includes five dependent economic units:

- Hoan Kiem I Food Store; located at No. 22 Luong Ngoc Quyen Street, Hoan Kiem District, Hanoi City;

- Hoan Kiem II Food Store; located at No. 33 Ma May Street, Hoan Kiem District, Hanoi City;

- Ba Dinh Food Store; located at No. 195 Doi Can Street, Ba Dinh District, Hanoi City;

- Dong Da Food Store; located at No. 9 Cat Linh Street, Dong Da District, Hanoi City;

- Hai Ba Trung Food Store; located at No. 155 Mai Hac De Street, Hai Ba Trung District, Hanoi City.

These stores operate under a dependent accounting system, are entitled to open bank accounts, and may use their own seals for transactions.

The management structure of Hanoi Food Corporation shall be established by the General Director of the Corporation, who will submit specific plans to Northern Food Corporation for decision;

Article 3. Abolish the Hanoi Food Companies Association (established pursuant to Decision No. 4358/QĐ-UB dated September 19, 1988 of the People's Committee of Hanoi City) and all units participating in the merger mentioned in Article 1 of this Decision. The rights and obligations of the merged entities shall be transferred to Hanoi Food Corporation to succeed and resolve;

Article 4. This Decision takes effect from the date of signing. Hanoi Food Corporation is responsible for completing the necessary procedures to register for business operations in accordance with the law.

Article 5. The Director of the Ministry's Office, the Department Head of the Cadre and Civil Servant Organization Department, the Heads of relevant agencies under the Ministry, the Board of Directors of the Northern Food Corporation, the People's Committee of Hanoi City, and the General Director of Hanoi Food Company shall be responsible for implementing this Decision./.
