Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the Law on State-Owned Enterprises No. 14/2003/QH11 dated November 26, 2003;
Pursuant to the Enterprise Law dated November 29, 2005;
Pursuant to the Government Decree No. 153/2004/NĐ-CP dated August 9, 2004 on the organization and management of state-owned general corporations and the transformation of state-owned general corporations and independent state-owned companies into the holding company - subsidiary model;
Considering the proposal of the Ministry of National Defense.
DECISION:
Article 1. Approving the Plan to transfer the General Corporation Thanh An (Binh Doan 11), a national defense security enterprise under the Ministry of National Defense, to operate under the holding company - subsidiary model with the following contents:
1. The holding company - General Corporation Thanh An is a state-owned company formed based on restructuring the General Corporation Thanh An Office and its affiliated units:
- Construction Installation Enterprise 141;
- Construction Installation Enterprise 59;
- Port and Building Materials Trading Enterprise;
- Hoa Binh Branch;
- Ho Chi Minh City Branch;
- Central Region Branch;
- Construction Quality Testing Center.
2. Subsidiaries include:
a) One-member limited liability company:
Investment Construction and Trade Joint Stock Company Limited One Member 36.
b) Joint-stock company:
Joint-Stock Company 77.
c) Joint-stock company formed from the privatization of the following companies:
- Construction Installation Company 96;
- Construction Installation Company 665.
3. Associated companies
a) ACSCO Company.
b) Joint-stock company formed from the privatization of the following companies:
- Construction Installation Company 386;
- Technology Consulting and Testing Company 491.
4. The General Corporation Thanh An operates under the holding company - subsidiary model, directly producing, trading, and investing capital in subsidiaries and associated companies according to the Articles of Organization and Operation and Financial Management Regulations of the holding company approved by the competent state authority.
The management structure of the holding company includes: General Director, Deputy General Directors, Chief Accountant, and supporting staff.
Article 2. Ministry of National Defense:
- Directing the implementation of this Plan; deciding the establishment of the holding company; forming subsidiaries and associated companies at point c Clause 2 and point b Clause 3 Article 1 of this Decision; deciding the restructuring form and organizational implementation in 2007 for Construction Works Company 56 and Construction Installation Company 394 in accordance with current laws; deciding the managing unit for Vocational Training School 18.
- Approving the Articles of Organization and Operation and Financial Management Regulations of the holding company.
Article 3. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Ministers of the Ministries: National Defense, Finance, Planning and Investment, Home Affairs, Labor - War Invalids and Social Affairs, Governor of the State Bank of Vietnam, General Director of the General Corporation Thanh An, and related agencies are responsible for implementing this Decision./.
