THE MINISTER OF INDUSTRY

Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Considering the proposal of the Board of Directors of Vietnam Electricity Joint Stock Corporation at document number 284 ĐVN/HĐQT-TCCBLĐ dated September 8, 1998;

Pursuant to document number 1427/CP-ĐMDN dated December 3, 1998 of the Government approving the organizational restructuring plan for Vietnam Electricity Joint Stock Corporation;

At the suggestion of the Director of the Department of Organization and Cadres,

DECISION:

Article 1. Establish Dong Nai Electricity Corporation under Vietnam Electricity Joint Stock Corporation based on the separation of Dong Nai Electricity from Electricity Corporation 2.

- Dong Nai Electricity Corporation is a state-owned enterprise operating independently, having legal personality, seal, and bank account.

- International trade name: Dong Nai Power Company, abbreviated as: DNPC.

- The main office of the Corporation is located at No. 101 Hung Dao Vuong Street, Trung Dung Ward, Bien Hoa City, Dong Nai Province.

Article 2. Business activities of the Company:

- Production and trading of electric power and operation of distribution networks;

- Testing and repairing electrical equipment with voltage up to 110 kV;

- Upgrading distribution networks;

- Machining and manufacturing spare parts and accessories for distribution network equipment;

- Importing and exporting, trading in materials and equipment for distribution networks;

- Other services (as per Business License and Trading License);

*The Charter Capital of Dong Nai Electricity Corporation at the time of establishment is: 46,353,000,000 VND

Article 3. - Vietnam Electricity Joint Stock Corporation is responsible for supplementing the charter capital for Dong Nai Electricity Corporation according to the provisions of Decree 50/CP of the Government; directing Electricity Corporation 2, Dong Nai Electricity, and Dong Nai Electricity Corporation in the transfer process in accordance with the regulations of the State.

Dong Nai Electricity Corporation is responsible for completing all business registration procedures and operating in accordance with the law and the Corporate Organization and Operation Regulations approved by the Chairman of the Board of Directors of Vietnam Electricity Joint Stock Corporation.

Article 4. THIS DECISION SHALL TAKE EFFECT 15 DAYS FROM THE DATE OF SIGNATURE.

Article 5. The Director of the Ministry's Office, the Director of the Ministry's Inspectorate, the Heads of relevant Departments, the Heads of specialized management Agencies under the Ministry, the Chairman of the Board of Directors, the General Director of Vietnam Electricity Joint Stock Corporation, the Directors of Electricity Corporation 2, Dong Nai Electricity, and Dong Nai Electricity Corporation are responsible for implementing this Decision./.
