Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;

Pursuant to the Government's Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;

Pursuant to the Government Decree No. 88/2003/NĐ-CP dated July 30, 2003 on organization, operation, and management of Associations;

Considering the proposal of the Chairman of the Vietnam Refrigeration and Air Conditioning Engineering Science Association and the Director of the Department of Non-Governmental Organizations,

 DECISION:

Article 1. Approves the Charter of the Vietnam Refrigeration and Air Conditioning Engineering Science Association which was adopted at the National Congress on November 6, 2004.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3. The Chairman of the Vietnam Refrigeration and Air Conditioning Engineering Science Association and the Director of the Department of Non-Governmental Organizations are responsible for implementing this Decision.

CHARTER

Vietnam Refrigeration and Air Conditioning Engineering Science Association

PART I

NAME, AIMS, AND SCOPE OF ACTIVITY

Article 1. Name

1. Vietnamese name: Vietnam Refrigeration and Air Conditioning Engineering Science Association

Abbreviation: Vietnam Refrigeration and Air Conditioning Association

2. International trade name: VIETNAM SOCIETY OF REFRIGERATION AND AIR-CONDITIONING ENGINEERS

Abbreviation: VISRAE

Article 2. The Vietnam Refrigeration and Air Conditioning Engineering Science Association is a professional social organization of Vietnamese citizens engaged in the field of refrigeration and air conditioning technology.

Article 3. The purpose of the Association is to assist individuals and organizations from different economic sectors working in refrigeration and air conditioning technology, contributing to the development of the refrigeration and air conditioning specialty in Vietnam, and serving the practical construction and defense of the country.

Article 4. The Vietnam Refrigeration and Air Conditioning Engineering Science Association is a voluntary social organization of Vietnamese citizens both within and outside the country engaged in training, research, design, and production of refrigeration and air conditioning technology.

Article 5. The Vietnam Refrigeration and Air Conditioning Engineering Science Association operates in accordance with the laws of the Socialist Republic of Vietnam. The Association operates nationwide, with its central headquarters located in Hanoi.

Article 6. The Vietnam Refrigeration and Air Conditioning Engineering Science Association is a member society of the Vietnam Union of Science and Technology Associations.

Article 7. The Association has its main office in Hanoi, operates on a self-sustaining basis, has legal personality, its own seal and bank account; the Association has its official publication.

Chapter II

TASKS AND RIGHTS OF THE ASSOCIATION

Article 8. The Vietnam Refrigeration and Air Conditioning Engineering Science Association has the following tasks:

1. To gather and unite individuals and units specialized in refrigeration and air conditioning technology to:

- Encourage the creative spirit of members, contributing to the promotion of industry development;

- Disseminate scientific and technological knowledge of refrigeration and air conditioning technology to the public;

- Support the rapid application of advances in refrigeration and air conditioning technology in production and daily life;

- Provide consultation, critique, and social appraisal on science and technology and economics of refrigeration and air conditioning for relevant state agencies when requested;

- Propose and advocate directions for the development and application of refrigeration and air conditioning science and technology in the country.

2. To protect the legitimate rights of members in scientific activities. Assist members spiritually and materially, improve their professional and technical skills through appropriate forms, and protect their legitimate rights.

Article 9. The Vietnam Institute of Refrigeration and Air Conditioning has the following authorities:

1. Cooperate both domestically and internationally with other associations in the same field and other scientific and technological associations in accordance with the provisions of the law. Coordinate and cooperate with competent agencies and related Ministries to fulfill the functions and tasks of the Association.

2. Participate in research activities and scientific and technological services within the specialized field of the Association.

3. Organize the publication of information, journals, and publications in the refrigeration and air conditioning field and about the activities of the Association in accordance with the provisions of the law.

Chapter III

MEMBERS

Article 10. Vietnamese citizens who are currently active in the field of thermal-refrigeration science and technology, who agree with the Charter of the Association, and voluntarily work for the Association may be admitted as members of the Vietnam Institute of Refrigeration and Air Conditioning.

Article 11. Members have the following duties:

1. Respect and comply with the Charter of the Association, strictly implement the policies and resolutions of the Association, actively work for the Association.

2. Promote the development of new members, participate in Association activities, expand the influence and reputation of the Association, mobilize the masses to support all activities of the Association.

3. Actively study and help other members improve their skills to continuously enhance their professional level, contribute to building and developing the refrigeration and air conditioning field in Vietnam.

4. Pay membership fees fully.

Article 12. Members have the following rights and responsibilities:

1. Participate in Association activities, discuss and vote on all matters of the Association at their respective levels, elect and run for positions in the Association's Executive Committees at various levels.

2. Receive assistance from the Association to implement proposals, innovations, inventions, or research projects according to the Association's capacity, and have the Association protect their legitimate rights and interests in scientific and technological activities.

3. Enjoy material and spiritual benefits stipulated by the Association.

4. Have the right to resign from the Association or join other associations.

Article 13. The Executive Committee of the Association's grassroots organization examines applications for membership and decides on admission, special cases being decided by the Central Executive Committee of the Association.

Chapter IV

ORGANIZATION OF THE ASSOCIATION

Article 14. The organizational system of the Association includes:

- The Central Association.

- Grassroots Association organizations.

The establishment of grassroots Association organizations must comply with the provisions of the law.

Article 15. The highest leadership body of the Association is the National Congress of Delegates of the Association.

1. The term of office of the Central Executive Committee of the Association is five years.

2. An extraordinary National Congress of Delegates may be convened if more than two-thirds of the Central Executive Committee members request it.

3. The main contents of the National Congress of the Refrigeration and Air Conditioning Association:

a) Approve the report of the Central Executive Committee of the Association, decide on the direction, tasks, and program of work of the Association.

b) Elect the Central Executive Committee of the Association.

c) Decide to amend the Charter of the Association.

d) Decide on the dissolution of the Association.

e) Resolutions of the Congress take effect when agreed upon by two-thirds of the delegates present.

Article 16. The Central Executive Committee of the Association elects a Standing Committee consisting of the Chairman, Vice Chairmen, General Secretary, Standing Committee members, and a Supervisory Board comprising the Head, Deputy Head, and several members. The Central Executive Committee of the Association may elect additional members but the number shall not exceed one-third of the total number of members.

Article 17. The Central Committee of the Association convenes regular meetings once a year, convened by the Standing Committee, and may convene extraordinary meetings when the Standing Committee deems it necessary or when a majority of the members of the Central Committee of the Association request.

The Central Committee of the Association has the duty to implement and carry out the resolutions of the National Congress of Delegates and lead all activities of the Association between two congresses.

Article 18. The Standing Committee is the permanent body of the Central Committee of the Association, convening regular meetings every six months, with the duty to direct the activities of the Association between two meetings of the Central Committee of the Association.

Article 19. The Secretariat assists the Standing Committee on a regular basis, consisting of the General Secretary and other secretarial members nominated by the General Secretary and approved by the Standing Committee.

The Secretariat manages the daily operations of the Association.

Article 20. Depending on the needs and development situation of the Association, the Standing Committee may decide to establish specialized committees, professional organizations, or economic organizations.

Article 21. The Central Inspection Board of the Association has the following duties:

1. Inspect the implementation of the resolutions of the National Congress of Delegates by the Central Committee of the Association and the Standing Committee; inspect the activities of member associations at various levels and affiliated organizations of the Association.

2. Inspect the implementation of the Charter, Regulations, and work programs of the Association.

3. Inspect the financial and economic activities of the Association.

4. Propose rewards.

The Central Inspection Board of the Association convenes regular meetings once a year, or may convene extraordinary meetings upon the request of the President of the Association or the Head of the Central Inspection Board of the Association.

Article 22. Members of the Association:

Depending on the locality and workplace, provincial associations, city associations, or branch associations (hereinafter referred to as grassroots association organizations) may be established. The establishment of grassroots association organizations must comply with the provisions of the law. The highest leadership body of grassroots association organizations is the General Assembly of all members.

1. The term of office of the Executive Board of grassroots association organizations is 2.5 years.

2. Main contents of the General Assembly of grassroots association organizations:

a) Approve the report of the Executive Board of grassroots association organizations, decide on the tasks and work programs of grassroots association organizations.

b) Elect a new Executive Board and appoint representatives to attend higher-level congresses.

Article 23. The Executive Board of grassroots association organizations elects the Chairman, Vice Chairmen, and Secretary of grassroots association organizations.

The Executive Board of grassroots association organizations has the duty to implement the decisions of the General Assembly of grassroots association organizations, lead and manage all activities of grassroots association organizations between two congresses.

Article 24. Grassroots association organizations have the following responsibilities:

1. Operate in accordance with the objectives and purposes of the Association.

2. Mobilize the masses to support the activities of the Association, expand its influence and reputation, and develop new members.

3. Assist members spiritually and materially.

4. Collect membership fees from members.

Chapter V

ASSETS AND FINANCE

Article 25. The sources of the Association's finances include:

1. Membership fees from members;

2. Income from the Association's economic activities;

3. Money and materials from state subsidies, donations from agencies, enterprises, mass organizations, and individuals both domestically and internationally.

Article 26. The Association's finances are used for the Association's activities. The Association's finances and assets are managed according to the regulations of the Central Committee of the Association and the general system of the State.

Article 27. Disposal of assets and finances when the Association voluntarily dissolves or is dissolved:

When the Association voluntarily dissolves or is dissolved, its assets and finances shall be disposed of as follows:

1. Assets and finances provided by domestic and foreign organizations; assets and finances supported by the State, for which the Association has fully fulfilled its property obligations and settled all debts, the remaining assets and financial surplus shall be decided by the competent authority.

2. For self-owned assets and finances of the Association, for which the Association has fully fulfilled its property obligations and settled all debts; after the dissolution of the Association, the remaining assets and financial surplus shall be decided by the Association in accordance with the provisions of the Association's Charter.

Chapter VI

REWARDS AND DISCIPLINE

Article 28. Members, collaborators, and units of the Association who have outstanding achievements in association work and scientific and technical activities shall be rewarded by the Association. The form of reward shall be determined by the Central Executive Board.

Article 29. Members and units of the Association who seriously violate the Association's Charter, damaging the honor and reputation of the Association, shall be subject to disciplinary measures ranging from criticism, warning to expulsion from the Association, and dissolution of the unit.

Chapter VII

IMPLEMENTING PROVISIONS

Article 30. Only the National Congress of the Association with more than two-thirds of the votes in favor has the right to amend this Charter.

This Charter consists of 7 chapters and 31 articles, adopted at the First National Congress of the Vietnam Institute of Refrigeration and Air Conditioning Science and Technology on November 6, 2004, in Hanoi.

This Charter shall take effect according to the approval decision of the Ministry of Home Affairs./.
