The company shall be established as a state-owned joint stock company with a single member.

PRIME MINISTER 

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the Law on State-Owned Enterprises dated November 26, 2003;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001 of the Government on the conversion of state-owned enterprises and enterprises of political organizations and socio-political organizations into Limited Liability Companies with One Member;

Considering the proposal of the Board of Directors of the Vietnam Tobacco Corporation,

DECISION:

Article 1. Transfer the Dong Thap Tobacco Factory - an independent accounting member company under the Vietnam Tobacco Corporation to become a Limited Liability Company. The name of the Limited Liability Company with One Member is Dong Thap Tobacco Company.

The Dong Thap Tobacco Limited Liability Company with One Member shall have its own seal, open accounts at domestic and foreign banks in accordance with the law, operate in accordance with the Company's Charter and the Enterprise Law.

- Full name: Dong Thap Tobacco Limited Liability Company with One Member. - Trade name: Dong Thap Tobacco Company.

- International trade name: Dong Thap tobacco company limited.

- Abbreviation: Vinataba Dong Thap.

- Registered capital as of June 30, 2005: 12,949,088,407 VND (twelve billion nine hundred forty-nine million eighty-eight thousand four hundred seven VND).

- Main office address: No. 59/4 National Highway 80, Tan Phu Dong Commune, Sa Dec City, Dong Thap Province.

Business activities of the company include cigarette production and trading, and other businesses as prescribed by law.

Article 2The business lines of the company include cigarette production and trading, as well as other industries as prescribed by law.

Article 3Organization and operation:

1. Management structure of the company follows the model: Chairman of the company, General Director, and supporting staff.

2. The organization and operation of the company are specifically regulated in the Company's Charter.

Article 4It is organized by the State to represent the owner, which is the Board of Directors of the Vietnam Tobacco Corporation.

The Board of Directors of the Vietnam Tobacco Corporation is responsible for exercising the rights of the owner representative over the Dong Thap Tobacco Limited Liability Company with One Member in accordance with current regulations and the Company's Charter.

Article 5. The Joint Stock Company with a Single Member Dong Thap Tobacco is responsible for receiving and effectively utilizing the capital and assets transferred by the Board of Directors of the Vietnam Tobacco Corporation to fulfill the tasks of production development and business operations; inheriting all rights and obligations of the Dong Thap Tobacco Factory.

Article 6. The Chairman of the Dong Thap Tobacco Limited Liability Company with One Member is responsible for drafting the Company's Charter for approval by the Board of Directors of the Vietnam Tobacco Corporation. Thuốc lá Đồng Tháp is responsible for drafting the Charter of organization and operation of the company to submit for approval by the Board of Directors of Vietnam Tobacco Corporation.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Board of Directors of the Vietnam Tobacco Corporation, the General Director of the Dong Thap Tobacco Factory, and the Chairman of the Dong Thap Tobacco Limited Liability Company with One Member are responsible for implementing this Decision.
