Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Considering the proposal of the Board of Directors of Vietnam Electricity Corporation at document number 91 ĐVN/HĐQT-TCCBLĐ dated March 13, 1999;

Based on document number 22/CP-ĐMDN dated May 25, 1999 of the Government agreeing to establish Thu Duc Electro-Mechanical Company and Construction Consulting Electric Company 4 under Vietnam Electricity Corporation;

At the suggestion of the Director of the Department of Organization and Cadres,

DECISION:

Article 1. Establish Thu Duc Electro-Mechanical Company under Vietnam Electricity Corporation based on the separation of the Mechanical Plant from Company 2.

- Thu Duc Electro-Mechanical Company is a state-owned enterprise operating independently, having legal personality, seal, and bank account.

- International trade name: Thu Duc Electro-Mechanical Company, abbreviated as: THUDUC EMC

- The main office of the company is located at: Km9, Ha Noi Road, Thu Duc District, Ho Chi Minh City.

Article 2. Business activities of the Company:

- Manufacturing various types of transformers;

- Manufacturing spare parts for power plants, accessories for power lines and substations, and various types of electrical panels;

- Testing and repairing electrical equipment;

- Mechanical processing, producing steel poles and supports for electrical equipment up to 500 kV;

- Trading and importing/exporting transformers, spare parts, and electrical equipment;

- Repairing and installing diesel generator sets.

* The Charter Capital of Thu Duc Electro-Mechanical Company at the time of establishment is: 22,145,848,302 VND

Article 3. Vietnam Electricity Corporation is responsible for directing Company 2, the Mechanical Plant, and Thu Duc Electro-Mechanical Company in the transfer process according to the regulations of the State.

- Thu Duc Electro-Mechanical Company is responsible for completing all business registration procedures and operating in accordance with the Law on State-Owned Enterprises and the Company's Organizational and Operational Regulations approved by the Chairman of the Board of Directors of Vietnam Electricity Corporation.

Article 4. THIS DECISION SHALL TAKE EFFECT 15 DAYS FROM THE DATE OF SIGNATURE.

Article 5. The Head of the Ministry’s Office, the Inspector General, Heads of Functional Departments, Heads of Specialized Management Agencies under the Ministry, the Chairman of the Board of Directors, the General Director of Vietnam Electricity Corporation, the Director of Company 2, the Director of the Mechanical Plant, and the Director of Thu Duc Electro-Mechanical Company are responsible for implementing this Decision./.
