PRIME MINISTER

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the State Enterprise Law dated November 26, 2003;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001 of the Government on the conversion of state-owned enterprises and enterprises of political organizations and socio-political organizations into limited liability companies with one member;

Considering the proposal of the Board of Directors of the Vietnam Coal Corporation,

DECISION:

Article 1.Transfer the Maokhe Coal Company - an independent accounting member company under the Vietnam Coal Corporation to become the Maokhe Coal Limited Liability Company with One Member.

The Maokhe Coal Limited Liability Company with One Member shall have its own seal, be allowed to open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Company's Charter and the Enterprise Law.

- Full name: Maokhe Coal Limited Liability Company with One Member.

- Abbreviated name: Maokhe Coal Company.

- International trade name in full: Vinacoal Mao Khe Coal Company Limited.

- Shortened international trade name: Vinacoal Mao Khe Coal Co., Ltd

- Abbreviated international trade name: VMKC.

- Registered capital: 75,954,003,555 Vietnamese dong (Seventy-five billion, nine hundred fifty-four million, one hundred five thousand, five hundred fifty-five dong).

- Main office: Maokhe Town, Dong Trieu District, Quang Ninh Province.

Article 2. Main business activities of the Company

Coal mining, processing, and consumption, construction of mine works. Production of building materials, road and rail transportation. Management and exploitation of ports and weighbridges. Repair of mine equipment and transport vehicles, manufacturing of chain links and mechanical products. Design, construction, repair, and modification of public bus bodies. Organization of recreational, entertainment, cultural, and sports activities. Operation of other businesses as prescribed by law.

Article 3. Organization and operation

1. Management model of the Company: Chairman of the company, General Director of the company, and supporting staff.

2. The organization and operation of the Company are specifically regulated in the Company's Charter on organization and operation.

Article 4.The owner of the Company is the Vietnam Coal Corporation, a state-owned enterprise headquartered at 226 Le Duan Street, Dong Da District, Hanoi City.

The Board of Directors of the Vietnam Coal Corporation shall exercise the rights and obligations of the owner towards the Maokhe Coal Limited Liability Company with One Member in accordance with current regulations and the Company's Charter.

Article 5. The Maokhe Coal Limited Liability Company with One Member shall be responsible for receiving and effectively utilizing the capital and assets transferred by the Vietnam Coal Corporation for the development of production and business operations; inheriting all rights and obligations of the Maokhe Coal Company.

Article 6. The Chairman of the Maokhe Coal Limited Liability Company with One Member shall be responsible for drafting the Company's Charter on organization and operation and submitting it to the Board of Directors of the Vietnam Coal Corporation for approval.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Board of Directors of the Vietnam Coal Corporation, the General Director of the Maokhe Coal Company, and the Chairman of the Maokhe Coal Limited Liability Company with One Member are responsible for implementing this Decision.
