DETAIL REGULATIONS IMPLEMENTING CERTAIN ARTICLES OF DECREE NO. 111/2009/QD-TTg OF SEPTEMBER 1, 2009 ISSUED BY THE PRIME MINISTER ON CONDITIONS AND PROCEDURES FOR PARTICIPATING IN NATIONAL DEFENSE INDUSTRIAL ACTIVITIES

Pursuant to Decision No. 257/2006/QĐ-TTg dated November 9, 2006 of the Prime Minister promulgating regulations on frequency band allocation for economic and social purposes, national defense, and security;

Pursuant to Decree No. 111/2009/QD-TTg dated September 1, 2009 of the Prime Minister on conditions and procedures for participating in national defense industrial activities;

Considering the proposal of the Director of the General Department of Defense Industry;

The Minister of National Defense promulgates detailed regulations implementing certain articles of Decree No. 111/2009/QD-TTg dated September 1, 2009 of the Prime Minister on conditions and procedures for participating in national defense industrial activities as follows:

PART I
GENERAL PROVISIONS

Article 1. Scope of Regulation

This Circular stipulates the procedures and formalities for reviewing and issuing the Certificate of Eligibility for Participation in National Defense Industrial Activities (Certificate) to organizations and individuals; authority to conclude contracts and inspect products; reporting, inspection, and supervision systems regarding participation in national defense industrial activities and the tasks of agencies, units, organizations, and individuals in participating in such activities as prescribed in Decree No. 111/2009/QD-TTg dated September 1, 2009 of the Prime Minister on conditions and procedures for participating in national defense industrial activities (Decree No. 111/2009/QD-TTg).

Article 2. Applicability

Article 1. This Circular applies to agencies, units, organizations, and individuals both within and outside Vietnam participating in national defense industrial activities.

Article 2. Core national defense industrial facilities and mobilization industrial facilities do not fall under the scope of application of this Circular.

Article 3. Explanation of Terms

In this Circular, the following terms are understood as follows:

Point 1. Demand for mobilizing participation in national defense industrial activities refers to the need to supply public goods and services for national defense according to the plans of agencies and units subordinate to the Ministry of National Defense.

Point 2. Special materials refer to specialized materials used for national defense purposes in the production, repair, and maintenance of weapons, equipment, ammunition, and military technical equipment.

Article 4. Fields of national defense industrial activities requiring the issuance of a Certificate

Point 1. Research and application of advanced science and technology to produce national defense products. Production, repair, modernization, and improvement of weapons, equipment, technical installations; production of propellants, explosives, chemicals, radioactive substances for national defense and security.

Point 2. Trade, investment, technology transfer, and construction projects related to state secrets within the scope of national defense. Basic construction of projects and components directly serving the production of weapons, ammunition, propellants, explosives, and military technical equipment.

Point 3. Procurement of special materials for the production and repair of finished products, semi-finished products, key components of various types of weapons, ammunition, military technical equipment, and materials with high flammability and explosiveness.

Point 4. Training human resources for the design of weapons, ammunition, military technical equipment, propellants, and explosives, and technology transfer for the production of products in these fields to serve national defense and national security.

Article 5. Fields of national defense industrial activities exempt from the requirement to issue a Certificate

Point 1. Production of parts (casting, heat treatment, plating, precision mechanical processing, plastic parts, composite parts...) for products specified in Clause 1, Article 4 of this Circular.

Point 2. Trade, investment, and technology transfer unrelated to national security and confidentiality. Basic construction of projects and components not included in the projects specified in Clause 2, Article 4 of this Circular.

Point 3. Procurement, storage, and preservation of common materials and techniques.

Point 4. Training and development of human resources not in specialized fields of national defense and security.

Article 6. Subjects participating in national defense industry activities are exempted from procedures for obtaining a Certificate.

1. Foreign organizations and individuals who have obtained a business investment license in accordance with Vietnamese law.

2. Foreign organizations and individuals purchasing or supplying military weapons and equipment that have been approved by the Ministry of National Defense for import and export contracts.

Chapter II
PROCEDURE AND PROCEDURES FOR REVIEW AND ISSUE OF CERTIFICATE

Article 7. Review Documents

1. Issuing a Certificate of Eligibility to participate in national defense industry activities for domestic organizations:

a) One original copy: Application form for participation in national defense industry activities clearly stating main information and materials about the organization and specific fields of operation (as specified in Appendix I attached to this Circular);

b) One certified copy: Decision on establishment of the enterprise. List and addresses of affiliated units;

c) One certified copy: Business Registration Certificate;

d) One certified copy: Certificate of eligibility for security and public order and Fire Safety Certificate issued by competent authorities (for conditional business operations);

đ) One certified copy: Audited financial report for the last three years;

e) One certified copy: List and brief resumes of management staff;

g) One certified copy: File of the General Director and Deputy General Director, including: personal resume confirmed by the managing authority; University degree certificate;

h) One certified copy: Technical condition documentation; production technology floor plan design; production process flow;

i) One certified copy: Environmental standard certification for the production facility issued by competent authorities;

Number of copies: One set.

2. Issuing a Certificate of Eligibility to participate in national defense industry activities for domestic individuals:

a) One original copy: Application form for participation in national defense industry activities clearly stating main information and materials about the individual and specific fields of operation (as specified in Appendix II attached to this Circular);

b) One certified copy: Professional qualification certificate issued by competent state authorities according to law related to the field of national defense industry in which the individual wishes to participate;

c) One certified copy: Financial capability documentation;

d) One certified copy: Brief resume confirmed by the managing authority;

đ) Number of copies: One set.

3. Issuing a Certificate of Eligibility to participate in national defense industry activities for foreign organizations:

a) One original copy: Application form for participation in national defense industry activities clearly stating main information and materials about the organization and specific fields of operation (as specified in Appendix I attached to this Circular);

b) One certified copy: Decision on establishment of the enterprise. List and addresses of affiliated members;

c) One certified copy: Audited financial report for the last three years;

d) One certified copy: List and brief resumes of management staff;

đ) One certified copy: Technical condition documentation; production technology floor plan design; production process flow;

e) One certified copy: Decision on leasing land in Vietnam by competent authorities for national defense industry activities in the field in which the organization wishes to participate (if applicable);

g) Number of copies: One set.

4. Issuing a Certificate of Eligibility to participate in national defense industry activities for foreign individuals and overseas Vietnamese:

a) One original copy: Application form for participation in national defense industry activities clearly stating main information and materials about the individual and specific fields of operation (as specified in Appendix II attached to this Circular);

b) One certified copy: Professional qualification certificate issued by competent state authorities according to law related to the field of national defense industry in which the individual wishes to participate;

c) One certified copy: Financial capability documentation;

d) One certified copy: Brief resume confirmed by the managing authority;

đ) One certified copy: Passport and Residence Permit in Vietnam according to law;

e) One certified copy: Brief personal resume confirmed by local authorities where the individual resides abroad;

g) One certified copy: Joint venture contract or business cooperation contract (if applicable);

h) Number of copies: One set.

Article 8. Procedure for Examination

1. Organizations and individuals wishing to participate in national defense industry activities shall submit applications or directly contact the National Defense Industry General Department at address 28A Dien Bien Phu, Ba Dinh, Hanoi.

2. The Ministry of National Defense authorizes the National Defense Industry General Department to chair the establishment of the Examination Council to review and issue Certificates.

3. Based on the examination results of the application or the conclusion of the Examination Council, the Director of the National Defense Industry General Department, acting on behalf of the Head of the Ministry of National Defense, shall issue the Certificate to organizations and individuals. In cases where the conditions for issuing the Certificate are not met, the National Defense Industry General Department shall notify in writing (specifying the reasons for non-issuance) to the organization or individual who submitted the application to participate in national defense industry activities.

Article 9. Time Limit for Examination

1. Within 15 (fifteen) working days from the date of receiving complete valid applications, the National Defense Industry General Department shall examine and issue the Certificate for participation in national defense industry activities (as specified in Appendix III attached to this Circular).

2. In cases where the field of national defense industry activities is complex, large-scale, with high technical requirements, etc., the National Defense Industry General Department shall establish an Examination Council to conduct the examination. In such cases, the maximum time limit for examination and issuance of the Certificate shall not exceed 30 (thirty) working days from the date of receiving complete valid applications.

Article 10. Examination Council

1. The Head of the National Defense Industry General Department shall serve as the Chairman of the Examination Council.

2. Members of the Examination Council shall include representatives of some agencies of the Ministry of National Defense and invite representatives of relevant state agencies.

3. The Examination Council shall be responsible for establishing the operational regulations of the Council and the content to be examined.

Article 11. Duties of the Examination Council

1. Examine the legality of the Application in accordance with Article 7 of this Circular.

2. Review the actual capacity (technology, equipment, finance, labor, etc.) of organizations and individuals in accordance with the provisions of Clause 1 and 2, Article 6 of Decision No. 111/2009/QĐ-TTg.

3. Conclude and recommend the competent authority to consider issuing or refusing to issue the Certificate.

Article 12. Examination Fee for Issuing the Certificate

1. Agencies, organizations, and individuals as stipulated in Article 2 of this Circular must pay the examination fee when applying for the Certificate in accordance with the provisions of the law.

2. The National Defense Industry General Department shall collect the examination fee for issuing the Certificate. The National Defense Industry General Department shall be responsible for strictly managing revenue and expenditure, and implementing financial settlement procedures in accordance with the regulations.

Chapter III
AUTHORITY TO SIGN DEFENSE CONTRACTS AND ACCEPTANCE OF PRODUCTS

Article 13. Authority to Sign Contracts

1. Commanders of agencies and units may directly sign defense contracts with organizations and individuals based on the need to mobilize their participation in national defense industry activities according to plans approved by the Ministry of National Defense.

2. Agencies and units signing contracts shall be responsible for determining the form of signing defense contracts with organizations and individuals through either direct ordering or organizing bidding. The contract becomes effective upon approval by the competent authority in accordance with current regulations.

3. The content of the contract must ensure the correct type, quantity, and technical specifications of goods and services, and must also be consistent with the content determined according to the Certificate of Eligibility for Participation in National Defense Industry Activities.

4. After signing the defense contract, the agency or unit shall prepare a report to submit to the superior management agency under the Ministry of National Defense for consolidation and monitoring of the implementation process.

Article 14. Acceptance and Warranty of Products

1. The acceptance and liquidation of defense contracts shall be carried out by the agencies and units signing the defense contracts with organizations and individuals according to the terms of the signed defense contracts.

2. Organizations and individuals who are the product owners shall be responsible for warranty of products within the time stipulated in the signed defense contracts and in accordance with the provisions of the law.

Chapter IV
REGIME OF REPORTING, INSPECTION AND AUDIT OF DEFENSE INDUSTRY ACTIVITIES

Article 15. Reporting System

1. The Department of Defense Industry:

a) Shall implement the reporting regime to the Ministry of National Defense on an annual basis regarding the situation of defense industry activities;

b) Shall report promptly or report as required by the Head of the Ministry of National Defense.

2. Agencies under the direct management of the Ministry of National Defense:

a) Shall compile reports to the Directorate of Military Logistics for approval by the Minister of National Defense of the plan for mobilization needs to participate in defense industry activities;

b) Shall report to the Department of Defense Industry on the approved participation needs in defense industry activities for consolidation, management, and inspection during implementation.

3. Agencies and units with mobilization needs to participate in defense industry activities and assigned tasks to sign defense contracts:

a) Shall report to the superior management agency under the Ministry of National Defense about the plan for mobilization needs to participate in defense industry activities.

b) Shall implement regular reporting to the superior management agency under the Ministry of National Defense and the Department of Defense Industry. Promptly report when required by competent authorities or the Head of the Ministry of National Defense.

4. Organizations and individuals participating in defense industry activities:

Shall implement regular reporting to the contracting agency and prompt reporting when required by competent authorities of the Ministry of National Defense.

5. Reporting Format: In writing.

a) Periodic reports:

- Semi-annual report: before June 25 each year;

- Annual report: before December 20 each year.

b) Ad hoc reports:

- When there are issues requiring resolution: no later than 7 days after the occurrence of the event.

- As required by the management agency in necessary cases.

6. Content of Reports:

Report on the situation of participation in defense industry activities (as specified in Appendix IV attached to this Circular).

Article 16. Inspection Regime

The Inspectorate of the Ministry of National Defense shall lead and coordinate with relevant agencies to organize inspections of the implementation of contracts for organizations and individuals participating in defense industry activities and agencies and units signing contracts in accordance with the law.

Article 17. Audit Regime

The Department of Defense Industry shall lead and coordinate with relevant ministries and sectors to be responsible for organizing audits of defense industry activities of organizations and individuals participating in defense industry activities.

1. Regular audits shall be conducted at least once every two years; prompt audits as directed by the Head of the Ministry of National Defense.

2. Audit content includes the implementation of defense industry activities according to the Certificate of Approval; signed defense contracts and other related regulations of the State and the Ministry of National Defense.

Chapter V
TASKS OF AGENCIES AND UNITS

Article 18. Tasks of the Department of Defense Industry

1. To assist the Ministry of National Defense in state management of defense industry activities of agencies, units, organizations, and individuals throughout the country.

2. To coordinate with the Ministry of Industry and Trade to notify organizations and individuals of the need to mobilize participation in defense industry activities.

3. To lead the assessment and issuance of Certificates of Approval to organizations and individuals meeting the conditions to participate in defense industry activities.

4. To notify the Ministry of Industry and Trade of the list of organizations and individuals meeting the conditions to participate in defense industry activities.

5. To lead the development of regulations on administrative penalties in the field of defense industry activities of organizations and individuals according to this Circular.

6. To organize audits of defense industry activities of organizations and individuals; handle violations according to regulations.

7. To manage income and expenditure for the assessment and issuance of Certificates of Approval.

8. To implement the reporting regime as prescribed.

Article 19. Tasks of the Department of Planning and Investment

1. Take the lead in coordinating with relevant agencies to develop budget allocation plans according to the tasks of mobilizing participation in national defense industry activities of agencies and units for submission to the Minister of Defense for decision.

2. Participate in reviewing and inspecting national defense industry activities of organizations and individuals.

3. Direct and guide business operations related to investment management within the scope of national defense industry activities.

Article 20. Tasks of the Financial Department

1. Based on the plan regarding the need for mobilization to participate in national defense industry activities approved by the Minister of Defense. Coordinate with the General Department of National Defense Industry and competent agencies to ensure the budget for national defense industry activities.

2. Take the lead in coordinating with relevant agencies to review the prices of defense products for submission to the Minister of Defense for decision and manage the prices of defense products in national defense industry activities.

3. Direct, inspect, and guide business operations related to budget, capital, assets... used in national defense industry activities.

4. Guide the management of revenue and expenditure for certification fee assessment.

Article 21. Tasks of agencies and units under the Ministry of Defense

1. Annually determine and prepare plans regarding the need for mobilization to participate in national defense industry activities and submit them to the Department of Military Affairs for consolidation and report to the Minister of Defense for approval.

2. Perform tasks according to their functions and assignments when participating in the Certification Committee.

3. Participate in inspections and audits of agencies, units, and organizations and individuals regarding the implementation of defense contracts within their management areas.

Article 22. Tasks of agencies and units that have needs for mobilization to participate in national defense industry activities and are assigned the task of signing defense contracts

1. Annually determine and prepare plans for the need for mobilization to participate in national defense industry activities, report to superior management agencies for consolidation and submission to the Department of Military Affairs for reporting to the Minister of Defense for approval.

2. Organize the signing and implementation of defense contracts with organizations and individuals who meet the conditions to participate in national defense industry activities.

3. Implement reporting systems as prescribed.

Article 23. Tasks of organizations and individuals participating in national defense industry activities

1. Comply with the provisions of the Ordinance on National Defense Industry and this Circular.

2. Implement reporting systems and be subject to inspection and audit as prescribed by law.

3. Manage the Certificate and implement the payment of certification fee assessment as prescribed.

Chapter VI
IMPLEMENTING PROVISIONS

Article 24. Effective Date

This Circular shall take effect forty-five days from the date of signature.

Article 25. Implementation organization

The Chief of General Staff, Chiefs of General Departments, Heads of agencies and units under the Ministry of Defense within their functions, tasks, and authorities shall be responsible for coordinating and guiding the implementation of this Circular.

The Chief of the General Department of National Defense Industry is responsible for organizing the implementation of this Circular./.
