THE MINISTER OF INDUSTRY

Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 187/2004/NĐ-CP dated November 16, 2004 of the Government on the conversion of state-owned companies into joint-stock companies;
Pursuant to Decisions No. 2733/QD-BCN dated August 30, 2005 and No. 2995/QD-BCN dated September 23, 2005 of the Minister of Industry on determining the value of Viet Tri Chemical Company under Vietnam Chemicals Corporation for shareholding reform;
Considering the proposal of Vietnam Chemicals Corporation (Letter No. 1213/CV-HĐQT dated October 21, 2005), the Shareholding Reform Plan for Viet Tri Chemical Company, and the Minutes of the Review of the Plan by the Department of Enterprise Renewal and Development of the Ministry dated October 20, 2005;
At the proposal of the Enterprise Renewal and Development Board and the Director of the Personnel and Organization Department;

DECISION:

Article 1. Approves the Shareholding Reform Plan for Viet Tri Chemical Company (a subsidiary operating independently under Vietnam Chemicals Corporation) with the main contents as follows:

1. Vietnamese name: Viet Tri Chemical Joint Stock Company,

- International trade name: VIETTRI CHEMICAL JOINT STOCK COMPANY;

- Abbreviation: VICCO;

- Head office: Tho Son Ward, Viet Tri City, Phu Tho Province.

2. Viet Tri Chemical Joint Stock Company shall have legal personality under Vietnamese law from the date of registration for business; implement independent economic accounting; have its own seal, open bank accounts according to the law; organize and operate according to the Articles of Association of the Joint Stock Company and the Enterprise Law.

3. The joint stock company engages in the following businesses:

- Production and trading of caustic soda, hydrochloric acid, liquid chlorine, liquid glass, fertilizers, NPK synthesis, detergents, and other basic chemical products containing chlorine such as BaCl2, CaCl2, ZnCl2;

- Engaging in other businesses in accordance with the provisions of the law.

4. Registered capital and structure of issued shares:

a) Registered capital: 31,000,000,000 VND (Thirty-one billion VND).

b) The initial public offering shares amount to 31,000,000,000 VND, corresponding to 3,100,000 shares, each share having a par value of 10,000 VND, including:

- State shares: 1,581,000 shares, accounting for 51.0% of the registered capital;

- Preferential shares sold to employees of the enterprise: 899,000 shares, accounting for 29.0% of the registered capital;

- Shares sold through public auction: 620,000 shares, accounting for 20.0% of the registered capital.

5. Starting price for public auction: 10,100 VND/share.

Auctioning body: Mekong Securities Joint Stock Company.

6. Total preferential shares sold to 491 employees of the enterprise amount to 899,000 shares, listed in the Shareholding Reform Plan of the enterprise.

7. Employee restructuring plan:

- Total number of employees at the time of shareholding reform: 492 people;

- Total number of employees transferred to the Joint Stock Company: 306 people;

- Number of employees under Decree No. 41/2002/ND-CP: 179 people.

8. Training plan for employees to be transferred to the Joint Stock Company:

- Total number of employees requiring retraining: 40 people;

- Budget for retraining expenses: 84,000,000 VND.

9. Cost of shareholding reform: 400,000,000 VND

The Director of Viet Tri Chemical Company decides and is responsible for the actual shareholding reform costs of the Company and implements preferential settlement for employees, labor redundancy allowances, and retraining expenses according to state regulations.

Article 2. The Department of Enterprise Renewal and Development of the Ministry is responsible for directing Vietnam Chemicals Corporation and Viet Tri Chemical Company to sell shares, settle preferential benefits for employees, shareholding reform costs, labor redundancy allowances, and retraining expenses; organize the first shareholders' meeting of the Joint Stock Company and carry out necessary procedures to convert the Company into a Joint Stock Company in accordance with the law.

The Director of Viet Tri Chemical Company is responsible for managing the Company until the transfer of all assets, capital, labor, and land to the Joint Stock Company and is liable for the results of the Company's business operations according to current laws.

Article 3. This Decision shall take effect from the date of signing.

The Chief of the Ministry's Office, the Inspector General of the Ministry, the Heads of Departments and Bureaus under the Ministry, the Department of Enterprise Renewal and Development of the Ministry, the Board of Directors of Vietnam Chemicals Corporation, the Director of Viet Tri Chemical Company, and the Board of Directors of Viet Tri Chemical Joint Stock Company are responsible for implementing this Decision.
