THE MINISTER OF INDUSTRY
Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 187/2004/NĐ-CP dated November 16, 2004 of the Government on the conversion of state-owned companies into joint-stock companies;
Considering the proposal of Vietnam Minerals Corporation (Letter No. 1592/LD-TCKT dated October 27, 2005);
At the proposal of the Enterprise Renewal and Development Board and the Director of the Personnel and Organization Department;
DECISION:
Article 1. Amending Clause 4, Clause 6, and Clause 7 of Article 1 of Decision No. 2720/QD-BCN dated August 25, 2005 of the Minister of Industry on approving the plan and converting the Precious Stones and Gold Company of Hanoi into the Precious Stones and Gold Joint Stock Company of Hanoi as follows:
"4. Registered capital and share structure:
a) Registered capital: 9,000,000,000 Vietnamese dong (Nine billion Vietnamese dong).
b) The initial issuance of shares is 9,000,000,000 Vietnamese dong, corresponding to 900,000 shares, with each share having a par value of 10,000 Vietnamese dong, including:
- State-owned shares: 362,300 shares, accounting for 40.25% of the registered capital;
- Shares preferentially sold to employees within the enterprise: 251,900 shares, accounting for 27.99% of the registered capital;
- Shares publicly auctioned: 285,800 shares, accounting for 31.76% of the registered capital."
"6. The total number of preferential shares sold to 168 employees within the enterprise is 251,900 shares, according to the list in the enterprise's privatization plan."
"7. Employee restructuring plan:
- Total number of employees at the time of privatization: 172 people;
- Total number of employees transferred to the joint stock company: 87 people;
- Total number of surplus employees: 85 people. Among them, according to Decree No. 41/2002/ND-CP: 79 people, according to the Labor Code: 9 people."
Article 2. This Decision shall take effect from the date of signing.
The Head of the Ministry’s Office, the Inspector General of the Ministry, Heads of Departments and Directors of Bureaus under the Ministry, the Board of Directors of Vietnam Minerals Corporation, the Director of the Precious Stones and Gold Company of Hanoi, and the Board of Directors of the Precious Stones and Gold Joint Stock Company of Hanoi are responsible for implementing this Decision.
