THE MINISTER OF INDUSTRY
Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;
Considering the proposal of the Board of Directors of Vietnam Steel Corporation regarding the establishment of the Metallurgical Electromechanical Company (Report No. 654/T-HĐQT dated April 11, 2001);
At the recommendation of the Director of the Organization and Cadre Affairs Department;
Acting on the authority delegated by the Prime Minister in Circular No. 508/CP-ĐMDN dated June 11, 2001 concerning the establishment of the Metallurgical Electromechanical Company,
DECISION:
Article 1. Establish the Metallurgical Electromechanical Company under Vietnam Steel Corporation based on the separation of three units from Thai Nguyen Iron and Steel Company: The Electromechanical Workshop, Construction Workshop, and Nui Vo Stone Quarry into constituent units of the Metallurgical Electromechanical Company.
The Metallurgical Electromechanical Company is a state-owned enterprise, a member of Vietnam Steel Corporation, with independent economic accounting, having legal personality, its own seal, and bank accounts.
The headquarters of the Company is located at Cam Gia Ward, Thai Nguyen City, Thai Nguyen Province.
International trade name: Metallurgical Electromechanical Company,
abbreviated asM.E. Co. Manufacturing, repairing, and installing metallurgical equipment; furnaces, kilns, transmission devices, specialized equipment for the metallurgical industry. Overhauling and repairing transformers up to 20,000 KVA capacity and electric motors up to 2,000 KW capacity. Installing power lines and substations up to 35 KV; testing and calibrating electrical equipment up to 35 KV;
Article 2. Main business activities of the Company:
Producing, manufacturing, and installing metal structures, processing black metals, non-ferrous metals, and alloys. Constructing and repairing industrial buildings (workshops, architectural materials, oil and gas pipelines, industrial water pipelines), and civil works;
Mining and producing various types of stones for use as fluxes in metallurgy and construction. Producing cement, asbestos cement sheets, and other building materials;
Implementing road and bridge construction projects for medium and small-scale transportation infrastructure;
Engaging in production, business, and service activities in other industries as prescribed by law.
Registered capital at the time of the Company's establishment:
Article 3. Total capital: 10,154 billion VND (ten billion one hundred fifty-four million VND)
Fixed capital: 1,912 billion VND

Working capital: 8,242 billion VND
The General Director of Vietnam Steel Corporation is responsible for guiding and directing Thai Nguyen Iron and Steel Company and the Metallurgical Electromechanical Company in the handover and acceptance process in accordance with state regulations.
Article 4. The Metallurgical Electromechanical Company is responsible for completing all necessary procedures to register for business operations and conduct activities in accordance with the law and the Charter of the Company approved by the Chairman of the Board of Directors of Vietnam Steel Corporation.
This Decision shall take effect from July 1, 2001. Any previous documents that conflict with this Decision shall be abolished.
Article 5. The Head of the Ministry's Office, the Inspector General of the Ministry, the Heads of Departments and Bureaus under the Ministry, the Chairman of the Board of Directors and the General Director of Vietnam Steel Corporation, the Directors of Thai Nguyen Iron and Steel Company, and the Metallurgical Electromechanical Company are responsible for implementing this Decision./.
