Regarding the transformation of Electricity Installation Joint Stock Company No. 2
into a single-member limited liability company named Electricity Installation Joint Stock Company No. 2
THE MINISTER OF INDUSTRY
Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001 of the Government on the conversion of state-owned enterprises and enterprises of political organizations and social-political organizations into single-member limited liability companies;
Pursuant to Decision No. 125/QĐ-TTg dated January 28, 2003 of the Prime Minister approving the overall restructuring plan for state-owned corporations and state-owned enterprises under the Ministry of Industry for the period 2003-2005;
Considering the proposal of Vietnam Industrial Construction Corporation (Letter No. 723/CV-ĐMDN dated September 15, 2005) regarding the approval of the plan to transform Electricity Installation Joint Stock Company No. 2 into a single-member limited liability company named Electricity Installation Joint Stock Company No. 2;
At the suggestion of the Director of the Department of Organization and Cadres,
DECISION:
Article 1. Transform Electricity Installation Joint Stock Company No. 2, an independent accounting member enterprise under Vietnam Industrial Construction Corporation, into a single-member limited liability company named Electricity Installation Joint Stock Company No. 2.
The single-member limited liability company named Electricity Installation Joint Stock Company No. 2 (referred to as the Company) shall have its own seal, be allowed to open accounts at banks in accordance with the law, and operate in accordance with the Enterprise Law and the Company's Articles of Association approved by the Board of Directors of Vietnam Industrial Construction Corporation. approval.

- Production of concrete poles and concrete components; production of steel poles and zinc-coated metal structures; production of construction materials;
- Testing and calibration of electrical equipment; testing of high and medium voltage pole structures; oil filtration for transformers up to 500kV;
- Consulting on investment, surveying, designing, quality inspection, supervision of power transmission lines and substations up to 110kV; preparation and review of investment projects;
- Consulting on compensation, land clearance, project management for power and industrial works;
- Organizing training and labor cooperation with foreign countries;
- Trading in equipment and technical materials; cargo transportation, agency services, leasing of equipment, warehouses;
- Hotel and tourism services; investment in industrial zones; real estate business;
- Other businesses as prescribed by law.
Article 3. Organization and operation of the Company:
1. The organizational structure of the Company includes:
a) Chairman and General Director of the Company;
b) Deputy General Directors, Chief Accountant, and supporting staff;
c) Subordinate units of the Company.
2. The organization and operation of the Company are specifically regulated in the Company's Charter on organization and operation.
Article 4. The State-authorized representative as the owner:
Board of Directors of Vietnam Industrial Construction Corporation.

Article 5. The single-member limited liability company named Electricity Installation Joint Stock Company No. 2 shall be responsible for receiving and using effectively the capital and assets transferred by the Board of Directors of Vietnam Industrial Construction Corporation to fulfill the mission of developing production and business operations; inheriting all legitimate rights, interests, and obligations related to capital, assets, labor, and land of Electricity Installation Joint Stock Company No. 2.
Article 6. The Chairman of the single-member limited liability company named Electricity Installation Joint Stock Company No. 2 shall be responsible for drafting the Company's Articles of Association to be submitted to the Board of Directors of Vietnam Industrial Construction Corporation for approval; appointing Deputy General Directors and Chief Accountant of the Company in accordance with the Company's Articles of Association and current laws.
Article 7. This Decision takes effect fifteen days from the date of publication in the Official Gazette.
The Head of the Office of the Ministry, the Inspector General of the Ministry, Heads of Departments and Bureaus under the Ministry, the Board of Directors and General Director of Vietnam Industrial Construction Corporation, the Director of Electricity Installation Joint Stock Company No. 2, the Chairman and General Director of the single-member limited liability company named Electricity Installation Joint Stock Company No. 2 are responsible for implementing this Decision./.
