Regarding the approval of the Statutes of the Vietnam Information Technology Association in Civil Engineering

Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations,
Pursuant to the Government's Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;
Pursuant to the Government Decree No. 88/2003/NĐ-CP dated July 30, 2003 on organization, operation, and management of Associations;
Considering the proposal of the Chairman of the Vietnam Information Technology Association in Civil Engineering and the Director of the Department for Non-Governmental Organizations,
DECISION:
Article 1. Approves the Statutes of the Vietnam Information Technology Association in Civil Engineering which were adopted at the National Congress of Representatives on November 27, 2004 of the Association.
Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
Article 3. The Chairman of the Vietnam Information Technology Association in Civil Engineering and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision.

VIETNAM INFORMATION TECHNOLOGY ASSOCIATION IN CIVIL ENGINEERING
(Issued together with Decision No. 38/2005/QĐ-BNV dated April 13, 2005)

PART I
NAME, AIMS, AND OBJECTIVES
Article 1. Name of the Association
The name of the Association is: Vietnam Information Technology Association in Civil Engineering,
English name: Vietnam Information Technology Association in Civil Engineering.
Abbreviation: VITACE.
Article 2. Purpose and Objectives
The Vietnam Information Technology Association in Civil Engineering is a voluntary professional social organization of individuals engaged in researching, teaching, disseminating, and applying information technology in construction and those who are interested, contributing, or facilitating the development of information technology in construction.
The purpose of the Association is to gather, unite, encourage, and motivate members to enhance their knowledge, exchange information about scientific and technological achievements, economics... both domestically and internationally, thereby promoting research, dissemination, and application of information technology in construction, contributing to the continuous development of the Construction Industry.
Article 3. Position
The headquarters of the Association is located in Hanoi. The Association may have branches or offices in major cities or regions of the country. The establishment of branches or representative offices shall comply with the provisions of the law.
The Association has legal personality, its own seal, assets, and financial resources.
The Association publishes scientific publications under its name.
Article 4. Scope of Activities of the Association
The Vietnam Information Technology Association in Civil Engineering operates throughout the country in accordance with the laws of the Socialist Republic of Vietnam and is a voluntary member of the Vietnam Construction Federation.
The methods of operation of the Association include organizing or coordinating the organization of conferences, seminars, specialized reports, roundtable discussions; Researching and supporting research projects, experimental scientific and technical works, economic construction, organizing creative competitions among members and applying the results in practical production and daily life; Publishing specialized journals, periodicals, and scientific and technical literature on construction information technology; Establishing relations with domestic and foreign associations according to the law to exchange experiences, seek assistance, and continuously create conditions for the development of construction information technology in Vietnam.
Chapter II
TASKS AND POWERS
Article 5. Main tasks of the Association
1. Encouraging and assisting members to improve their professional skills and apply information technology through various forms such as holding specialized training courses, IT clubs in each field, awarding IT prizes..., contributing to the training of talents in the Vietnamese Construction Industry. Motivating members to always maintain their professional conscience and responsibility, serving the interests of society.
2. Mobilizing the positive spirit and creative ability of a large number of members, promoting the development of information technology applications in construction, using the achievements of information technology to serve the Construction Industry, the national construction cause, while helping to protect all legitimate rights and interests of members in information technology construction activities.
3. Organizing and assisting economic and scientific cooperation activities and information technology applications in the Construction Industry, contributing to creating employment opportunities for members.
4. Informing, publicizing, and disseminating construction science and technology knowledge among members and the people. Encouraging and promptly rewarding the creative achievements of members and the construction science and technology cadre.
5. Fulfilling the function of social review and appraisal according to requirements, contributing opinions to state agencies on policies, mechanisms, and projects aimed at promoting the construction development cause.
6. Contacting with foreign information technology associations and organizations to promote international cooperation in construction information technology. Encouraging and creating conditions for members to meet, exchange, and cooperate with international information technology organizations. Gathering and motivating Vietnamese information technology experts abroad to participate in research, application, and business services related to construction information technology in Vietnam.
7. Maintaining close contact with state agencies and other social organizations to propose opinions on construction policies and the development of construction information technology in each stage. Organizing the implementation of scientific research topics and information technology application projects in construction.
8. Fulfilling the duties of a member association of the Vietnam Construction Federation.
Article 6. Powers of the Association
1. Representing the member organizations in activities related to the objectives, purposes, tasks, and powers of the Vietnam Information Technology Association in Civil Engineering.
2. Publishing various types of publications on information technology and construction in accordance with the law. Organizing scientific and technical information on information technology in construction.
3. Engaging in economic activities in accordance with the law through the application of scientific and technological progress and technology. Being able to raise funds for the Association based on membership fees and income from service deployment activities in accordance with the law to cover operational expenses.
4. Fulfilling the powers of a member association of the Vietnam Construction Federation.
Chapter III
MEMBERS
Article 7. Conditions for Becoming a Member
Any Vietnamese citizen engaged in the field of construction and information technology application in construction may apply to join the Association if they: Agree with the objectives, purposes, and Charter of the Association; Voluntarily submit an application to join the Association; Voluntarily participate in the activities of the Association.
Article 8. Procedures for Joining the Association
Individuals and organizations meeting the conditions stated above may write an application to join the Association. The application will be reviewed and recognized by the Central Executive Board of the Association. Members of the Vietnam Construction Information Technology Association have the right to join other associations, including those abroad.
Article 9. Procedures for Removing Membership
A member will be removed from the Association in the following cases:
- An organization ceases operations due to merger, dissolution, or bankruptcy;
- An individual no longer wishes to continue membership, lacks health capacity, or has passed away;
- A member violates laws, breaches professional ethics, or violates the Charter of the Association;
The decision to remove a member is made by the Central Executive Board of the Association and approved by the President of the Association.
Article 10. Individual Members, Organizational Members, Honorary Members
Individual Members: Are those who regularly participate in all activities of the Association; Are individuals with reputation and experience in the industry who have made significant contributions to the Association.
Organizational Members: Are organizations engaged in scientific and technological activities, training, and business in the fields of Information Technology and Construction.
Honorary Members: Are Vietnamese citizens with reputation and capability in the field of applying information technology in construction and who actively support the Association's activities.
Article 11. Responsibilities of Members
1. Respect the Charter of the Association, implement policies and resolutions of the Association, participate in meetings, actively engage in activities, and fulfill tasks assigned by the Association.
2. Promote recruitment of new members and pay full membership fees.
3. Continuously study and improve professional expertise. Actively participate in movements to apply IT advancements to practical production and daily life. Participate widely in disseminating construction information technology knowledge both within and outside the industry.
Article 12. Rights of members
1. Have the right to participate in all activities of the Association, discuss and vote on all aspects of the Association's work, elect and run for positions on the Executive Board of the Association.
2. Request assistance from the Association to enhance professional expertise in information technology. The Association creates conditions for introducing research and application results of information technology into production and daily life. Priority is given to publishing research and application results in the Association's journals and publications.
3. Receive regular information about advances in IT technology, and opportunities to meet and exchange with IT professionals both domestically and internationally to enhance research and application capabilities.
4. Receive a "Vietnam Construction Information Technology Association Member Card" and use it when participating in Association activities.
5. May request to leave the Association at any time upon expressing their wish. When leaving, members must return their membership card.
Chapter IV
Article 8. Principles of Organization
Article 13. Organization of the Association includes
- The Central Executive Board of the Association.
- Organizations under the Central Executive Board of the Association: Office, Scientific Council, scientific and technological organizations, and services. The establishment of these organizations follows legal regulations. The Standing Committee of the Central Executive Board of the Association issues specific regulations and rules regarding the organization, operation, and management of subordinate organizations based on legal provisions.
Article 14. National Congress
The highest leadership body of the Association is the National Congress, which convenes every five years. In special circumstances, an extraordinary congress can be convened if at least two-thirds of the total number of Central Executive Board members request it.
Article 15. Responsibilities of the National Congress
1. Approve reports on previous terms' work and plan for the new term.
2. Decide on amendments and supplements to the Charter of the Association if necessary.
3. Elect the Central Executive Board of the Association and the Inspection Board.
Voting at the Congress can be conducted by raising hands or secret ballot. The form of voting is decided by the Congress.
Article 16. Central Executive Board of the Association
Between Congress sessions, the highest leadership body of the Association is the Central Executive Board of the Association elected by the Congress. The number of board members is determined by the Congress for each term. The Central Executive Board appoints a Standing Committee consisting of: Chairman, Vice Chairmen, Secretary General, Deputy Secretaries General, and Head of the Inspection Board.
Between meetings of the Executive Board, the Standing Committee is responsible for implementing Congress and Executive Board resolutions.
During the interim period, up to one-fifth of the number of Executive Board members appointed by the Congress for each term may be supplemented. The supplementation of Executive Board members is decided by the Central Executive Board of the Association.
Article 17. Chairman, Vice Chairmen, and Secretary General
The Chairman of the Association presides over Association meetings and Central Executive Board meetings, oversees all Association activities to implement Congress and Central Executive Board resolutions, and is legally accountable for all Association activities.
Vice Chairmen are assigned by the Chairman to lead various aspects of Association activities. If the Chairman is absent, a Vice Chairman may be delegated to perform the Chairman's duties. Vice Chairmen are legally accountable for Association activities within their designated scope and areas.
The Secretary General manages daily Association activities and handles tasks assigned by the Chairman.
Article 18. Inspection Board
The Inspection Board assists the Central Executive Board of the Association in monitoring compliance with the Association's Charter, implementation of Central Executive Board resolutions, and resolving complaints related to organizational units and members.
The Inspection Board has the authority to require organizational units and members to report on matters related to inspections decided by the Central Executive Board Standing Committee. The Inspection Board consists of a head and several members. The head of the Inspection Board is a member of the Central Executive Board.
Article 19. Organizational Units of the Association
Based on Congress resolutions, the Central Executive Board of the Association establishes appropriate organizations such as offices, economic service bases, training centers, etc. The establishment must comply with legal regulations.
The Standing Board shall specify in detail the functions, tasks, organizational structure, and staffing, and appoint competent and trustworthy members to head these institutions. Economic service units of the Association may have their own legal personality or may share the common legal personality of the Association. The choice of legal personality shall be decided by the Standing Board. The Standing Board shall decide to change (if necessary) the organizational structure and staff heading these institutions to meet the highest requirements for the development of the Association's activities and work.
Chapter V
REWARDS AND DISCIPLINE
Article 20. Awards
Individual and collective members who achieve outstanding results in Association work, have scientific and technological research projects, inventions, and achievements in training, teaching, propaganda, and dissemination shall be commended by the Association, given priority for publication in Association journals, and recommended for state commendation.
Article 21. Disciplinary Measures
Individual and collective members whose activities violate the Charter of the Association, damaging the honor and reputation of the Association, shall be subject to disciplinary action, criticism, or revocation of membership status.
Chapter VI
ASSETS AND FINANCE
Article 22. Financial Affairs of the Association
The Association shall have accounts, assets, and manage and use them according to the regulations of the Association and the law.
Sources of income of the Association include:
- Membership fees paid annually by members;
- Donations, contributions, and sponsorships from organizations both within and outside the country;
- Results of scientific and information activities;
- Results of economic activities;
- Subsidies from the Vietnam Construction General Association and the State (if any).
Expenditures of the Association:
- For Association activities;
- Construction of physical infrastructure;
- Commendation expenses.
The financial affairs of the Association must be managed and expended according to uniform rules and regulations set by the Association's Executive Committee and in compliance with current laws. Upon dissolution or liquidation of the Association, all assets shall be disposed of in accordance with the law.
Chapter VII
IMPLEMENTING PROVISIONS
Article 23. Amendment and Supplement to the Charter
Only the National Congress of the Vietnam Association for Information Technology in Construction has the right to amend the Association's Charter. The Association will cease operations or dissolve only when there is:
- A resolution of the National Congress;
- A resolution of the state authority as prescribed by law.
The Central Executive Committee of the Vietnam Association for Information Technology in Construction is responsible for guiding the implementation of the Association's Charter.
Article 24. Effectiveness
The Charter of the Vietnam Association for Information Technology in Construction consists of seven chapters and twenty-four articles, and was unanimously adopted on November 27, 2004./.
