Decree No. 45/2003/ND-CP Decision No. 9/2003 of the Government dated May 9, 2003, on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;
Considering the proposal of the Chairman of the Vietnam Association of Friendship Organizations, the Chairman of the Vietnam Peace and Development Fund, and the Director of the Department of Non-Governmental Organizations;

Article 3. The Chairman of the Vietnam Association of Friendship Organizations, the Chairman of the Vietnam Peace and Development Fund, and the Director of the Department of Non-Governmental Organizations are responsible for implementing this Decision.

CHARTER

VIETNAM PEACE AND DEVELOPMENT FUND

Chapter 1 PRINCIPLES AND OBJECTIVES

Article 1. The Vietnam Peace and Development Fund (hereinafter referred to as the Fund).

In English, it is called the Vietnam Peace and Development Foundation (abbreviated as VPDF), established to mobilize the participation and contributions of society to people's foreign activities for peace and development, contributing to the cause of building and defending the Fatherland.

Article 2. The Fund is a non-profit organization, a member of the Vietnam Association of Friendship Organizations, operating under the principle of voluntarism and being responsible for its activities before the laws of the Socialist Republic of Vietnam, having legal personality, seals, assets, and separate accounts, with headquarters in Hanoi.

Chapter 2 FUNCTIONS AND TASKS

Article 3. The Vietnam Peace and Development Fund has the function of participating in people's foreign activities, organizing research, external information dissemination, and other activities related to peace and development issues.

Article 4. Tasks of the Fund

1. Participating in research and exchanging information on peace and development issues; proposing policies and solutions to relevant organizations in Vietnam in this field;

2. Cooperating with domestic and international partners to organize or participate in activities for peace and development;

3. Mobilizing financial support from organizations and individuals both domestically and internationally in accordance with the law to fund the Fund's activities and support organizations and individuals engaged in people's foreign activities for the purpose of peace and development.

Chapter 3 ORGANIZATION AND MANAGEMENT OF THE FUND

Article 5. The organizational structure of the Fund includes:

- The Fund Council and the Fund Chairman. - The Standing Executive Board of the Fund Council. - The Permanent Secretariat. - The Audit Board. - Specialized units.

Article 6. The Fund Council consists of the Chairman, Vice Chairmen, and members of the Fund Council.

1. Functions and tasks: - Determining the direction and content of the Fund's activities; - Appointing the Standing Executive Board of the Fund Council; deciding the organizational structure of the Fund.

2. Principles of operation: voluntarism, consultation, democracy, and collective working methods to decide matters within their authority and responsibility.

3. The Fund Council meeting is held once a year to: - Evaluate results and determine the direction of the Fund's activities; - Approve the Fund's financial report; - Reorganize the Standing Executive Board of the Fund Council when requested by the Standing Executive Board of the Fund Council or more than one-third of the Fund Council members.

4. The Fund Chairman The Fund Chairman is the highest representative of the Fund Council and is responsible for all activities of the Fund before the Vietnam Association of Friendship Organizations and the law. The Vice Chairmen assist the Chairman in managing the Fund's activities as assigned by the Chairman. In necessary cases, the Acting Vice Chairman may be authorized to represent the Fund Chairman.

5. Members of the Fund Council - Members of the Fund Council are Vietnamese citizens with deep expertise in political, economic, social, and foreign affairs fields, agreeing with the Fund's objectives and willing to participate voluntarily in the Fund's activities upon recommendation by two members of the Fund Council; - Members of the Fund Council have the responsibility to comply with the Fund's regulations, pay membership fees, participate in the Fund's activities, or contribute intellectual and financial resources to the Fund; - Members of the Fund Council have the right to participate in the Fund's activities, receive information, and utilize the results of the Fund's activities.

Article 7. The Standing Executive Committee of the Fund Council

The Standing Executive Committee of the Fund Council is the leading body of the Fund between two sessions of the Fund Council, convening regularly every six months, with the following powers and responsibilities:

1. Functions, powers, and duties: - Deciding on programs, plans, and measures to implement the directions of the Fund's activities set forth by the Fund Council; - Deciding on the appointment of the Secretary-General, establishment of specialized units of the Fund, formation or dissolution of working groups serving the Fund's activities; - Issuing regulations on management and utilization of the Fund's revenue sources, examining and approving the financial plan of the Fund, reviewing the Financial Report and deciding on measures for financial management and development; - Supervising and inspecting the activities of the Secretariat; - Preparing the agenda for the Fund Council meetings.

2. Composition of the Standing Executive Committee of the Fund Council The Standing Executive Committee of the Fund Council consists of the Chairman, the Vice-Chairman in charge of regular duties, other Vice-Chairmen, the Secretary-General, and members. The number and composition of the Standing Executive Committee are decided by the Fund Council meeting. The Chairman and Vice-Chairmen of the Fund are appointed according to the procedures for appointing Chairmen and Vice-Chairmen of member organizations of the Vietnam Association of Friendship Organizations.

Article 8. The Permanent Secretariat and the Secretary-General

- Functions and duties of the Permanent Secretariat: Representing the Fund Council and the Standing Executive Committee to direct, organize, and manage the activities of the Fund, and resolve issues of the Fund between two sessions of the Standing Executive Committee of the Fund Council. The Permanent Secretariat includes the Chairman, the Vice-Chairman in charge of regular duties, the Secretary-General, and other members appointed by the Standing Executive Committee of the Fund Council upon the proposal of the Fund Chairman. - Functions, duties, and powers of the Secretary-General: The Secretary-General directly reports to the Standing Executive Committee of the Fund Council on the daily operations of the Fund aimed at implementing programs and plans approved by the Standing Executive Committee of the Fund Council, managing the Fund's capital and assets, and periodically reporting on the Fund's operational status to the Standing Executive Committee of the Fund Council.

Article 9. The Audit Board

The Audit Board consists of the Head, Deputy Head, and a member proposed by the Standing Executive Committee and appointed by the Fund Chairman. The Audit Board operates independently, tasked with auditing and supervising the Fund's activities in accordance with the Charter and relevant laws, reporting and making recommendations to the Standing Executive Committee of the Fund Council on audit results and the Fund's financial situation.

Article 10. Specialized Units

Specialized units of the Fund are established by the decision of the Fund Chairman to carry out specific tasks assigned and operate under regulations stipulated by the Standing Executive Committee of the Fund Council. When necessary, the Fund may establish branches or representative offices elsewhere than its headquarters location, subject to approval by the People's Committee of the province or city where the branch or representative office is located. The Standing Executive Committee decides on the establishment and defines the powers and responsibilities of branches and representative offices based on the Secretary-General's proposal and reports in writing to the competent state agency authorized to decide on the establishment of the Fund.

Chapter 4 FINANCIAL MATTERS OF THE FUND

Article 11. Sources of Revenue of the Fund include:

- Membership fees; - Voluntary contributions from members, organizations, and individuals both domestically and internationally as prescribed by law; - Sponsorship from organizations and individuals for research topics, projects, or other activities of the Fund; - Interest from deposit accounts and other lawful revenues.

Chapter 5 IMPLEMENTATION PROVISIONS

Article 14. The charter of the Vietnam Peace and Development Fund shall be adopted by the Fund Council Conference. Only the Fund Council Conference has the right to amend and supplement the Fund's charter.

The charter of the Fund shall take effect from the date it is approved by the competent authority of the Socialist Republic of Vietnam.
