Pursuant to the State Enterprise Law on April 20, 1995;
Considering the proposal of the Chairman of the Board of Directors of Vietnam Electricity Joint Stock Company and the opinions of the Ministries of Industry, Planning and Investment, Labor, War Invalids and Social Affairs, Home Affairs, Finance, and the Central Economic Commission.
DECISION:
Article 1. Establishing Ninh Binh Power Corporation - an independent accounting entity under Vietnam Electricity Joint Stock Company, operating according to the form of a limited liability company with one member, based on restructuring Ninh Binh Power Corporation - a dependent accounting unit of Region I Power Corporation.
The Limited Liability Company with One Member Ninh Binh Power Corporation (referred to as the Company) shall have its own seal, be allowed to open an account at a bank in accordance with the law, operate in accordance with the Company's Charter and the Enterprise Law. - Full name: Limited Liability Company with One Member Ninh Binh Power Corporation, - Short name in Vietnamese: CTĐNB, - International trading name: NINH BINH POWER COMPANY Ltd, - Short name in English: NBPCo Ltd, - Main office: Km number 2 National Highway 1A; Dong Thanh ward, Ninh Binh city, Ninh Binh province,
Article 2. The Company has the following main tasks:
1. Receiving and effectively utilizing capital and assets transferred by Vietnam Electricity Joint Stock Company for the purpose of developing production and business operations.
2. Operating in the following main industries and professions: - Production and business of electric power. - Construction and renovation of distribution networks up to 100 kV. - Repair and major overhaul of electrical equipment up to 100 kV. - Consulting on construction of distribution networks up to 100 kV: project investment planning, design, tendering of power works: transmission lines and substations up to 100 kV; consulting supervision of construction of power works: transmission lines and substations up to 100 kV, - Processing, manufacturing spare parts, accessories, distribution equipment up to 100 kV. - Import and export, trading in materials and equipment for distribution networks up to 100 kV. - Telecommunications business in accordance with the policy of Vietnam Electricity Joint Stock Company through leasing contracts for telecommunications network assets of the Company. - Other production, business, and service activities in accordance with business licenses.
Article 3. Organization and operation:
The organizational structure of the Company includes: - Chairman of the Company; - General Director of the Company; - Departments and units as stipulated in the plan at the time of establishment of the Company.
2. The organization and operation of the Company are specifically regulated in the Company's Charter on organization and operation.
Article 4. The Chairman of the Board of Directors of Vietnam Electricity Joint Stock Company is responsible for transferring capital to the Company based on the orientation of enterprise restructuring and reform within the Company, creating conditions for the Company to operate efficiently, profitably, and develop; appointing the Chairman of the Company; promulgating the Charter of organization and operation of the Company in accordance with current laws.
Article 5The Chairman of the Company is responsible for drafting the Charter of organization and operation of the Company to submit to the Board of Directors of Vietnam Electricity Joint Stock Company; appointing the General Director, Deputy General Directors, and Chief Accountant of the Company in accordance with current laws.
Article 6. This Decision takes effect from January 1, 2003.
The Chairman of the Board of Directors of Vietnam Electricity Joint Stock Company, the General Director of Region I Power Corporation, the Director of Ninh Binh Power Corporation, and the Chairman of the Limited Liability Company with One Member Ninh Binh Power Corporation are responsible for implementing this Decision.
