Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Pursuant to the proposal of the Board of Directors of the Vietnam Industrial Construction Corporation (Report No. 18/TT-HĐQT dated April 7, 2000);

At the suggestion of the Director of the Department of Organization and Cadres,

DECISION:

Article 1

1. Establish the Construction Materials Company, a member enterprise of the Vietnam Industrial Construction Corporation, based on the separation of certain units of the Construction and Industrial Production Company (a list is attached).

2. The Construction Materials Company shall be a legal entity under Vietnamese law from the date it is registered for business operations, implementing independent economic accounting, using its own seal, and opening accounts at banks in accordance with the law.

3. The main office is located at Trung Than Ward, Thai Nguyen City, Thai Nguyen Province.

-Having a Representative Office in Bac Can Province (based on the transfer of the Representative Office of the Construction and Industrial Production Company in Bac Can Province).

Article 2

1. Business activities of the company:

-Producing various construction materials: asbestos cement sheets, black cement PC 25 and PC 30, clinker, red bricks, ceramic tiles, construction stones, building powder, limestone powder for paper and rubber industries; wood products; manufacturing electric poles, manholes, pipes, and other precast concrete structures;

-Producing ready-mixed concrete and trading in construction materials; Constructing infrastructure and industrial and civil works of medium and small scale.

2. The Charter Capital of the Company at the time of establishment: 15,109,887,000 VND

(fifteen billion, one hundred and nine million, eight hundred and eighty-seven thousand dong)

Article 3. The Construction Materials Company is responsible for completing all necessary registration procedures and operating in accordance with the Company's Charter approved by the Board of Directors of the Vietnam Industrial Construction Corporation, in compliance with the Law on State-Owned Enterprises and relevant laws.

Article 4. This Decision takes effect from September 1, 2000. All previous documents that conflict with this Decision are hereby abolished.

The Director of the Ministry's Office, the Inspector General of the Ministry, Heads of Departments, Directors of Bureaus under the Ministry, Chairman of the Board of Directors and General Director of the Vietnam Industrial Construction Corporation, Directors of the Construction and Industrial Production Company, and Director of the Construction Materials Company are responsible for implementing this Decision./.
