DECISION
Regarding the conversion of Hoa An Stone and Construction Materials Exploitation Company into a joint-stock company Hoa An Stone and Construction Materials Exploitation Company into a joint-stock company
PRIME MINISTER
Pursuant to the Government Organization Law dated September 30, 1992;
Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1998 of the Government on converting state-owned enterprises into joint-stock companies;
At the proposal of the Minister of Construction,
DECISION:
Article 1. Approving the plan for the conversion of Hoa An Stone and Construction Materials Exploitation Company under the First Construction Materials Corporation into a joint-stock company based on the proposal in Circular No. 13/TTr-BXD dated March 10, 2000 of the Minister of Construction:
1. Registered capital: 25,000,000,000 VND.
Where:
- State share ratio: 18% of the registered capital.
- Share ratio sold to employees within the enterprise: 50% of the registered capital.
- Share ratio sold to entities outside the enterprise: 32% of the registered capital.
2. The actual value of the enterprise for conversion into a joint-stock company at the time of November 1, 1999: 37,719,017,614 VND, including the actual value of the state capital portion: 23,304,426,575 VND.
3. Total number of shares sold at a preferential price to employees within the enterprise: 56,850 shares; preferential value amount: 1,705,500,000 VND.
- Number of shares sold at a preferential price to poor employees to be paid gradually: 290 shares; value: 20,300,000 VND.
After the conversion, the enterprise shall use the proceeds from the sale of shares as follows:
- Training and retraining for employees: 750,000,000 VND.
- The First Construction Materials Corporation may use the proceeds from the sale of shares belonging to the state capital portion according to the provisions set out in Clause 3, Article 9 of Decree No. 44/1998/NĐ-CP dated June 29, 1998 of the Government on converting state-owned enterprises into joint-stock companies.
Article 2. Convert Hoa An Stone and Construction Materials Exploitation Company under the First Construction Materials Corporation, Ministry of Construction into a joint-stock company.
Full name in Vietnamese: Hoa An Joint-Stock Company.
International trade name: HOA AN JOINT STOCK COMPANY.
Abbreviation: HOA AN STOCK.CO.
Main office: Hoa An Commune, Bien Hoa City, Dong Nai Province.
Article 3. Hoa An Joint-Stock Company engages in the following business activities:
- Mining and processing minerals.
- Producing and trading construction materials, technical supplies, construction equipment.
- Investing and trading infrastructure, housing, docks, warehouses.
- Tendering and contracting civil, industrial, transportation, water conservancy projects.
- Services related to transportation, tourism, mining and production technology of construction materials.
- Importing and exporting construction materials and exporting labor, experts in the construction and production of construction materials sector.
Article 4. Hoa An Joint-Stock Company:
- Is a legal entity under Vietnamese law from the date of registration for business operations, implementing independent economic accounting, having its own seal, opening bank accounts in accordance with the law, operating in accordance with the company's articles of association and the Enterprise Law.
- The General Director and Chief Accountant of Hoa An Stone and Construction Materials Exploitation Company are responsible for managing the enterprise until the full handover to the Board of Directors and General Director of Hoa An Joint-Stock Company.
Article 5. This Decision takes effect from the date of signing. Abolish previous Decisions that conflict with this Decision. The Minister of Construction, the Board of Directors of the First Construction Materials Corporation, the General Director of Hoa An Stone and Construction Materials Exploitation Company, and the Board of Directors of Hoa An Joint-Stock Company are responsible for implementing this Decision./.The entity shall be responsible for implementing this Decision./.
