THE MINISTER OF INDUSTRY

Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Considering the proposal of the Board of Directors of Vietnam National Industrial Construction Corporation (Proposal No. 17/TT-HĐQT dated April 7, 2000);

At the suggestion of the Director of the Department of Organization and Cadres,

DECISION:

Article 1

1. Establish Steel Structure and Construction Mechanical Company, a member enterprise of Vietnam National Industrial Construction Corporation based on the separation of some units of Installation and Industrial Production Company (with attached list).

2. Steel Structure and Construction Mechanical Company shall be a legal entity under Vietnamese law from the date of business registration, implementing independent economic accounting, using its own seal, and opening bank accounts according to the provisions of the law.

3. The main office is located at No. 275 Nguyen Trai Street, Thanh Xuan District, Hanoi.

-Having a representative office in Binh Duong Province (based on the transfer of the existing representative office of Installation and Industrial Production Company).

Article 2

1. Business activities of the company:

-Producing steel structures for various types of buildings and workshops; composite steel beams for various types of bridges; non-standard steel structures; high-quality bolts and other mechanical products;

-Producing high and low voltage power poles; TV transmission towers; construction equipment; cranes for industrial, civil, and public works projects;

-Constructing industrial, civil, and infrastructure projects; installing power lines and substations up to 35 kV;

-Providing construction consultancy and design services for projects up to Group B;

Trading in metals and general supplies.

2. The Charter Capital of the Company at the time of establishment: 27,095,000,000 VND (twenty-seven billion nine hundred fifty million VND).

Article 3. Steel Structure and Construction Mechanical Company is responsible for completing all necessary business registration procedures and operating according to the Company's Charter approved by the Board of Directors of Vietnam National Industrial Construction Corporation, in accordance with the Law on State-Owned Enterprises and relevant laws.

Article 4. This Decision takes effect from September 1, 2000. All previous documents that conflict with this Decision are hereby abolished.

The Director of the Ministry's Office, the Inspector General of the Ministry, Heads of Departments and Bureaus under the Ministry, Chairman of the Board of Directors and General Director of Vietnam National Industrial Construction Corporation, Director of Installation and Industrial Production Company, Director of Steel Structure and Construction Mechanical Company are responsible for implementing this Decision.
