Abbreviation: V.T.A
The Vietnam Tobacco Association is a voluntary organization of entities engaged in tobacco production, services, scientific research, training, scientists, and management in the tobacco industry in Vietnam.
Article 2. The purpose of the Association is to link, cooperate, and support each other economically and technically in research, technology, production, business, and service of tobacco; represent and protect the legitimate interests of members; contribute to creating more jobs and improving the living standards of workers.
The Vietnam Tobacco Association has legal personality, its own seal, and separate accounts.
Article 3. The main office is located at 152 Tran Phu Street, District 5, Ho Chi Minh City.
The Vietnam Tobacco Association operates throughout the country and is subject to the management of the Ministry of Industry in research, production, business, and service activities related to tobacco. The Association operates in accordance with the laws of the Socialist Republic of Vietnam and this Charter.
The Association may have representative offices both domestically and internationally in accordance with the law.
Article 4. 1. Propaganda and education to help members understand clearly the policies, guidelines, and policies of the Party and State regarding the construction and development of the tobacco industry in various social and economic sectors, ensuring environmental hygiene from production and business activities, and labor safety protection.
Chapter 2
TASKS AND POWERS OF THE ASSOCIATION
Article 5. Tasks and powers of the Association

Representing members to make proposals to the State on policies, measures to encourage and assist in the development of the industry, protecting the legitimate rights and interests of members, resolving cases that cause damage to the industry and members' rights and interests; fulfilling obligations to the State.

Encouraging the enthusiasm and creative labor capacity of members; cooperating, supporting, and helping each other economically and technically in research, production, business, and tobacco services based on exchanging experiences, disseminating, and applying new scientific and technological achievements; uniting to help each other.
4. Providing advisory support to organizations and individuals within the Association during the process of reorganizing structures and management systems suitable for professional development.
Providing information on economics, markets, prices to help members rearrange production and business to achieve high economic efficiency.
5. Organizing conferences and seminars to exchange professional experiences, encouraging cooperation and collaboration among members to coexist and develop. Promoting trade between enterprises and members and among members and economic organizations.
6. Organizing training through appropriate forms to help businesses improve knowledge and business management capabilities, enhance technological and production levels for the tobacco industry in accordance with the law.
9. Organizing training centers, service centers, advisory centers... under the Association when there is a need in accordance with the law.
7. Mediate disputes between members through negotiation, mediation, and cooperation.
8. Build and develop the Association and its membership, establish material foundations, and expand the scope of the Association.
To build and develop international relations with individuals and organizations in Southeast Asia and around the world in accordance with the law.

Regular Members: Individuals and legal entities of Vietnam operating in fields such as tobacco leaf production and processing, cigarette production, auxiliary materials, import and export, scientific research and technology, services... who agree with the Charter of the Association, voluntarily submit an application to join the Association, pay the membership fee, and regular fees can become regular members of the Association.
10. Publish magazines and technical and economic management materials in accordance with the law.
Chapter 3
MEMBERS
Article 6. Members
For members that are legal entities: The person appointed to participate in the Association must be authorized by the member entity with legal personality. In case the person appointed to participate in the Association retires or transfers to another job, the member entity with legal personality will appoint a replacement.

Associate Members: Organizations and individuals related to tobacco production, business, scientific research and technology, production, business, services... and organizations producing and trading science with foreign capital... who agree with the Charter of the Association and submit an application can become associate members of the Association.
3. Honorary Members: Citizens, managers, scientists, and legal entities who have made contributions to the development of the industry generally and the Association specifically may be invited by the Association to become honorary members.
Procedures for terminating membership rights.
Article 7. 3. An organizational member's membership rights are terminated when the competent authority suspends operations, dissolves, or declares bankruptcy.
1. Members voluntarily requesting to withdraw from the Association must submit a letter to the Association's Executive Board.
2. Members will be expelled from the Association in cases of serious violation of the Charter, damaging the reputation, prestige, and finances of the Association.
2. They have the right to discuss, vote, question, and criticize all matters of the Association; they can propose their opinions to state agencies through the Association.
The rights and obligations of members cease after the Association's Executive Board issues a notice.
The Association's executive board shall notify all other members about the list of members who request withdrawal, expelled members, and members whose names are removed.
Article 8. Rights of members
1. Participate in congresses, elect representatives to attend the Association's congress.

They are provided with experience in production dissemination, vocational training, and improvement of scientific and technological levels by the Association through various forms: providing information and documents, attending seminars, training classes, technical demonstrations, technology transfer, domestic and international field trips.
3. To be nominated, proposed, and elected to the Executive Board of the Association and other positions within the Association.
5. They are assisted and protected by the Association in their individual research projects, inventions, and the protection of their rights and interests in production and consumption of products in accordance with the law.
8. Associate members and honorary members enjoy the same benefits as regular members, except for the right to nominate, elect, and vote.
6. To be assisted and introduced by the Association to relevant organizations both within and outside the industry for production contracts, technical consultancy...
7. To have the right to leave the Association.
The Vietnam Tobacco Association is organized and operates on the principles of voluntariness, self-management, financial self-sufficiency, and equality with all members.
Article 9. Obligations of members
1. Strictly comply with the state's policies, laws, and regulations stipulated in this Charter; implement resolutions of the Association; promote the recruitment of new members.
2. Participate in the activities and life of the Association; unite and cooperate with other members to build a stronger organization.
3. Provide necessary information and data to serve the activities of the Association.
4. Pay membership fees and dues in full as prescribed.

ORGANIZATION OF THE ASSOCIATION

- Discussing reports on the summary of the term and the new direction of the Association's activities;
- Deciding on the direction and program of the Association's work;

- Discussing and deciding on important issues of the Association that exceed the decision-making authority of the Executive Board of the Association;
- Discussing, approving the final accounts and adopting the new financial plan;
- Electing the Executive Board of the Association and the Inspection Board of the Association.
3. The Congress may be convened at an extraordinary session to address urgent matters of the Association upon the proposal of two-thirds of the members of the Executive Board of the Association or more than half of the members requesting it.

Article 13. Executive Board of the Association
1. The Executive Board is the leading body of the Association between two congress terms. The number of Executive Board members is determined by the Congress and elected directly by secret ballot or voting. The candidate must receive more than 50% of valid votes.
Members of the Executive Board may be re-elected or relieved of their duties before the term expires according to the provisions of the Congress or upon the proposal of more than half of the members.
The term of the Executive Board is five years, operating under regulations approved by the Congress.

3. Duties and powers of the Executive Board:
- Deciding on measures to implement resolutions and programs of activities for the term of the Congress.
- Decide on the annual work program and plan and announce the results of the Executive Board's activities to members.
- Approve the annual budget plan and final accounts.
- Define the organization and operation of specialized committees, the Association's office, representative offices in various regions; define principles, systems, usage, and management of the Association's assets and finances.
- Electing and dismissing leadership positions of the Association: President, Vice-President, and General Secretary.
- Appointing heads of specialized committees and representatives of the Association in various regions.
- Preparing content, agenda, and documents to submit to the Congress.
- Deciding to convene the next term Congress or the annual delegates' meeting.
Article 14. Standing Committee
1. The Standing Board is elected by the Executive Board and consists of: Chairman, Vice Chairmen, Secretary General, and some members. The number of members is decided by the Executive Board.
2. The Standing Board represents the Executive Board to direct and manage the Association's operations between meetings and must report on their work at each Executive Board meeting.
3. Admit and expel members.
4. The Standing Board operates according to regulations approved by the Executive Board.
Article 15. Chairman and Vice Chairmen
1. The President has the authority and responsibility:
- Legal representative of the Association before the law;
- Organizing and implementing resolutions of the Congress, meetings of representatives, and decisions of the Executive Board of the Association.
- Chair meetings of the Executive Board of the Association.
- To approve personnel for the Association's office.
- Being responsible to the Executive Board of the Association and all members regarding the Association's activities.
2. The Vice Chairmen assist the Chairman, assigned by the Chairman to handle specific issues, and one Vice Chairman may be authorized to manage the Executive Board's affairs when the Chairman is absent.
Article 16. General Secretary of the Association
- Directly manages all activities of the Association's Office.
- Develop operational regulations for the Office, financial management regulations, and asset management regulations of the Association to be submitted to the Executive Board for approval.
- Prepares annual and term-end reports for the Executive Board.
- Manage member lists, files, and documentation.
- Is responsible to the Executive Board and the law for the activities of the Association's office.
Article 17. The Association's Office.
1. The Association's Office is organized and operates according to regulations submitted by the Secretary General for approval by the Executive Board.
2. Employees of the Association's Office are hired and work under contractual conditions.
3. Operating funds of the Office are budgeted by the General Secretary and submitted for approval by the Executive Board.
Article 18. Audit Committee
1. The Inspection Board is directly elected by the full Congress of the Association. The number of members of the Inspection Board is decided by the Congress.
2. The Inspection Board operates according to regulations approved by the Congress.
Article 19. Other advisory and supporting organizations of the Association:

- Branch associations.
- Specialized committees: Agricultural Committee, Cigarette Committee, Trade Committee.
- Service and business organizations.

Chapter 5
FINANCE AND ASSETS OF THE ASSOCIATION
Article 20. Sources of income of the Association.
- Membership fees
- Membership fees contributed by members in accordance with regulations.
- Sponsorship from domestic and foreign organizations and individuals in accordance with legal provisions.
- Other lawful revenues.
Article 21. Expenditures of the Association
Expenses are covered according to the Association's financial regulations such as paying salaries to staff, compensating collaborators, infrastructure, social events, charity, and other reasonable expenses approved by the Standing Committee of the Association.
Article 22. Management and use of finances and assets
1. The Executive Board of the Association stipulates the management and use of the Association's finances and assets in accordance with state regulations.
2. The Supervisory Board is responsible for auditing and reporting annual financial statements and assets publicly to members.
Chapter 6
REWARD AND DISCIPLINE
Article 23. Awards
Members, Executive Board members, Standing Board members, Inspection Board members, and Association staff who have made significant contributions to the tobacco industry and the development of the Association will be appropriately rewarded by the Association and may be recommended by the Association to state agencies for commendation.
Article 24. Disciplinary Measures
Any member, Executive Board member, Standing Board member, Inspection Board member, Association staff who act contrary to the Charter and Resolutions of the Association, damage the Association's reputation and honor, frequently miss regular activities without justifiable reasons, or fail to pay membership fees for one year, will be criticized, reprimanded, warned, or expelled from the membership list depending on the severity, or referred to competent state authorities for handling violations according to the law.
Chapter 7
IMPLEMENTING PROVISIONS
Article 25. Amendments and supplements to the Charter must be unanimously proposed by the full Congress of the Vietnam Tobacco Association and approved by the Ministry of Home Affairs to take effect.
This Charter was unanimously adopted by the full Congress of the Vietnam Tobacco Association on March 24, 2004./.
