DECISION
Regarding the amendment of Clause 1 and Clause 3 of Article 1 of Decision No. 225/2003/QĐ-BCN dated December 19, 2003, issued by the Minister of Industry on the transfer of the Steel Mesh Binh Tay Plant under the South Vietnam Steel Corporation to become the Steel Mesh Binh Tay Joint Stock Company
THE MINISTER OF INDUSTRY
Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 64/2002/NĐ-CP dated June 19, 2002 of the Government on the conversion of state-owned enterprises into joint-stock companies;
Considering the proposal of the Vietnam Steel Corporation (Petition No. 1228/T-TC dated June 7, 2004);
At the proposal of the Enterprise Reform and Development Board and the Director of the Personnel and Organization Department,
DECISION:
Article 1. Amend Clause 1 and Clause 3 of Article 1 of Decision No. 225/2003/QĐ-BCN dated December 19, 2003, issued by the Minister of Industry on the transfer of the Steel Mesh Binh Tay Plant under the South Vietnam Steel Corporation to become the Steel Mesh Binh Tay Joint Stock Company as follows:
"1. Registered capital structure:
The registered capital of the company is 12,750,000,000 VND (Twelve billion seven hundred fifty million VND).
- State shareholding ratio: 51.00%;
- The proportion of shares sold to employees within the Plant: 12.07%;
- The proportion of shares sold outside the Plant: 36.93%.
The value of one share: 100,000 VND."
"3. Preferential treatment for employees within the Plant.
The total number of preferential shares sold to 236 employees within the Plant is 14,027 shares with a preferential value of 420,810,000 VND."
Article 2. This Decision takes effect fifteen days from the date of publication in the Official Gazette.
The Head of the Ministry's Office, the Inspector General of the Ministry, the Heads of Departments and Directorates under the Ministry, the Chairman of the Board of Directors, the General Director of the Vietnam Steel Corporation, the General Director of the South Vietnam Steel Corporation, and the Chairman of the Board of Directors and the Director of the Steel Mesh Binh Tay Joint Stock Company are responsible for implementing this Decision./.
