REGARDING THE ESTABLISHMENT OF GENPACIFIC INFORMATION TECHNOLOGY COMPANY, A MEMBER UNIT OF VIETNAM ELECTRONICS AND INFORMATION TECHNOLOGY CORPORATION
THE MINISTER OF INDUSTRY
Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;
Considering the proposal of the Board of Directors of Vietnam Electronics and Information Technology Corporation at Document No. 349/CV-ĐT-HĐQT dated July 26, 2000;
At the suggestion of the Director of the Department of Organization and Cadres,
DECISION:
Article 1. Establishing GENPACIFIC Information Technology Company, a member enterprise of Vietnam Electronics and Information Technology Corporation, based on restructuring the Branch of the Corporation in Ho Chi Minh City.
- International trade name: GENPACIFIC.
- The main office of the Company is located at 391A Nam Ky Khoi Nghia Street, Ward 7, District 3, Ho Chi Minh City.
- The Company has a Branch in Hanoi based on transforming the GENPACIFIC-Hanoi Computer Center into a Branch of the Company in Hanoi.
- GENPACIFIC Information Technology Company is a legal entity under Vietnamese law from the date of business registration, implementing independent economic accounting, using its own seal, and opening bank accounts according to the law.
Article 2. Main business activities of the Company:
- Engaging in the production and sale of Vietnamese brand computers;
- Developing software for export and domestic use;
- Providing electronic, information technology, and automation services to customers;
- Conducting other business and service activities as prescribed by law.
- Charter Capital of the Company at the time of establishment: 15.9 billion VND, including:
* Fixed capital: 9.4 billion VND, including:
+ State budget capital: 3.2 billion VND
+ Self-supplemented capital: 6.2 billion VND
* Working capital: 6.5 billion VND, including:
+ State budget capital: 2.5 billion VND
+ Self-supplemented capital: 4.0 billion VND
Article 3. GENPACIFIC Information Technology Company is responsible for completing all necessary business registration procedures and operating according to the Company's Charter approved by the Board of Directors of Vietnam Electronics and Information Technology Corporation, in accordance with the Law on State-Owned Enterprises and relevant laws.
Article 4. This Decision shall take effect fifteen days from the date of signature. All previous documents that conflict with this Decision are hereby abolished.
The Head of the Ministry’s Office, the Inspector General of the Ministry, Heads of Departments and Directorates under the Ministry, Chairman of the Board of Directors and General Director of Vietnam Electronics and Information Technology Corporation, Director of GENPACIFIC Information Technology Company, Director of the Branch of Vietnam Electronics and Information Technology Corporation in Ho Chi Minh City are responsible for implementing this Decision./.
