Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 64/2002/NĐ-CP dated June 19, 2002 of the Government on the conversion of state-owned enterprises into joint-stock companies;
CONSIDERING THE PROPOSAL OF VIETNAM MINERALS CORPORATION AT LETTER NO. 545/CV-TCLD DATED JUNE 10, 2004;
At the proposal of the Enterprise Reform and Development Board and the Director of the Personnel and Organization Department,
DECISION:
Article 1. AMENDING CLAUSE 1 AND CLAUSE 3 OF DECISION NO. 227/2003/QD-BCN DATED DECEMBER 22, 2003 OF THE MINISTER OF INDUSTRY ON THE TRANSFORMATION OF THE GEOLOGICAL AND MINERAL COMPANY INTO THE JOINT STOCK GEOLOGICAL AND MINERAL COMPANY AS FOLLOWS:
"1. Registered capital structure:
The charter capital of the company is five billion Vietnamese dong (VND 5,000,000,000). Of which:
- STATE SHARE: 56.89%;
- SHARE SOLD TO EMPLOYEES INSIDE THE COMPANY: 30.60%;
- SHARE SOLD OUTSIDE THE COMPANY: 12.51%.
The value of one share: 100,000 VND."
"3. Employee benefits.
THE TOTAL NUMBER OF SHARES SOLD WITH PREFERENTIAL PRICING TO 81 EMPLOYEES INSIDE THE COMPANY IS 9,908 SHARES WITH A PREFERENTIAL VALUE OF 297,240,000 DONG. AMONG THEM, THE NUMBER OF SHARES SOLD WITH PREFERENTIAL PRICING AND DELAYED PAYMENT TO 23 POOR EMPLOYEES IS 1,981 SHARES, WORTH 138,670,000 DONG."
Article 2. This Decision takes effect fifteen days from the date of publication in the Official Gazette.
