THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;
Pursuant to the Government Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;
Pursuant to the Government Decree No. 88/2003/NĐ-CP dated July 30, 2003 on the organization, operation, and management of associations;
Considering the proposal of the Chairman of the Vietnam-German Small and Medium Enterprise Association and the Director of the Department of Non-Governmental Organizations,

DECISION:

Article 1. Approves the Statutes of the Vietnam-German Small and Medium Enterprise Association which were adopted at the First Term General Assembly on April 15, 2004.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3. The Chairman of the Vietnam-German Small and Medium Enterprise Association and the Director of the Department of Non-Governmental Organizations shall be responsible for implementing this Decision./.

CHARTER

VIETNAM GERMAN SMALL AND MEDIUM ENTERPRISE ASSOCIATION
(issued together with Decision No. 53/2004/QĐ-BNV dated August 3, 2004)

Chapter I:
Name of the Association:

Article 1.

1. Vietnamese name: Vietnam German Small and Medium Enterprise Association.

2. English name: Vietnam German Small and Medium Enterprise Association.

3. Abbreviation: VGEA.

Article 2. The Vietnam-German Small and Medium Enterprise Association is a voluntary social and professional organization of businesspeople who have studied, worked, or labored in the Federal Republic of Germany and representatives of Vietnamese production and business organizations related to partners and markets in the Federal Republic of Germany.

The purpose of the Association is to exchange information and experience and support each other in production and business activities; represent and protect the legitimate interests of members; enhance investment cooperation, trade promotion, technology transfer, tourism development... between small and medium-sized enterprises in Vietnam and businesses, individuals, or organizations in the Federal Republic of Germany in accordance with the laws of both countries, contributing to the development of the Vietnamese economy; cooperate and support Vietnamese people living and working in the Federal Republic of Germany who wish to invest in their home country to establish businesses.

Article 3The Vietnam-German Small and Medium Enterprise Association has legal personality, its own seal, and separate accounts.

The main office of the Association is located in Hanoi.

The Association may have representative offices both domestically and internationally as provided by law.

Article 4. The Vietnam-German Small and Medium Enterprise Association operates throughout the country in accordance with the laws of the Socialist Republic of Vietnam and these Statutes. The Association is subject to state management by the Ministry of Planning and Investment.

Chapter II:
TASKS AND RIGHTS OF THE ASSOCIATION

Article 5Duties and powers of the Association:

1. Representing the community of Vietnamese businesspeople who have studied, worked, and labored in the Federal Republic of Germany and returned to their home country and businesspeople from Vietnamese production and business organizations related to partners and markets in the Federal Republic of Germany in making proposals regarding policies relevant to the fields in which the Association operates.

2. Disseminating the policies of the Party and State on cooperation between Vietnam and the Federal Republic of Germany to members.

3. Participating in protecting the rights and legitimate interests of members.

4. Promoting trade and investment, transferring technology, finding production and business partners with individuals and organizations in the Federal Republic of Germany in accordance with the law.

5. Organizing seminars and training sessions on matters related to production and business activities in accordance with the law.

6. Organizing advertising and introducing products of members in accordance with the law.

7. Cooperating with individuals and organizations both domestically and internationally in accordance with the law.

8. Participating in implementing programs of cooperation between Vietnam and the Federal Republic of Germany in supporting returnees and those planning to return in establishing businesses and integrating into communities upon permission from state management agencies.

9. Establishing training, consulting, technology transfer, trade promotion, tourism development centers under the Association when necessary in accordance with the law.

10. Publishing publications and informational materials about activities, business operations, and economic management in accordance with the law.

Chapter III:
MEMBERS

Article 6.

1. Regular Members: Vietnamese businesspeople who have studied, worked, or labored in the Federal Republic of Germany and Vietnamese representatives of Vietnamese production and business organizations related to partners and markets in the Federal Republic of Germany, who agree with the Statutes of the Association, voluntarily submit membership applications, pay membership fees, and annual dues, can become regular members of the Association.

2. Honorary Members: Citizens, managers, and organizations that have made significant contributions to the formation and development of the Association, invited by the Association to become honorary members.

Article 7. Procedures for terminating membership rights

1. A member who voluntarily requests to leave the Association must submit a letter to the Executive Board of the Association.

2. A member will be expelled from the Association in cases of serious violation of the Association's Statutes, affecting the reputation, prestige, and finances of the Association.

3. Being suspended from operation, dissolved, or declared bankrupt by a state agency.

4. Being suspended from operation, dissolved, or declared bankrupt by a state agency.

5. Members who terminate their membership rights cannot claim back any contributions previously made to the Association.

Article 8. Rights of members

1. Participate in the General Assembly of the Association.

2. Discuss, vote, question, criticize all matters of the Association; propose and express opinions through the Association to state agencies.

3. Nominate and be nominated for positions on the Executive Board and other leadership roles within the Association.

4. Receive training and experience sharing on production and business operations, professional development, management improvement, information provision, market surveys in Vietnam and abroad.

5. Be protected by the Association in terms of rights and legitimate interests.

6. Be commended and rewarded by the Association or recommended for commendation and rewards by state agencies for outstanding achievements in production and business activities and in building the Association.

7. Have the right to leave the Association.

8. Honorary members enjoy the same rights as regular members, except for the rights to nominate, elect, and vote.

Article 9. Obligations of members

1. Adhere to state laws and the Statutes of the Association.

2. Participate in Association activities; unite and cooperate with other members to build the Association.

3. Provide information to serve Association activities.

4. Pay membership fees and annual dues as prescribed.

Chapter IV:
ORGANIZATION AND OPERATING PRINCIPLES

Article 10. The Vietnam-German Small and Medium Enterprise Association is organized and operates on the principles of voluntarism, self-management, financial self-sufficiency, and equality among all members.

Article 12. The General Assembly

Article 13. Executive Board of the Association

1. It is the leading body of the Association between two terms of the General Assembly. The number of members is decided by the General Assembly; during its operation, additional members can be elected to meet the development requirements.

2. Tasks of the Executive Board:

- Decide on measures to implement Resolutions and programs of activities during the term of the General Assembly.

- Decide on the annual program and plan of activities and report the results of the Executive Board's activities to members, branches, and subordinate units.

- Elect and dismiss leadership positions of the Association including: President, Vice Presidents, Secretary-General, and members. Decide on disciplinary actions against members of the Executive Board.

- Elect the Standing Board and the Inspection Board of the Association.

- Prepare the content, program, and documents to be submitted to the General Assembly at the end of the term.

- Decide to convene a regular Congress or an extraordinary Congress.

- The Executive Board holds regular meetings annually and extraordinary meetings convened by the Standing Board.

- Members of the Executive Board must be investors in enterprises; or individuals with credibility in the business community.

Article 14. Standing Committee

1. The Standing Board consists of: President, Vice Presidents, Secretary-General, and some members.

2. The Standing Board meets three times a year.

3. Tasks of the Standing Board:

- Represent the Executive Board to direct and manage the activities of the Association between two meetings of the Executive Board.

- Report on the self-criticism of work in each meeting of the Executive Board.

- Decide on the establishment of central organizations under the Association.

- Decide on plans and programs of activities of organizations under the Association.

- Decide on joining international organizations according to the provisions of the law.

- Decide on the annual membership fee and joining fee of the Association.

- Decide on key personnel of branches and organizations under the Association.

- Decide on the logo of the Association and issue membership cards according to the provisions of the law.

- Maintain regular consultations to direct the activities of the Association.

- Decide on the addition of members to the Executive Board.

Article 15. Supervisory Board:

1. The Inspection Board is elected by the Executive Board consisting of Chairperson, Deputy Chairperson, and members. The number is determined by the Executive Board to meet the requirements.

2. Tasks of the Inspection Board:

- Assist the Executive Board in inspecting compliance with the Charter of the Association, implementation of Resolutions of the General Assembly and the Executive Board, as well as policies of the Standing Board of the Association.

- The functions, tasks, and powers of the Central Inspection Board of the Association are defined by the Central Standing Board of the Association.

3. The term of the Inspection Board is five years, corresponding to the term of the Executive Board.

Article 16. President, Vice Presidents, Secretary-General

1. The President of the Association has powers and duties:

- To represent the legal entity of the Association before the law.

- Organize and implement Resolutions of the General Assembly, the Executive Board, and the Standing Board.

- Convene and chair meetings of the Standing Board and the Executive Board.

- Appoint personnel for the Association Office and other organizations established by the Association.

- Assign tasks to Vice Presidents and the Secretary-General.

- To be responsible to the Central Executive Board and all members of the Association for the activities of the Association.

2. Vice Presidents: are assigned specific areas by the President and authorized to manage the work of the Executive Board when the President is absent.

3. Secretary-General: is responsible for directly managing all activities of the Association, with the following duties:

- Prepare the content of meetings of the Executive Board and the Standing Board.

- Regularly report to the President and the Standing Board on the activities of the Association, prepare annual reports, and term reports of the Executive Board.

- Manage the assets and finances of the Association.

- Organize activities of the Association according to the directives of the President.

- Be accountable before the law, the President of the Association, and the Executive Board for the activities of the Association Office.

Article 17. Association Office

1. Organizes and operates according to the Regulations presented by the Secretary-General and approved by the President.

2. Has the task of coordinating the activities of the Association and other organizations of the Association under the guidance of the President of the Association.

Chapter V:
ASSOCIATION FINANCE

Article 18. The Vietnam-Germany Association of Small and Medium Enterprises operates on a self-financing basis.

1. Revenue items:

- Membership fees and annual fees of members.

- Donations from organizations and individuals according to the provisions of the law.

- Income from service activities of the Association according to the provisions of the law.

2. Expenditure items

Expenses for the activities of the Association Office, the Executive Board, and other organizations of the Association.

3. All revenue and expenditure of the Association's finance must comply with state laws on financial accounting.

Chapter VI:
REWARD AND DISCIPLINE

Article 19. Awards

Members, members of the Executive Board, the Standing Board, and staff of the Association who have made significant contributions to the development of the industry and the construction of the Association will be appropriately rewarded by the Association and may be recommended for awards by state agencies.

Article 20. Disciplinary Measures

Members, members of the Executive Board, the Standing Board, and staff of the Association who act contrary to the Charter and Resolutions of the Association, damage the reputation and honor of the Association, miss regular meetings without valid reasons, or fail to pay membership fees for one year, will be criticized or removed from the membership list depending on the severity of the situation.

Chapter VII:
IMPLEMENTING PROVISIONS

Article 21. This Ordinance consists of seven chapters and twenty-one articles, which were unanimously adopted at the First General Assembly of the Vietnam-Germany Association of Small and Medium Enterprises on April 15, 2004. Any amendments or supplements to this Ordinance must be proposed by the National Congress of the Vietnam-Germany Association of Small and Medium Enterprises and approved by the competent state authority before they can take effect./.
