THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations.
Pursuant to Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs.
Pursuant to the Government's Decree No. 88/2003/NĐ-CP dated July 30, 2003 on the organization, operation, and management of Associations.
Considering the proposal of the Chairman of the Vietnam Poultry Association and the Director of the Department for Non-Governmental Organizations.

DECISION:

Article 1. Approves the Amended Regulations of the Vietnam Poultry Association which have been adopted at the Extraordinary General Assembly of the Association.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3. The Chairman of the Vietnam Poultry Association and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision./.

CHARTER

AMENDMENTS TO THE VIETNAM POULTRY ASSOCIATION

PART I
Name of the Association:

Article 1. The Association shall be named: Vietnam Poultry Association.

English name and international trade name: Vietnam Poultry Association.

Abbreviation: VIPA.

Article 2. The Vietnam Poultry Association (hereinafter referred to as the Association) is a voluntary organization of enterprises, economic organizations, public service organizations, farms, managers, and citizens of Vietnam operating in the fields of poultry farming, processing, trading, research, design, manufacturing equipment, producing and trading breeding stock, feed, veterinary drugs, services... related to poultry.

The purpose of the Association is to develop cooperation and support each other economically and technically in business and services, enhance product value, represent and protect the legitimate interests of members, effectively support each other, and contribute positively to the development of the poultry industry in Vietnam.

Article 3. The Vietnam Poultry Association has legal personality, its own seal and separate bank account.

The main office is located in Hanoi, the Association may establish representative offices both domestically and internationally in accordance with the law.

Article 4. The Vietnam Poultry Association operates throughout the country. It adheres to the laws of the Socialist Republic of Vietnam, the State regulations on association activities, and the provisions of these Regulations. The Association is subject to the management of the Ministry of Agriculture and Rural Development in poultry farming, processing, service... activities.

Chapter II
TASKS AND POWERS OF THE ASSOCIATION

Article 5. Tasks and powers of the Association:

1. Propaganda and education for members to understand clearly the Party and State policies on building and developing the poultry farming and processing industry in various economic sectors...

2. Represent members in making proposals to the State regarding policies, measures to encourage and assist in developing the poultry farming industry, protecting the legitimate rights and interests of members, resolving cases and incidents causing damage to the industry and members' rights, fulfilling obligations to the State.

3. Encourage the creative labor capacity of members, cooperate and support each other economically and technically in poultry farming, processing, service... based on exchanging experiences, disseminating and applying new scientific and technological achievements, uniting and helping each other.

4. Provide advisory support to organizations and individuals within the Association during organizational restructuring.

Provide information on economics, markets, prices for members to organize their businesses more efficiently.

5. Organize conferences and seminars to exchange advanced scientific and technical knowledge, professional experience, and provide advisory opinions on issues within the scope of the Association's activities upon request from the State, ministries, functional agencies, and organizations and individuals.

6. Build and develop the organizational structure of the Association and expand membership, build material infrastructure, and broaden the scope of the Association.

Develop and strengthen international relations with individuals and organizations in Southeast Asia and around the world in accordance with the law.

7. Establish training centers, service centers, advisory centers... under the Association when necessary in accordance with the law.

8. Publish newsletters, magazines, and move towards publishing journals and technical and economic management materials in accordance with the law.

9. Maintain relationships with scientific and technical associations, other associations both domestically and internationally, poultry associations of other countries, and the World Poultry Association to exchange experiences and seek assistance in all aspects to enhance the Association's operational capacity in accordance with the law.

Chapter III
MEMBERS

Article 6. Members

1. Regular Members: Are organizations and individuals of Vietnam operating in the fields of poultry farming, processing, services... who agree with the Regulations of the Association, voluntarily submit applications to join the Association, pay the joining fee and membership fees, and are recognized by the Executive Board of the Association can become regular members of the Association.

2. Associate Members: Are organizations and individuals related to poultry farming, processing, services... and production and trading organizations with foreign investment who agree with the Regulations of the Association, submit applications to join the Association, pay the joining fee and membership fees can become associate members of the Association.

3. Honorary Members: Are citizens, managers, scientists, and legal entities who have made contributions to the development of the industry and the Association invited by the Association to become honorary members.

4. Legal entity members (enterprises or organizations) appoint representatives to the Association. The representative must have decision-making authority, clearly stated in their application to join the Association. In case of delegation, the delegate must have decision-making authority, and the delegator must bear responsibility for the delegation. When changing representatives, the member must notify the Executive Board of the Association in writing.

Article 7. Procedures for Joining the Association:

1. Organizations and individuals mentioned in Clause 1 of Article 6 above, who voluntarily register to join the Association and attend the founding Congress of the Association shall be recognized as Members of the Association.

2. After the founding Congress of the Association, organizations and individuals wishing to join the Association must submit an application for membership to the Association's office. The application includes the following documents:

+ Application for membership in the Association.

+ Certified copies of the Decision on Establishment, Business License, and other related documents (for organizations).

3. Organizations and individuals joining the Association after the founding Congress will be recognized as Members after submitting the application for membership and paying the membership fee.

4. The Executive Board shall notify all Members of the list of new Members within fifteen days from the date the new Members are admitted.

Article 8. Procedures for Terminating Membership:

1. Members who voluntarily request to withdraw from the Association must send a letter to the Executive Board of the Association.

2. Members who are expelled from the Association due to serious violations of the Charter of the Association, affecting the reputation, prestige, and finances of the Association.

3. For organizations that have been suspended from operation, dissolved, or declared bankrupt by state authorities.

The rights and obligations of members cease after the Association's Executive Board issues a notice.

The Executive Board of the Association shall notify all Members in writing about the list of Members who have withdrawn, those who have been expelled, and those whose names have been removed.

Article 9. Rights of Members:

1. To participate in congresses, elect representatives to attend the Association's congress.

2. To discuss, vote, question, criticize all activities of the Association, and make recommendations and express opinions through the Association to state agencies.

3. To be nominated, proposed, and elected to the Executive Board of the Association and other positions within the Association.

4. To receive information dissemination, professional training, and skill enhancement from the Association in various forms such as providing information and materials, attending seminars, training courses, technical demonstrations, domestic and international tours and surveys.

5. To receive assistance from the Association in introducing service contracts and technical consultancy positions with entities both within and outside the industry.

6. To have the right to leave the Association.

7. Associated Members and Honorary Members enjoy the same rights as regular Members, except for the rights to nominate, elect, and vote.

8. All Members (regular, associated, honorary) will be automatically removed from the Member list if their civil rights are revoked.

Article 10. Obligations of Members:

1. Strictly comply with the state's policies, laws, and regulations stipulated in this Charter, implement resolutions of the Congress or the General Meeting of the Executive Board, and promote the development of new Members.

2. Participate in the activities and life of the Association, cooperate with other Members to build a stronger organization.

3. Provide necessary information and data to serve the activities of the Association.

4. Pay membership fees and dues in full as prescribed.

5. Protect the reputation of the Association, and not use the name of the Association in transactions unless authorized by the Chairman of the Executive Board.

Chapter IV
ORGANIZATION OF THE ASSOCIATION

Article 11. The Vietnam Poultry Raising Association is organized and operates on the principles of voluntarism, self-management, financial self-sufficiency, and equality among all Members.

Article 13. National Congress of the Vietnam Poultry Raising Association

1. The National Congress of the Vietnam Poultry Raising Association is the highest authority of the Association. The Congress is held every five years.

- Discussing and approving the final report, self-assessment report of the term of the Executive Committee and the Inspection Committee of the Association.

3. The Congress may be convened at an extraordinary session to address urgent issues of the Association upon the proposal of two-thirds of the members of the Executive Committee of the Association or more than half of the members requesting it.

4. Resolutions of the Congress are passed according to the majority principle.

Article 14. The Executive Committee of the Association:

1. The Executive Committee of the Association is the leading body of the Association between two congresses. The number of members of the Executive Committee of the Association is decided by the Congress and elected directly by secret ballot or show of hands. The candidate must receive more than 50% of valid votes.

Members of the Executive Committee of the Association can be re-elected or relieved of duty before the end of their term according to the decision of the Congress or upon the proposal of more than half of the members.

A member of the Executive Committee who is a representative of a legal entity due to retirement or transfer to another job will be replaced by another person from the same legal entity, still being a member of the Executive Committee.

The term of the Executive Committee of the Association is five years and can hold extraordinary meetings when requested by the Chairman or at least two-thirds of the total members of the Executive Committee, operating according to the regulations approved by the Congress.

2. The Executive Committee of the Association holds regular meetings once a year in years without a congress.

3. Tasks and powers of the Executive Board of the Association:

- Deciding on measures to implement resolutions and programs of activities for the term of the Congress.

- Decide on the annual program and plan of work and report the results of the Executive Board's activities to the branches.

- Approve the annual budget plan and final accounts.

- Establishing the organizational structure and operation of specialized committees, the Association's office, regional representative offices, and setting principles, systems, usage, and management of assets and finances of the Association.

- Electing and dismissing leadership positions of the Association: President, Vice Presidents, General Secretary, and Deputy General Secretaries.

- Appointing heads of specialized committees and representatives of the Association in regions.

- Preparing content, agendas, and documents for the congress.

- Deciding to convene the next term Congress or the annual delegates' meeting.

- Considering membership applications and expelling members.

Article 15. The Standing Committee

The permanent body of the Central Executive Committee of the Association is the Standing Committee consisting of the President, Vice Presidents, General Secretary, Deputy General Secretaries, and full-time members. The Executive Committee of the Association elects these positions.

The total number of members of the Standing Committee does not exceed one-third of the total number of members of the Executive Committee of the Association.

Responsibilities of the Standing Committee:

- Representing the Executive Committee of the Association to direct and manage the activities of the Association between two meetings and report on work during the meetings of the Executive Committee of the Association.

- Supervising and urging the implementation of the work programs of the committees, central executive committee members, branches, and affiliated units.

- Preparing reports for meetings of the Central Executive Committee of the Association.

- Deciding on organizational, personnel, and financial matters of the Association according to the provisions of the Charter.

- The Standing Committee meets once every three months.

Article 16. Chairman and Vice Chairmen.

1. The Honorary Chairman is the person elected by the Association Congress, has the right to participate in the Congress, Central Executive Committee Meetings, and the Standing Committee Meeting of the Association but does not vote.

2. The Chairman of the Association has powers and responsibilities:

- Representing the Association before the law.

- Organize the implementation of Resolutions of the Congress, Representative Meetings, and decisions of the Executive Committee and the Standing Committee of the Association.

- Chair meetings of the Executive Committee and the Standing Committee of the Association.

- Directly lead the General Secretary of the Association.

- Approving personnel of the Association's office and other organizations established by the Association.

- Be responsible before the Executive Committee, the Standing Committee of the Association, and all Members for the activities of the Association.

- Chair the next term's Executive Committee meeting until a new Chairman is elected.

3. The Vice Chairmen assist the Chairman, assigned specific tasks by the Chairman. The First Vice Chairman takes charge of operations in the Chairman's absence. The number of Vice Chairmen is decided by the Executive Committee based on the Chairman's proposal.

Article 17. General Secretary and Deputy General Secretaries:

1. General Secretary:

- Is directly in charge of all activities of the Association's office.

- Develops operational regulations for the office, financial management regulations, and asset management regulations of the Association, to be submitted to the Executive Committee for approval.

- Regularly reports to the Standing Committee and the Executive Committee of the Association on the Association's activities.

- Prepares annual and term-end reports for the Executive Board.

- Manages lists, files, and documents about members and subordinate organizations.

- Is responsible before the Executive Committee of the Association and under the law for the activities of the Association's office.

2. Deputy General Secretary:

- Assists the General Secretary in managing office operations and assumes the General Secretary's duties when the General Secretary is absent.

Article 18. Association Office:

1. The Association Office is organized and operates according to regulations approved by the Standing Committee upon submission by the General Secretary.

2. Staff members of the Association Office are hired and work under contractual terms in accordance with state laws.

3. Operating funds for the office are budgeted by the General Secretary and submitted to the Standing Committee for approval.

Article 19. Supervisory Board:

1. The Supervisory Board is directly elected by the full Association Congress. The number of Supervisory Board members is determined by the Congress.

2. The Supervisory Board has authority and responsibilities:

- To inspect the implementation of Congress resolutions, the Charter, regulations, and annual work programs of the Congress.

- To inspect Members' activities to commend and reward them. At the same time, to identify violations of the Charter and negative phenomena so that the Association can promptly correct them.

- To inspect economic, financial activities, and other activities of the Association and its affiliated organizations.

- To examine and resolve complaints.

Article 20. Branch Associations

Any organization with five or more people may establish a Branch Association. The highest leadership body of a Branch Association is the full Branch Association Congress, held every two years.

Article 21. Responsibilities of Branch Associations:

1. Guide business, production, processing, service activities... Fully implement the Charter and regulations of the Branch Association and the Association.

2. Promote the development of new Members and expand the Association's reputation.

3. Organize study sessions, tours, training.

4. Organize marketing to promote the business and production of the Branch Association.

Chapter V
FINANCE AND ASSETS OF

THE ASSOCIATION

Article 22. Sources of income for the Association:

- Membership fees.

- Membership fees contributed annually by members.

- Sponsorship from domestic and foreign organizations and individuals in accordance with legal provisions.

- Other lawful revenues.

Article 23. Expenditures of the Association:

Shall be made according to the financial regulations of the Association such as paying salaries to employees, compensating collaborators, infrastructure, social activities, charity, and other reasonable expenditures as decided by the Executive Board of the Association.

Article 24. Management and use of finances and assets:

1. The Executive Board of the Association shall stipulate the management and use of the Association's finances and assets in accordance with state regulations and accounting laws.

2. The Inspection Board is responsible for auditing and publicly reporting the finances and assets annually to members.

Chapter VI
REWARD AND DISCIPLINE

Article 25. Awards

Members, members of the Executive Board of the Association, the Inspection Board, staff, and employees of the Association who have made significant contributions to the development of the poultry farming industry and the construction of the Association will be appropriately rewarded by the Association and may be recommended by the Association to relevant state agencies for commendation.

Article 26. Disciplinary Measures.

Members, members of the Executive Board of the Association, the Standing Board, the Inspection Board, staff, and employees of the Association who act contrary to the Charter and Resolutions of the Association, damage the reputation and honor of the Association, frequently miss regular meetings without valid reasons, or fail to pay membership fees for one year, will be criticized, reprimanded, warned, or removed from the member list, or referred to competent authorities for handling violations in accordance with the law depending on the severity of the case.

Chapter VII
IMPLEMENTING PROVISIONS

Article 27. This Charter consists of 7 chapters and 27 articles, which were unanimously approved at the First National Congress of the Vietnam Poultry Farming Association on November 4, 2003, and subsequently amended and supplemented at an extraordinary congress. Any amendments and supplements to the Charter must be proposed and agreed upon by the National Congress of the Vietnam Poultry Farming Association and approved by the competent state authority to take effect./.
