DECISION OF THE PRIME MINISTER
Regarding the conversion of the Export Handicraft Combined Company under the Industry Department of Ho Chi Minh City into a Joint Stock Company. According to the proposal of the Chairman of the People's Committee of Ho Chi Minh City.
PRIME MINISTER
Pursuant to the Government Organization Law dated September 30, 1992;
Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1998 of the Government on converting state-owned enterprises into Joint Stock Companies;
Approving the plan for the shareholding reform of the state-owned enterprise Export Handicraft Combined Company under the Industry Department of Ho Chi Minh City based on the request in Document No. 541/UB-KT dated February 21, 2000 from the Chairman of the People's Committee of Ho Chi Minh City:
DECISION:
Article 1. 1. The Charter Capital of the Joint Stock Company: 14,000,000,000 VND.
- State Shareholding Ratio: 30% of the Charter Capital.
Wherein:
- Shareholding Ratio sold to employees within the company and other external entities: 70% of the Charter Capital.
2. The actual value of the Export Handicraft Combined Company under the Industry Department of Ho Chi Minh City at the time of 00:00 on January 1, 1999 for the purpose of shareholding reform is 19,831,779,556 VND, including the actual value of the state capital in the company at 13,944,566,916 VND.
- Total number of shares sold at preferential prices to workers within the enterprise: 15,624 shares; the preferential value amounting to 468,720,000 VND.
3. Employee benefits:

- The General Director and Chief Accountant of the Export Handicraft Combined Company are responsible for managing the enterprise until the entire company is handed over to the Board of Directors and General Director of the Export Handicraft Combined Joint Stock Company.
This Decision takes effect from the date of signing. Decisions contrary to this Decision are abolished. The Chairman of the People's Committee of Ho Chi Minh City, the Director of the Industry Department of Ho Chi Minh City, the Director of the Export Handicraft Combined Company, and the Board of Directors of the Export Handicraft Combined Joint Stock Company are responsible for implementing this Decision./.
Article 5.This Decision shall take effect from the date of signature. Decisions contrary to this Decision are hereby repealed. The Chairman of the People's Committee of Ho Chi Minh City, the Director of the Industry Department of Ho Chi Minh City, the General Director of the Export Composite Art and Craft Company, and the Board of Directors of the Export Composite Art and Craft Joint Stock Company are responsible for implementing this Decision./.
