Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Considering the proposal of the Board of Directors of Vietnam National Industrial Construction Corporation (Proposal No. 29/TT-HĐQT dated September 12, 2000);

At the suggestion of the Director of the Department of Organization and Cadres, 

DECISION:

Article 1.

1\. Establish Construction and Building Materials Company Number 5, a member enterprise of Vietnam National Industrial Construction Corporation, based on the separation of certain units of Chemical Construction Company (a list is attached).

2\. Construction and Building Materials Company Number 5 shall be a legal entity under Vietnamese law from the date of business registration, implementing independent economic accounting, using its own seal, and opening bank accounts in accordance with the law.

3\. International trade name: Construction & Materials Company No5, abbreviated name: CMCo-5

4\. The main office is located at No. 22 Ly Tu Trong Street, District 1, Ho Chi Minh City.

Article 2.

1\. Business activities of the Company:

a\. Construction and installation of industrial, civil, and transportation projects;

b\. Installation of technological equipment, process piping, electrical and water facilities for projects; fabrication of steel structures and non-standard equipment;

c\. Construction of power transmission lines and substations up to 35 kV;

d\. Production of building materials; lamp soil; acetylene gas, ready-mixed concrete.

2\. Charter Capital of the Company at the time of establishment: 5,191,054,000 VND (five billion, one hundred ninety-one million, five hundred forty thousand VND)

Article 3. Construction and Building Materials Company Number 5 is responsible for completing all business registration procedures and operating according to the Company's Charter approved by the Board of Directors of Vietnam National Industrial Construction Corporation, in accordance with the Law on State-Owned Enterprises and other relevant laws.

Article 4. This Decision shall take effect fifteen days from the date of signature. All previous documents that conflict with this Decision are hereby abolished.

The Head of the Ministry’s Office, the Inspector General of the Ministry, Heads of Departments and Bureaus under the Ministry, Chairman of the Board of Directors and General Director of Vietnam National Industrial Construction Corporation, Director of Chemical Construction Company, and Director of Construction and Building Materials Company Number 5 are responsible for implementing this Decision./.
