Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the Securities Law dated June 29, 2006;
Considering the proposal of the Minister of Finance,
DECISION:
Article 1. Transfer the Ho Chi Minh City Securities Trading Center, under the State Securities Commission, to the Ho Chi Minh City Securities Exchange to organize a trading market for securities of issuers meeting the listing conditions at the Securities Exchange as prescribed by law.
Article 2. The Ho Chi Minh City Securities Exchange is a state-owned entity, organized in the form of a limited liability company with one member, operating in accordance with the Securities Law, the Enterprise Law, the Charter of the Securities Exchange, and other relevant laws.

Article 3. The Ho Chi Minh City Securities Exchange has its own seal, opens accounts at domestic and foreign commercial banks, operates independently, is financially self-sufficient, and implements financial systems, reporting, statistics, accounting, and auditing according to the provisions of the law.
Article 4. The Ho Chi Minh City Securities Exchange has rights and obligations as stipulated in Article 37 and Article 38 of the Securities Law.
Article 5. The operational capital of the Ho Chi Minh City Securities Exchange includes:
1. Registered capital: 1,000 (one thousand) billion Vietnamese dong, including:
a) Capital transferred from the Ho Chi Minh City Securities Trading Center by the state budget;
b) Additional capital from the state during the course of operations.
2. Additional capital from post-tax profits and other lawful sources.
Article 6. Organizational structure and operation
1. The management and executive body of the Ho Chi Minh City Securities Exchange consists of: Board of Directors, Supervisory Board, General Director, and supporting departments.
2. The organization and operation of the Ho Chi Minh City Securities Exchange are specifically regulated in the Charter of the Ho Chi Minh City Securities Exchange.
Article 7. This Decision takes effect fifteen days after its publication in the Official Gazette.
Article 8. Implementation
1. The Minister of Finance approves the Charter of the Ho Chi Minh City Securities Exchange, guides, and organizes the implementation of this Decision.
2. The Board of Directors and General Director of the Ho Chi Minh City Securities Exchange are responsible for organizing the operation of the Ho Chi Minh City Securities Exchange in accordance with the provisions of the law.
3. The Minister of Finance, Chairman of the State Securities Commission, Ministers, Heads of ministerial-level agencies, Heads of agencies under the Government, Chairmen of People's Committees of provinces and centrally-administered cities related to this Decision are responsible for its implementation./.
