THE MINISTER OF TRADE
On the basis of Decree No. 95/CP dated December 4, 1993 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Trade;
On the basis of Decision No. 152/2002/QĐ-TTg dated November 7, 2002 of the Prime Minister approving the overall plan for restructuring and modernizing state-owned enterprises under the Ministry of Trade for the period 2002 - 2005 and Document No. 370/CP-ĐMDN dated April 3, 2003 of the Government directing the transfer of units under the General Corporation of Machinery and Components directly under the Ministry; Transfer ten independent accounting units under the General Corporation of Machinery and Components to be directly under the Ministry of Trade to implement the shareholding plan pursuant to Decision No. 152/2002/QĐ-TTg dated November 7, 2002 of the Prime Minister including: for Hanoi Spare Parts Equipment Company.
At the proposal of the Director of the Cadre and Civil Servant Organization Department
DECISION:
Article 1. Haiphong Spare Parts Equipment Company.
1. Da Nang Spare Parts Equipment Company.
2. Ho Chi Minh City Spare Parts Equipment Company.
3. Hanoi Import-Export Machinery Company.
4. Ho Chi Minh City Import-Export Machinery Company.
5. Spare Parts Company.
6. Hanoi Equipment Company.
7. Hanoi Material and Technical Service Company.
8. Machinco Printing Factory.
9. The Chairman of the Board of Directors and the General Director of the General Corporation of Machinery and Components shall be responsible for transferring in their entirety: tasks, organizational structure, assets, physical facilities, capital, labor... and related documents of the ten units specified in Article 1 to the Ministry for management.
10. The transfer date shall be based on actual inventory data up to December 31, 2002. Completion of the transfer must be completed before June 15, 2003 and reported to the Ministry.
Article 2. Assign the Directors of the ten units specified in Article 1 to receive and be responsible for stabilizing organization and effective business operations; drafting the Charter of organization and operation of the Company to submit to the Ministry for approval; implementing business registration and re-engraving seals according to the law.
Assign the Personnel Organization Department, Finance Accounting Department, Planning Statistics Department to guide the General Corporation of Machinery and Components in implementing the transfer of the units specified in Article 1 in accordance with the regulations of the State.
Article 3. This Decision takes effect fifteen days from the date of signature, all previous documents contrary to this Decision are abolished.
Article 4. The Head of the Ministry's Office, the Heads of the Personnel Organization Department, the Finance Accounting Department, the Planning and Statistics Department, and the Heads of relevant Departments, the Chairman of the Board of Directors, the General Director of the General Corporation of Machinery and Components, and the Directors of the units specified in Article 1 are responsible for enforcing this Decision./.
Article 5. This Decision shall take effect fifteen days from the date of signature, all previous documents that conflict with this Decision are hereby abolished.
Article 6. The Head of the Ministry's Office, the Heads of the Cadre Organization Department, the Finance and Accounting Department, the Planning and Statistics Department, and the Heads of other relevant Departments and Bureaus, the Chairman of the Board of Directors, the General Director of the Machine and Spare Parts Corporation, and the Directors of units specified in Article 1 are responsible for implementing this Decision./.
