DECISION

Approves the Statutes of the Vietnam Cotton Association.

THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

Based on Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;

Pursuant to the Government's Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;

Pursuant to the Government Decree No. 88/2003/NĐ-CP dated July 30, 2003 on the organization, operation, and management of associations;

Considering the proposal of the Chairman of the Vietnam Cotton Association and the Director of the Department of Non-Governmental Organizations,

DECISION:

Article 1. Approves the Statutes of the Vietnam Cotton Association which were adopted at the First General Assembly of the Association on June 25, 2004.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3. The Chairman of the Vietnam Cotton Association and the Director of the Department of Non-Governmental Organizations shall be responsible for implementing this Decision./.

CHARTER

Vietnam Cotton Association
(Issued pursuant to Decision No. 65/2004/QĐ-BNV dated October 1, 2004)

PART I

Name of the Association:

Article 1. The Association shall be named: Vietnam Cotton Association

English name: Viet Nam Cotton Association

Abbreviation: V.C.A

Article 2. The Vietnam Cotton Association is a voluntary organization of entities and individuals engaged in research, science and technology, cultivation, processing, production, trade, and service of cotton products.

The purpose of the Association is to link, cooperate, and support each other economically and technically in research, technology, cultivation, production, trade, services, and enhance the value of cotton products; represent and protect the legitimate interests of members; contribute to creating more jobs and improving the living standards of workers.

Article 3. The Vietnam Cotton Association has legal personality, its own seal, and separate accounts.

The main office is located at Lot I, 15-17, D2 Street, Ward 25, Binh Thanh District, Ho Chi Minh City.

The Association may have representative offices both domestically and internationally in accordance with the law.

Article 4. The Vietnam Cotton Association operates nationwide and is subject to the management of the Ministry of Industry in activities related to research, technology, cultivation, production, trade, and services of cotton products. The Association operates in accordance with the laws of the Socialist Republic of Vietnam and these Statutes.

Chapter II

TASKS AND POWERS OF THE ASSOCIATION

Article 5. Tasks and powers of the Association

1. To educate members about the Party's and State's policies on building and developing the cotton industry within various social and economic sectors, ensuring environmental protection from production and business activities, and safeguarding labor safety.

2. To represent members in making proposals to the State regarding policies and measures to encourage and assist in the development of the industry and protect the legitimate rights and interests of members; resolve cases that cause damage to the industry and members' rights and interests; fulfill obligations towards the State.

3. To motivate and utilize the enthusiasm and creative labor capacity of members; cooperate and support each other economically and technically in research, production, trade, and services of specialized cotton products based on exchanging experiences, disseminating, and applying new scientific and technological achievements; unite and help each other.

4. To provide advisory support to organizations and individuals of the Association in restructuring and adjusting management structures suitable for professional development.

Provide information on economics, markets, prices to enable members to rearrange production and business operations for high economic efficiency. Participate in opinions on planning for planting and processing cotton, labor market specifics of each region to exploit the strengths of each member in the Association and ensure the interests of the Vietnamese cotton industry.

5. Organize conferences and seminars to exchange professional experiences, encourage cooperation and collaboration among members to coexist and develop. Promote trade between enterprises and members and between members and economic organizations.

6. Organize training through appropriate forms to help businesses improve knowledge and business management capabilities, enhance technological and production levels for the cotton industry in accordance with the law.

7. Mediate disputes between members through negotiation, mediation, and cooperation.

8. Build and develop the Association and its membership, establish material foundations, and expand the scope of the Association.

To build and develop international relations with individuals and organizations in Southeast Asia and around the world in accordance with the law.

9. Organize training centers, service centers, advisory centers... under the Association when necessary in accordance with the law.

10. Publish magazines and technical and economic management materials in accordance with the law.

11. Manage and use centralized funds to serve the development of the cotton industry in accordance with state regulations.

Chapter III

MEMBERS

Article 6. Members

1. Regular Members: Individuals and organizations with legal personality of Vietnam operating in fields such as cultivation, processing, production, trade, scientific research and technology, services, consumption... of specialized cotton products who agree with the Statutes of the Association, voluntarily submit applications to join the Association, pay admission fees and membership dues can become regular members of the Association.

For organizational members with legal personality: The person appointed to join the Association must be authorized by the member. In case the appointed person retires or transfers to another job, the organizational member with legal personality will appoint a replacement.

2. Associate Members: Organizations and individuals related to cultivation, production, trade, scientific research and technology, processing, consumption, services... of specialized cotton products and foreign-invested scientific production and trading organizations who agree with the Statutes of the Association and submit applications can become associate members of the Association.

3. Honorary Members: Citizens, managers of science and technology, and legal entities who have contributed to the development of the industry generally and the Association specifically may be invited by the Association to become honorary members.

Article 7. Procedures for joining and terminating membership rights

A. Joining procedures:

1. The application dossier for joining the Association includes:

- An application to join the Association (Legal entity must have the signature and stamp of the unit).

- Copies of the decision on establishment and business license for legal entities.

- Curriculum vitae of the authorized representative accompanied by two 4x6 photographs.

2. The above dossier shall be submitted to the Association's office for review and forwarded to the President of the Association to issue a decision on admission and notify all members in writing of the list of new members within fifteen days from the date of admission.

B. Procedures for terminating membership rights

1. Members voluntarily requesting to withdraw from the Association must submit a letter to the Association's Executive Board.

2. Members will be expelled from the Association in cases of serious violation of the Charter, damaging the reputation, prestige, and finances of the Association.

3. Being suspended from operation, dissolved, or declared bankrupt by state authorities.

4. Failure to pay membership fees within sixty days from the second notice issued by the Association.

A member will be expelled if two-thirds of the executive board members agree. The rights and obligations of the member terminate after the Association's executive board issues a notification.

The Association's executive board shall notify all other members about the list of members who request withdrawal, expelled members, and members whose names are removed.

Article 8. Rights of Members

1. Participate in congresses, elect representatives to attend the Association's congress.

2. To discuss, vote, question, and criticize all activities of the Association; to make suggestions and proposals to state agencies through the Association to protect their legitimate interests and development, both individually and collectively for the cotton industry in Vietnam.

3. To be nominated, proposed, and elected to the Executive Board of the Association and other positions within the Association.

4. To be provided with production experience dissemination, vocational training, and enhancement of scientific and technological proficiency by the Association through various means such as information provision, document supply, seminar attendance, training classes, technical demonstrations, technology transfer, domestic and international field visits.

5. To receive assistance and support from the Association in individual research projects, innovative initiatives in the profession, protection of legal rights and policies in production and product consumption in accordance with state laws.

6. To be assisted and introduced by the Association to relevant organizations both within and outside the industry for production contracts, technical consultancy...

7. To have the right to leave the Association.

8. Associated members and honorary members enjoy the same rights as regular members, except for the rights to nominate, elect, and vote.

Article 9. Obligations of members

1. Strictly comply with the state's policies, laws, and regulations stipulated in this Charter; implement resolutions of the Association; promote the recruitment of new members.

2. Participate in the activities and life of the Association; unite and cooperate with other members to build a stronger organization.

3. Provide necessary information and data to serve the activities of the Association.

4. Pay membership fees and dues in full as prescribed.

Chapter IV

ORGANIZATION OF THE ASSOCIATION

Article 10. The Vietnam Cotton Textile Association is organized and operates on the principles of voluntarism, self-management, financial self-sufficiency, and equality among all members.

Article 11. The organization of the Association includes:

- The General Assembly of Members;

- The Executive Board of the Association;

- The Standing Board of the Association;

- Inspection Board;

- Specialized Branches;

- Representative Office;

- Subordinate Organizations.

Article 12. The National Congress of the Vietnam Cotton Textile Association.

1. The National Congress of the Vietnam Cotton Textile Association is the highest authority of the Association. The Congress is held every five years.

2. Main tasks of the Congress:

- Discussing reports on the summary of the term and the new direction of the Association's activities;

- Deciding on the direction and program of the Association's work;

- Deciding to amend and supplement the Charter of the Association;

- Discussing and deciding on important issues of the Association that exceed the decision-making authority of the Executive Board of the Association;

- Discussing, approving the final accounts and adopting the new financial plan;

- Electing the Executive Board of the Association and the Inspection Board of the Association.

3. The Congress may be convened at an extraordinary session to address urgent matters of the Association upon the proposal of two-thirds of the members of the Executive Board of the Association or more than half of the members requesting it.

4. Resolutions of the Congress are adopted by voting according to the majority principle. In cases where members cannot attend the Congress or the General Meeting, representatives of members may delegate others to attend on their behalf.

Article 13. Executive Board.

1. The Executive Board of the Association is the leading body of the Association between two congress terms. The number of members of the Executive Board shall be decided by the Congress and elected directly by secret ballot or voting. The person elected must obtain more than 50% of valid votes.

Members of the Executive Board may be re-elected or relieved of their duties before the term expires according to the provisions of the Congress or upon the proposal of more than half of the members.

The term of the Executive Board is five years, operating under regulations approved by the Congress.

2. The Executive Board convenes regularly once every six months at the call of the Chairman of the Executive Board. Sessions are considered valid when more than two-thirds of the Executive Board members are present. Decisions and resolutions of the Executive Board are passed by voting and only become effective when more than half of the attending Executive Board members agree.

3. Duties and powers of the Executive Board:

- Deciding on measures to implement resolutions and programs of activities for the term of the Congress.

- Decide on the annual work program and plan and announce the results of the Executive Board's activities to members.

- Approve the annual budget plan and final accounts.

- Define the organization and operation of specialized committees, the Association's office, representative offices in various regions; define principles, systems, usage, and management of the Association's assets and finances.

- Electing and dismissing leadership positions of the Association: President, Vice-President, and General Secretary.

- Appointing heads of specialized committees and representatives of the Association in various regions.

- Preparing content, agenda, and documents to submit to the Congress.

- Deciding to convene the next term Congress or the annual delegates' meeting.

- Considering membership applications and expelling members.

Article 14. Standing Committee.

1. The Standing Committee is elected by the Executive Board of the Association, consisting of: Chairman, Vice Chairmen, General Secretary, and some members. The number of members is determined by the Executive Board of the Association.

2. The Standing Committee represents the Executive Board of the Association to direct and manage the Association's operations between two meetings and must report on their work during the Executive Board meetings.

3. The Standing Committee operates under regulations approved by the Executive Board of the Association.

Article 15. Chairman and Vice Chairmen.

1. The President has the authority and responsibility:

- Legal representative of the Association before the law;

- Organizing and implementing resolutions of the Congress, meetings of representatives, and decisions of the Executive Board of the Association.

- Chair meetings of the Executive Board of the Association.

- Approve personnel for the Association's office and organizations established by the Association.

- Sign decisions appointing, dismissing, and establishing necessary specialized committees for the Association's operations.

- Being responsible to the Executive Board of the Association and all members regarding the Association's activities.

- The age of the Association's Chairman shall not exceed seventy years.

2. Vice Chairmen assist the Chairman, assigned by the Chairman to handle specific issues, and one Vice Chairman may be authorized to manage the Executive Board's affairs when the Chairman is absent.

Article 16. General Secretary of the Association.

- Directly manages all activities of the Association's Office.

- Develop operational regulations for the Office, financial management regulations, and asset management regulations of the Association to be submitted to the Executive Board for approval.

- Prepares annual and term-end reports for the Executive Board.

- Manage the Association's assets, member lists, files, and documents about members and subordinate organizations of the Association.

- Is responsible to the Executive Board and the law for the activities of the Association's office.

Article 17. Association Office.

1. The Association Office is organized and operates under regulations presented by the General Secretary for approval by the Executive Board.

2. Staff of the Association Office are recruited and work under fixed-term employment contracts.

3. Operating funds of the Office are budgeted by the General Secretary and submitted for approval by the Executive Board.

Article 18. Inspection Board.

1. The Inspection Board is directly elected by the full Congress of the Association. The number of members of the Inspection Board is decided by the Congress.

2. The Inspection Board operates under regulations approved by the Congress, with operating costs covered by the Association.

3. Tasks of the Inspection Board:

- Inspect and supervise the activities of the Executive Board, Chairman, Vice Chairmen, General Secretary, assisting agencies of the Association, and all members in implementing the Association's charter, regulations, and resolutions.

- Report findings to members and recommend handling issues proposed by the Executive Board and members.

Chapter V

FINANCE AND ASSETS OF THE ASSOCIATION

Article 19. Sources of income for the Association.

- Membership fees.

- Membership fees contributed by members in accordance with regulations.

- Sponsorship from domestic and foreign organizations and individuals in accordance with legal provisions.

- Other lawful revenues.

Article 20. Expenditures of the Association.

Expenses are covered according to the Association's financial regulations such as paying salaries to staff, compensating collaborators, infrastructure, social events, charity, and other reasonable expenses approved by the Standing Committee of the Association.

Article 21. Management and use of finances and assets.

1. The Executive Board of the Association stipulates the management and use of the Association's finances and assets in accordance with state regulations.

2. The Inspection Board is responsible for auditing and publicly reporting the finances and assets annually to members.

Chapter VI

REWARD AND DISCIPLINE

Article 22. Reward

Members, members of the Executive Board, Standing Committee, Inspection Board, and Association staff who have made significant contributions to the development of the cotton industry and the construction of the Association will be appropriately rewarded by the Association and may be recommended by the Association to relevant state agencies for rewards.

Article 23. Discipline

Any member, member of the Executive Board, Standing Committee, Inspection Board, Association staff who act contrary to the Charter and Resolutions of the Association, damage the Association's reputation and honor, frequently miss regular activities without justifiable reasons, or fail to pay membership fees for a year, will be criticized, reprimanded, warned, or removed from the membership list depending on the severity, or referred to competent state authorities for handling violations according to the law.

Chapter VII

IMPLEMENTATION PROVISIONS

Article 24. This Charter has been unanimously adopted by the First Term General Assembly of the Vietnam Cotton Textile Association on June 25, 2004. Any amendment or supplementation to this Charter must be proposed and agreed upon by the National Congress of the Vietnam Cotton Textile Association and approved by the competent state authority to take effect.
