REGARDING THE APPROVAL OF THE STATUTES OF THE VIETNAM - SPAIN FRIENDSHIP ASSOCIATION

THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;
Pursuant to Decree No. 45/2003/NĐ-CP dated May 9, 2003 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;
Pursuant to Decree No. 88/2003/NĐ-CP dated July 30, 2003 of the Government, concerning organization, operation, and management of Associations;
Considering the proposal of the Chairman of the Vietnam - Spain Friendship Association and the opinion of the Director of the Department for Non-Governmental Organizations,

DECISION:

Article 1. Approves the Statutes of the Vietnam - Spain Friendship Association adopted at the First National Congress on August 27, 2004.

Article 2. The Vietnam - Spain Friendship Association is subject to state management by the Ministry of Foreign Affairs and operates according to its approved Statutes by the Ministry of Public Security.

Article 3. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 4. The Chairman of the Vietnam - Spain Friendship Association and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision./.

CHARTER

VIETNAM - SPAIN FRIENDSHIP ASSOCIATION

Chapter 1
PRINCIPLES AND PURPOSES

Article 1. The Vietnam - Spain Friendship Association (hereinafter referred to as the Association) is a social organization, a member of the Vietnam Association of Friendship Organizations, operating under the Association's Statutes, the Statutes of the Vietnam Association of Friendship Organizations, and abiding by the laws of the Socialist Republic of Vietnam.

The Association operates nationwide, has its headquarters in Hanoi, possesses separate assets and accounts, has legal personality, and uses its own seal.

Article 2The purpose of the Vietnam - Spain Friendship Association is to contribute to strengthening and expanding friendly relations, mutual understanding between the people of Vietnam and Spain; serving as a bridge to develop economic, trade, scientific, technological, educational, cultural, and social cooperation relations between the people of Vietnam and Spain.

Chapter II
TASKS OF THE ASSOCIATION

Article 3. The Vietnam - Spain Friendship Association has the following tasks:

1. Contributing to publicizing and introducing Vietnam to the Spanish people, the domestic and foreign policies of the Socialist Republic of Vietnam.

2. Organizing and coordinating with state agencies and mass organizations within the country to carry out activities aimed at developing friendly relations between the people of Vietnam and Spain in accordance with the foreign policy of the Socialist Republic of Vietnam.

3. Contributing to introducing the situation of the country and the people of Spain to the Vietnamese people.

4. Building and contributing to developing friendly and cooperative relations with Spanish friendship organizations and other social organizations through exchange visits; book and film exchanges, and other activities as prescribed by the laws of both countries.

5. Supporting and promoting economic, trade, scientific, technological, educational, cultural, sports, tourism, and other cooperative relations between Vietnamese organizations and Spanish partners.

6. Publishing publications to serve the activities of the Association in accordance with the law.

Chapter III
MEMBERS

Article 4. All organizations and Vietnamese citizens who agree with the Association's Statutes, voluntarily apply to join the Association and are approved by the Central Executive Board of the Association will become members of the Association. Organizations will become member organizations and individuals will become members (hereinafter collectively referred to as Members).

Article 5Members have the following responsibilities:

1. Adhering to the Statutes and implementing resolutions of the Association; actively participating in Association activities to maintain and develop friendly relations between the people of Vietnam and Spain.

2. Widely publicizing the Association among the Vietnamese people to attract members and expand the scope of the Association's activities.

3. Paying membership fees as prescribed.

Article 6. Members have the following rights:

1. Nomination, recommendation, and election to leadership positions in the Association; discussing, providing opinions, and voting on issues at meetings concerning the work of the Association.

2. Participating in activities organized by the Association, receiving慰问和帮助当遇到困难时。

3. Requesting to leave the Association.

Article 7. 注销会员资格和开除会员:

1. 会员希望退出协会,必须向有权机关通报以从会员名单中删除其姓名。

2. Members who act contrary to the Charter and resolutions of the Association will have their names removed from the list of members.

Chapter IV
ASSOCIATION ORGANIZATIONAL PRINCIPLES

Article 8The Vietnam - Spain Friendship Association is organized based on democratic principles and consensus. The Central Committee of the Association is elected through democratic consultation. In special cases where a temporary Central Committee cannot be elected, it will be appointed but not exceed one term.

Article 9. The organizational structure of the Association includes the Central Association, local associations participating as member associations of the Central Association, Clubs, Centers, and Branches directly under the Central Association.

At the local level, depending on specific requirements and conditions, if there is a need to establish an association, it will be decided by the provincial or municipal People's Committees directly under the central government.

The Central Association is responsible for guiding local associations in building organizational statutes and operations to ensure consistency in implementing the foreign policy of the Socialist Republic of Vietnam.

Article 10. The highest leadership body of the Association is the General Assembly or the Full Assembly. The General Assembly or the Full Assembly convenes every five years, tasked with discussing reports from the Central Committee of the Association, passing resolutions, reviewing and amending the statutes, and electing the Central Committee of the Association.

1. The Central Committee of the Association leads all activities of the Association between two congresses.

1.1. The Central Committee of the Association includes: Chairperson, Vice Chairpersons, Secretary-General, Standing Committee members, and Central Committee members.

1.2. The Central Committee of the Association decides on policies and measures to implement resolutions of the Full Assembly; directs member organizations to operate and participate in activities of the Vietnam Association of Friendship Organizations. The Central Committee of the Association convenes once a year.

2. The Standing Committee is appointed by the Central Committee of the Association, including the Chairperson, Vice Chairpersons, Secretariat (which may include a Secretary-General or Secretary), and Standing Committee members. The Standing Committee convenes twice a year and is responsible for:

2.1. Directing the Secretariat to prepare the content of Central Committee meetings and organize the implementation of resolutions of the Congress and the Central Committee of the Association. Together with the Chairperson of the Association, they manage the Central Committee meetings.

2.2. Guiding members to implement resolutions of the Central Committee of the Association.

2.3. Resolving complaints and accusations, protecting the legitimate rights of members when infringed upon, and resolving difficult issues faced by individual or organizational members in implementing these statutes.

3. The Secretariat is appointed by the Standing Committee, including the Secretary-General and Secretary, and is responsible for:

3.1. Assisting the Standing Committee in preparing the content of meetings and convening meetings.

3.2. Assisting the Standing Committee and the Central Committee in monitoring and supporting member organizations in implementing resolutions of the Central Committee of the Association.

3.3. Managing the Association's assets, facilities, documents, and finances.

4. Responsibilities of the Chairperson of the Association.

4.1. Leading and managing the Association's activities; together with the Standing Committee, managing Central Committee meetings.

4.2. On behalf of the Executive Board, coordinate with sector management agencies to carry out activities within the internal and external relations of the Association. Participate in the activities of the Vietnam Friendship Association.

The Vice Presidents of the Association shall be responsible for directing each block of work of the Association on behalf of the President, and represent the President when the President is absent.

5. The Executive Boards at provincial and municipal levels and member organizations shall base their activities on the provisions of this Charter and the resolutions of the central leadership bodies of the Association.

Article 11. The number of Central Executive Board members and member associations' boards is determined by the corresponding congresses, including the Standing Committees. The number of Standing Committee members must not exceed one-third of the total number of Executive Board members. The term of office of the Central Executive Board is five years. The term of office of member associations' boards is decided by the member associations themselves.

Article 12. Internal coordination system of the Association:

1. The Central Association coordinates, guides, and supports local member associations in their activities.

2. Local member associations shall actively engage in activities in accordance with the Association's Charter, without contravening the Central Association's resolutions, and report their work quarterly to the Central Association. Local member associations must cooperate and be subject to the guidance of the local friendship organization association (if any).

Chapter V
ASSETS AND FINANCES

Article 13. The Association's finances are formed from the following sources:

1. Support from the Vietnam Friendship Association.

2. Membership fees contributed by member organizations and members (to be annually regulated by the Central Executive Board).

3. Grants from domestic and foreign organizations and individuals in accordance with the provisions of the law.

4. Other lawful income.

Article 14. The Association's finances are managed by the Association's Secretariat according to the principle of centralized unity and disbursed for the Association's operations in accordance with the regulations set by the Executive Board.

Article 15. The use of assets, budget preparation, and financial reporting systems of the Association shall be carried out in accordance with the regulations of the Ministry of Finance.

CHAPTER VI
REWARD AND DISCIPLINE

Article 16. Organizations of the Association, member organizations, and members who have many achievements in the Association's activities will be rewarded.

Organizations of the Association, member organizations, and members who operate contrary to the Charter and Resolutions of the Association will be removed from the Association's list.

Chapter VII
IMPLEMENTING PROVISIONS.

Article 17. All Association organizations, member organizations, and members must comply with this Charter in all activities.

Article 18. This Charter consists of seven Chapters and eighteen Articles, adopted by the National Congress of the Vietnam-Spain Friendship Association on August 27, 2004, and can only be amended by the General Congress or the National Congress of the Association.

This Charter has been approved by the competent state authority and takes effect fifteen days after its publication in the Official Gazette./.
