Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Based on the opinion of the Government Office at Document No. 3808/VPCP-ĐMDN dated July 22, 2004 regarding the restructuring of Company 1 Foundry,总公司动力和农业机械公司；
Considering the proposal of 总公司动力和农业机械公司 (Document No. 192/MĐL-NN/ĐNDN dated April 29, 2004);
At the suggestion of the Director of the Department of Organization and Cadres,
Pursuant to …;
Article 1. Transfer Company 1 Foundry, an independent accounting unit member of 总公司动力和农业机械公司, to become a dependent accounting unit of 总公司动力和农业机械公司.
Article 2. Company 1 Foundry is a state-owned enterprise, a dependent accounting unit of 总公司动力和农业机械公司, with its own seal for transactions, operating according to the Articles of Organization and Operation approved by the Board of Directors of 总公司动力和农业机械公司, the delegation of authority from 总公司动力和农业机械公司, and the provisions of the law.
Article 3. The Board of Directors of 总公司动力和农业机械公司 is responsible for organizing and reorganizing Company 1 Foundry, handling financial, labor issues, and other related matters in accordance with current legal regulations.
All legal responsibilities, rights, and obligations of Company 1 Foundry as an independent accounting unit prior to this transfer shall be transferred to 总公司动力和农业机械公司 in accordance with current national regulations.
Article 4. This Decision takes effect fifteen days from the date of publication in the Official Gazette.
The Director of the Ministry's Office, the Director of the Ministry's Inspectorate, the Heads of Departments and Bureaus under the Ministry, the Board of Directors and General Manager of 总公司动力和农业机械公司, and the General Manager of Company 1 Foundry are responsible for implementing this Decision./.
