Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises, and Decree No. 38/CP dated April 28, 1997 of the Government amending and supplementing certain provisions of Decree No. 50/CP;
Pursuant to Decision No. 183/QĐ-TTg dated February 19, 2003 of the Prime Minister approving the overall plan for the reorganization and modernization of state-owned enterprises under the Vietnam Chemicals Corporation for the period 2003-2005;

At the recommendation of the Director of the Personnel and Organization Department,
DECISION:
Article 1. Convert the Bình Điền II Fertilizer Workshop under the Southern Fertilizer Company into the Bình Điền Fertilizer Company directly under the Vietnam Chemicals Corporation.
The Bình Điền Fertilizer Company is a state-owned enterprise, a member of the Vietnam Chemicals Corporation, with independent economic accounting, legal personality, its own seal, and a bank account.
International trade name: The Binh Dien Fertilizer Company
Abbreviation: BFC
The headquarters of the Company is located at: C 12/21, National Highway 1, Tân Kiên, Bình Chánh, Hồ Chí Minh City.
Article 2. Main business activities of the Company:
- Producing and trading various types of inorganic, organic, microbial, trace element fertilizers, plant growth stimulants for crops and livestock.
- Trading import and export of fertilizer products, production equipment and technology, agricultural machinery, seeds, plants, and agricultural products. Research and production of fertilizer products.
- Engaging in other business activities and services as prescribed by law.
Article 3. Registered capital at the time of the Company's establishment: 35,000,000,000 VND (Thirty-five billion VND).
Article 4. The General Director of the Vietnam Chemicals Corporation is responsible for guiding and directing the Southern Fertilizer Company, the Bình Điền Fertilizer Company, and the Bình Điền II Fertilizer Workshop in the transfer process according to the regulations of the State.
The Bình Điền Fertilizer Company is responsible for completing all necessary procedures for registration and operation in accordance with the law and the Charter of the Company approved by the Chairman of the Board of Directors of the Vietnam Chemicals Corporation.
Article 5. This Decision takes effect fifteen days from the date of publication in the Official Gazette.
The Head of the Ministry’s Office, the Inspector General, Heads of Departments and Bureaus under the Ministry, the Chairman of the Board of Directors and the General Director of the Vietnam Chemicals Corporation, the Director of the Bình Điền II Fertilizer Workshop, the Director of the Bình Điền Fertilizer Company, and the Director of the Southern Fertilizer Company are responsible for implementing this Decision.
