Regarding the approval of the Charter of the Vietnam Association of Science and Technology Intellectuals

THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

Pursuant to Decree 102/SL-L004 dated May 20, 1957 on the right to establish associations.
Pursuant to the Government's Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs.
Pursuant to the Government's Decree No. 88/2003/NĐ-CP dated July 30, 2003 on the organization, operation, and management of associations.
Considering the proposal of the Chairman of the Vietnam Association of Young Scientists and Engineers and the Director of the Department for Non-Governmental Organizations,

DECISION:

Article 1. Approves the Charter of the Vietnam Association of Young Scientists and Engineers which was adopted at the First Congress of the Association on August 10, 2004.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3. The Chairman of the Vietnam Association of Young Scientists and Engineers and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision./.

 

CHARTER

VIETNAM ASSOCIATION OF YOUNG SCIENTISTS AND ENGINEERS
(Annexed to Decision No. 74/2004/QĐ-BNV dated November 1, 2004 of the Ministry of Home Affairs)

Chapter 1
PRINCIPLES, OBJECTIVES, TASKS, AND POWERS

Article 1. The name of the Association is:

Vietnam Association of Young Scientists and Engineers.

International trade name: VIETNAM ASSOCIATION OF YOUNG SCIENTISTS & ENGINEERS

Abbreviation: VAYSE

The Vietnam Association of Young Scientists and Engineers (hereinafter referred to as the Association) is a voluntary organization of collectives and individuals engaged in scientific research and technology, new technology incubation, young enterprise incubation (based on high technological achievements) and serving the technology market on the basis of close integration between creative activities and application, technology commercialization.

Article 2. The purpose of the Association is to gather and unite young intellectuals of Vietnam both domestically and abroad to exchange experiences, enhance creative skills, professional expertise, encourage the development and utilization of creativity and talent to serve the development of the technology market and goods, bring about practical innovation and make effective contributions to the country's economic and social development.

Article 3. The Association operates throughout the country and is a member of the Vietnam Union of Scientific and Technical Associations; a collective member of the Vietnam Youth Federation.

The Association has legal personality, its own press organ, seal, and bank account in Vietnam.

The headquarters of the Association is located in Hanoi and it has representative offices in some localities as prescribed by law.

Article 4. The Association has the following tasks:

1. Building an organization aimed at gathering and developing the Association into a strong entity.

2. Identifying, nurturing, supporting development, and honoring young Vietnamese talents in science and technology.

3. Popularizing, promoting, and training to improve members' understanding of laws, theories, and practical aspects related to the methodology of creativity, professional fields, and occupations according to the law.

4. Providing advice, criticism, social appraisal, contributing to the formulation and enforcement of laws related to encouraging creativity, professional fields of members, and the Association's activities according to the law.

5. Cooperating equally and mutually beneficially with corresponding associations of countries, organizations in the region and worldwide according to the law.

6. Protecting legitimate rights and interests regarding professions and creative activities of members when participating in Association activities.

7. Fulfilling other tasks and powers as prescribed by law and serving development needs.

Article 5. The Association shall have the following powers and responsibilities:

1. Propagandize the objectives of the Association.

2. Represent members in internal and external relations related to the functions and tasks of the Association.

3. Protect the legitimate rights and interests of the Association and its members.

4. Organize and coordinate activities among members for the common benefit of the Association, mediate disputes within the Association.

5. Disseminate and train knowledge for members, provide necessary information to members in accordance with the law.

6. Advise and critique issues within the scope of the Association's activities upon request from organizations and individuals.

7. Participate in providing opinions on legal normative documents related to the content of the Association's activities in accordance with the law. Make recommendations to competent state agencies regarding issues related to the development of the Association and the field in which it operates.

8. Coordinate with relevant agencies and organizations to fulfill the Association's tasks.

9. Be entitled to raise funds for the Association based on membership fees and income from advisory and service activities in accordance with the law to cover operational expenses.

10. Be entitled to accept lawful financial support from domestic and foreign organizations and individuals in accordance with the law.

11. Be entitled to join and become members of international and regional associations in accordance with the law.

Article 6. Methods of operation:

1. Establish and organize creative support activities: Talent Fund for Young Scientific and Technological Creativity, Venture Capital Fund. Technology and New Business Incubator, New Idea Contests,...;

2. Organize activities such as seminars, conferences, specialized training courses (on creativity methodology, intellectual property,...), establish specialized groups, networking activities, project development, build a young scientific and technological information center, support and advise on intellectual property protection and other areas related to intellectual property both domestically and internationally,... to promote cooperation in the Association's activities and serve interested parties.

3. Closely cooperate with organizations, associations, and individuals in building and organizing research and implementation application, technology transfer activities, new investment models serving production needs and development.

4. Contact and make recommendations to competent state agencies in drafting, establishing, revising, and supplementing policies encouraging talent utilization, legal documents related to the Association's professional field and activities.

5. Conduct exchange meetings and share experiences in the field of work and Association activities between domestic members and foreign colleagues.

6. Organize propaganda through mass media and publish informational publications serving the Association's activities in various professional fields and overall operations in accordance with the law.

Chapter 2
MEMBERS

Article 7. Vietnamese collectives and citizens under the age of 45, both domestically and abroad, engaged in scientific research and technology, technology incubation, young business incubation, and technology market development based on close integration between creative and applied technology activities, who agree with the Charter of the Association and voluntarily participate in Association work or support the Association, may apply to join the Association.

Organizations and individuals who have made significant contributions to the Association may be admitted as Honorary Members or Associated Members.

Honorary Members and Associated Members are not eligible to run for or be nominated to the Association's leadership body and do not vote on Association matters.

Article 8. Members have the following responsibilities:

1. Adhere to the Charter of the Association, implement resolutions and decisions of the Association, actively engage in the activities of the Association's grassroots organizations.

2. Study, exchange knowledge, continuously improve creative skills, professional expertise, scientific and technological knowledge, and management capabilities.

3. Promote membership recruitment, participate in meetings and pay membership fees as stipulated by the Association.

4. Maintain personal and Association professional reputation and prestige.

5. Honorary members and associated members must respect the Charter of the Association.

Article 9. Members have the following rights:

1. Participate in the Association's activities.

2. Receive material and moral support from the Association, assistance in enhancing professional and vocational skills; support for researching and applying new technologies in practice. Attend conferences, seminars, field trips, study sessions, internships organized by the Association both domestically and internationally.

3. Discuss, vote, question, and criticize the Association's work; elect and run for positions in the Association's leadership bodies at various levels.

4. Request the Association to protect their legitimate rights and interests in their professional fields and within Association organizations.

5. Resign from membership status.

Chapter 3
ORGANIZATION OF THE ASSOCIATION

Article 10. The organization and operation of the Association follow the principles of voluntarism, self-management, and self-financing. The Association's organizational structure includes:

1. At the Central level: Vietnam Young Scientists and Technologists Association.

2. At provincial level (referred to collectively as provinces): Provincial Young Scientists and Technologists Association.

3. At the grassroots level: Branches, Grassroots organizations with five or more members can establish branches.

In provinces, if necessary, the Provincial Young Scientists and Technologists Association may be established. The establishment is decided by the People's Committee of the province according to the law. The provincial association must agree to the Charter of the Vietnam Young Scientists and Technologists Association and submit an application to join, then it will be recognized as a member association.

Article 11. The highest leading body of the Association is the National Congress held regularly every five years convened by the Executive Board of the Association. The Congress may convene extraordinary sessions when at least two-thirds (two-thirds) of the total number of Executive Board members or at least half of the total number of regular members request it. The composition and number of delegates attending the Congress are determined by the current Central Executive Board of the Association.

Responsibilities of the Congress:

- Summarize and evaluate the Association's activities during the previous term, discuss directions and action plans for the new term.

- Approve and amend the Charter (if necessary).

- Elect the Central Executive Board and the Central Inspection Board.

- Decide on issues related to the development of the Association.

Article 12. The Central Executive Board of the Association is the leading body between Congress sessions. The number of Central Executive Board members is set by the Congress and directly elected.

The Executive Board has the following responsibilities:

- Lead the implementation of the Congress resolutions.

- Lead the implementation of the Association's Charter.

- Develop relations with domestic and international organizations, contributing to the development of the Association.

- Direct the activities of provincial associations.

- Elect the Central Standing Board and the Chairman, (one or more) Vice Chairmen, General Secretary.

- The Central Executive Board meets regularly every six months (except in emergencies).

When deemed necessary, the Executive Board may decide to supplement or remove Executive Board members, requiring at least two-thirds of the total number of Executive Board members' approval. The number of replacement members shall not exceed one-third of the total number of members elected by the Congress.

Article 13. The Standing Office of the Central Executive Board of the Association consists of the Standing Committee comprising the Chairman, Vice Chairmen, General Secretary, and some members.

The Standing Committee of the Association has the following tasks:

- Direct the implementation of decisions of the Central Executive Board of the Association between two sessions of the Central Executive Board.

- Develop plans and report on the activities of the Association as prescribed by the Central Executive Board of the Association.

- Coordinate the activities of provincial Associations and specialized committees.

- The Standing Committee convenes regularly once every three months. When necessary, upon the proposal of the Chairman and the General Secretary, the Standing Committee may convene extraordinary meetings.

- Decide on organizational and personnel issues of the Association.

Article 14. The Chairman of the Association is elected from among the Standing Members by the Central Executive Board of the Association to chair meetings of the Central Executive Board and the Standing Committee of the Association, to oversee the implementation of resolutions of the Central Executive Board and the Standing Committee of the Association, and to be responsible under the law for all activities of the Association.

Article 15. The Vice Chairmen of the Association are elected by the Central Executive Board of the Association, assigned by the Chairman to lead specific aspects of the Association's activities.

Article 16. The General Secretary of the Association is elected by the Central Executive Board of the Association, permanently handles Association affairs assigned by the Chairman, and oversees all activities of the Central Association Office.

Article 17. When necessary, upon the proposal of the General Secretary of the Association, the Standing Committee of the Association may consider and decide to establish specialized committees and organizations serving the development of the Association. Establishment shall comply with the provisions of the law.

Article 18. The Inspection Board:

The Inspection Board has the following responsibilities:

- Inspect the implementation of resolutions of the congress, the Charter, regulations, and annual work programs of the Association.

- Inspect members in their activities to commend and reward them, while identifying signs of violations of the law to promptly correct them.

- Inspect economic and financial activities of the Association and its affiliated organizations, examine and resolve complaints and petitions.

- The Inspection Board convenes regularly once every six months. When necessary, upon the proposal of the Chairman of the Association, the Inspection Board may convene extraordinary meetings.

Chapter 4
REWARD AND DISCIPLINE

Article 19. Units and members of the Association who achieve outstanding results in Association work will be rewarded by the Association or recommended for rewards by the Vietnam Union of Science and Technology Associations and competent state agencies.

Article 20. Any unit or member that violates the Charter and Resolutions of the Association or damages the honor and reputation of the Association may, depending on the severity of the violation, be disciplined or expelled from the Association. In cases where material damage is caused, in addition to disciplinary measures, compensation must also be provided according to the law.

Article 21. Any unit or individual member of the Association that fails to pay membership fees or does not participate in three consecutive sessions without a valid reason within one year will have their name removed from the list of members.

Chapter 5
ASSOCIATION FINANCES

Article 22. The Association is a non-profit organization that self-funds its operations and activities. The Association Fund relies on the following sources of income:

1. Membership fees from members.

2. Legal revenues from scientific and technological activities, public services, publishing, training, contributions from affiliated economic organizations...

3. Donations and contributions from groups, agencies, collective and individual organizations both domestically and internationally.

4. Financial support from the Vietnam Union of Science and Technology Associations and the State.

Article 23. The financial management principles of the Association are transparency, income and expenditure in accordance with regulations and state financial systems, and general provisions of the Central Association.

The principles of financial management and operation of the Association are balanced accounting for income and expenditure and annual inventory.

Article 24. Methods for handling assets and finances when the Association is dissolved:

When dissolving itself or being dissolved, the assets and finances of the Association shall be handled in accordance with the provisions of the law.

Chapter 6
IMPLEMENTATION

Article 25. The Charter of the Vietnam Young Science and Technology Intellectuals Association consists of 6 chapters and 25 articles and was unanimously adopted at the First Founding Congress of the Vietnam Young Science and Technology Intellectuals Association on August 10, 2004.

Only the National Congress has the right to supplement and amend the Charter of the Association.

The Charter of the Vietnam Young Science and Technology Intellectuals Association takes effect according to the approval decision of the Ministry of Home Affairs./.
