THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

Based on Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;

Based on the Government's Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, authorities, and organizational structure of the Ministry of Home Affairs;

Based on the Government's Decree No. 88/2003/NĐ-CP dated July 30, 2003 on the organization, operation, and management of Associations;

Considering the proposal of the Chairman of the Vietnam Biofertilizer Association and the Director of the Department of Non-Governmental Organizations,

DECISION:

Article 1. Approves the revised Charter of the Vietnam Biofertilizer Association which was adopted at the First Congress on June 23, 2004.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3. The Chairman of the Vietnam Biofertilizer Association and the Director of the Department of Non-Governmental Organizations shall be responsible for implementing this Decision.

CHARTER

Vietnam Biofertilizer Association
(Issued pursuant to Decision No. 76/2004/QĐ-BNV dated November 3, 2004).

Chapter 1:

Name of the Association:

Article 1. The Association is named: Vietnam Biofertilizer Association

English name: VIETNAM BIOFERTILIZER ASSOCIATION

Abbreviation: VIBIFA

Article 2. The Vietnam Biofertilizer Association is a voluntary organization of units engaged in research, scientific and technological application, production, and business of specialized biofertilizer products.

The purpose of the Association is to aggregate, encourage, and assist members in participating in research, technology, production, business, service activities, enhance product value; represent and protect the legitimate interests of members; contribute to creating more jobs and improving the living standards of workers.

Article 3. The Vietnam Biofertilizer Association has legal personality, its own seal and separate bank account.

The main office is located on the third floor of building No. 814/3 Lang Street, Lang Thuong Ward, Dong Da District, Hanoi City. The Association may have representative offices both domestically and internationally as provided by law.

Article 4. The Vietnam Biofertilizer Association operates nationwide and is subject to the management of the Ministry of Agriculture and Rural Development in research, technology, production, business, and service activities related to specialized biofertilizer products. The Association operates in accordance with the laws of the Socialist Republic of Vietnam and this Charter.

Chapter 2:

TASKS AND POWERS OF THE ASSOCIATION

Article 5. Tasks and Authorities of the Association.

1. To disseminate and educate members about the Party and State's policies on the construction and development of the biofertilizer industry within various social and economic sectors, ensuring sustainable agricultural development, ecological agriculture, quality of biofertilizers, environmental hygiene from production and business activities, and labor safety protection.

2. To represent members in making proposals to the State on policies, measures to encourage and support the development of the industry, protect the legitimate rights and interests of members, resolve cases causing damage to the industry and members' rights and interests; fulfill obligations towards the State.

3. To motivate members' enthusiasm and creative labor capacity; cooperate and support each other economically and technically in research, technology, production, business, and service activities related to specialized biofertilizer products through experience exchange, dissemination, and application of new scientific and technological achievements; unite to help each other solve difficulties in members' lives.

4. To provide advisory support to member organizations and individuals within the Association during organizational restructuring and management structure adjustment suitable for professional development.

Provide information on economics, markets, prices to enable members to rearrange production and business operations to achieve economic and social efficiency.

5. Organize conferences and seminars to exchange professional experiences, encourage cooperation and collaboration among members for mutual survival and development. Promote trade between enterprises and members and among members and economic organizations.

6. Organize training through appropriate forms to help businesses improve their knowledge and business management capabilities, enhance technological and production levels for the biofertilizer industry in accordance with the law.

7. Coordinate and organize activities among members for common benefits; mediate internal disputes within the spirit of cooperation.

8. Build and develop the Association's organization and membership, build material foundations, and expand the scope of operations of the Association.

Establish and develop international relations with individuals and organizations, in Southeast Asia and around the world, as prescribed by law to exchange experiences, cooperate, and support each other in the field of biofertilizers.

9. Be authorized to establish professional organizations, training centers, service centers, consulting centers... under the Association when necessary in accordance with the law.

10. Publish magazines, journals, and technical and economic management materials in accordance with the law.

11. Be authorized to organize fundraising activities for the Association in accordance with the law to serve the Association's operations.

12. Be entitled to accept cooperative financial assistance from domestic and foreign organizations and individuals in accordance with the law.

Chapter 3:

MEMBERSHIP, RIGHTS AND OBLIGATIONS

Article 6. Members

1. Regular members include:

1.1 Individual members are Vietnamese citizens interested in the field of production, business, and scientific research on biotechnology fertilizers, who agree with the Charter of the Association, submit an application to join the Association, and are admitted into the Association.

1.2 Corporate members are organizations engaged in the production, business, and consumption of biotechnology fertilizers, and scientific research institutions on biotechnology fertilizers in Vietnam, who agree with the Charter of the Association, have their heads submit an application to join the Association, and are admitted into the Association.

2. Associate members: Organizations, individuals, joint ventures, and wholly foreign-owned enterprises (collectively referred to as foreign-invested enterprises) operating in Vietnam related to the production, business, scientific research, processing, consumption, services... of specialized biotechnology fertilizer products and foreign-invested scientific production and business organizations, who agree with the Charter of the Association and submit an application for membership can become associate members of the Association.

3. Honorary members: Citizens, scientific and technical managers, and legal entities who have made contributions to the development of the industry generally and the Association specifically, invited by the Association to become honorary members.

The Executive Board of the Association shall specify detailed procedures for admitting members.

1. Participate in congresses, elect representatives to attend the Association's congress.

2. To discuss, vote, question, and criticize all activities of the Association; to propose and express opinions to state agencies through the Association.

3. To be nominated, proposed, and elected to the Executive Board of the Association and other positions within the Association.

4. To be provided by the Association with experience in production, vocational training, and improvement of scientific and technological levels through various forms such as providing information and materials, attending seminars, training courses, technical demonstrations, technology transfer, domestic and international study tours.

5. To be assisted and supported by the Association in individual research projects, innovative initiatives in the profession, and protection of rights and policies in production and product consumption in accordance with state laws.

6. To be assisted and introduced by the Association to relevant organizations both within and outside the industry for production contracts, technical consultancy...

7. Honorary members (supporting members) may participate in activities and attend association congresses but are not eligible to run for election to leadership positions in the association or to vote on association issues.

8. To have the right to leave the Association.

Article 8. Obligations of members.

1. Strictly comply with the state's policies, laws, and regulations stipulated in this Charter; implement resolutions of the Association; promote the recruitment of new members.

2. Participate in the activities and life of the Association; unite and cooperate with other members to build a stronger organization.

3. Provide necessary information and data to serve the activities of the Association.

4. Pay membership fees and dues in full as prescribed.

Article 9. Procedures for terminating membership rights.

1. Members voluntarily requesting to withdraw from the Association must submit a letter to the Association's Executive Board.

2. Members will be expelled from the Association in cases of serious violation of the Charter, damaging the reputation, prestige, and finances of the Association.

3. Being suspended from operations, dissolved, or declared bankrupt by state authorities.

The rights and obligations of members cease after the Association's Executive Board issues a notice.

The Association's Executive Board shall notify all other members of the list of members who have requested withdrawal, those who have been expelled, and those whose names have been removed.

Chapter 4:

ORGANIZATION AND OPERATIONS OF THE ASSOCIATION

Article 10. The Vietnam Biotechnology Fertilizer Association is organized and operates on the principles of voluntarism, self-management, financial self-sufficiency, and equality.

Article 11. The organization of the Association includes:

- National Congress of Delegates;

- Central Executive Board of the Association;

- Central Standing Board of the Association;

- Specialized Committees;

- Inspection Board;

- Professional Branches;

- Representative Office;

- Specialized organizations and units directly under the Association to serve the activities of the Association.

Article 12. The National Congress of Delegates of the Vietnam Organic Fertilizer Association

1. The National Congress of Delegates of the Vietnam Organic Fertilizer Association has the highest authority of the Association. The Congress is held every five years.

2. Main tasks of the Congress.

- Discussing and approving the report of the Central Executive Board of the Association;

- Deciding on the direction and program of the Association's work;

- Deciding on renaming, splitting, merging, or dissolving the Association; amending and supplementing the Charter of the Association;

- Electing the Central Executive Board of the Association, the Central Standing Board of the Association, and the Inspection Board of the Association;

- Discussing and deciding on important issues of the Association that exceed the authority of the Central Executive Board of the Association;

- Discussing, approving the final financial settlement, and adopting the new financial plan;

- The Congress of the Association adopts resolutions to dissolve the Association, appoints a liquidation board to proceed with dissolution procedures according to the law.

3The Congress of Delegates may be convened at an extraordinary session to address urgent issues of the Association upon the proposal of two-thirds of the members of the Central Executive Board or more than half of the members requesting it.

4Resolutions of the Congress are adopted based on the principle of majority vote.

Article 13. The Central Executive Board of the Association.

1. The Central Executive Board is the leading body of the Association between two terms of Congress. The number of members of the Central Executive Board of the Association is decided by the Congress and elected directly by secret ballot or voting. The candidate must receive more than 50% of valid votes.

The Central Executive Board of the Association may be re-elected or relieved of duty before the term according to the provisions of the Congress or upon the request of more than half of the members.

The term of the Central Executive Board of the Association is five years, operating according to the regulations approved by the Congress. Between two sessions of the Congress, the Central Executive Board may supplement additional members when necessary but not exceeding the number of members already elected by the Congress.

2. The Central Executive Board of the Association meets regularly once a year. In case of work requirements, the Standing Board may convene extraordinary meetings.

3. Tasks and powers of the Central Executive Board of the Association:

- Deciding on measures to implement resolutions and programs of activities for the term of the Congress.

- Deciding on annual work programs and plans and informing members of the results of the activities of the Central Executive Board of the Association.

- Approve the annual budget plan and final accounts.

- Specifying the organization and operation of specialized committees, the Association's office, representative offices in various regions; specifying principles, systems, usage, and management of assets and finances of the Association.

- Electing and dismissing leadership positions of the Association: President, Vice-President, and General Secretary.

- Appointing heads of specialized committees and representatives of the Association in various regions.

- Preparing content, agenda, and documents to submit to the Congress.

- Deciding to convene the next term Congress or the annual delegates' meeting.

- Considering membership applications and expelling members.

Article 14. The Central Executive Board of the Association.

1. The Central Executive Board of the Association shall be elected by the Central Executive Committee of the Association and shall consist of: the Chairman, Vice Chairmen, General Secretary, and some members. The number of members shall be decided by the Council of the Association.

2. The Central Executive Board of the Association shall represent the Central Executive Committee of the Association to direct and manage the activities of the Association between two sessions and must report on their work at each session of the Central Executive Committee of the Association.

3. The Central Executive Board of the Association shall operate according to the regulations approved by the Central Executive Committee of the Association.

Article 15. Chairman and Vice Chairmen.

1. The Chairman of the Association has powers and responsibilities:

- To represent the Association before the law; 

 To be the account holder, manage the financial resources and assets of the Association;

- To organize the implementation of resolutions of the Congress, the Representative Conference, and decisions of the Central Executive Committee of the Association.

- To chair meetings of the Central Executive Committee of the Association, the Central Executive Board, and the Association's conferences.

- To approve personnel for the Association's office.

- To represent the Central Executive Committee of the Association in working with agencies and partners both domestically and internationally.

- To sign decisions appointing Association staff for overseas assignments.

- To sign decisions appointing and relieving from duty heads of sub-committees, directors of the Association's office, and leadership and inspection committees, as well as positions within subordinate organizations of the Association.

- To be responsible to the Central Executive Committee of the Association, all members, and before the law regarding the activities of the Association.

2. The Vice Chairmen assist the Chairman, assigned by the Chairman to handle specific issues, and one Vice Chairman may be authorized to manage the work of the Central Executive Committee of the Association when the Chairman is absent. The Vice Chairmen are responsible to the Central Executive Committee of the Association and before the law for the tasks they are assigned.

Article 16. General Secretary of the Association.

- Directly manages all activities of the Association's Office.

- Develops operational regulations for the Office, financial management regulations, and asset usage regulations of the Association, submitting them to the Central Executive Committee of the Association for approval and organizing their implementation.

- Prepares annual reports and term reports of the Central Executive Committee of the Association.

- Manages member lists, files, and documentation.

- Is responsible to the Central Executive Committee of the Association and before the law for the activities of the Association's Office.

Article 17. The Association's Office.

1. The Association's Office is organized and operates according to the regulations submitted by the General Secretary to the Central Executive Committee of the Association for approval.

2. Staff of the Association's Office are hired and work under fixed-term contracts or are seconded from affiliated organizations.

3. Operating funds of the Office are budgeted by the General Secretary and submitted to the Central Executive Committee of the Association for approval.

Article 18. Inspection Board.

1. The Inspection Board is directly elected by the General Assembly of the Association. The number of Inspection Board members is determined by the Congress.

2. The Inspection Board has the following rights and duties:

- To check the qualifications of delegates attending the Congress;

- To inspect compliance with the Charter, Resolutions, and regulations of the Association;

- To inspect the implementation of financial regulations and funds of the Association;

- To review the Association's annual financial report.

Chapter 5:

FINANCE AND ASSETS OF THE ASSOCIATION

Article 19. Sources of income for the Association.

- Membership fees.

- Membership fees contributed by members in accordance with regulations.

- Sponsorship from domestic and foreign organizations and individuals in accordance with legal provisions.

- Other lawful revenues.

Article 20. Expenditures of the Association.

Expenditures shall be made in accordance with the financial charter of the Association such as paying salaries to staff, compensating collaborators, infrastructure, social activities, charity, and other reasonable expenditures decided by the Central Executive Board of the Association.

Article 21. Management and use of finances and assets.

1. The Central Executive Board of the Association shall stipulate the management and use of the Association's finances and assets in compliance with state regulations.

2. The Inspection Board is responsible for auditing and publicly reporting the finances and assets annually to members.

Chapter 6:

REWARDS AND DISCIPLINE

Article 22. Reward

1. Members, members of the Central Executive Board, the Standing Board, the Inspection Board, officers, and employees of the Association who have made significant contributions to the development of the organic fertilizer industry and the construction of the Association shall be appropriately rewarded by the Association and may be recommended by the Association to relevant state agencies for rewards.

2. The Association has established a Commemorative Medal "For the Development of the Organic Fertilizer Industry in Vietnam" in accordance with legal provisions to present to official members, associated members, and honorary members of the Association who have made significant contributions to the development of the organic fertilizer industry in Vietnam and the construction of the Association.

Article 23. Discipline

Members, members of the Central Executive Board, the Standing Board, the Inspection Board, officers, and employees of the Association who act contrary to the Charter and Resolutions of the Association, damage the reputation and honor of the Association, miss regular meetings without valid reasons multiple times, or fail to pay membership fees for one year, will be criticized, educated, reprimanded, warned, or removed from the membership list, or referred to competent state authorities for handling violations in accordance with the law depending on the severity of the case.

Chapter 7:

DISSOLUTION

Article 24. The Association may dissolve itself or be dissolved.

1. The Association may dissolve itself in the following cases: When its term of operation has expired; when the objectives have been completed as proposed by more than half of the official members. The Central Executive Board of the Association shall submit relevant documents to the competent state authority in accordance with the law.

2. The Association may be dissolved by decision of the competent state authority in the following cases: When the Association does not operate continuously for 12 months; when there is a resolution of the congress to dissolve the Association but the leadership of the Association does not comply; when the activities of the Association seriously violate the law.

3. The Association ceases operations from the date the dissolution decision of the competent state authority becomes effective.

Chapter 8:

IMPLEMENTING PROVISIONS

Article 25This Charter consists of 8 chapters and 25 articles, which were unanimously approved by the First Congress of the Vietnam Organic Fertilizer Association on June 23, 2004. Any amendments or supplements to Article 1 must be proposed and agreed upon by the National Congress of the Vietnam Organic Fertilizer Association and approved by the competent state authority to take effect./.
