DECREE
Detailed regulations on certain provisions of the Price Law concerning valuation appraisal

Pursuant to the Government Organization Law dated June 19, 2015; the Law Amending and Supplementing Certain Provisions of the Government Organization Law and the Local Administration Organization Law dated November 22, 2019;

Pursuant to the Price Law dated June 19, 2023;

At the proposal of the Minister of Finance,

The Government promulgates this Decree providing detailed regulations on certain provisions of the Price Law concerning valuation appraisal.

PART I
GENERAL PROVISIONS

Article 1. Scope of Regulation

This Decree provides detailed regulations on Articles 45, 49, and 54 of the Price Law regarding the dossier, procedures, and formalities for registering the practice of valuation appraisal; the dossier, procedures, and formalities for issuing, reissuing the Certificate of Eligibility for Operating Valuation Appraisal Services; suspending the operation of valuation appraisal services, and revoking the Certificate of Eligibility for Operating Valuation Appraisal Services.

Article 2. Applicability

This Decree applies to: persons holding a valuation appraiser card, valuation appraisers; valuation appraisal enterprises; state management agencies on valuation appraisal and other agencies, organizations, and individuals related to valuation appraisal activities.

Chapter II
SPECIFIC PROVISIONS

Section 1
REGISTRATION OF VALUATION APPRAISAL PRACTICE

Article 3. Dossier for registration of valuation appraisal practice

1. The dossier for registration of valuation appraisal practice includes:

a) Application for registration of valuation appraisal practice at an enterprise according to Form No. 01 stipulated in the Appendix attached to this Decree;

b) Certified copy or valid electronic copy of documents proving the update of knowledge on valuation appraisal in accordance with the regulations of the Ministry of Finance, corresponding to the specialized field of the registered practice and still valid at the time of registration, except in cases where the valuation appraiser card was issued less than one year prior to the registration date;

c) Criminal record certificate number 1 in paper form issued by the competent authority not exceeding six months from the registration date, or certified copy or valid electronic copy of this certificate, or electronic criminal record certificate number 1 issued through the VNeID digital identity and authentication application not exceeding six months from the registration date;

d) Certified copy of the business registration certificate in the case where the person holding the valuation appraiser card registers the practice of valuation appraisal in the capacity of the legal representative, Director, or General Manager of the enterprise;

đ) Certificate of actual working time at a valuation appraisal enterprise, state management agency on price and valuation appraisal according to Form No. 02 stipulated in the Appendix attached to this Decree, or certified copy or valid electronic copy of the social insurance book reflecting the social insurance payment history at a valuation appraisal enterprise, state management agency on price and valuation appraisal, except in cases where the person has been notified as a valuation appraiser under the Price Law;

e) Certified copy of the labor contract signed between the enterprise and the person holding the valuation appraiser card, except in cases where the person holding the valuation appraiser card is the legal representative of the enterprise.

2. Persons holding a valuation appraiser card are responsible for the information declared in the dossier for registration of valuation appraisal practice.

3. Valuation appraisal enterprises and other organizations and individuals related to confirming the information in the dossier for registration of persons holding a valuation appraiser card are liable under the law for the authenticity of the confirmed information.

Article 4. Procedure for registering to practice as a valuation appraiser

1. A person holding a valuation appraiser certificate when implementing the registration to practice as a valuation appraiser shall be responsible for establishing a dossier in accordance with Clause 1 of Article 3 of this Decree, ensuring it is complete, accurate, and lawful.

2. The legal representative of a valuation enterprise shall be responsible for reviewing and checking the dossier to ensure its completeness and signing confirmation on the Registration Form for Practicing as a Valuation Appraiser at the enterprise for each person holding a valuation appraiser certificate.

3. A valuation enterprise shall submit a document regarding the registration to practice as a valuation appraiser Model No. 03 prescribed in the Appendix attached to this Decree to the Ministry of Finance along with the registration dossier of each person holding a valuation appraiser certificate through one of the following methods: postal service, direct submission, or online public service (if available).

4. Within five working days from the date of receiving the dossier:

a) In case the dossier is incomplete or contains inaccurate information, the Ministry of Finance shall guide the enterprise to supplement and perfect the dossier in writing or through online public service (if available). The enterprise shall be responsible for supplementing and perfecting the dossier and submitting it to the Ministry of Finance within ten days from the date the Ministry of Finance guides the supplementation and perfection of the dossier. The submission of the supplementary and perfected dossier shall be carried out according to the method prescribed in Clause 3 of this Article. If the enterprise fails to fully supplement the dossier within the above time limit, the dossier will not be considered for inclusion in the announcement of the list of valuation appraisers.

b) In case the dossier shows that the person holding a valuation appraiser certificate does not meet the conditions for registering to practice as a valuation appraiser as stipulated in Clause 1 of Article 45 of the Price Law, the Ministry of Finance shall notify the enterprise in writing or through online public service (if available) of the reasons why the conditions for registering to practice have not been met.

5. Before the last working day of the month, a person holding a valuation appraiser certificate who meets the conditions for registering to practice as a valuation appraiser as stipulated in Clause 1 of Article 45 of the Price Law and whose registration dossier has been submitted to the Ministry of Finance by the valuation enterprise before the 15th day of that month shall be announced by the Ministry of Finance as a valuation appraiser in the monthly adjusted list of valuation appraisers according to Model No. 04 in the Appendix attached to this Decree.

6. In case there is a change in the list of valuation appraisers due to a valuation appraiser at the enterprise no longer maintaining the conditions for registering to practice as a valuation appraiser or changing the place of registration, the valuation enterprise must promptly report to the Ministry of Finance within five working days from the date of the change to update the information in the monthly adjusted list of valuation appraisers.

Section 2
ISSUANCE AND RENEWAL OF CERTIFICATE OF COMPLIANCE WITH CONDITIONS FOR OPERATING VALUATION SERVICES
BUSINESS OF PRICE APPRAISAL SERVICES

Article 5. Dossier for requesting issuance and renewal of the Certificate of Compliance with Conditions for Operating Valuation Services

1. The dossier for requesting issuance of the Certificate of Compliance with Conditions for Operating Valuation Services includes:

a) Application form for issuance and renewal of the Certificate of Compliance with Conditions for Operating Valuation Services according to Model No. 05 prescribed in the Appendix attached to this Decree;

b) Copy of the business registration certificate; copy of the branch registration certificate in case the enterprise requests branches of the valuation enterprise;

c) Dossier for registering to practice in accordance with Article 3 of this Decree of at least five persons holding a valuation appraiser certificate registered to practice as a valuation appraiser at the enterprise; in case the enterprise requests branches of the valuation enterprise, each branch of the valuation enterprise needs to have at least the dossier for registering to practice of three persons holding a valuation appraiser certificate;

d) List confirmed by the enterprise about shareholders, shareholders who are persons holding a valuation appraiser certificate registered to practice at the enterprise, shareholders, shareholders who are organizations or a valid electronic copy of this list in case there is no information about the list of shareholders, the list of shareholders at the business registration certificate;

đ) Certified copy or a valid electronic copy of the document appointing the authorized representative of shareholders, shareholders who are organizations according to the law on enterprises.

2. The dossier for requesting renewal of the Certificate of Compliance with Conditions for Operating Valuation Services includes:

a) Documents at point a, b and d Clause 1 of this Article. In case the request for renewal is only because the Certificate of Compliance with Conditions for Operating Valuation Services is lost or torn, then documents at point b and d Clause 1 of this Article are not required;

b) Original Certificate of Compliance with Conditions for Operating Valuation Services issued in case of renewal due to changes in enterprise information on the certificate or the certificate is torn; declaration of the reason for losing the certificate and commitment to responsibility for the accuracy of the declared content or a valid electronic copy of this declaration in case of renewal due to loss of the certificate;

c) Certified copy or a valid electronic copy of documents proving the change in enterprise information on the certificate in case of renewal due to changes in enterprise information on the certificate;

d) Dossier for registering to practice in accordance with Article 3 of this Decree of those persons holding a valuation appraiser certificate related to the renewal of the Certificate of Compliance with Conditions for Operating Valuation Services (if any).

Article 6. Procedures for Issuing and Reissuing Certificates of Eligibility to Operate Valuation Services

1. When requesting issuance or reissuance of certificates of eligibility to operate valuation services, enterprises shall be responsible for performing the following tasks:

a) Prepare a dossier in accordance with Article 5 of this Decree, ensuring it is complete, accurate, and lawful, and submit it to the Ministry of Finance via one of the following methods: postal service, direct submission, or online public service. In the case of reissuing a certificate of eligibility to operate valuation services, the enterprise must submit the dossier to the Ministry of Finance within 10 days from the date the certificate of eligibility to operate valuation services is lost, damaged, or when information changes compared to the information on the certificate of eligibility to operate valuation services issued to the enterprise.

b) Pay the valuation fee for issuing the certificate of eligibility to operate valuation services in accordance with the laws on fees and charges at the time of submitting the application dossier for issuance or reissuance of the certificate of eligibility to operate valuation services, and such payment will not be refunded.

2. Within 15 days from the date of receiving one set of dossier as stipulated in Clause 1 of this Article:

a) If the dossier is incomplete or contains inaccurate information, the Ministry of Finance shall guide the enterprise to supplement and perfect the dossier in writing or through online public service. The enterprise is responsible for supplementing and perfecting the dossier and resubmitting it to the Ministry of Finance within 10 days from the date the Ministry of Finance guides the supplementation and perfection of the dossier. The submission of supplementary and perfected dossiers shall be carried out according to the method prescribed in point a of Clause 1 of this Article. Upon expiration of the above period, if the enterprise has not supplemented the dossier fully, the Ministry of Finance shall notify the enterprise in writing or through online public service about the refusal to issue or reissue the certificate.

b) If the dossier shows that the enterprise does not meet the conditions for issuance or reissuance of the certificate of eligibility to operate valuation services, the Ministry of Finance shall notify the enterprise in writing or through online public service about the reasons for refusal to issue or reissue the certificate.

c) If the dossier shows that the enterprise meets the conditions for issuance or reissuance of the certificate of eligibility to operate valuation services, the Ministry of Finance shall issue or reissue the certificate of eligibility to operate valuation services according to Model No. 06 prescribed in the Appendix attached to this Decree.

3. In the case where the enterprise requests reissuance solely due to loss or damage of the certificate of eligibility to operate valuation services, within five working days from the date of receiving one set of dossier as stipulated in Clause 1 of this Article, the Ministry of Finance shall reissue the certificate of eligibility to operate valuation services according to Model No. 06 prescribed in the Appendix attached to this Decree.

Section 3
SUSPENSION OF VALUATION SERVICES BUSINESS AND REVOCATION OF CERTIFICATE OF ELIGIBILITY TO OPERATE VALUATION SERVICES

Article 7. Suspension of Valuation Services Business

1. Enterprises providing valuation services shall be suspended from operating valuation services business in cases as prescribed in Clause 1 of Article 54 of the Law on Prices.

2. The Ministry of Finance shall issue a decision to suspend the operation of valuation services business according to Model No. 07 prescribed in the Appendix attached to this Decree, except in cases of suspension of activities under the laws on enterprises, administrative violations, and criminal offenses. Within three working days from the date of being suspended from operations including the valuation services business operation or being suspended from all business operations under the laws on enterprises, administrative violations, and criminal offenses, the enterprise providing valuation services shall be responsible for submitting a written report on the matter to the Ministry of Finance.

3. In the case of suspension as prescribed in point a of Clause 1 of Article 54 of the Law on Prices, it shall be implemented as follows:

a) The day the enterprise providing valuation services is suspended is the last day of the three-month continuous period from the date the enterprise fails to meet one of the conditions prescribed in Clause 1 of Article 49 of the Law on Prices. The suspension period is 60 days.

Within 60 days from the date of suspension, the enterprise shall be responsible for taking corrective measures to ensure compliance with all conditions prescribed in Clause 1 of Article 49 of the Law on Prices, and simultaneously submit a written report on the corrective measures taken along with supporting documents to the Ministry of Finance.

Based on the enterprise's report, the Ministry of Finance shall consider and notify in writing whether to allow the enterprise to continue operating valuation services business according to the certificate of eligibility to operate valuation services already issued, or revoke the certificate of eligibility to operate valuation services in accordance with Article 8 of this Decree.

b) In the case where the enterprise fails to meet one of the conditions prescribed in Clause 1 of Article 49 of the Law on Prices continuously for three months without being suspended due to non-compliance with reporting requirements to the Ministry of Finance as stipulated in Clause 2 of Article 52 of the Law on Prices, upon discovery, it shall be handled as follows:

If at the time of discovery, the enterprise ensures compliance with all conditions prescribed in Clause 1 of Article 49 of the Law on Prices, it shall be suspended from operating valuation services business for a period of 180 days from the date of discovery. Upon expiration of the suspension period, if the enterprise has not had its certificate of eligibility to operate valuation services revoked and continues to comply with all conditions prescribed in Clause 1 of Article 49 of the Law on Prices, the Ministry of Finance shall notify in writing to allow the enterprise to continue operating valuation services business according to the certificate of eligibility to operate valuation services already issued.

In case at the time of discovery, the enterprise does not meet one of the conditions stipulated in Clause 1 Article 49 of the Price Law, it will be suspended from operating appraisal service for a period of 180 days from the date of discovery. Within 60 days from the suspension date, the enterprise is responsible for rectifying to ensure all conditions stipulated in Clause 1 Article 49 of the Price Law, and simultaneously submit a written report on the rectification along with evidence materials to the Ministry of Finance; failure to comply will result in the revocation of the certificate of eligibility to operate appraisal services in accordance with Article 8 of this Decree. Upon expiration of the suspension period, if the enterprise has not had its certificate of eligibility to operate appraisal services revoked and meets all conditions stipulated in Clause 1 Article 49 of the Price Law, the Ministry of Finance shall consider issuing a written notice allowing the enterprise to continue operating appraisal services based on the certificate of eligibility already issued.

4. In the case of suspension as prescribed in Point b Clause 1 Article 54 of the Price Law, the enterprise will be suspended from operating appraisal services for a period of 270 days from the date the violation is discovered. Upon expiration of the suspension period, if the enterprise has not had its certificate of eligibility to operate appraisal services revoked and meets all conditions stipulated in Clause 1 Article 49 of the Price Law, the Ministry of Finance shall consider issuing a written notice allowing the enterprise to continue operating appraisal services based on the certificate of eligibility already issued.

5. During the suspension period of operating appraisal services, the appraisal enterprise must bear responsibility for resolving issues arising from appraisal contracts signed with clients, labor contracts signed with appraisers and employees, and other legal obligations as prescribed by law.

6. The Ministry of Finance publicly posts on its official website the list of appraisal enterprises suspended from operating appraisal services, and the list of appraisal enterprises eligible to continue operating appraisal services after suspension.

Article 8. Revocation of Certificate of Eligibility to Operate Appraisal Services

1. An appraisal enterprise will have its certificate of eligibility to operate appraisal services revoked in cases prescribed in Clause 2 Article 54 of the Price Law.

2. When falling under any of the cases prescribed in Points b, d, and đ Clause 2 Article 54 of the Price Law, the appraisal enterprise is required to immediately cease operating appraisal services, and within three working days, the legal representative of the appraisal enterprise must submit a written report on the matter along with the original certificate of eligibility to operate appraisal services to the Ministry of Finance.

3. The Ministry of Finance issues a decision to revoke the certificate of eligibility to operate appraisal services according to Model No. 08 prescribed in the Appendix attached to this Decree; publicly posts the list of appraisal enterprises whose certificates of eligibility to operate appraisal services have been revoked; and removes their names from the list of appraisal enterprises eligible to operate appraisal services on its official website.

4. An appraisal enterprise whose certificate of eligibility to operate appraisal services has been revoked must cease operating appraisal services from the effective date of the revocation decision and must bear responsibility for resolving issues arising from appraisal contracts signed with clients, labor contracts signed with appraisers and employees, archiving appraisal files, and other legal obligations as prescribed by law.

Chapter III
IMPLEMENTATION

Article 9. Effective Date

1. This Decree takes effect from July 1, 2024.

2. Decree No. 89/2013/ND-CP dated August 6, 2013 of the Government detailing certain provisions of the Price Law regarding appraisal, and Decree No. 12/2021/ND-CP dated February 24, 2021 of the Government amending and supplementing certain provisions of Decree No. 89/2013/ND-CP dated August 6, 2013 of the Government detailing certain provisions of the Price Law regarding appraisal shall cease to be effective from July 1, 2024.

3. Repeal Article 12 and remove the phrase "appraisal" in Clause 2 Article 15 of Decree No. 151/2018/ND-CP dated November 7, 2018 of the Government amending and supplementing certain decrees regulating investment and business conditions under the management of the Ministry of Finance.

4. The Ministers, Heads of ministerial-level agencies, Heads of government agencies, Chairmen of provincial and centrally-administered city People's Committees shall be responsible for implementing this Decree.

THEỮNG QUY ĐỊNH

Doanh nghiệp thẩm định giá được cấp Giấy chứng nhận đủ điều kiện kinh doanh dịch vụ thẩm định giá phải:

1. Duy trì và đảm bảo các điều kiện được cấp Giấy chứng nhận đủ điều kiện kinh doanh dịch vụ thẩm định giá trong suốt thời gian hoạt động.

2. Không sửa chữa, tẩy xóa nội dung ghi trong Giấy chứng nhận đủ điều kiện kinh doanh dịch vụ thẩm định giá.

3. Không cho thuê, cho mượn, cầm cố, mua bán, chuyển nhượng và sử dụng Giấy chứng nhận đủ điều kiện kinh doanh dịch vụ thẩm định giá vào các mục đích khác mà pháp luật không quy định.

4. Thông báo với Bộ Tài chính và làm thủ tục cấp lại theo quy định nếu có thay đổi nội dung ghi trong Giấy này.

5. Trình báo ngày cho cơ quan Công an và thông báo cho Bộ Tài chính trường hợp bị mất Giấy chứng nhận đủ điều kiện kinh doanh dịch vụ thẩm định giá, đồng thời làm hồ sơ đề nghị cấp lại theo quy định.

6. Nộp lại Giấy chứng nhận đủ điều kiện kinh doanh dịch vụ thẩm định giá cho Bộ Tài chính khi chấm dứt kinh doanh dịch vụ thẩm định giá hoặc khi có quyết định thu hồi.
