Regarding the admission of Thanh Hoa Tobacco Company as a member of Vietnam Tobacco Corporation
Pursuant to the State Enterprise Law, April 30, 1995;
PRIME MINISTER
Pursuant to the Law on Government Organization, dated September 30, 1992;
Pursuant to Decree No. 39/CP, August 27, 1995 of the Government approving the Model Charter on organization and operation of State Corporations;
Pursuant to Decree No. 67/CP, October 25, 1995 of the Government approving the Charter on organization and operation of Vietnam Tobacco Corporation;
Considering the proposal of the Minister of Industry, the Minister of Finance, and the Chairman of the People's Committee of Thanh Hoa Province,
Separating the soft drink (Harra) section from Thanh Hoa Tobacco Company to establish a provincial enterprise under Thanh Hoa Province.
DECISION:
Article 1.-Admitting Thanh Hoa Tobacco Company (after separating the soft drink section) as an independent accounting member of Vietnam Tobacco Corporation.
Article 2.-The People's Committee of Thanh Hoa Province shall proceed with the transfer of Thanh Hoa Tobacco Company to Vietnam Tobacco Corporation. The Ministry of Finance and the Ministry of Industry shall send officials to participate in the transfer process to conduct the transfer of capital (including debts) of Thanh Hoa Tobacco Company to Vietnam Tobacco Corporation. During the transfer process, if there are signs of inability to pay maturing debts that the Ministry of Finance and related agencies cannot handle, they must report to the Prime Minister for consideration and decision.
ARTICLE 3.Vietnam Tobacco Corporation and the Ministry of Industry shall take necessary measures to overcome difficulties, assist Thanh Hoa Tobacco Company to stabilize operations and achieve effective business results./.
