REGARDING THE APPROVAL OF THE REGULATIONS OF THE VIETNAM POULTRY ASSOCIATION

THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;
Pursuant to the Government Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, powers, and organizational structure of the Ministry of Home Affairs;
Pursuant to the Government's Decree No. 88/2003/NĐ-CP dated July 30, 2003 on the organization, operation, and management of associations;
Considering the proposal of the Chairman of the Vietnam Poultry Association and the Director of the Department for Non-Governmental Organizations,

DECISION:

Article 1: Approves the Regulations of the Vietnam Poultry Association which were adopted at the First Term General Assembly on November 4, 2003.

Article 2: The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

Article 3: The Chairman of the Vietnam Poultry Association and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision.

CHARTER

VIETNAM POULTRY ASSOCIATION

PART I

Name of the Association:

Article 1:The Association takes the name Vietnam Poultry Association

English name: Vietnam Poultry Association

Abbreviation: VIPA

Article 2:The Vietnam Poultry Association is a voluntary non-governmental organization established on the principles of voluntarism, self-management, and mutual benefit among enterprises, economic organizations, farms, and individuals from all economic sectors involved in poultry farming, processing, services, etc.

The purpose of the Association is to link, cooperate, and support each other economically and technically in business and services, enhance product value; represent and protect the legitimate interests of members; contribute to creating more jobs and improving the living standards of workers in poultry farming, processing, services, etc.

Article 3:The Vietnam Poultry Association has legal personality, its own seal, and separate bank accounts.

The main office is located in Hanoi, and the Association may establish representative offices both domestically and internationally as provided by law.

Article 4:The Vietnam Poultry Association operates nationwide and is subject to the management of the Ministry of Agriculture and Rural Development in poultry farming, processing, services, etc., according to the laws of the Socialist Republic of Vietnam and these Regulations.

Chapter II

TASKS AND POWERS OF THE ASSOCIATION

Article 5:Duties and powers of the Association:

1. To disseminate and educate members about the Party's and State's policies on building and developing the poultry industry within various economic sectors.

2. To represent members in making proposals to the State regarding policies, measures to encourage and assist in developing the poultry industry; to protect the legitimate rights and interests of members, resolve cases and incidents causing damage to the industry and members' interests; fulfill obligations to the State.

3. To motivate and utilize the creative labor capacity of members; cooperate, support, and help each other economically and technically in poultry farming, processing, services, etc., based on exchanging experiences, promoting, and applying new scientific and technological achievements; unite to help each other in difficult living conditions.

4. To provide advisory support to organizations and individuals within the Association during their production and business operations.

To supply information on economics, markets, prices so that members can rearrange their businesses to achieve high economic efficiency.

5. To research and transfer technology: breeds, feed, farming models, environmental hygiene, food safety, equipment, etc.

6. To organize conferences and seminars to exchange professional experiences, encourage cooperation and collaboration between members to coexist and develop together.

7. To build and develop the Association and its membership, construct material foundations, and expand the scope of the Association.

To build and develop international relations with individuals and organizations in Southeast Asia and around the world in accordance with the law.

8. To organize training centers, service centers, advisory centers, etc., under the Association when approved by competent authorities and operate in accordance with the law.

9. To publish magazines and technical and economic management materials as prescribed by law.

Chapter III

MEMBERS

Article 6:Members

1. Regular members: All organizations and individuals in Vietnam operating in poultry farming, processing, services, etc., who agree with the Regulations of the Association, voluntarily submit applications to join the Association, pay the joining fee and membership fees, can become regular members of the Association.

2. Associated members: Organizations and individuals related to poultry farming, processing, services, etc., and foreign-invested production and business organizations who agree with the Regulations of the Association, submit applications to join, pay the joining fee and membership fees, can become associated members of the Association.

3. Honorary members: Citizens, scientific and technical managers, and legal entities who have made contributions to the development of the industry and the Association are invited by the Association to become honorary members.

Article 7:Procedures for terminating membership rights:

1. Members voluntarily requesting to withdraw from the Association must submit a letter to the Association's Executive Board.

2. Members will be expelled from the Association in cases of serious violation of the Charter, damaging the reputation, prestige, and finances of the Association.

3. For organizations that are suspended from operation, dissolved, or declared bankrupt by state agencies.

The rights and obligations of members cease after the Association's Executive Board issues a notice.

The Executive Board of the Association will notify all members of those who request to withdraw from the Association, those who are expelled, and those whose names are removed.

Article 8:Rights of members:

1. Participate in congresses, elect representatives to attend the Association's congress.

2. To discuss, vote, question, and criticize all activities of the Association; to propose and express opinions to state agencies through the Association.

3. To be nominated, proposed, and elected to the Executive Board of the Association and other positions within the Association.

4. To be informed of experiences disseminated by the Association, professional training, and improvement of skills through various forms such as providing information, documents, attending seminars, training courses, technical demonstrations, domestic and international tours, surveys.

5. To be assisted and introduced by the Association to relevant institutions both within and outside the industry for service contracts, technical expertise, etc.

6. To have the right to leave the Association.

7. Associated Members and Honorary Members enjoy the same rights as regular Members, except for the rights to nominate, elect, and vote.

Article 9:Members have the following responsibilities:

1. Strictly comply with the state's policies, laws, and regulations stipulated in this Charter; implement resolutions of the Association; promote the recruitment of new members.

2. Participate in the activities and life of the Association; unite and cooperate with other members to build a stronger organization.

3. Provide necessary information and data to serve the activities of the Association.

4. Pay membership fees and dues in full as prescribed.

Chapter IV

ORGANIZATION OF THE ASSOCIATION

Article 10:The Vietnam Poultry Association is organized and operates on the principles of voluntarism, self-management, financial self-sufficiency, and equality among all members.

Article 11:The organization of the Association includes:

- The Association

- Sub-Associations directly under the Association

- Some service, advisory, and training units directly under the Association established in accordance with the law.

Article 12:National Congress of the Vietnam Poultry Association:

1. The National Congress of the Vietnam Poultry Association is the highest authority of the Association. It is held every five years.

2. Main tasks of the Congress:

- Discussing reports on the summary of the term and the new direction of the Association's activities;

- Deciding on the direction and program of the Association's work;

- Deciding to amend and supplement the Charter of the Association;

- Discussing and deciding on important issues of the Association that exceed the decision-making authority of the Executive Board of the Association;

- Discussing, approving the final accounts and adopting the new financial plan;

- Elects the Executive Board of the Association;

- Elects the Inspection Board of the Association.

3. The Congress may be convened extraordinary to address urgent issues of the Association upon the proposal of two-thirds of the Executive Board members or more than half of the members requesting it.

4. Resolutions of the Congress are passed according to the majority principle.

Article 13:Executive Board of the Association:

1. The Executive Board is the leading body of the Association between two congresses. The number of Executive Board members is determined by the Congress and elected directly through secret ballot or show of hands. The person elected must obtain more than 50% of valid votes.

Executive Board members may be re-elected or relieved of their duties before the term expires according to the decision of the Congress, or upon the proposal of more than half of the members.

An Executive Board member who is a representative of a legal entity due to retirement or transfer to another job will be replaced by another person from the same legal entity and still remain an Executive Board member.

The term of the Executive Board is five years, operating under regulations approved by the Congress.

2. The Executive Board convenes regularly once a year.

3. Duties and powers of the Executive Board:

Deciding on measures to implement resolutions and the term program of activities of the Congress.

- Decide on the annual program and plan of work and inform the results of the Executive Board's activities to all branches.

- Approve the annual budget plan and final accounts.

- Define the organization and operation of specialized committees, the Association's office, and representative offices in various regions; define principles, systems, usage, and management of the Association's assets and finances.

- Electing and dismissing leadership positions of the Association: President, Vice-President, and General Secretary.

- Appoint heads of specialized committees and representatives of the Association in various regions.

- Preparing content, agenda, and documents to submit to the Congress.

- Decide to convene the Congress term or the annual Representative Meeting.

- Examine and admit or expel members.

Article 14:Chairman and Vice Chairmen:

1. The President has the authority and responsibility:

- Representing the Association before the law.

- Organize and implement Congress resolutions, Representative Meeting resolutions, and Executive Board decisions.

- Convene and chair meetings of the Executive Board.

- Directly lead the General Secretary of the Association.

- Approving personnel of the Association's office and other organizations established by the Association.

- Be responsible to the Executive Board and all members for the activities of the Association.

2. Deputy Presidents assist the President, assigned specific issues by the President, and may be authorized to manage the Executive Board's affairs when the President is absent.

Article 15:Secretary General of the Association:

- Directly manages all activities of the Association's Office.

- Draft operational regulations of the Office and financial management regulations of the Association for approval by the Executive Board.

- Regularly report to the Executive Board on the activities of the Association.

- Prepare annual reports and term reports of the Executive Board.

- Manages lists, files, and documents about members and subordinate organizations.

- Be responsible to the Executive Board and the law for the activities of the Association's Office.

Article 16: The Association's Office.

1. The Office is organized and operates according to regulations submitted by the Secretary General for approval by the Executive Board.

2. Staff of the Association Office are recruited and work under fixed-term employment contracts.

3. Operating funds of the Office are budgeted by the Secretary General and submitted to the Executive Board for approval.

Article 17:Audit Committee:

1. The Audit Committee is directly elected by the full Congress of the Association. The number of Audit Committee members is determined by the Congress.

2. The Audit Committee operates according to regulations approved by the Congress.

Chapter V

FINANCE AND ASSETS OF THE ASSOCIATION

Article 18: Sources of income of the Association:

- Membership fees.

- Membership fees contributed by members in accordance with regulations.

- Sponsorship from domestic and foreign organizations and individuals in accordance with legal provisions.

- Other lawful revenues.

Article 19: Expenditures of the Association.

Expenses are covered according to the Association's financial regulations, such as salaries for staff, allowances for collaborators, infrastructure, communication, charity, and other reasonable expenses as decided by the Executive Board.

Article 20: Management and utilization of finance and assets.

The Executive Board stipulates the management and use of the Association's finances and assets in accordance with state regulations.

2. The Supervisory Board is responsible for auditing and reporting annual financial statements and assets publicly to members.

Chapter VI

REWARD AND DISCIPLINE

Article 21:Rewards

Members, Executive Board members, Audit Committee members, and Association staff who have made significant contributions to the development of the Poultry Raising industry and the construction of the Association will be appropriately rewarded by the Association and may be recommended for rewards by state agencies.

Article 22:Disciplinary Measures

Any member, Executive Board member, Standing Committee member, Audit Committee member, or Association staff who acts contrary to the Charter, resolutions of the Association, damages the reputation and honor of the Association, misses regular meetings without justifiable reasons, or fails to pay membership fees for one year will be criticized, reprimanded, warned, or removed from the membership list, or referred to competent state authorities for handling violations according to the law, depending on the severity of the case.

Chapter VII

IMPLEMENTING PROVISIONS

Article 23:Amendments and supplements to the Charter must be proposed unanimously by the National Congress of the Vietnam Poultry Raising Association and approved by the competent state authority to take effect.

Article 24:This Charter was adopted unanimously at the founding Congress of the Vietnam Poultry Raising Association on November 4, 2003, and took effect from the date it was approved by the Ministry of Home Affairs. This Charter will cease to be effective when the Association ceases operations or is dissolved./.
