Article 1. - The Eastern Sea Fisheries Corporation (hereinafter referred to as "the Corporation") is established under the Ministry of Fisheries, comprising member enterprises listed in the Articles of Association of the Corporation.
The Eastern Sea Fisheries Corporation (hereinafter referred to as "the Corporation") is a State-owned enterprise engaged in business operations with legal personality, having seals, assets, and centralized funds as prescribed by the Government, entrusted by the State with the management of capital, natural resources, land, water surfaces, and other resources, responsible for preserving and developing capital, using resources effectively, performing the rights and obligations of State-owned enterprises as stipulated in Chapter II of the Law on State-Owned Enterprises, and opening accounts at the National Treasury, domestic banks, and foreign banks in accordance with State regulations. The organization and operation of the Corporation shall follow the model set forth in Decision No. 90/TTg dated March 7, 1994 of the Prime Minister.
The Corporation's international trading name is EAST SEAFISHERIES CORPORATION, abbreviated as ESFICO.
The Corporation's main office is located in Ho Chi Minh City, and it has representative offices in Hanoi City, Ba Ria-Vung Tau Province, and a branch for Central Vietnam aquatic service in Nha Trang City, Khanh Hoa Province.
Article 2. - The Eastern Sea Fisheries Corporation has the following tasks:
1. Organizing surveys, protection, and development of aquatic resources.
2. Exploiting, purchasing, processing, transporting (by sea and land), and trading in aquatic products.
3. Cultivating aquatic species.
4. Building and repairing vessels for domestic and international use.
5. Constructing bridges, warehouses, and other facilities both within and outside the industry.
6. Producing fishing nets, various packaging materials; producing and trading in feed for aquaculture and other needs.
7. Importing and exporting aquatic products, materials, equipment for agriculture, forestry, fisheries, and other goods serving fishing and people's livelihoods.
8. Supplying and providing logistics services for the fishing industry (research, consulting, design, manufacturing, repair, installation of machinery and equipment, refrigeration engineering; sawing, wood processing; maritime, port services; supplying materials, fuel, machinery, equipment, fishing gear, ice, fresh water, and goods for the fishing industry and people's livelihoods; marketing products...).
9. Supplying labor for the fishing industry to foreign countries.
10. Researching and applying scientific and technological progress, technology, training, and upgrading staff.
11. Trading in industries that member units have been permitted by competent State authorities and other industries as prescribed by law.
Article 3. - The organizational structure of the Corporation includes:
- Board of Directors.
- Supervisory Board.
- General Director and supporting staff.
- Member units of the Corporation.
The Chairman of the Board of Directors, the General Director, and members of the Board of Directors are appointed by the Minister of Fisheries upon authorization from the Prime Minister.
Deputy General Directors and Chief Accountants of the Corporation are appointed by the Minister of Fisheries.
Article 4. - The Board of Directors of the Corporation is responsible for drafting the Articles of Association of the Corporation for approval by the Minister of Fisheries.
Article 5. - The Director of the Finance and Accounting Department is responsible for preparing the content for the Ministry to participate with the Ministry of Finance in allocating capital to the Corporation.
Article 6. This Decision takes effect from the date of signing. Any previous provisions concerning member companies and enterprises of the Corporation that conflict with this Decision are hereby abolished.
Heads of Departments, Bureaus, Inspectors, Chiefs of the Office of the Ministry, Chairmen of the Board of Directors, General Directors of the Eastern Sea Fisheries Corporation, and Directors of member units of the Corporation are responsible for implementing this Decision.
