Pursuant to the Government Organization Law dated September 30, 1992;

Upon consideration of the proposal of the Governor of the State Bank of Vietnam after consolidating the opinions of the members of the Steering Committee for Reorganizing the Financial Structure of Commercial Banks,

DECISION:

Article 1. The Operational Regulations of the Steering Committee for Reorganizing the Financial Structure of Commercial Banks are hereby promulgated together with this Decision.

Article 2. This Decision shall take effect from the date of signing.

Members of the Steering Committee for Reorganizing the Financial Structure of Commercial Banks, Ministers, Heads of ministerial-level agencies, Heads of government-affiliated agencies, Chairpersons of People's Committees of provinces and centrally governed cities shall be responsible for implementing this Decision.

REGULATIONS

Operation of the Steering Committee for Reorganizing the Financial Structure of Commercial Banks

Article 1. Duties and Authorities of the Steering Committee for Reorganizing the Financial Structure of Commercial Banks

1. The Steering Committee for Reorganizing the Financial Structure of Commercial Banks (hereinafter referred to as the Steering Committee) assists the Prime Minister in performing the following tasks:

a) Reviewing projects and policies on reorganizing the financial structure of commercial banks;

b) Directing, urging, and inspecting ministries, ministerial-level agencies, government-affiliated agencies, and People's Committees of provinces and centrally governed cities related to the implementation of tasks to reorganize the financial structure of commercial banks.

c) Summarizing and evaluating the results of reorganizing the financial structure of commercial banks to report and propose mechanisms, policies, and solutions to the Prime Minister regarding the reorganization of the financial structure of commercial banks.

2. The Steering Committee has the following authorities:

a) Summoning meetings with ministries, sectors, and localities to resolve issues related to the reorganization of the financial structure of commercial banks.

b) Assigning specific tasks to ministries, sectors, and localities related to the reorganization of the financial structure of commercial banks.

c) Requesting ministries, sectors, and localities to implement contents related to the reorganization of the financial structure of commercial banks; providing data to report issues related to the implementation of the reorganization of the financial structure of commercial banks.

Article 2. Assignment of work and tasks of members of the Steering Committee.

Members of the Steering Committee hold concurrent positions but must ensure sufficient time to complete the tasks assigned by the Steering Committee.

1. Chairman:

a) Organizing the establishment of objectives, tasks, and requirements for reorganizing the financial structure of commercial banks during specific periods.

b) Summoning and chairing meetings of the Steering Committee, giving final comments on programs, plans, and contents of issues discussed by the Steering Committee, and proposing mechanisms, policies, and solutions to the Prime Minister regarding the reorganization of the financial structure of commercial banks.

c) Directly assigning tasks to ministers, heads of ministerial-level agencies, government-affiliated agencies, chairpersons of provincial and centrally governed city People's Committees, and members of the Steering Committee to resolve issues related to the reorganization of the financial structure of commercial banks.

2. Deputy Chairman (Permanent):

a) Proposing, preparing the content, program, and plan of work of the Steering Committee, organizing meetings and activities of the Steering Committee.

b) Urging members of the Steering Committee to implement the program and plan of work assigned.

c) Signing documents of the Steering Committee to report to the Deputy Prime Minister-Chairman and to relate with ministries, sectors, and localities.

d) Acting as chairman of the meeting and working with ministries, sectors, and localities to resolve issues related to the reorganization of the financial structure of commercial banks after being authorized.

đ) Assisting the Chairman in managing the operations of the Steering Committee.

e) Deciding to convene meetings of the Steering Committee after seeking guidance from the Chairman; acting as chairman of meetings when the Chairman is unable to attend.

f) Organizing coordination among members of the Steering Committee; directing the work of the permanent office assisting the Steering Committee.

g) Deciding to invite collaborators to participate in researching relevant issues.

h) Being responsible for directing, guiding, urging, and inspecting the implementation of tasks assigned by the Chairman to his ministry or sector and reporting monthly to the Chairman.

i) Participating in discussions and giving opinions on projects, objectives, tasks, and requirements for reorganizing the financial structure of commercial banks; on the content, program, and plan of directing the work of the Steering Committee.

k) Performing other tasks assigned by the Chairman.

3. Member:

a) Fully participating in meetings and common tasks of the Steering Committee. In case of inability to attend a meeting, the member must inform the Chairman or the meeting chairperson and submit their opinions to the Steering Committee. The Steering Committee is responsible for conveying the meeting results to absent members.

b) Being responsible for directing, guiding, urging, and inspecting the implementation of tasks assigned by the Chairman to his ministry or sector and reporting monthly to the Chairman.

c) Cooperating with other ministries, sectors, and localities in implementing tasks and work related to the reorganization of the financial structure of commercial banks.

d) Participating in discussions and giving opinions on projects, objectives, tasks, and requirements for reorganizing the financial structure of commercial banks; on the content, program, and plan of directing the work of the Steering Committee.

đ) Performing other tasks assigned by the Chairman.

Article 3. Working System of the Steering Committee:

1. The Steering Committee meets regularly once every quarter and holds extraordinary meetings (when necessary) to discuss and examine issues according to the principle of collective decision-making. In case the Chairman does not attend the meeting, the Deputy Chairman reports to the Deputy Prime Minister-Chairman for examination and gives comments on decisions made during the meeting.

2. Members are responsible for proposing issues to be discussed at Steering Committee meetings; the Chairman or the Deputy Chairman (Permanent) decides on the agenda of the meeting.

3. Related documents for meetings, discussions, and contributions must be sent to members at least five working days in advance.

4. Contents discussed in Steering Committee meetings are recorded in writing, clearly stating the general conclusions of the meeting.
