Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001 of the Government on the conversion of state-owned enterprises and enterprises of political organizations and political-social organizations into Joint Stock Companies with One Member;

Considering the proposal of the Board of Directors of Vietnam Rubber Corporation,

DECISION:

Article 1. Tây Ninh Rubber Company, an independent accounting member enterprise under Vietnam Rubber Corporation, shall be converted into a Joint Stock Company with One Member.

- Full name: Tây Ninh Rubber Joint Stock Company with One Member.

- Abbreviated name in Vietnamese: Tây Ninh Rubber JSC.

- International trade name: Tay Ninh Rubber. Co; L.t.d

- Abbreviation: TANIRUCO.

- Registered capital: 163,893,638,396 Vietnamese dong.

- Head office: Hiệp Thạnh Commune, Gò Dầu District, Tây Ninh Province. The Tây Ninh Rubber Joint Stock Company with One Member shall have its own seal, open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Enterprise Law and the Charter of the Company's organizational activities.

Article 2. Business scope: investment in planting, caring for, harvesting, processing raw rubber, and selling products.

Article 3. Organization and operation:

1. The organizational structure of the Company includes:

- Chairman and General Director of the Company. - Specialized departments and dependent farms as stipulated in the plan.

2. The organization and operation of Tây Ninh Rubber Joint Stock Company with One Member are specifically regulated in the Charter of the Company's organizational activities.

Article 4. The State body authorized to represent the owner:

Board of Directors of Vietnam Rubber Corporation, address: No. 236 Nam Ky Khoi Nghia Street, District 3, Ho Chi Minh City. The Board of Directors of Vietnam Rubber Corporation is responsible for exercising the rights of the owner according to Decree No. 63/2001/NĐ-CP dated September 14, 2001 of the Government and the Company's Charter.

Article 5. Tây Ninh Rubber Joint Stock Company with One Member is responsible for receiving and effectively utilizing the capital and assets transferred by the Board of Directors of Vietnam Rubber Corporation to fulfill the tasks of production development and business operations; inheriting all rights and obligations of Tây Ninh Rubber Company.

Article 6. The Chairman and General Director of Tây Ninh Rubber Joint Stock Company with One Member is responsible for drafting the Charter of the Company's organizational and operational activities to submit to the Board of Directors of Vietnam Rubber Corporation for approval; appointing Deputy General Directors and Chief Accountants of the Company in accordance with current laws.

Article 7. This Decision takes effect fifteen days after publication in the Official Gazette.

The Board of Directors of Vietnam Rubber Corporation, the General Director of Tây Ninh Rubber Company, and the Chairman and General Director of Tây Ninh Rubber Joint Stock Company with One Member are responsible for implementing this Decision./.
