Pilot transfer of the Southern Inland Waterway Transport Corporation under the Ministry of Transport to organize and operate according to the holding company-subsidiary model, with the main contents as follows:

PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Based on the State Enterprise Law dated April 20, 1995;
Pursuant to the Enterprise Law dated June 12, 1999;
Approve the restructuring plan for the General Corporation of Mechanical Transport Equipment into the General Corporation of Automotive Industry of Vietnam, piloting operations under the holding company-subcompany model, to gradually form the Vietnam Automotive Industry Group.
DECISION:
Article 1. 1. Objective: To pilot the reform of management organization, shifting from administrative linkage between the Corporation and its independent accounting member enterprises to a financial investment mechanism primarily; to create a tight connection, clearly defining rights and responsibilities regarding capital and economic interests among enterprises with legal personality; to provide better information, marketing, sales, supply, research, and training services for member units; to create conditions to enhance production capacity, business efficiency, and competitive ability of the enterprise.
a) The Southern Inland Waterway Transport Corporation will shift to operating under the holding company-subsidiary model as follows:
2. Main contents of the Project:
- Holding company: A state-owned enterprise directly conducting production and business activities and investing capital in subsidiaries; responsible for preserving and developing state capital within the company and in subsidiaries.
The holding company will be formed based on restructuring the Southern Inland Waterway Transport Company, Thu Duc Port, Southern Inland Waterway Import-Export Company, and the General Corporation's office.
The management structure of the holding company includes: Board of Directors, Supervisory Board, General Director, and supporting staff.
- Subsidiaries: Having legal personality, separate assets, names, management structures, and civil liability within the scope of their assets; organized and operated according to relevant legal provisions corresponding to the legal form of subsidiaries.
Subsidiaries are joint-stock companies and limited liability companies with two or more members where the holding company holds controlling shares or contributions.
(List of subsidiaries as attached appendix).
b) The charter capital structure, business sectors of the holding company and subsidiaries; organization and management of the holding company; relationships between the holding company and the state owner and subsidiaries are stipulated in the Charter of the holding company's organizational and operational activities.
c) The holding company is responsible for succeeding all legal rights and obligations of the Southern Inland Waterway Transport Corporation.
The Prime Minister shall address issues that need correction.
Article 2
1. Entrust the Minister of Transport:
a) Direct the implementation of this pilot project.
b) Decide on the establishment of the parent company and subcompanies mentioned in Clause 2, Article 1 of this Decision according to current regulations.
c) Submit for approval to the Prime Minister for approval the Charter of Organization and Operation of the Parent Company.
d) Monitor the operation of this pilot model and report promptly. The Minister of Transport, the Minister of Finance, the Minister of Planning and Investment, the Minister of Home Affairs, and heads of related agencies are responsible for implementing this Decision.
2. Entrust the Minister of Finance to approve the Financial Regulations of the holding company and monitor the implementation of financial management, accounting, and financial transparency systems of the holding company.
Article 3. This Decision shall take effect 15 days from the date of publication in the Official Gazette.
The Minister of Transport, the Minister of Finance, the Minister of Planning and Investment, the Minister of Home Affairs, and the heads of relevant agencies shall be responsible for implementing this Decision.
